DUE DATE & TIME OF SUBMISSION: 07/10/ :00 hours Bids are invited over on-line from reputed and reliable Transport contractors / Agencies who are experienced in Transportation of 16 MTs Taurus Vehicle consisting Cotton Bales FROM ANDHRA PRADESH AND TELENGANA DISTRICTS to HOWRAH as per the detailed scope of job given herein. BIDDERS HAVE TO SUBMIT BIDS ON LINE ONLY. A- CONDITIONS ONLY FOR ONLINE SUBMISSION PROCEDURE FOR BID SUBMISSION The bidder shall submit his response through bid submission to the tenderer on e-procurement platform at by following the procedure given below. The bidder would be required to register on the e-procurement market place and submit their bids online. No offline bids shall be entertained by the Tender Inviting Authority. The bidders shall submit their eligibility and qualification documents, Technical bid, Financial bid etc. in the standard formats prescribed in the Tender documents, displayed in e-procurement web site. The bidders shall upload the scanned copies of all the relevant certificates, documents etc., in support of their eligibility criteria/technical bids in the e-procurement web site. However, bulky documents need not be scanned and uploaded but physical copies of the same should be sent to our Hyderabad office so as to reach before the due date and time of the tender. The bidder shall sign on the statements, documents, certificates, uploaded by him, owning responsibility for their correctness/ authenticity

Digital Certificate authentication: The bidder shall authenticate the bid with his Digital Certificate for submitting the bid electronically on e-procurement platform and the bids not authenticated by digital certificate of the bidder will not be accepted on the e-procurement platform. All the bidders who do not have digital certificates need to obtain Digital Certificate. They may contact Help Desk of C1 India Pvt Ltd. for the same. 3. Submission of Hard copies: The bidder shall invariably furnish the original Demand Drafts towards Tender fees and EMD to the Tender Inviting Authority before bidding so as to reach before the due date and time of the tender either personally or through courier or by post and the receipt of the same within the stipulated time shall be the responsibility of bidder. The Company shall not take any responsibility for any delay or non-receipt. If any of the documents furnished by the bidder is found to be false/ fabricated/bogus, the bidder is liable for black listing, forfeiture of the EMD, cancellation of work and criminal prosecution. The bidders are advised to get a confirmed acknowledgement from the Tender Inviting Authority (Balmer Lawrie) as a proof of submission of Hard Copies to avoid any discrepancy. 4. Deactivation of Bidders: The bidders found defaulting in submission of hard copies of original Demand Drafts for Tender Fee, EMD and other documents to the Tender Inviting Authority on or before the stipulated time in the Tender will not be permitted to participate in the Tender. 5. Tender Document: The bidder is requested to download the tender document and read all the terms and conditions mentioned in the tender Document and seek clarification if in doubt from the Tender Inviting Authority. The bidder has to keep track of any changes by viewing the Addendum / Corrigendum issued by the Tender Inviting Authority on time-to-time basis in the e-procurement platform. The Company calling for tenders shall not be responsible for any claims/problems arising out of this

3 6. Bid Submission Acknowledgement: The bidder should complete all the processes and steps required for bid submission. The successful bid submission can be ascertained once acknowledgement is given by the system through bid submission number after completing all the process and steps. M/s C1 India will not be responsible for incomplete bid submission by users. Users may also note that the incomplete bids will not be saved by the system and consequently will not be available for the Tender Inviting Authority for processing. Before scanning for uploading, the bidders shall sign with the help of Digital Signature device on all the statements, documents, certificates, uploaded by him, owning responsibility for their correctness/authenticity. a. Submission of bids The bids should be submitted in together with co. profile and price bid. For price bid, only the rates are to be submitted as per given format. Deviated rate structures will not be accepted and will be rejected. The entire bid to have digital signature of the person having Power of attorney/power of authority to sign on behalf of the bidder. Hard copies should have seal and signature. ELIGIBILITY CRITERIA For the purpose of short-listing, compliance of following criteria are compulsory: a) Deposit of Earnest Money deposit of Rs.50,000/- b) Operating Experience in transportation of 16 MT Taurus Vehicle from various places c) Owned or attached vehicles together should be minimum 35 Nos. (Attach proof) d) Bidders should be registered with IBA (Indian Bank Association) Attach Certificate - 6 -

EARNEST MONEY e) All vehicles need to have road permit/ pollution certificate etc. & drivers should have valid licenses The bidder is required to submit earnest money of Rs.50,000 by way of a bank draft favouring the Company. The draft drawn on any scheduled bank payable at Hyderabad should be attached with Technical bid. If the EMD is not enclosed along with Technical bid, then the tender document will not be considered. MSME/NSIC bidders to be exempted from EMD/ Tender document fees, sub to submission of valid documents. If the successful bidder is unable to accept or execute orders when placed upon them or fails to execute Performance Guarantee or withdraws / revises the quoted prices within the validity period of this tender or after placement of the Order/Letter of Acceptance, his Earnest Money Deposit shall be forfeited. The EMD of unsuccessful bidders will be returned without interest. The EMD of successful bidder will be retained (without interest) and will be returned on acceptance of work order and security deposit. 05. MAIN SCOPE OF WORK 06. RATE Placement of vehicles at the designated places listed in the price bid as and when required and transportation of goods to Das Nagar, HOWARH. The rate will be inclusive of all costs towards engaging licensed and experienced Driver, Workmen, truck/trailers running cost such as fuel, lubricants, maintenance, road tax, insurance, etc. The rate should be kept firm during the period of Contract. If there is variation between the rates quoted in the figures and in words, only the lower of the two rates quoted either in figures or in words, shall be considered. 07. SUB LETTING OF WORK No part of the contract or any share or interest therein shall in any manner or degree be transferred, assigned or sublet by the contractor directly or indirectly to any person, firm, or corporation without the written consent from the company. 08. FUEL ESCALATION/DE-ESCALATION The rate should be firm throughout the contract period except for escalation/de-escalation of HSD price announced by Govt. of India during the contract period. In case of any revision in the price of diesel during the contract period, the escalation/de-escalation will be calculated as per following formula: x A x C B B Where A stands for per vehicle rate as per contract - 7 -

8 B stands for ruling price of diesel applicable at Hyderabad as on date of Tender which is Rs on 01/10/2015 C Stands for ruling price of diesel applicable as on date of placing of vehicle. The escalated / de-escalated rate would be applicable from the month following the month in which the diesel price revision took place. No other price escalation on any account will be entertained during the contract period. 09. VOLUME OF WORK No assurance shall be given regarding any item of work at any time during the validity of the contract. However we expect movement of about 15,000 BALES TO BE TRANSORTED IN 16 MT TAURUS VEHICLE AT BALES EACH VEHICLE AND ESTIMATED TO BE 150 VEHICLES during the contract period. The nature of work will be subject to variation depending on the requirements. Any variation / addition / deletion in the items of work to be actually carried out shall not form a basis for any dispute regarding the rates quoted in the tender and shall not be a ground for any claim of compensation. For the purpose of evaluation, the quantity of NO. Evaluation of bids and Placement of Work order The following evaluation method will be adopted : (1) There will be simultaneous evaluation of technical information/profile of the bidders and their price bids. (2) Company reserves the right to take up for evaluation only the quotes of those who are found suitable based on their profile/technical criteria. (3) L1 for overall tender value will be considered first with the estimated volumes (4) Sector wise L1 rate will also be identified. Overall L1, will have to match sector wise L1 wherever they are higher. Overall L1 will be assigned 75% of the volume. Overall L2 will be given opportunity to match over all L1 rates and if they match, 25 % will be awarded to Overall L2 If Overall L2 is not accepting to match overall L1., then opportunity to match with overall L1 keep percolates down to L3, L4,... etc. If none is matching L1., full volume will get allotted to L1 itself. In the event for any reason, L1 is not able to absorb the full volume of business at any point of time, the following order of distributions will be adopted: 50% to Overall L1 25% to L2 at the negotiated rates 25% to L3 at the negotiated rates In any event., the right to award of the contract either in split manner or combined manner vests with the company without assigning any reason and as it deems prudent under the circumstances. 11. PERIOD OF THE CONTRACT The contract will be awarded for a period of 6 months from the date of work order. The contract period may be extended further to the successful bidder(s) on mutually accepted terms and conditions at the same rates for same or additional quantity estimated. 12. VALIDITY OF THE RATE The quoted rate shall be kept valid for acceptance for a period of 30 days from the due date of tender. The rate should be kept firm for a period of 6 months from the date of contract without any escalation what so ever (except as stated in clause 8). 13. PAYMENT TERMS Payment shall be made within 21 days from the date of submission of bills for every 5 vehicles. Appropriate tax, as applicable from time to time, shall be deducted from the bills as per the Statutory regulations

10 14. PERFORMANCE GUARANTEE / RETENTION MONEY Performance Guarantee for Rs.50,000/- (Rupees fifty thousand only) shall be submitted by the successful bidder in the form of DD to cover loss / damage of container/material during transit of goods from the designated locations to Howrah or lack of interest to perform as per job order or failure to perform etc. In case the order is split between two or more transporters, the value of Performance Guarantee will be proportionate to the order volume subject to minimum of Rs.25000/- (Rupees Twenty five thousand only per contractor. Further, we will retain 5% of the job completion value as Retention Money at the time of payment release which will refunded after successful completion of the total project. Performance Guarantee / Retention Money will be Interest free. MSME/NSIC bidders to be exempted from Performance Guarantee, sub to submission of valid documents. 15. TRANSPORTATION Contractor should engage proper vehicles of sound condition with valid road permit. The driver should be well experienced and should possess valid driving license for heavy vehicle. The Contractor should take full responsibility towards safety and security of the goods. Vehicles should follow safety norms for transportation of goods as stipulated by concerned authorities. All vehicles will have to be adequately covered under the Motor Vehicles Act. The contract will be placed on strict understanding that the contractor has indemnified us against any Government action against the contractor or the contractor s vehicles when on Balmer Lawrie & Co Ltd., duty. 16. PENALTY DUE TO NON-PERFORMANCE The successful bidder shall nominate a supervisor, who will be present during the operations and shall report to the nominated staffs of the Company at the end of the day to obtain details of requirements for the next day and plan accordingly. In case of successful bidder failing to honour the terms and conditions of contract, the Company shall be at complete liberty to make alternate arrangements at the bidders Risks and Cost and any additional cost incurred by the Company in this regard shall be fully recovered from the successful bidder s bills. The Company is also at liberty to recover in full the charges towards penalty, if any, imposed by the Company s clients on the Company. In case of any shortage/damage/deterioration /loss of goods for whatever reason, while the same are in the custody of the contractor, the contractor shall be liable to make good the value of goods including penalties and fines as are leviable by the appropriate authority for such damage /shortage/loss/deterioration. In case of damage to the cargo /property, by the contractor s personnel the contractor will be responsible to make good the losses as assessed by the surveyor / or any other competent authority within stipulated time failing which the Company or its authorized agency will be free to make good the losses at contractor's Risk and Cost, and charges on account of such losses will be fully recovered from Contractor's bills

11 The contractor should position the vehicle for pick up of goods within 6 hours of booking for stuffing at designated points well in time as per schedule advised from time to time. Failure to do so will entail the company to arrange alternatives at the risk and cost of contractor and such losses will be fully recovered from contractor bills. 17. SAFETY TO COMPANY'S PROPERTY The bidder would be fully responsible to ensure safety of lives, goods, vehicles & property and it is mandatory that necessary 3 rd party insurance cover is kept valid by the bidder for the vehicles. 18. SPECIAL TERMS AND CONDITIONS In case a bidder wants to put any special terms and conditions, the same should be put clearly on the Commercial bid. No conditions shall be acceptable in the Price Bid. 19. POWER OF ATTORNEY The signatory of the offer should have authority from his/her company and a copy of the Power of Attorney from the Board of Directors or whoever is authorised for such issuance shall be submitted along with the 'COMMERCIAL BID. 20. AGREEMENT On finalization of the contract, the contractor will be required to sign an Agreement with the Company incorporating all above terms and conditions and other operating conditions in order to achieve maximum operational efficiency. The draft of the agreement will be furnished to the successful bidder. In the event of failure on the part of the successful bidder to sign the agreement within the stipulated time period, the Earnest Money Deposit will be forfeited and the acceptance of the tender shall be considered as cancelled. 21. CONTRACTOR S RESPONSIBILITY Obtaining clear receipt or any such document from the sender s stuffing premises for the purpose of inter-state toll, original documents which have to be submittted to the authorized person in Balmer Lawrie will be the responsibility of the transporter. All personnel employed by the contractor are to be engaged as their own employee in all respects. The responsibility to comply with provisions of various labour laws of the country such as The Contract Labour (Regulation & abolition) Act 1970, Employees Provident Funds & Miscellaneous Provisions Act 1952, Employees State Insurance Act 1948, The Minimum Wages Act 1948, The

12 Workmen Compensation Act, or any other act which are applicable will be that of the contractor. The contractor should not engage any child labour for its job specified in the tender document. The contractor shall at his expenses comply with all the labour laws and keep Balmer Lawrie & Co Ltd indemnified in respect there of and absolve Balmer Lawrie & Co Ltd of any responsibility related to employment condition of their own labour. The contractor should comply with all rules and regulations of Telengana State and Andhra Pradesh State Labour Board or any other bodies as required. 22. TERMINATION The contract can be terminated by either party giving 1 month notice in writing. However, in case of serious breach of contract by the bidder, the company reserves the right to terminate the contract without notice. 23. ADDITION AND ALTERATION OF TERMS AND CONDITIONS The Company reserves the right to add / alter terms & conditions of tender documents including cancellation of the tender at any time without assigning any reason whatsoever. 24. ACCEPTANCE OF TENDER The Company reserves the right to accept or reject the offer without assigning any reasons whatsoever. The Company also reserves the right to split the total quantity between 2 or more transporters. 25. ARBITRATION Any dispute or difference arising under this contract shall be referred for adjudication at Kolkatta to a Sole Arbitrator to be appointed by the Chairman & Managing Director Balmer Lawrie Co Ltd and the provisions of arbitration act 1996 including any statutory modification or enactment thereof shall apply to the arbitration proceedings.
