Seek assistance from if you need further clarification on any part of this document or the terms used.) INDUSTRIAL HIRE PURCHASE-i Date: [to be filled by Relationship Manager] 1. What is this product about? Industrial Hire Purchase-i is a banking facility that involves the hire of equipment/asset by the Hirer (you) from the Owner (the Bank) which will be purchased by the Hirer at the expiry of the contract. 2. What is the Shariah concept applicable? IHP-i is based on the Shariah concept of Al-Ijarah Thumma Al Bai (Hire Ends With Sale), which literally means hire (Ijarah) and ends with sale/purchase (Bai ). Ijarah refers to a hire contract that transfers the ownership of a usufruct of an asset to another person for a specified period in exchange for a specified consideration. 3. What do I get from this product? You will be provided with facility to finance your purchases of machinery/equipment (capital goods and assets) from a supplier with key features as follows: Facility Amount (As per Letter of Offer). Margin of Financing Up to 95% of cost (with security deposit) or fair market value whichever is lower. Tenure Between 18 to 60 months. Rental/Installment (As per Letter of Offer). Rental Rate The rental rate charged to customer is a flat rate throughout the financing tenure. Calculation of Total Total Rental = Amount Financed + (Amount Financed X Rental Rate X Period) Rental Rebate (Ibra ) You shall be given rebate (ibra ) for early settlement. Collateral/Security Asset financed by the Bank. Corporate/joint and several guarantees of the directors/shareholders of your company. Other forms of acceptable assets/security accepted by the Bank Guarantor Your Guarantor is ideally be the company s director/management team or key decision maker. (At the Bank s discretion) You will own the asset at the expiry of the IHP-i through the purchase of machinery/equipment according to the terms and conditions contained in the IHP-i Agreement. Equipment/Asset Ownership 4. What are my obligations? You are required to pay the rental/installment as per Letter of Offer. The rental/installment will become due if no payment made on the assigned due date. 5. What do I have to pay? Fees & Charges For the avoidance of doubt, you shall bear all professional fees, taxes [including but not limited to service tax or Goods & Services Tax (GST) where applicable] and out-of-pocket expenses incurred and any other fees, expenses or recourse in respect of this product. Stamp Duty (Standard 1 & As per Stamp Duty Act 1949 (Revised 1989). The IHP-i Agreement on Additional documents 2 ) standalone facility is stamped nominal for each copy. Restructuring/ Rescheduling and RM230 including stamp duty. If it involves registrable vehicles, any charges payable Assignment of Agreement to JPJ and runners shall be billed at cost. Please request from your Relationship Manager for the Bank s Standard Charges for IHP-i or retrieve it from our website at If there are any changes in fees and charges that are applicable to your financing facility, the Bank will notify you at least 21 calendar days prior to the effective date of implementation. Note: 1 : Standard Documents refers to: Agreement, Personal Guarantee, Joint & Several Guarantee, Corporate Guarantee and Novation Agreement. 2 : Additional Documents refers to: Repurchase Agreement, Assignment of Purchase Agreement, Standing Instruction, Letter of Set-Off, Supplement Agreement, Variation Agreement, Deed of Assignment, Subordination of director loan, Personal Guarantee, Joint & Several Guarantee, and Corporate Guarantee for facility with LC-i Security Deposit Where applicable, the Bank shall request you to pay the Security Deposit which sum shall be retained by the Bank as security for the due observance and performance of this facility. Prepaid Rent You shall pay the Prepaid Rent which sum shall be considered to be a rental payment paid in advance and retained by the Bank as further security for the due observance of the stipulations terms and conditions of this facility. What if I fail to fulfill my obligations? The Bank may charge Ta widh (compensation) on overdue monies if you fail to make payment due to the Banks, as follows: a) You shall pay the Bank, by way of Ta'widh (compensation), a sum equivalent to one per centum (1%) per annum of the overdue installment(s) until date of full payment and/or settlement within facility tenure; a sum equivalent to the BNM s Islamic Interbank Money Market (IIMM) Rate on the balance principal amount outstanding upon maturity date or the expiry of the Financing; OR such other amount as the Shariah Advisory Council of Bank Negara Malaysia may decide from time to time b) The Bank may set-off any credit balance in any account you maintained with the Bank, pursuant to the Letter of Offer, against any outstanding balance in this facility account which the Bank will notify you at least 7 calendar days in advance. c) The amount of such compensation shall not be compounded. 7. What if I fully settle the financing before its maturity? The Bank shall grant ibra (rebate) on any amount payable by you in respect of any payment due under the facility including but not limited to any Liability Reducing Term Takaful/Takaful Mortgage Plan (if applicable) taken up by you with the Bank in any of the following situations: a) early settlement or early redemption by you including prepayment; b) settlement of the facility due to any financing restructuring exercise by you; c) settlement by you upon occurrence of the Event of Default; d) settlement by you in the event of termination or cancellation of the facility before expiry of the facility tenure. 8. Brief terms and conditions a) Only goods, machine and industry that are permissible and in line with Shariah principles are allowed to be transacted. b) The Bank reserves the right to debit your account with us for all cost, expenses and charges pertaining to your Banking Facility. c) You shall indemnify and keep the Bank indemnified against all actions, losses, damages, claims, costs, expenses, demands and liabilities of whatever nature which the Bank may incur, sustain or suffer by reason of the Bank or at your request in establishing the IHP-i including subsequent extensions and amendments thereof. In the case where there shall be two or more persons, the liabilities of the applicant shall be joint and several. 9. Do I need any/coverage? Yes. You will maintain such takaful/insurance as in respect of assets (under financed) and business in general against all risks (as stipulated in the Letter of Offer) from such takaful/insurance companies acceptable to the Bank. You must provide a copy of the renewed takaful/insurance policy with reinstatement clause to Bank not less than fourteen (14) days before the expiry date of the takaful/insurance policy in respect of the second and all subsequent years which the equipment/asset still remains to be under hire purchase. 10. What will happen if I fail to renew takaful/insurance policy? The Bank may renew the takaful/insurance policy which in its absolute discretion, think fit. Therefore, Bank has the right to charge and require you to pay for the actual cost and expenses incurred by the Bank in effecting such takaful/insurance policy. 11. How is the appropriation of payment made in IHP-i agreements? Payment made by you shall first be allocated to clear any overdue takaful/insurance contribution/premium before any rental payable under this agreement. 12. What are the major risks? a) Repossession of the equipment/asset OR legal action will be taken if you fail to respond to the reminder notices. You will have to bear all costs and responsible to settle any shortfall after legal action has been taken against you, subject to terms and conditions contained in the IHP-i Agreement. b) Repossession of the equipment/asset OR legal action against you may affect your credit rating, leading to credit being more difficult or expensive for you. 13. What do I need to do if there are changes to my contact details? a) It is important that you inform the Bank of any changes to your contact details to ensure that all correspondences reach you in a timely manner. b) You may inform the Bank such changes via various channels of communication such as the website, branches or call centre. 14. 4 LEMBARAN PENDEDAHAN PRODUK (Baca dan fahami Lembaran Pendedahan Produk ini bersama-sama dengan terma dan syarat-syarat am berkaitan Sewa Beli Perindustrian i sebelum anda membuat keputusan untuk mengambil produk ini. Anda dinasihatkan untuk mendapatkan penjelasan daripada RHB Islamic Bank Berhad jika anda tidak memahami mana-mana bahagian dokumen ini atau syarat-syarat am). SEWA BELI PERINDUSTRIAN-i Tarikh: [Untuk diisi oleh Pengurus Perhubungan] 1. Apakah produk ini? Sewa Beli Perindustrian-i melibatkan sewaan sesuatu aset, dalam kes ini peralatan/aset oleh Penyewa (anda) daripada Pemilik (Bank) yang seterusnya akan memiliki peralatan/aset tersebut melalui pembelian setelah tamat tempoh sewaan. 2. Apakah konsep Syariah yang digunakan? IHP-i merupakan kemudahan perbankan berdasarkan konsep Syariah Al-Ijarah Thumma Al-Bai (Sewa Diakhiri Dengan Jualan), yang bermaksud sewa (Ijarah) dan berakhir dengan jualan/pembelian (Bai ).Ijarah merujuk kepada kontrak sewaan dimana pemilikan manfaat dipindahkan kepada orang lain sebagai imbalan kepada suatu bentuk pembayaran yang telah ditetapkan. 3. Apakah yang akan saya dapat daripada produk ini? IHP-i membantu anda dengan menyediakan kemudahan untuk pembelian peralatan/aset (modal kerja dan aset-aset) daripada pembekal dengan ciri-ciri seperti berikut:- Jumlah Pembiayaan (Seperti dalam Surat Tawaran) Margin Pembiayaan Sehingga 95% daripada kos (dengan wang cagaran) atau nilai pasaran saksama yang mana lebih rendah. Tempoh Diantara 18 sehingga 60 bulan Sewa/Ansuran (Seperti dalam Surat Tawaran) Kadar Sewa Kadar sewa yang dikenakan kepada pelanggan adalah kadar rata sepanjang tempoh pembiayaan. Pengiraan Kadar Sewa Jumlah Sewa = Amaun Dibiayai + (Kadar Sewa X Amaun Dibiayai X Tempoh) Rebat (Ibra ) Anda akan diberi rebat (Ibra ) bagi penyelesaian awal pembiayaan Cagaran/Jaminan Aset yang dibiayai oleh pihak Bank. Korporat/bersama dan beberapa jaminan daripada pengarah/pemegang saham syarikat anda. Lain-lain bentuk asset/jaminan yang dibenarkan dan diterima oleh pihak Bank. Penjamin Penjamin anda seeloknya mestilah pengarah/kumpulan pengurusan syarikat atau pembuat keputusan utama. (Mengikut budi bicara Bank) Pemilikan Anda akan memiliki aset tersebut apabila tamat tempoh sewaan melalui pembelian Peralatan/Aset Peralatan/Aset seperti di dalamterma dan syarat yang terkandung dalam perjanjian IHP-i. 4. Apakah tanggungjawab saya? Anda bertanggung jawab untuk membayar sewa/ansuran berdasarkan Surat Tawaran. Pembiayaan akan tertunggak apabila tiada pembayaran dibuat pada tarikh yang ditetapkan. 5. Apa yang saya perlu bayar? Fi dan Caj Bagi mengelakkan keraguan, anda akan menanggung semua yuran profesional, cukai [termasuk tetapi tidak terhad kepada cukai perkhidmatan atau Cukai Barangan & Perkhidmatan (GST) jika berkenaan] dan perbelanjaan luar jangka yang dilakukan dan apaapa fi lain, perbelanjaan atau tindakan yang berkaitan dengan produk ini. Duti Setem (Dokumen Berdasarkan Akta DutiSetem 1949 (Pindaan 1989). Perjanjian IHP-i keatas Stadard 1 & Dokumen pembiayaan sendirian akan dicop nominal. Tambahan 2 ) Penyusunan Semula/ RM230 termasuk duti setem. Sebarang caj yang perlu dibayar kepada JPJ dan runner Penetapan Semula& hendaklah dibilkan mengikut kos, sekiranya ia melibatkan kenderaan yang boleh didaftarkan. Penyerahan Perjanjian Sila berurusan dengan Pengurus Perhubungan anda untuk mendapatkan bayaran standard Bank untuk produk dan perkhidmatan pembiayaan atau lawati laman sesawang di Sekiranya terdapat sebarang perubahahan pada yuran dan caj yang berkaitan dengan pembiayaan pelanggan pihak Bank akan memberitahu pelanggan sekurang-kurangnya 21 hari sebelum tarikh perlaksanaan Nota: 1: Dokumen Standard merujuk kepada: Perjanjian, Jaminan Peribadi, Jaminan Bersama & Beberapa, Perjanjian Korporat dan Perjanjian Novasi. 2: Dokumen Tambahan merujuk kepada: Perjanjian Pembelian Balik, Penyerahan Perjanjian Pembelian, Arahan Tetap, Surat Penetapan, Perjanjian Tambahan, Perjanjian Perubahan, Surat Ikatan Penyerahan, Subordinasi Pinjaman Pengarah, Jaminan Peribadi, Bersama & Beberapa Jaminan, dan Jaminan Korporat untuk kemudahan dengan LC-i. Wang Cagaran Jika berkenaan, Bank akan meminta anda untuk membayar wang cagaran yang jumlahnya akan disimpan oleh Bank sebagai cagaran tunai untuk jaminan pematuhan dan pelaksanaan kemudahan ini. Sewa Prabayar Anda akan membayar Sewa Prabayar yang jumlahnya dianggap sebagai bayaran sewa pendahuluan dan ianya disimpan oleh Bank sebagai jaminan selanjutnya untuk pematuhan yang sewajarnya dari segi terma dan syarat kemudahan ini. SEWA BELI PERINDUSTRIAN-i Tarikh: [Untuk diisi oleh Pengurus Perhubungan] 6. Bagaimana jika saya gagal untuk memenuhi tanggungjawab saya? Bank boleh mengenakan Ta'widh (ganti rugi) pada wang yang tertunggak jika anda gagal membuat pembayaran yang perlu dibayar kepada Bank, seperti berikut: a) Anda hendaklah membayar Bank,melaluiTa'widh (ganti rugi), satu jumlah yang bersamaan dengan satu peratus(1%) setahun daripada ansuran tertunggak hingga tarikh pembayaran dan/atau penyelesaian penuh; jumlah yang bersamaan dengan Kadar Pasaran Wang Antara Bank IslamBNM (IIMM) ke atas jumlah baki pokok tertunggak pada tarikh matang atau tamat Pembiayaan; ATAU jumlah lain seperti yang diputuskan oleh Majlis Penasihat Syariah Bank Negara Malaysia dari semasa ke semasa b) Bank boleh menolak mana-mana baki kredit dalam mana-mana akaun anda dengan Bank, selaras dengan Surat Tawaran,terhadap apa-apa baki tertunggak dalam akaun kemudahan ini dimana Bank akan memberitahu anda sekurangkurangnya 7 hari kalendar terlebih dahulu. c) Amaun pampasan itu tidak boleh dikompaun atau dengan mana-mana kaedah lain yang diluluskan oleh Majlis Penasihat Syariah Bank Negara Malaysia. 7. Bagaimana jika saya menyelesaikan baki pembiayaan sepenuhnya/sebahagian sebelum tarikh matang? Bank hendaklah memberi Ibra (Rebat) akhir tempoh pembiayaan. Penyelesaian sebelum akhir tempoh pembiayaan hendaklah termasuk, tetapi tidak terhad kepada Liabiliti Mengurangkan Jangka Pelan Takaful/Takaful Gadai Janji (jika berkenaan) yang diambil oleh anda dengan Bank, pada situasi berikut: a) penyelesaian awal atau penebusan awal oleh anda, termasuk yang timbul daripada bayaran terdahulu; b) penyelesaian kemudahan pembiayaan disebabkan penstrukturan semula pembiayaan asal; c) penyelesaian dengan anda apabila berlakunya Keadaan dalam kemungkiran; d) penyelesaian sekiranya berlaku penamatan atau pembatalan pembiayaan sebelum tarikh matang. 8. Terma dan syarat ringkas a) Hanya barang-barang, mesin dan industri yang dibenarkan dan selaras dengan prinsip-prinsip Syariah di benarkan untuk berurusan. b) Pihak Bank berhak untuk debit akaun anda dengan pihak Bank untuk membiayai semua kos, perbelanjaan dan caj-caj yang berkaitan dengan kemudahan pembiayaan anda. c) Anda perlu menanggung kerugian dan kerugian pihak Bank daripada semua tindakan, kerugian, kerosakan, tuntutan-tuntukan, kos-kos, perbelanjaan-perbelanjaan, permintaan-permintaan dan liabiliti-liabiliti dalam apa jua bentuk yang menyebabkan pihak Bank menanggung, atau atas permintaan anda dalam mewujudkan IHP-i anda termasuklah sambungan dan pindaan seterusnya. Dalam situasi jika terdapat dua atau lebih individu, liabiliti pemohon adalah bersama dan berasingan. 9. Adakah saya perlu ada perlindungan takaful/insurans? Ya. Perlindungan takaful/insurans perlu diambil dari syarikat takaful/insurans yang diterima oleh pihak Bank bagi melindungi asset dan perniagaan anda daripada semua risiko dibawah skim takaful/insurans. Anda mestilah menyediakan satu salinan polisi takaful/insurans yang telah diperbaharui dengan klausa pengembalian semula kepada Bank tidak kurang daripada empat belas (14) hari sebelum tarikh tamat tempoh polisi takaful/insurans berkenaan dimana pada tahun kedua dan tahun berikutnya peralatan/aset tersebut masih di bawah sewa beli. 10. Apakah yang akan terjadi sekiranya saya gagal memperbaharui Bank boleh memperbaharui takaful/insurans mengikut budi bicara mutlaknya, yang difikir patut. Oleh itu, Bank mempunyai hak untuk mengenakan bayaran dan menghendaki anda membayar kos dan perbelanjaan sebenar yang ditanggung oleh Bank dalam melaksanakan takaful/insurans tersebut. 11. Bagaimanakah pengagihan pembayaran dibuat dalam perjanjian IHP-i? Pembayaran yang dibuat oleh anda akan terlebih dahulu diperuntukkan untuk menyelesaikan sumbangan/ premium takaful/insurans tertunggak sebelum bayaran sewa yang di kenakan di bawah perjanjian ini. 12. Apakah risiko-risiko utama? a) Pemilikan semula peralatan dan aset/tindakan undang-undang akan diambil jika anda gagal untuk bertindak balas terhadap notis peringatan. Anda akan menanggung semua kos dan bertanggungjawab untuk menyelesaikan apa-apa kekurangan selepas tindakan undang-undang telah diambil terhadap anda. b) Pemilikan semula peralatan dan aset/tindakan undang-undang terhadap anda boleh menjejaskan penarafan kredit anda, yang membawa kepada kredit yang lebih sukar atau mahal untuk anda. 13. Apa yang perlu saya lakukan jika terdapat perubahan dalam butiran peribadi saya? a) Adalah penting untuk anda memaklumkan kepada Bank mengenai sebarang pertukaran maklumat untuk menghubungi anda bagi memastikan anda menerima semua surat-menyurat tepat pada masanya. b) Untuk mengemaskini maklumat perhubungan anda, sila layari laman web bank, cawangan atau hubungi pusat panggilan bank di / Kemaskini terakhir: Jun /6
