Total Relationship Balance Growth Reward ( TRB Growth Reward ) : The promotion period is from 18 January 2016 to 31 March 2016 (both dates inclusive) ( TRB Growth Reward Promotion Period ). This offer is only applicable to selected i-free Banking sole-name customers of Bank of China (Hong Kong) Limited ( BOCHK ) who receive this promotion material ( Selected Customers ) The Total Relationship Balance growth amount ( Total Relationship Balance growth amount refers to Total Relationship Balance of April 2016 as compared with Total Relationship Balance of December 2015) for Selected Customers is HK$100,000 or above ( TRB Growth Reward Eligible Customers ) to enjoy the TRB Growth Reward of HK$100 BOC Credit Card Free Spending Credit. ( Free Spending Credit ) Each TRB Growth Reward Eligible Customer can enjoy this offer once only. Free Spending Credit will be credited to the valid BOC Credit Card Account of TRB Growth Reward Eligible Customers on or before 31 July TRB Growth Reward Eligible Customers should still maintain i-free Banking when Free Spending Credit is credited. Otherwise, the reward will be forfeited. TRB Growth Reward is limited and available on a first-come first-serve basis while quota lasts. 2. Travel Upgrade Reward: The promotion period is from 18 January 2016 to 31 March 2016 (both dates inclusive) ( Travel Upgrade Reward Promotion Period ). Customers who fulfil the following requirements ( Travel Upgrade Reward Eligible Customers ) can enjoy the Travel Upgrade Reward which value up to HK$2,388: (i) Have already taken up i-free Banking during the Travel Upgrade Reward Promotion Period; and (ii) Fulfil requirement of any 3 or more of the following designated services/ transactions from 18 January 2016 to 30 April 2016: a. Monthly Savings Plan (Deposits/Stocks/Fund): - Newly setup Monthly Savings Plan (Deposits/Stocks/Fund), settle the first contribution payment successfully on or before 30 April 2016 with monthly contribution of HK$5,000 or more equivalent (For each Monthly Saving Plan), and make consecutive contribution for at least 3 months (if customer failed to make consecutive contribution for at least 3 months, BOCHK reserves the right to forfeit the relevant offer without prior notice): Monthly Deposits Savings Plan- Club Deposit Account:Successfully set up new HKD/RMB Monthly Deposits Savings Plan - Club Deposit via BOCHK;or Monthly Stocks Savings Plan:Newly setup Monthly Stocks Savings Plan through a BOCHK Securities Account (including Family Securities Account);or Monthly Fund Savings Plan : Newly setup Monthly Funds Savings Plan via BOCHK; b. Securities Account / Family Securities Account: - Successfully open new Securities Account (including Securities Margin Trading Account) and do not have any securities account with BOCHK within 6 months preceding the date

2 of New Securities Accounts opening, and conduct buying/ selling transactions of securities listed on the Hong Kong Exchange and Clearing Limited ( HKEx ) and settled in HKD or RMB (exclude Monthly Stocks Savings Plan and IPO subscription) or securities listed on Shanghai Stock Exchange ( SSE ) via the new Securities Account, with accumulated transaction amount of HK$200,000 equivalent or above;or - Successfully open new Family Securities Account and do not have any Family Securities Account with BOCHK within 6 months preceding the date of New Family Securities Accounts opening, and conduct buying/ selling transactions of securities listed on the HKEx and settled in HKD or RMB (exclude Monthly Stocks Savings Plan and IPO subscription) or securities listed on SSE via the new Family Securities Account, with accumulated transaction amount of HK$200,000 equivalent or above; c. HKD/ USD Time Deposit: - Successfully open 1-month or above HKD/ USD Time Deposit with new fund of accumulated amount of HK$200,000 or above/ US$25,000 or above with BOCHK; - Funds that are deposited via cashier's order/cheques and transfers / remittance from other accounts within BOCHK, Nanyang Commercial Bank and Chiyu Banking Corporation Limited will not be considered as new funds. For details of the definition of new funds, please contact BOCHK's staff. In case of disputes, BOCHK has the sole discretion to determine the definition of new funds. d. Payroll Service: - Customers should maintain a valid HKD Savings Account or HKD Current Account (including sole-name or joint-name accounts) ( Payroll Account ) with BOCHK and register for Payroll Service via any branch, Phone Banking or Internet Banking of BOCHK during the Travel Upgrade Reward Promotion Period; and - Start receiving salary by electronic payroll arrangement or single standing instruction (not including the standing instruction originating from BOCHK, Nanyang Commercial Bank and Chiyu Banking Corporation Limited) via Payroll Account from the date of payroll service registration; - Salary refers to the basic monthly salary (excluding commission, bonus, double pay, repayment and/ or other funds) of which the amount should reach HK$10,000 or above; e. Mortgage: - Submit application for new property mortgage loan / property mortgage refinancing loan / mortgage further advance / re-mortgage loan ( Property Mortgage Loan ) to BOCHK from 18 January 2016 to 31 March 2016 (both dates inclusive), and successfully drawdown Property Mortgage Loan with loan amount of HK$2,000,000 or above on or before 30 June 2016; - If the borrower of the Property Mortgage Loan is a joint account, the related sole-name accounts also considered as fulfil this requirement; f. Foreign Exchange: - Conduct foreign currency transaction at the telegraphic transfer rate through same-name Multi-Currency Savings Account and with accumulated exchange amount of HK$200,000 or above. For transactions denominated in foreign currencies, the relevant transaction

3 amount will be converted into Hong Kong dollars on the basis of the prevailing exchange rate quoted by BOCHK at the close of business on the transaction day. BOCHK reserves the right to change the calculation method of transaction amount at its sole discretion; g. Insurance : - Enrol BOC Worldwide Medical Insurance Plan or BOC Family Medical Insurance Plan and fulfil the following requirements: (i) the Annual Premium should reach HK$5,000 or above; and (ii)submit the duly completed and signed application form(s) together with the other required documents to Bank of China Group Insurance Company Limited ( BOCG Insurance ) during the Travel Upgrade Reward Promotion Period; and (iii) the Annual Premium should be paid in full on or before 30 April 2016 (late payment is not accepted);and (iv) the policy(ies) should be effective during the Travel Upgrade Reward Promotion Period; - For details of the BOC Worldwide Medical Insurance Plan and BOC Family Medical Insurance Plan, please contact BOCHK branch staff; h. Fund: - Conduct lump-sum subscription or fund switching between different fund houses through a same-name fund account (sole-name / joint-name account) (excluding Money Market funds, switching between the same fund house) with subscription amount of HK$200,000 equivalent or above; - For transactions denominated in foreign currencies, the relevant transaction amount will be converted into Hong Kong Dollar on the basis of the prevailing exchange rate quoted by BOCHK at the close of the transaction day. BOCHK reserves the right to change the calculation method of transaction amount at its sole discretion. Number of designated services/ transactions which requirements have Travel Upgrade Reward been successfully fulfilled 3 Free Airport Lounge Service ( Gift ) x 2 (Total approximate value of HK$700) 4 or above Free Airport Lounge Service ( Gift ) x 3 and HK$1,338 Free Spending Credit (Total approximate value of HK$2,388) Each Travel Upgrade Reward Eligible Customer can enjoy this offer once only. If the Travel Upgrade Reward Eligible Customer is a joint account, the holders of such account will be considered as one customer and only one of the account holders will be entitled to Travel Upgrade Reward. BOCHK reserves the right to grant the Travel Upgrade Reward to any one of the joint-account holders. If the Travel Upgrade Reward Eligible Customers submit application for new Property Mortgage Loan to BOCHK on or before 31 March 2016, Gift will be delivered by mail to the Travel Upgrade Reward Eligible Customers on or before 30 September 2016 in accordance with the correspondence address record of BOCHK; otherwise, Gift will be delivered by mail to the Travel

4 Upgrade Reward Eligible Customers on or before 31 July 2016 in accordance with the correspondence address record of BOCHK. If the Travel Upgrade Reward Eligible Customers submit application for new Property Mortgage Loan to BOCHK on or before 31 March 2016, Free Spending Credit will be credited to the valid BOC Credit Card Account of Travel Upgrade Reward Eligible Customers on or before 30 September 2016; otherwise, Free Spending Credit will be credited to the valid BOC Credit Card Account of Travel Upgrade Reward Eligible Customers on or before 31 July If the Travel Upgrade Reward Eligible Customer is aged 18 or above, BOCHK will provide the reward in the form of Free Spending Credit which will be credited into the customer s valid BOC Credit Card account; if the Travel Upgrade Reward Eligible Customer is aged between 11 and 17, BOCHK will credit cash of equivalent value to settlement account of the aforesaid customer s i-free Banking settlement account without prior notice. Travel Upgrade Reward Eligible Customers have to maintain the i-free Banking when crediting the Free Spending Credit, or the relevant reward will be forfeited. Travel Upgrade Reward is limited and available on a first-come first-serve basis while quota lasts. 3. BOC Credit Card Free Spending Credit: Travel Upgrade Reward Eligible Customers and /or TRB Growth Reward Eligible Customers and /or BOC i-card Reward Eligible Customers and /or Eligible Customers of Payroll Service ( Eligible Customer ) should hold BOC Credit Card. If an Eligible Customer cancels i-free Banking within 12 months after Free Spending Credit is credited, BOCHK reserves absolute right to debit an amount equivalent to the value of the reward from the account of the customer without prior notice. Free Spending Credit is meant exclusively for retail purchase and cannot be used for cash advance, settlement of financial charge or any previous outstanding balance accrued before the Free Spending Credit is credited. Free Spending Credit cannot be converted into cash or exchanged for other gifts and is also not refundable and transferrable. If Eligible Customers hold more than one BOC Credit Card, the Free Spending Credit will be credited to the highest tier BOC Credit Card Account (the credit card tier in descending order is Visa Infinite Card, CUP Dual Currency Diamond Card, World Master Card, Visa Signature Card, Platinum Card, Titanium Card, Gold Card and Classic Card). The status of the credit card accounts held by the Eligible Customers should be normal, valid and in good standing, and such accounts should not have overdue/bad records, nor have they been cancelled/terminated for any reason, and the customers should not have breached the Card User Agreement when the Free Spending Credit is credited by the BOC Credit Card (International) Limited (the Card Company ). If the Eligible Customers cannot fulfil the above requirements, BOCHK and the Card Company reserve the right to forfeit the relevant offer without prior notice. 4. BOC i-card reward extra HK$100 BOC credit card free spending credit: The promotion period is from 25 January 2016 to 31 March 2016 (both dates inclusive) (the BOC i-card Reward Promotion Period ).

5 During the BOC i-card Reward Promotion Period, customers who are accepted by the Card Company as a main cardholder of a BOC i-card and with accumulated spending of HK$2,000 or above in retail spending/ cash advance /Cash Before Card /posted amount of merchant installment program, which will be accepted as the stipulated spending requirement (the Spending ) (online bill payment, Octopus Automatic Add Value Service, unposted repayment of cash installment plan and such other transaction types as may be designated by the Card Company from time to time are excluded), within the first two months of card issuance ( BOC i-card Reward Eligible Customers ) can enjoy extra HK$100 Free Spending Credit. Customers who are existing main cardholder of BOC i-card, or have cancelled the above cards or were once holders of the above cards on or after 1 July 2015 will not be entitled to BOC i-card reward for main cardholders upon approval of application. HK$100 Free Spending Credit will be credited to the valid BOC i-card accounts held by the BOC i-card Reward Eligible Customer on or before 31 July Each BOC i-card Reward Eligible Customer can only enjoy this offer once and cannot be used in conjunction with other extra HK$100 Free Spending Credit offer of other Integrated Account Services. BOC i-card Reward Eligible Customer should still maintain the valid BOC i-card and take up i-free Banking when the HK$100 Free Spending Credit is to be credited by the Card Company. Otherwise, the relevant offer will be forfeited and no other offer will be awarded in its place. Free Spending Credit is meant exclusively for retail purchase and cannot be used for cash advance, settlement of financial charge or any previous outstanding balance accrued before the Free Spending Credit is credited. Free Spending Credit cannot be converted into cash or exchanged for other gifts and is also not refundable and transferrable. The status of the credit card accounts held by the BOC i-card Reward Eligible Customers should be normal, valid and in good standing, and such accounts should not have breached the Card User Agreement when the Free Spending Credit is credited by the Card Company. If the BOC i-card Reward Eligible Customers cannot fulfil the above requirements, BOCHK and the Card Company reserve the right to forfeit the relevant offer without prior notice. 5. Terms and Conditions of extra welcome offer for online application of BOC credit card: The promotion period is from 1 January 2016 to 30 June 2016 (both dates inclusive) ( Online Credit Card Application Extra Welcome Offer Promotion Period ). Only customer whose main card application is made online application and approved within the Online Credit Card Application Extra Welcome Offer Promotion Period will be eligible for the extra welcome offer for online application of BOC credit card. The extra welcome offer for online application of BOC credit card is 25,000 gift points. Customers who existing main cardholders of BOC Credit Card and/ or BOC CUP Dual Currency Credit Card (Additional Card, Business Card, Corporate Card, Purchasing Card, Intown Virtual Card, Great Wall International Card, US Dollar Card, Credit Card issued in Macau SAR, Private Label Card and BOC Express Cash Card are all excluded), or have cancelled the above card or were once cardholders of the above card on or after 1 July 2015 will not be eligible for the extra welcome

6 offer for online application for main cardholder upon approval of application. 25,000 gift points will be credited to main card account within 4-8 weeks after card issuance. The status of the credit card account must be normal, valid and in good credit condition then. 6. Kiddie Sky Savings Account Welcome Reward: The promotion period is from 25 January 2016 to 31 March 2016 (both dates inclusive) ( Kiddie Sky Welcome Reward Promotion Period ). Customers who fulfil the following requirements ( Kiddie Sky Welcome Reward Eligible Customers ) can enjoy HK$50 Mcdonld s coupon instantly: (i) Newly take up Kiddie Sky Savings Account (Applicable for children who are at or below the age of 11) during the Kiddie Sky Welcome Reward Promotion Period and deposit HK$5,000 or above when newly taking up the account; and (ii) Customers are required to show the copy of father/mother s identity document and relationship identity document at the time of account opening, and father/mother should be i-free Banking customer of BOCHK. BOCHK shall have the right to decide whether to accept or decline any account opening application and/or whether to grant this offer to the applicants in accordance with their information provided without providing any reason. Each Kiddie Sky Welcome Reward Eligible Customer can enjoy this offer once only. Kiddie Sky Savings Account Welcome Reward is limited and available on a first-come first-serve basis while quota lasts. 7. Monthly Savings Plan Rewards: The promotion period is from 18 January 2016 to 31 March 2016 (both dates inclusive) ( MSP Promotion Period ). Monthly Stocks Savings Plan: (i) This offer is only applicable to the customers who set up Monthly Stocks Savings Plans via securities account (including Family Securities Accounts) ( Eligible Securities Accounts ) maintained with BOCHK during the MSP Promotion Period, settle the first contribution payment successfully (including contribution payment settled via securities settlement accounts or BOC Credit Cards) on or before 11 April 2016 ( First Eligible Stocks MSP Contribution ) and do not make any contribution on Monthly Stocks Savings Plan through the same Eligible Securities Account within 6 months preceding the date of the first contribution. ( Stocks MSP Eligible Customer ) (ii) Stocks MSP Eligible Customer can enjoy HK$50 transaction fee reduction for each month for the first 6 consecutive month contributions starting from the First Eligible Stocks MSP Contribution. However, Eligible Customer should pay the transaction fee first (transaction fee is equivalent to 0.25% of the monthly contribution amount for each plan, including the brokerage fee, stamp duty, transaction levy and transaction charge. The minimum monthly charge is HK$/RMB 50). The transaction fee reduction amount will be credited to the settlement account of Stocks MSP Eligible Customers within the 8th calendar month starting from the First Eligible Stocks MSP Contribution. If an Stocks MSP Eligible Customer holds more than one settlement account, BOCHK has the discretion to credit the

Stocks MSP Eligible Customer should maintain the Eligible Securities Accounts and the relevant settlement account at the time when the transaction fee reduction amount is credited; otherwise this offer will be forfeited. (iii) If a Stocks MSP Eligible Customer terminates the Monthly Stocks Savings Plan or is unable to make contribution within 6 months after making the First Eligible Stocks MSP Contribution for any reason, this offer will be forfeited. The Stocks MSP Eligible Customer can still enjoy HK$50 monthly transaction fee reduction before the offer is forfeited and the transaction fee reduction amount will be credited into the settlement account of Stocks MSP Eligible Customer within the 8th calendar month starting from the First Eligible Stocks MSP Contribution. However, if the customer sets up the Monthly Stocks Savings Plan again with the same Eligible Securities Account and make contribution within the MSP Promotion Period, he/she is not eligible for this offer again. (iv) Each Stocks MSP Eligible Customer can set up Monthly Stocks Savings Plans with more than one Eligible Securities Account. However, each Stocks MSP Eligible Securities Account can enjoy up to HK$300 transaction fee reduction only. (v) If the Monthly Stocks Savings Plan contribution amount is paid by BOC Credit Card, the BOC Credit Card Gift Points will be calculated based on the number of consecutive months of contribution. 8 (ii) Funds MSP Eligible Customers are required to fully settle the subscription fee at the time of subscription every month. (iv) If a Funds MSP Eligible Customer has terminated a Monthly Funds Saving Plan of the same fund within the MSP Promotion Period, this offer will be forfeited. (v) Each Funds MSP Eligible Customer can enjoy up to HK$300 transaction fee reduction only. (vi) If the Monthly Funds Savings Plan contribution amount is paid by BOC Credit Card, the BOC Credit Card Gift Points will be converted at a rate of 1 : 1 (Each contribution HK$1 = 1 BOC Credit Card Gift Point). A maximum of 20,000 BOC Credit Card Gift Points can be earned for each monthly contribution. 8. Payroll Service Rewards: The promotion period is from 18 January 2016 to 31 March 2016 (both dates inclusive). ( Payroll Service Promotion Period ). To be eligible for Free Spending Credit, customers should maintain a valid HKD Savings Account or HKD Current Account (including sole-name or joint-name accounts) ( Payroll Account ) with BOCHK, and (i) Register for Payroll Service via any branch, Phone Banking or Internet Banking of BOCHK during the Payroll Service Promotion Period; and (ii) Start receiving salary by electronic payroll arrangement or single standing instruction (not including the standing instruction originating from BOCHK, Nanyang Commercial Bank and Chiyu Banking Corporation Limited) via Payroll Account within the next 2 calendar months from the date of payroll service registration, and maintain this arrangement until Free Spending Credit is credited by BOC Credit Card (International) Limited (the Card Company ) accordingly; and (iii) Have not registered for and/or taken up BOCHK s Payroll Service from 25 October 2015 to 17 January 2016 ( Eligible Customers of Payroll Service ). The details of the offer are as follows: Payroll Service Welcome Reward The amount of Free Spending Credit for Payroll Service Welcome Reward received by the Eligible

9 Customers of Payroll Service will be determined by the amount of first monthly salary received through the Payroll Account. For details, please refer to following table. Monthly Salary HK$10,000 or above i-free Banking Customer HK$100 Free Spending Credit for Payroll Service Welcome Reward will be credited to the valid BOC Credit Card Accounts held by the Eligible Customers of Payroll Service on or before 30 November The Eligible Customers of Payroll Service should still receive salary via the Payroll Account when Free Spending Credit for Welcome Reward is credited by the Card Company. Extra Payroll Loyalty Reward To enjoy Free Spending Credit for Extra Payroll Loyalty Reward, Eligible Customers of Payroll Service should receive salary via the Payroll Account by electronic payroll arrangement or single standing instruction (not including the standing instruction originating from BOCHK, Nanyang Commercial Bank and Chiyu Banking Corporation Limited) from the first payroll month and maintain this arrangement until Free Spending Credit is credited by the Card Company, and still holding i-free Banking. Monthly Salary HK$10,000 or above i-free Banking Customer HK$300 Free Spending Credit for Extra Payroll Loyalty Reward will be credited to the valid BOC Credit Card Accounts held by the Eligible Customers of Payroll Service on or before 31 July The Eligible Customers of Payroll Service should still receive salary via the Payroll Account when Free Spending Credit for Extra Payroll Loyalty Reward is credited by the Card Company. Salary refers to the basic monthly salary (excluding commission, bonus, double pay, repayment and/ or other funds) of which the amount should reach HK$10,000 or above. Electronic payroll arrangement refers to the customer s employer crediting the customer s salary to customer s Payroll Account through BOCHK s or other banks payroll system. Standing instruction, overseas remittance, local electronic transfer, cheque or cash deposit will not be considered as electronic payroll arrangement. BOCHK reserves the absolute right to define the terms of salary, electronic payroll arrangement and single standing instruction. Each Eligible Customer of Payroll Service can enjoy this offer once only. If an Eligible Customer of Payroll Service registers for more than one Payroll Account within the Payroll Service Promotion Period, the Eligible Customer of Payroll Service can only enjoy the offer once. If the Payroll Account is a joint account, the holders of such account will be considered as one customer and only one of the account holders will be entitled to this offer. If an Eligible Customer of Payroll Service does not maintain any valid BOC Credit Card when the

10 Free Spending Credit is credited by the Card Company, BOCHK will credit cash of equivalent value to the his/her non-dormant HKD Savings Account or HKD Current Account without prior notice. Payroll Service Rewards offer in limited quantities and will only be available while stocks last The above offers are not applicable to the staff of the BOCHK and its subsidiaries General Terms: The above offers are only applicable to personal banking customers. Customers can enjoy all the offers listed above simultaneously. However, these offers cannot be used in conjunction with other promotion offers that are not listed in this promotion material. Investment services is not applicable to customers aged below 18. Multi-Currency Savings Account is not applicable to customers aged below 16. The above Gift/ Coupons are limited and available on a first-come-first-serve basis while stock lasts. If the above Gift/ Coupons are out of stocks, BOCHK reserves the right to offer an alternative coupon/gift as a replacement. Risk of trading A shares via Shanghai-Hong Kong Stock Connect: Not protected by Investor Compensation Fund Investors should note that any Northbound trading under Shanghai-Hong Kong Stock Connect will not be covered by Hong Kong s Investor Compensation Fund. Also, China Securities Investor Protection Fund will not protect any Northbound trading as well. Quotas used up When the respective aggregate quota balance for Northbound trading is less than the daily quota, the corresponding buy orders will be suspended on the next trading day (sell orders will still be accepted) until

13 the aggregate quota balance returns to the daily quota level. Once the daily quota is used up, acceptance of the corresponding buy orders will also be immediately suspended and no further buy orders will be accepted for the remainder of the day. Buy orders which have been accepted will not be affected by the using up of the daily quota, while sell orders will be continued to be accepted. Depending on the aggregate quota balance situation, buying services will be resumed on the following trading day. Trading day difference As mentioned above, Shanghai-Hong Kong Stock Connect will only operate on days when both markets are open for trading and when banks in both markets are open on the corresponding settlement days. So it is possible that there are occasions when it is a normal trading day for the Mainland market but Hong Kong investors cannot carry out any A shares trading. Investors should take note of the days Shanghai-Hong Kong Stock Connect is open for business and decide according to their own risk tolerance capability whether or not to take on the risk of price fluctuations in A shares during the time when Shanghai-Hong Kong Stock Connect is not trading. Restrictions on selling imposed by front-end monitoring For investors who usually keep their A shares outside of their brokers, if they want to sell certain A shares they hold, they must transfer those A shares to the respective accounts of their brokers before the market opens on the day of selling (T day). If they fail to meet this deadline, they will not be able to sell those A shares on T day. The recalling of eligible stocks When a stock is recalled from the scope of eligible stocks for trading via Shanghai-Hong Kong Stock Connect for above-mentioned reasons, the stock can only be sold but restricted from being bought.
