1 360 Easy Payroll Services General Terms and Conditions: 1. Promotion Period is from 1 January 2018 to 30 June 2018 (both dates inclusive) ("Promotion Period"). 2. Dah Sing Octopus App Card refers to Dah Sing Octopus VIP App Card, Dah Sing Octopus YOU Banking App Card and Dah Sing Octopus i-account App Card. Dah Sing Bank, Limited (the "Bank")'s transaction records of Dah Sing Octopus App Card's Automatic Add Value Service ("AAVS") shall be final and conclusive. Any un-posted AAVS transactions will not be counted. 3. All offers (except for the 360 Easy Payroll Services Referral Reward Program) ( Referral Program ) are not applicable to the staff of Dah Sing Financial Holdings Limited, its subsidiaries and affiliates. Referral Program is not applicable to the frontline staff of the Bank. 4. All offers cannot be used in conjunction with the Bank s other promotional offers. 5. All offers are only applicable to primary account holder of the Payroll Account (please refer to Terms and Conditions No. 15 for definition of Payroll Account). Primary account holder refers to the Applicant mentioned in New Account(s) / Service(s) Application Form signed by the customer. For joint account, only the primary account holder is eligible for the offer. Besides, only those designated banking transactions (please refer to Terms and Conditions No.20) made by the primary account holder would be counted. 6. "Eligible Payroll Transaction" refers to customer s Net Basic Salary Amount (please refer to Terms and Conditions No.7 for definition of Net Basic Salary Amount) deposited to the Payroll Account (please refer to Terms and Conditions No. 15 for definition of Payroll Account) according to the Salary Credit Method selected during application of 360 Easy Payroll Services ("Payroll Services"). The actual payroll deposit per transaction shall not be lower than the designated payroll deposit amount. The minimum payroll deposit amount per transaction is HK$5,000 if the payroll deposit is made through autopay (automatic payment) ; while the minimum payroll deposit amount per transaction is HK$10,000 if the payroll deposit is made through standing instruction S.I. The date, the actual monthly Eligible Payroll Transaction amount being transferred to the Bank, actual payroll deposit method or other relevant information of the payroll transactions are subject to the Bank's record. In case of any disputes, the decision of the Bank shall be final and conclusive. 7. Net Basic Salary Amount refers to the salary amount after deducting contributions under Mandatory Provident Fund or recognized occupational retirement scheme, excluding any commission, extra allowance, overtime allowance, double pay, bonus, reimbursement, and / or other payment on top of the basic salary. 8. The relevant interest rates are for reference only and are not guaranteed. The Bank reserves the right to amend, suspend or withdraw the offers mentioned herein or amend these terms and conditions from time to time, without prior notice. In the case of any disputes, the decision of the Bank shall be final and conclusive. 9. For fees, charges, terms and conditions in relations to Account and other services, please refer to the Master Terms and Conditions and the Bank Service Charges of the Bank or contact Customer Service Officers of the Bank for details. 10. These terms and conditions shall be governed by and construed in accordance with the laws of Hong Kong SAR. 11. In the case of any discrepancy between the Chinese and English versions of this material, the Chinese version shall prevail. Terms and Conditions for 360 Easy Payroll Services Offers A. General Terms and Conditions 12. The offers for Payroll Services comprise the following promotional offers, which are subject to respective terms and conditions: Bonus Savings Interest Rate, Payroll Services Welcome Offer, Autopay Bill Payment Service Offer, Securities Services Welcome Offer, Credit Card Welcome Offer, Referral Program Reward, Online Appointment Reward and Online Application Reward. 13. Except for the Securities Services Welcome Offer, Credit Card Welcome Offer and Referral Program Reward, the offers set out in Terms and Conditions No. 12 are only applicable to New Payroll Customer defined as below ("New Payroll Customer"). And the relevant offers will only be valid after the New Payroll Customer's first Eligible Payroll Transaction has been recorded by the Bank. i. Must not have signed up for Payroll Services of the Bank from 1 Jan 2016 to 31 Dec 2017 (both dates inclusive);

2 ii. Must not have had any payroll deposit in any deposit accounts with the Bank from 1 Jan 2016 till the sign-up date for Payroll Services (both dates inclusive); and iii. Must sign up for Payroll Services and make Eligible Payroll Transaction during the Promotion Period. 14. New Payroll Customer must be the primary account holder of Payroll Account (please refer to Terms and Conditions No.15 for the definition of Payroll Account) and must be employed or retiree who is receiving pension on a regular basis (i.e. not applicable to self-employed persons, students, unemployed persons, retiree not receiving pension on a regular basis or housewives). 15. New Payroll Customer must sign up for Payroll Services during the Promotion Period and make payroll deposit in the HKD Current Account of VIP i-account / YOU i-account / i-account maintained with the Bank ("Payroll Account") through autopay (please refer to Terms and Conditions No.17 for definition of autopay), or transfer salary from deposit account under the same name of the customer maintained with other bank to the Payroll Account through S.I If any of the below situations has arisen in the customer s Payroll Account for 3 consecutive months, he/she will no longer be entitled to any offers (if applicable) without prior notice. (The offers will not be applicable even if the customer uses the related services again in the future.) (i) has not had any monthly Eligible Payroll Transactions record; or (ii) the payroll deposit amount per transaction is lower than HK$5,000 if the payroll deposit is made through autopay or the payroll deposit amount per transaction is lower than HK$10,000 if the payroll deposit is made through S.I.; or (iii) the payroll deposit method is different from the "Salary Credit Method" stated in the application form for Payroll Services. (If the customer wishes to change the salary credit method, he/she must notify the Bank immediately to update the relevant payroll record.) 17. Autopay (automatic payment arrangement) refers to the automatic payment arrangement pursuant to which customer's employer credits the customer's salary to customer's Payroll Account automatically as per the customer s instruction. Owing to the variation in the autopay services adopted by different employers, and so the final decision of autopay as salary credit method should be subject to the Bank s final transaction record. Cash deposit, cheque deposit and CHATS will not be accepted as autopay in relation to payroll payments. 18. The rewards for Payroll Services Welcome Offer, Autopay Bill Payment Service Offer, Credit Card Welcome Offer, Referral Program, Online Appointment Reward and Online Application Reward will be deposited to the customer s eligible Dah Sing principal credit card account in the form of Dah Sing credit card free spending credit ( free credit card spending ). The eligible Dah Sing credit card account must be valid and in good standing status at the time of free credit card spending being deposited. Free credit card spending to be rewarded by individual offer is also subject to respective Terms and Conditions. Free credit card spending will be used for payment of new transaction items of the respective credit card; it is not transferable, refundable or cannot be exchanged for cash. If the customer has more than 1 eligible Dah Sing principal credit card, the reward would be deposited to the principal credit card with the latest card issued date according to the Bank s record. If the customer does not have a valid Dah Sing credit card, he/she is required to successfully apply for a Dah Sing credit card and become the principal cardholder before the free credit card spending is being deposited, or else he/she will be regarded as forfeited the relevant rewards. B. Terms and Conditions for Bonus Savings Interest Rate: 19. New Payroll Customer can enjoy Bonus Savings Interest Rate until 31 Jul The Bank will not notify the customer by the end of the promotion period of Bonus Savings Interest Rate offer under Payroll Services promotion (if applicable). Bonus Savings Interest Rate is only applicable to the deposit in the Payroll Account. Interest is calculated daily on a simple interest basis and will be credited monthly. Interest will be credited to the Payroll Account in the subsequent month. For days fall on public holiday (including Sunday), Bonus Savings Interest would be calculated on the deposit amount as of the preceding working day. If the customer has not had any monthly Eligible Payroll Transaction in the Payroll Account for 3 consecutive months, the Bonus Savings Interest Rate will be terminated and normal savings rate of VIP i-account / YOU i-account / i-account will be applied to the Payroll Account without prior notice. For details of normal savings rate of VIP i-account / YOU i-account / i-account, please refer to the Bank's website, dahsing.com. 20. The Bonus Savings Interest Rate of New Payroll Customer will be offered according to the daily deposit amount in the Payroll Account and the transaction record(s) in that Payroll Account in the respective month. Customer can enjoy the offer only if the designated transaction(s) (including payroll transaction record) are recorded after the effective date of the Payroll Services. For details in relation to deposit

3 amount, please refer to Terms and Conditions No. 20(ii). The basic requirement is that New Payroll Customer must have Eligible Payroll Transaction record in the Payroll Account in the respective month. i. Except for transaction record of Type D, New Payroll Customer with any of the following types of transaction recorded in the Payroll Account will earn Bonus Savings Interest Rate based on the number of types used regardless of the number of transactions in each type. Customer can enjoy the Bonus Savings Interest Rate on a maximum of four out of six transaction types (A to F). Type of Transaction Record Type A: Execute at least one buy/sell transaction that reaches HK$50,000 or above via any transaction channels, excluding IPO application (can choose to use Payroll Account or the savings account under the same i-account as securities settlement account). Transaction amount refers to the gross transaction amount excluding brokerage and other relevant charges incurred. Type B: Dah Sing Octopus App Card s reload record with AAVS transaction (the posting date recorded shall be final); New Payroll Customer is required to activate the AAVS in respect of his / her Dah Sing Octopus App Card and designate the Payroll Account as the AAVS Account. Type C: Bill payment transaction with single transaction amount of HK$500 or above is recorded (only applicable to designating Payroll Account as debit account and autopay instruction being set up at the Bank s branch and bill payment through PayEasy Bill Payment, Fund Transfer within Dah Sing Bank (only applicable to fund transfer to Dah Sing credit card or cash card) or Settle Dah Sing Bank Payment via either Dah Sing e-banking or Mobile Banking). Type D: Retail spending transaction record with total transaction amount of HK$3,000 or above made by the principal cardholders and supplementary cardholders of Dah Sing credit card, but this is not applicable to other transactions including but not limited to balance transfer amount, bank handling fee (include but not limited to annual fee, financial charges, late charge, service fee for cash advance, etc.) during the month. Any unposted, cancelled, reversal or unauthorized transactions would not be counted as well. Transactions made by the supplementary cardholders would be counted towards the principal cardholders. Type E: Purchases transaction record with total transaction amount of HK$3,000 or above made by Dah Sing ATM Card via EPS or UnionPay network. Eligible Transaction refers to the purchases made by the ATM Cardholder (can choose to use Payroll Account or the savings account under the same i-account as the debit account). Any unposted, cancelled, reversal or unauthorized transactions would not be counted as well. Type F: Execute at least one foreign exchange transaction that reaches HK$50,000 or above via any transaction channels (can choose to use Payroll Account or the savings account under the same i-account as foreign exchange account), excluding notes exchange or issuance of Demand Draft Bonus Savings Interest Rate (p.a.) Via S.I. 0.2% for each transaction type, earn up to 0.8% on a maximum of four transaction types Via Autopay 0.25% for each transaction type, earn up to 1% on a maximum of four transaction types Customer can enjoy the Bonus Savings Interest Rate on a maximum of four out of the above-mentioned six transaction types (A to F). Example: If a New Payroll Customer who is the primary account holder for a VIP i-account, uses Payroll Services in Jan 2018 and has Eligible Payroll Transaction record made through autopay (automatic payment arrangement) and completed a total of 6 different transaction types (one for each of transaction types A to F); the Bonus Savings Interest Rate for deposit amount in Payroll Account of HK$900,000 is 2% p.a. in that month. Including a 1% Bonus Savings Interest Rate to which customer is entitled to by completing the eligible payroll transactions, and another 1% (0.25% x 4 transaction types = 1%) Bonus Savings Interest Rate to which customer is entitled to by completing the

4 eligible transaction types. Even if customer has completed a total of 6 different transaction types (one for each of transaction types A to F), he or she can enjoy the bonus savings interest rate for only a maximum of four of them. The transactions record of Type B and Type D would be counted according to the Bank s record and the posting date; while the rest of the transactions would be counted according to the date of transaction. Any unposted, cancelled, reversed or unauthorized transactions would not be counted. The calculation of Eligible Transactions will be based on the transaction amount in Hong Kong dollars or equivalent (if applicable) unless otherwise specified by the Bank. The currency conversion will be effected at the prevailing rate determined by the Bank on the day of the conversion. There may be a discrepancy in the currency conversion rate between the time of calculation of Eligible Transactions and the execution time of the Eligible Transaction and the Bank shall not be liable for any loss caused by such discrepancy. In case of any disputes, the decision of the Bank shall be final and conclusive. ii. Payroll Account with deposit amount of HK$100,000 or above can enjoy the Bonus Savings Interest Rate (p.a.) as follows, subject to a maximum Bonus Savings Interest per month of HK$1,500. For the part related to with income proof provided under Payroll deposit is made through Standing Instruction (S.I.) section refer to the latest 3 month s income proof provided by customers (Such as Bank Statement or Passbook showing your salary, payroll slip or latest tax demand note) and it must be submitted in person to the relevant branch upon application for the Payroll Services or during the promotion period, during the month of which the Bonus Savings Deposit Interest Rate will become effective. The income proof is required to be submitted once only. a. (without providing income proof) Designated HK$100,000 or above to below Transaction Record(s) HK$800,000 in the respective month Deposit amount HK$800,000 or above Payroll only 0.5% 0.7% Payroll plus any 1 type of Type A, B, C, D, E or F 0.7% 0.9% Payroll plus any 2 types of 0.9% 1.1% Payroll plus any 3 types of 1.1% 1.3% Payroll plus any 4 types of 1.3% 1.5% Example: If a New Payroll Customer who is the primary account holder for a VIP i-account, uses Payroll Services in Jan 2018 and has Eligible Payroll Transaction record made through autopay (automatic payment arrangement), buy transaction record of HK$50,000 executed via Mobile Securities Easy Trade Platform, Dah Sing Octopus VIP App Card's AAVS transaction record, autopay of bill payment transaction record with an amount of HK$500 and made a single retail transaction amount of HK$3,000 by Dah Sing credit card; the Bonus Savings Interest Rate for deposit amount of HK$900,000 is 2% p.a. in that month. Subsequently, if that customer only has Eligible Payroll Transaction record and Dah Sing Octopus VIP App Card's AAVS transaction record in Feb 2018, but without any other designated banking transaction record, the Bonus Savings Interest Rate for deposit amount of HK$100,000 is 1.05% p.a. in that month. 21. Customer must maintain Payroll Services in the Payroll Account at the time of the Bonus Savings Interest being credited. Otherwise, the customer is forfeited the right to redeem the Bonus Savings Interest. The amount of Bonus Savings Interest is subject to the account type and the salary credit method of customer on the last working day of the posting month with the transaction record(s). In case of any disputes, the decision of the Bank shall be final and conclusive. 22. The bonus interest is calculated on the basis of 365 days in a year (for both ordinary year & leap year). C. Terms and Conditions for Payroll Services Welcome Offer 23. New Payroll Customer who has Eligible Payroll Transaction records for 2 consecutive months within 3 months after signing up for Payroll Services can enjoy up to HK$1,000 free credit card spending. 6 24. Each New Payroll Customer and each Payroll Account can only enjoy the offer once. If the actual monthly Eligible Payroll Transaction amount of the New Payroll Customer deviates from month to month, the free credit card spending will be calculated according to the customer's lowest actual monthly Eligible Payroll Transaction amount in the first 2 consecutive months. The amount of free credit card spending is subject to the account type of customer on the last working day of the month fulfilling the eligibility requirement. In case of any disputes, the decision of the Bank shall be final and conclusive. 25. The free credit card spending will be deposited to the New Payroll Customer s eligible Dah Sing principal credit card account (please refer to Terms and Conditions No.18 for definition of eligible Dah Sing credit card) within 3 months after he/she has fulfilled the relevant criteria. Customer must maintain an eligible Dah Sing credit card, a valid payroll account and maintain Payroll Services in the Payroll Account at the time of free credit card spending being deposited. Otherwise, the customer is forfeited the right to redeem the free credit card spending. Customer is required to return the relevant free credit card spending to the Bank if he / she ceases to use Payroll Services within 6 months after signing up for Payroll Services. The Bank reserves the right to debit the relevant free credit card spending from the Payroll Account without prior notice. D. Terms and Conditions for Autopay Bill Payment Service Offer: 26. Autopay Bill Payment Service Offer is only applicable to New Payroll Customer who sets up a new autopay instruction for bill payment and makes bill payment successfully. Each New Payroll Customer and each Payroll Account can enjoy a maximum of HK$1,000 free credit card spending. The definition of Eligible Autopay Instruction refers to the following: An autopay instruction which has no set-up and/or debit record in the Bank within 6 months prior to the set-up of such autopay instruction; New Payroll Customer set up such autopay instruction within 3 months upon signing up for Payroll Services in such Payroll Account ( Autopay Instruction Set-up Date); and Customer must make at least one successful bill payment transaction for paying bill amount of HK$500 or above (in a single transaction) using such autopay instruction within 3 months after Autopay Instruction Set-up Date. 27. The amount of free credit card spending is subject to the number of Eligible Autopay Instruction newly set up for each merchant and the free credit card spending amount per instruction is HK$100, capped at HK$1,000. For example, if a customer set up the autopay bill payment for settling the bill of various Dah Sing credit cards, it would be regarded as one merchant. 28. Free credit card spending will be credited to the New Payroll Customer s eligible Dah Sing principal credit card account (please refer to Terms and Conditions No.18 for definition of eligible Dah Sing credit card) within 3 months after he/she has fulfilled relevant criteria. Customer must maintain an eligible Dah Sing credit card, a valid payroll account and maintain Payroll Services and autopay bill payment service in the Payroll Account at the time of free credit card spending being credited. Customer is required to return the free credit card spending to the Bank if he / she ceases to use Payroll Services and / or cancels the autopay instruction within 6 months after set-up of the autopay instruction. The Bank reserves the right to debit the relevant free credit card spending from the Payroll Account without prior notice. E. Terms and Conditions for Online Appointment Reward and Online Application Reward: 29. The Online Appointment Reward of HK$200 free credit card spending is applicable to the New Payroll Customer without any integrated accounts of the Bank and who successfully submits "Online Appointment for YOU Banking online appointment form through the Bank's website (dahsing.com) or the Bank's mobile application and successfully applies for the Bank's Payroll Services and YOU i-account at any branches of the Bank during the Promotion Period and he/she has the first Eligible Payroll Transaction record within 2 months from the effective date of Payroll Services. 30. The Bank will contact the customer within 3 working days after receipt of the online appointment according to the contact information provided to arrange for sign up for Payroll Services at the Bank's branch. 31. The Online Application Reward of HK$200 free credit card spending is only applicable to existing customers of VIP i-account / YOU i-account / i-account who fulfill the Bank s criteria and successfully apply for the Bank's Payroll Services through login to Dah Sing e-banking from the Bank's website (dahsing.com) or the Bank's mobile application during the Promotion Period and he/she has the first Eligible Payroll Transaction record within 2 months from the effective date of Payroll Services. For details, please contact the Bank s staff. 32. Each New Payroll Customer and each payroll account can enjoy the offer once.

The Online Appointment Reward and the Online Application Reward will be credited to the New Payroll Customer s eligible Dah Sing principal credit card account (please refer to Terms and Conditions No.18 for definition of eligible Dah Sing credit card) within 3 months after he/she has the first Eligible Payroll Transaction record within 2 months from the effective date of Payroll Services. Customer must maintain an eligible Dah Sing credit card, a valid payroll account and maintain Payroll Services at the time of free credit card spending being credited. Customer is required to return the free credit card spending to the Bank if he / she ceases to use Payroll Services within 6 months after signing up for Payroll Services. The Bank reserves the right to debit the relevant free credit card spending from the Payroll Account without prior notice. F. Terms and Conditions for 360 Easy Payroll Services Referral Reward Program: 34. Free credit card spending of HK$200 will be offered to the Bank's existing customer (please refer to Terms and Conditions No.35i for the definition of the Bank s existing customer) who successfully refers a New-To- Deposit Customer (please refer to Terms and Conditions No.35iv for the definition of New-To-Deposit Customer) during the Promotion Period ( Referrer ). The maximum amount of free credit card spending that the Referrer can enjoy during the promotion period is HK$3, When Referrer and Referee have fulfilled all the designated requirements ( Successful Referral ), Referrer will be entitled to the related Referral Reward. i. Referrer must be an existing customer of the Bank, who has any deposit account maintained with the Bank; ii. Referrer registers for the Referral Program with his/her Eligible Deposit Account through during the Referral Period; iii. After successful registration, Referrer will receive a unique referral application link through ("Referral Link") within 24 hours and to share the Referral Link to others ("Referee") within the Promotion Period. Re-register if Referrer cannot receive the Referral Link after 24 hours; iv. Referee must be a New-To-Deposit Customer, who did not hold any deposit account with the Bank one month prior to enrolling Payroll Services and Referee successfully makes an online appointment through Referral Link and opens a VIP i-account/ YOU i-account/ i-account ( Integrated Account ) and enrolls Payroll Services with Eligible Payroll Transaction within 3 months after signing up for Payroll Services during the Promotion Period ( Successful Account(s) Opened ). 36. Each Referrer only needs to register once during the Promotion Period. 37. Referrer and Referee must be 2 discrete individuals, i.e. cannot be the same person. 38. Every Referee can only be referred by one referrer, if any Referee who makes online appointment for integrated Account and Payroll Services opening has more than one Referral Link, the referrer first registered by such Referee will be entitled to the Referral Reward. The registration records of the Bank shall be final and conclusive. 39. The Bank will not take any responsibility for the sharing action of this Referral Program taken by the Referrer. 40. Account opening of the Referee is a confidential procedure; the Bank will not disclose any information to the Referrer. 41. Eligible Deposit Account refers to any of the Referrer s deposit accounts that he / she maintains with the Bank in the capacity as primary account holder. 42. Free credit card spending will be credited to the Referrer's eligible Dah Sing principal credit card account (please refer to Terms and Conditions No.18 for definition of eligible Dah Sing credit card) within 3 months after the New-To-Deposit Customer has fulfilled the relevant criteria. 43. Referrer must maintain an eligible Dah Sing credit card at the time the free credit card spending is credited, or he/she is forfeited the eligibility for the free credit card spending. 44. The Bank will contact the referrer through the contact details the referrer provided for the registration. The Referral Code and Referral Link will be sent to the address of the Referrer. Please make sure that the address of the Referrer is correct and valid. 45. If Referee does not provide the Referral Code, or provides an incorrect / invalid Referral Code to the Bank, the Referrer will not enjoy any Referral Reward. 46. The above personal data collected are for this Referral Program's customer identity verification, contact and communication purposes only. The personal data collected will not be used to update the Bank's records and such personal data will be destroyed within 1 year after the end of the Referral Program. Referrer should read the "Disclaimer and Privacy Policy Statement" and "Notice to Customers relating to Customers' Data" before submission.

8 G. Terms and Conditions for Securities Services Welcome Offer: 47. For details of the Securities Services Welcome Offer, please refer to the relevant promotional materials for Securities Services & VIP Banking. H. Terms and Conditions for Credit Card Welcome Offer: 48. For details of the Credit Card Welcome Offer, please refer to the relevant promotional materials. I.
