4 Agenda Items: BOARD OF TRUSTEES / AGENDA ITEM SUMMARY Date of Meeting: November 26, 2018 Subject: Presented By: 7A-G Orders through and Resolutions through Proposed Budget Orders Carrie Lewis The Administration and Finance, Operations and Planning Committees reviewed the 2019 Budget and CIP for which they have jurisdiction. Below are the recommended motions to be considered at the regular meeting. The proposed motion accepts the 2019 budget and authorizes billing the municipalities for wastewater and billing services. Order ORDERED, that the 2019 Budget and Wastewater Assessments as presented by the General Manager are accepted and adopted and shall be filed with the minutes of this meeting; and pursuant to Section 12 of the District s Charter, to assess for 2019 the participating municipalities for wastewater related costs as follows: Town of Cape Elizabeth Town of Cumberland Town of Falmouth Town of Gorham City of Portland City of Westbrook Town of Windham $ 1,572, , ,112 1,133,436 12,616,080 2,539, ,768 and to assess non-participating municipal corporations for billing-related costs as follows: City of South Portland Scarborough Sanitary District $ 201,132 11,256

5 The motion accepts the proposed capital improvement plan and authorizes staff to implement the 2019 projects within the restrictions stated below and in compliance with the purchasing policy guidelines. Order ORDERED, that the Capital Improvement Plan is hereby adopted and the General Manager is authorized to solicit bids or proposals for the year 2019 projects and to authorize the General Manager to award contracts for approved projects to the lowest bidder if the bid is within the project budget; BE IT FURTHER ORDERED, that the General Manager shall solicit bids or proposals and to partner with Municipalities, MDOT and Developers for the year 2019 for the replacement and extension of water mains, services, valves and hydrants as outlined in the Water Distribution Systems Upgrades Program and to authorize the General Manager to award and enter into contracts if the bid or partnering proposals are within the overall program budget. Before approving a water rate adjustment, staff will provide additional information for the Board s consideration. Additionally, if the Board decides a rate adjustment is necessary, public notice will be provided to all customers and a public hearing will be held. Order ORDERED, that the Board of Trustees directs the General Manager and Treasurer to undertake the preliminary steps necessary to prepare a rate adjustment of approximately 4.4% for further Board consideration.

6 In compliance with Internal Revenue Service (IRS) regulation, an intent to borrow motion must be approved by the Board before expenditures are incurred on a project that may be financed with tax-exempt financing. Resolutions to are intent to borrow motions for each fund. Before a bond is actually authorized or issued, a public hearing will be held. Subsequent to the hearing, the Board will consider authorizing the bond. 7 Resolution DECLARATION OF OFFICIAL INTENT PURSUANT TO TREASURY REGULATION (Water Fund) WHEREAS, the Portland Water District (the Issuer ) intends to proceed with the projects described in section 2 below (the Projects ); and WHEREAS, the Issuer intends to finance some or all of the costs of the Projects through the issuance of bonds or notes in anticipation thereof; and WHEREAS, the Issuer may incur certain of the costs of the Projects prior to the issuance of such notes or bonds and the Issuer expects to be reimbursed from the proceeds thereof; and WHEREAS, Treasury Regulation requires that the Issuer declare its official intent to reimburse itself for such expenditures with the proceeds of such notes or bonds. NOW, THEREFORE, the Issuer does hereby declare its official intent as follows: 1. Declaration of Intent. The Issuer reasonably expects to reimburse itself for expenditures made on the Projects with the proceeds of bonds or notes in anticipation thereof to be issued by the Issuer to finance the costs of the Projects in the maximum principal amount of $13,975, General Description of Property to which Reimbursement Relates. The following is a reasonably accurate general functional description of the type and use of the property with respect to which reimbursements will be made: Construction or installation of new water mains, valves, hydrants, services and meters; Acquisition of vehicles, leak detection and related equipment; Renovation of various water facilities; Acquisition and installation of various computer-related equipment; Building improvements at the Douglass Street facilities; and Construction of new 407 zone pump tank and related infrastructure. 3. Public Availability of Official Intent. This Declaration of Official Intent shall be maintained as a public record of the Issuer. 4. Treasury Regulations. This is a declaration of official intent pursuant to the requirements of Treasury Regulations Authority for Declaration. This declaration is adopted pursuant to the following action of the Issuer: Resolution adopted by the Portland Water District Board of Trustees.

Public Availability of Official Intent. This Declaration of Official Intent shall be maintained as a public record of the Issuer. 4. Treasury Regulations. This is a declaration of official intent pursuant to the requirements of Treasury Regulations Authority for Declaration. The following is a reasonably accurate general functional description of the type and use of the property located in the City of Portland with respect to which reimbursements will be made: Renovation and repair of equipment and facilities at the East End Treatment Plant, including projects related to the primary clarifier, nitrogen monitoring, heating, back-up power and SCADA systems; Renovation and repair of equipment and facilities at the Peaks Island Treatment Plant, including compress air system; and Replacement of equipment at various pump stations, including Stroudwater and Baxter Boulevard Pump Stations. 3. Public Availability of Official Intent. This Declaration of Official Intent shall be maintained as a public record of the Issuer. 4. Treasury Regulations. This is a declaration of official intent pursuant to the requirements of Treasury Regulations Authority for Declaration. This declaration is adopted pursuant to the following action of the Issuer: Resolution adopted by the Portland Water District Board of Trustees.

The following is a reasonably accurate general functional description of the type and use of the property located in the City of Westbrook with respect to which reimbursements will be made: Replacement of screen on various other CSO structures, and Renovation and repair of equipment and facilities at the Westbrook Regional Treatment Plant, including aeration, secondary clarifier, dewatered sludge cake discharge, sludge storage odor control, polymer and plant wiring projects, and Depot Street pump station, located in Windham, and related infrastructure. 3. Public Availability of Official Intent. This Declaration of Official Intent shall be maintained as a public record of the Issuer. 4. Treasury Regulations. This is a declaration of official intent pursuant to the requirements of Treasury Regulations Authority for Declaration. 11 BOARD OF TRUSTEES / AGENDA ITEM SUMMARY Agenda Item: 7H Order Date of Meeting: November 26, 2018 Subject: Presented By: 2019 Pension Adjustment David Kane, Director of Administrative Services RECOMMENDATION The following proposed language is presented for Board of Trustee approval: ORDERED, effective January 1, 2019 an adjustment of 1.30% in pension benefits is authorized for eligible retirees and annuitants in accordance with Article X of the District s pension plans. BACKGROUND Since 1989, the Board of Trustees has authority to grant an annual adjustment in pension benefits equal of one-half of the previous year s consumer price index (CPI) increase up to a maximum of 5%. The adjustment is not automatic; it is subject to the Board s approval each year. The table below indicates increases given since 2009: : 50% of CPI 2009: Eligible for 2.41%, no increase granted 2010: CPI negative, no increase granted 2011: Eligible for 1.14%, no increase granted 2012: 50% of CPI, 1.61% 2013: 50% of CPI, 1.20% 2014: 50% of CPI, 0.72% 2015: 50% of CPI, 0.82% 2016: CPI negative, no increase granted % of CPI, 0.36% % of CPI, 1.03% % of CPS, 1.30% (Proposed) The CPI average for 2018 (November 2017 to October 2018) increased 2.60% (estimated; final number will be available in mid-november) over the 2017 average. Therefore, pension benefits for eligible retirees and beneficiaries could increase 1.30%. The impact of providing the adjustment would be approximately $1,554 per month, and would bring the pension payments total to approximately $125,500, per month for 141 pensioners and beneficiaries. Retirees eligible for an increase are pensioners receiving a pension as of January 1, of 2

12 ALTERNATIVES CONSIDERED The increase is discretionary and no increase is necessary. The Board could grant any increase up to 1.30%, which is 50% of the consumer price index. FISCAL REVIEW / FUNDING The last actuary study was done as of May 1, At the time, the District s unfunded pension liability was $3,477,498. The proposed change increases the pension liability by an estimated $126,000. LEGAL REVIEW Corporate Counsel reviewed the proposed motion and approved it as to form. 13 BOARD OF TRUSTEES / AGENDA ITEM SUMMARY Agenda Item: 7I Order Date of Meeting: November 26, 2018 Subject: Non-Union Salary Range and Market Adjustments Presented By: Mary Demers, Director of Employee Services RECOMMENDATION The following proposed language is presented for Board of Trustee approval: ORDERED, the Non-Union Salary Structure, in substantial form as attached hereto, is hereby adopted to become effective January 1, BACKGROUND ANALYSIS The Board adopted the current policy on non-union compensation in The policy requires a periodic review of the salary structure to ensure that the District s salary ranges are competitive with the regional and industry markets. Additionally, it requires that specific positions are reviewed to ensure they are placed in the appropriate pay band. The salary structure was last reviewed in December 2016 based on a salary survey conducted that year. It has been two years since the pay scales have been revised. While the District s seven pay bands have been wide enough to accommodate performance pay changes over the past two years, based on this annual guidance, it is now time to adjust the entire scale by 6% to reflect market changes since This affects only the pay scale, not employee compensation. Changes would affect entry level, midpoint and maximum pay for a position. Don Tyler of Human Resource Partners, LLC reviewed the District s salary structure in comparison to data from the American Water Works Association, Business and Legal Resources Survey representing southern Maine, Maine Municipal Survey of communities in the Greater Portland labor market, and Bureau of Labor statistics for the Greater Portland area. Using comprehensive national survey data on compensation planning and practices, supplemented by data reported by clients and/or participants in recent surveys, Human Resource Partners, LLC concludes that salary increases have remained at 3%. For the District, this means that since we last updated our non-union compensation structure effective 1/1/17, the average salary for executive and professional/managerial levels was 3% in 2017 and 2018, and it is projected that it will remain at 3% for Based on this review, our positioning does suggest the increase of 6% is appropriate to maintain the structural integrity of our plan. 1 of 2

14 FISCAL REVIEW / FUNDING Adoption of the revised salary structure will not have the effect of increasing employee compensation at this time; it will simply change the pay range allowable for each position. LEGAL REVIEW Corporate Counsel reviewed the proposed motion and approved it as to form. CONCLUSION Staff recommends approval of this Order. The Administration and Finance Committee reviewed at their November 13, 2018 meeting and voted to forward to the full Board for its consideration. Tyler, Principal & Executive Vice President Human Resource Partners, LLC DATE: August 31, 2018 SUBJECT: Annual Market Analysis Union Pay Plan I am pleased to present this compensation study update and market analysis for Portland Water District. For this study, we obtained current and relevant salary structure and pay information from a variety of survey sources in addition to conducting our comprehensive survey. Our objective in this report is to provide you with information and recommendations which will ensure the District s ability to attract, retain, and reward qualified staff during the coming year. Salary data reported in this study is supplemented by information from our client files and reflects general economic trends in relevant market sectors. I. MARKET AND ECONOMIC TRENDS AND PRACTICES The following information is from a comprehensive national survey on compensation planning and practices, representing approximately 4,300 employers nationwide. It is supplemented with data that has been reported to us by clients or by participants in recent surveys conducted by Human Resource Partners, LLC.
