C Meeting Date: December 13, 2017 TOWN OF MORAGA STAFF REPORT_ To: Honorable Mayor and Councilmembers From: Michelle Marchetta Kenyon, Town Attorney Subject: Consider Resolution Approving Employment Agreement for Interim Town Manager Services between Town of Moraga and James Holgersson Request Consider a Resolution approving an Employment Agreement for Interim Town Manager services between the Town of Moraga and James Holgersson. Background Town Manager Robert Priebe will be retiring effective December 17, The Council is now considering appointment of an Interim Town Manager until a permanent Town Manager is hired by the Council. Following interviews with several candidates for the position of Interim Town Manager, the Council directed that an item be placed on the agenda to authorize the retention of James Holgersson as its Interim Town Manager. The attached Resolution approves an Employment Agreement for Interim Town Manager Services with James Holgersson and would authorize the retention of Mr. Holgersson to perform Interim Town Manager Services for the Town beginning December 17, Mr. Holgersson has both the professional experience and availability to assist the Town as its Interim Town Manager. Mr. Holgersson has over 40 years of experience in government management. He has served as the City Manager and Interim City Manager for the City of Modesto; Deputy City Manager Neighborhoods for the City of San Jose; City Manager for the City of Arlington, Texas; City Manager for the City of Waco, Texas; City Manager for the City of Kalamazoo, Michigan; City Administrator for the City of Germantown, Tennessee; and Senior Assistant to the City Administrator of the City of Davenport, Iowa. 1

2 Fiscal Impact The rate of pay for James Holgersson will be $ per hour. This equates to the total hourly cost for the current Town Manager. Mr. Holgersson shall not receive any benefits the Town commonly provides to its employees, such as health, dental, vision insurance coverage, life insurance, employee assistance programs, and similar benefits, nor shall Mr. Holgersson be provided or accrue any vacation, sick leave, administrative leave, paid holidays or similar leave benefits. 4 BEFORE THE TOWN COUNCIL OF THE TOWN OF MORAGA In the Matter of: Approving Employment Agreement for Interim Town Manager Services between Town of Moraga and James Holgersson ) ) ) Resolution No WHEREAS, the Town Council wishes to enter into an Employment Agreement with James Holgersson to perform the duties of Interim Town Manager; and WHEREAS, James Holgersson possesses the skills and expertise necessary to perform these services. NOW, THEREFORE, BE IT RESOLVED by the Town Council of the Town of Moraga that the Town Council authorizes and approves the Employment Agreement for Interim Town Manager Services between the Town of Moraga and James Holgersson ( Interim Town Manager Agreement ) attached hereto as Exhibit A. BE IT FURTHER RESOLVED that the Mayor is authorized and directed to execute the Interim Town Manager Agreement for and on behalf of the Town of Moraga. 14 Holgersson Resume Through Jim's professional career his life time goal has been to make a positive difference in peoples' lives by being part of leading and developing a successful organization that creates opportunities for its residents and provides effective services that enhance the quality of life. Experience Modesto City Manager (December March 2017) Hired as City Manager by the City Council to continue to lead the organization in implementing Council directive and policy. Restructured and re-established the Management team as well as realigned the organizations service delivery. Established the beginnings of performance budgeting and enhanced the financial condition of the City as indicated with an upgrade to AA by the bond rating agencies. Continuous improvement enhanced by aggressive internal audit and assessment identified areas of improvement. Expanded partnerships with the County, surrounding cities, Modesto Irrigation District, Chamber and Opportunity Stanislaus, non-profits and agencies, neighborhoods and faith community. One of our leading initiatives is the Focus on Prevention aimed at reducing homelessness. Established a greater focus on economic development and worked with the development community to improve the city's development process and be better positioned to market Modesto and seize opportunities. Promoted and supported efforts to build the Downtown including the establishment of the Downtown Leadership Group. Management Partners, Modesto Interim City Manager (May 2014-December 2014) Responsible for implementing Council Policy and leading a full service, 1100 employee organization through the development and implementation of a Council approved Strategic Plan. Initiated the rebuilding of the Management team and organization. Initiated financial strategies for improving the fiscal sustainability of the City. Developed and enhanced relationships with the different sectors of the community as part of building community capacity to supplement City resources aimed at improving the quality of life. 15 Holgersson Resume Waters Consulting Group, Director Business Development Senior Consultant (Transition period October May 2012; Employment June April 2013 ) On commission, performs executive recruitment, business development and assisted in the development of a management characteristics, style and traits assessment tool to help clients get the "right fit" for their organization. The highlight recruitment was working with the Charlotte City Council in the selection of a new City Manager. Arlington, Texas, City Manager (June 2005-October 2011) Population 365,000 Responsible for implementing Council policy and leading a full service, 2400 employee organization with the implementation of effective strategies that deliver excellent services to the community. Development and implementation of economic and redevelopment strategies including the downtown, Dallas Cowboy Stadium, University/City partnership in building an Event Center, housing and commercial development, tourism including working with the Texas Ranger Baseball Stadium, Six Flags, attracting the International Bowling Headquarters and neighborhood development. Initiating and developing a Strong Neighborhood program, forming partnerships and building neighborhood organizations as well as working to change service delivery to be more "neighborhood centric". Updated the comprehensive plan, created six Council adopted major priority strategic action plans. Working with the Chamber of Commerce, business leaders and the community developed a Council adopted the "Champion Arlington" economic development strategy. Established a Strategic Performance Plan, economic forecast model and performance based budget that assisted in navigating through the 4 year "economic tsunami". Established environmental strategies and practices focused on sustaining our environment. Developed programs for enhancing employee development, performance and succession including a supervisor and Management Academy. Established an Innovation Team to develop new ideas and approached to service delivery. Established an interdepartmental innovation team to develop new service models. San Jose, California, Deputy City Manager Neighborhoods (May 2000-May 2005) Population 937,000 Responsible for implementing City Council policy at the direction of and in support of the City Manager in a full service City with 6,700 employees. Led the "Building Strong Neighborhood" initiative connecting residents to city services through a neighborhood focused service delivery approach. Supported the City Manager in the implementation of Council policy priorities such as affordable housing, education, community policing, Getting Families Back to Work, All Children Achieve Health Care Initiative, and provided general strategic support, organizational development and budget support. 3

16 Holgersson Resume On behalf of City Manager, worked with elected officials in their Districts and neighborhoods as well as staffed the Council Strong Neighborhoods and All Children Achieve committees. Led/supported the further development of the City's performance based budget with a specific focus on three areas of City Service including Economic and Neighborhood Development, Recreation and Culture and Environment and Utilities. Work with the Redevelopment Agency on neighborhood development, downtown development and redevelopment. Partnerships with schools on City/School/non-profit facility and program sharing. Rapoport Foundation, Waco, Texas, Executive Director ( ) Chief Executive role in working with the private Board in the development of programs that benefited children and families with a special focus on Waco. Developed and supported community projects and programs forming partnerships with City, school and community. Facilitated the development of programs in support of families in such areas as education, health care, literacy, shelter and other quality of life support. Partnered with the School District in the creation and operation of an early childhood pre-k program covering youth ages 0-5. Expanded the "Waco 1000" literacy program to help parents and children learn to read using 1000 volunteers. Waco, Texas, City Manager ( ) Population 103,000 Responsible to the Council for implementing policy and managing the delivery of services for a full service City with 1,200 employees. Led economic development initiatives in the downtown and throughout the City in partnership with the Waco Business League, Chamber, County and private sector. Successful examples include a downtown entertainment area, Caterpillar, downtown convention hotel, river front development and neighborhood development, securing an enterprise zone Federal designation. Developed a neighborhood program developing partnerships and assisting neighborhoods in forming organizations. Developed long range capital programs and an organizational performance based program. Initiated a skilled based compensation plan that promoted and rewarded education and training as part of employee performance and career development. Led an organizational development program focused on management and supervision focused on driving a result orientated organization. 4

17 Holgersson Resume Kalamazoo, Michigan, City Manager ( ) Population 90,000) Responsible to Council for policy development and strategic implementation. Manage nine hundred employees in a full service city, providing the effective and efficient delivery of services. Led City economic development strategies and initiatives working in partnership with the CEO (business lead private organization), County, schools and community in the attraction and retention of business. Development of a partnership of business, University/College, health care, County, philanthropic interests and the State the create a three block development known as Arcadia Creek. Worked with the business community in the sale of the City Convention/Hotel complex to a private sector partnership. Partnered with the Upjohn Corporation and EPA in resolving a landfill closure. Partnered with the University, County and business community in the creation of a research park. Developed performance based budget and long range capital planning strategy. Built on a neighborhood focused service delivery model while assisting and promoting the growth of neighborhood organizations. Provided labor negotiation support. Led organizational development initiatives focused on improving performance. Germantown, Tennessee, City Administrator ( ) Population 40,000 Responsible to the Council for implementing policy and providing leadership in managing 250 employees in delivering effective and efficient services to the community. Developed comprehensive planning and long range fiscal impact studies as part of managing the growth of a fast growing residential and rural community. Developed and implemented long range budget and capital planning processes and systems. Created a performance based structure and environment connecting Council priorities and goals with organizational and individual performance and pay. Partnered with the schools in the development of joint facilities and capital planning Davenport, Iowa, Senior Assistant to the City Administrator ( ) Population 103,000 Assisted in the development of the budget and personnel systems. Provided labor negotiation support. Support the City Administrator in economic development, downtown development and river front development. Served as interim Transit Director. Provided management support to all service departments including Police, Public Works, Transit, Parks, Library, Parking, Finance, planning and community development. Represented and supported the City Administrator in support of Council members and the Council Committees. Supported the City Administrator with organizational development efforts. 5
