5 RAJASTHAN STATE GANGANAGAR SUGAR MILLS LTD. JAIPUR. GENERAL TERMS AND CODITIONS OF TENDER FOR APPOINTMENT OF ADVERTISING AGENCIES. 1. The tenderer shall have to carefully study and understand the conditions. If he has any doubt about the meaning of any terms, conditions etc. He should refer to Officer-in-Charge and get clarification. The decision of the Company regarding interpretation of the conditions shall be final and binding on the tenderers. 2. Tenders should be filled in with ink. No tender filled in by pencil or otherwise shall be considered. No addition and alteration should be made in the tender. No overwriting should be done. Corrections, if any, should be done clearly and should be authenticated by initials. 3. Quotation must be submitted in properly sealed envelope according to the directions given in the tender notice and must reach this office in time and date as notified. Envelope must be inscribed with the subject of tender and name of tenderer. 4. Tenderers are hereby explicitly warned that individuals signing the tender must specify as follows:- (a) Whether signing as Sole proprietor of the firm? (b) Whether signing as registered active partner of the firm? (c) In case of Companies and registered firms, whether signing as Secretary, Manager, Partner, Director etc. will submit an authorization from the Company to do this. A copy of any document under which such authority is given should be forwarded with the tender. 5. If a tenderer imposes conditions which are in addition to or in conflict with the conditions mentioned herein, his tender may be rejected. 6. Any increases in any tax imposed by Central Government or State Government after the due date of the tender shall be paid extra. Similarly any reduction in the tax after the due date of tender will be paid less to the party. 7. The tenderer should sign the tender form at the end of each page as a token of his acceptance of all the terms and conditions. 8. The tenderer shall not assign or sublet his contract or any part thereof to any other agency. 9. The tender must be accompanied by earnest money amounting to Rs. 50,000/- in the form of Bank Draft/Pay Order of the scheduled Bank in favour of Rajasthan State Ganganagar Sugar Mills Ltd. payable at Jaipur, which will be refunded to unsuccessful tenderer after final acceptance of the tender whereas in case of successful tenderer, it will be adjusted in Security Deposit amount as the successful tenderers shall be required to deposit Rs. 1,00,000/- as Security Deposit.

6 10.No request for adjustment of outstanding claim of any kind against the company towards EMD/SD will be entertained and failure to deposit the EMD/SD in full will always result in cancellation of tender/acceptance. 11. Should the Agency fail to execute the order/agreement within the period specified in the tender form, and if such failure to deliver/complete in prescribed time as aforesaid have arisen from, any unforeseen cause such as strike, fire, accident, act of GOD in stoppage of work, which the Director Incharge may find valid for an extension of the time he may extend the period. His decision shall be final regarding the sufficiency or otherwise of ground for extension of time. 12.When the Security money in full or in part is proposed to be forfeited, a notice will be given to the tenderer to explain within 10 days as to why the security money should not be forfeited for failure to complete the work in time. 13.In the event of any breach of conditions of the contract at any time on the part of the contractor, the contract may be terminated summarily by the Director Incharge with such conditions as may be deemed fit. 14.Remittance charges on payment made to firms except through cheques will be borne by the Advertising Agency unless specifically agreed by the Company. 15.All legal proceedings, arising out of this contract shall be subject to the jurisdiction of the courts situated at Jaipur city only. 16.In case of any dispute arising in contract, the matter will be referred to Sole Arbitrator appointed by Director Incharge of the RSGSM whose decision shall be final and binding on both the parties. 17. The company reserves the right to accept/reject any tender. 18.If the tenderer resiles from his offer or offers new terms after opening of the tender, his earnest money is liable to be forfeited. 19. The submission of more than one tender and under different names is prohibited. 20.Any relationship or business connection that may exist between tenderer and any official of the Rajasthan State Ganganagar Sugar Mills Ltd., should be declared. If this information is found to have been suppressed, then contract, if any, entered into may be cancelled forthwith without notice and compensation and any amount may have been deposited forfeited any credited to the Company. 21.Direct or indirect canvassing on the part of Tenderers or their representative will disqualify them. 22.The mode of payment shall be according to special condition of contract and as per Schedule Rate Chart. 7 RAJASTHAN STATE GANGANAGAR SUGAR MILLS LTD. JAIPUR. SPECIAL TERMS AND CONDITIONS FOR APPOINTMENT OF ADVERTISING AGENCIES. 1. The Advertising Agencies offering their services for the Company must be accredited to INS. 2. The Advertising work of the Company entrusted to the selected Advertising Agencies will be for a period of two years from the date of issue of order or date specified in the order, which can be extended / reduced at the discretion of RSGSM. 3. The Advertisement/NITs to be published in Newspapers will be issued through the selected Advertising Agencies by rotation by obtaining control number and name of agency from the office of Company Secretary by all Units, Sugar Factory and HOD of Head Office. 4. The advertising agency will do art work, designing, block making and other such work as may be required from time to time without any charges. They will collect the advertising material from the offices of the Company and will bear Courier service charges etc. if required. The agency may have to work on any Holiday/Sunday/after office hours, as per exigency of work. 5. The agency will ensure the publication of Advertisements/NITs in minimum possible space and in most economical manner within two days in local newspapers (within Rajasthan) and within 3-4 days in the national newspapers. In case of urgency the advertising agency will arrange to publish the material on the next date, if so required. 6. The advertising agency will have to execute a detailed contract as per prescribed proforma with the Company. 7. The agency will submit their bills to the respective issuing offices and the payment to the agency for publication of the advertisement/nits will be made by the concerned office as per terms and conditions agreed to by the Agency. 8. All the Unit Managers, Head of Department of Head Office issuing advertisements and GM, Sriganganagar will be given the controlling number alongwith name of the agency from Head Office, Jaipur. 9. The printing of Company s stationery e.g. letter heads, visiting cards, Balance Sheet, various proformas etc. will be undertaken by the agencies upto 10% of their total Bill amount of the work allotted which will be monitored by the Company Secretary. 10.The advertising agency will submit original bill of Newspaper in their agency s name only. If the selected agency gets the work done by other agency, it will be treated violation of the contract, the agency will be black listed and in future no work will be assigned to the agency.
