7 W":-" -y : ':P SECTION C AGREEMENT BETWEEN THE DEPOSITORY PARTICIPANT AND TOE PERSON SEEKING TO OPEN AN ACCOUNT WITH THE DEPOSTTORY PARTICIPANT Ths agreement made and entered nto ths day of between Sole/Frst Holder thrd Holder _resdngat_ Second Holder and (herenafter called "the clenf) and ICICI BANK LIMITED, a company ncorporated under the Companes Act, 1956 and lcensed as a bank under the Bankng Regulaton Act, 1949 and havng ts regstered offce at Landmark, Race Course Crcle, Vadodara , and ts corporate offce at ICICI Bank Towers, Bandra Kurla Complex, Mumba , Inda, (herenafter called "the Depostory Partcpant"). Wtnessed! WHEREAS the Clent has furnshed to the Depostory Partcpant the duly flled n applcaton form requestng theren to open an account wth the Depostory Partcpant. NOW THEREFORE n consderaton of the Depostory Partcpant havng agreed to open an account for the Clent, both the partes to the agreement hereby covenant and agree as follows: 1. The Clent shall have the rght to get the securtes whch have bean admtted on the Depostory demateralsed In the form and manner lad down under the Bye laws and Busness Run. The Depostory Partcpant further undertakes that t shall not create or permt to subsst any mortgage, charge or other encumbrance over al or any such securtes submtted for dematerarseton except on the Instructon of the Clent. 3. The Depostory Partcpant hereby undertakes that t shall mantan a separate account of ts own securtes held n demateralsed form wth the Depostory and shall not co-mngle the same wth the securtes held n demateresed form on behalf of the Clent. 4. The Depostory Partcpant undertakes (hat a transfer to and from the accounts of the Clent shall be made only on the bass of an order, nstructon, drecton or mandate duly authorsed by the Clent and that the Depostory Partcpant shall mantan adequate audt tral of such authorsaton. 5. The Depostory Partcpant agrees that the Clent may gve standng nstructons wth regard to the credtng of securtes n hs account and the Depostory Partcpant shall act accordng to such nstructons. 6. The Depostory Partcpant undertakes to provde a transacton statement ncludng statement of accounts, f sny, to the Clent at monthly ntervals unless the Depostory Partcpant and the Clent have agreed for provson of such statements at shorter ntervals. However, f there no transacton n the account, then the Depostory Partcpant ahall provde such statement to the Clent ateaat once a quarter. 7. The Depostory Partcpant shall have the rght to termnate ths agreement, for any reasons whatsoever, provded the Depostory Partcpant has gven a notce n wrtng of not fees than thrty days to the Clent es well as to the Depostory. Smlarly, the Clent shall have the rght to termnate ths agreement and close hs account held wth the Depostory partcpent, provded no charges are payable by hm to the Depostory Partcpant. In such an event, the Clent shall specfy whether the balances n ts account should be transferred to another account of the Clent held wth another Depostory Partcpant or to remsteralse the securty balances held. Based on the nstructons of the Clent, the Depostory Partcpant shall ntate the procedure for transferrng such securty balances or ramaterafse such securty balances wthn a perod of thrty days as per the procedure lad down n the Bye Laws and Busness Rules, Provded further, termnaton of ths agreement shall not affect the rghts, labltes and oblgatons of ether party and shall contnue to bnd the partes to ther satsfactory completon. 6. On the falure of the Clent to pay the charges as lad out n clause (1) of ths agreement wthn a perod of thrty days from the date of demand Depostory Partcpant may taramnate ths agreement and dose the account of the Dant by requrng t to specfy whether the balances n ts account be transferred to the account of the clent held wth another partcpant or be remateralsed n the manner specfed n the Bye laws and Busness Rules. The Clent furtlwr agrees that n the event of the Clent commttng a default n the payment of any of the amounts provded n clause (1) wthn a perod of thrty days from the date of demand, wthout prejudce to the rght of the Depostory Partcpant to close the account of the Clent, the Depostory Partcpant may charge not more than 24% p.a. or such other rate as may be specfed by the Executve Commttee from tme to tme for the perod of such default. In case the Clent has faled to make the payment of any of the amounts as provded n clause (1) of ths agreement, the Depostory Partcpant shall have the rght to dscontnue the Depostory servces tll such tme he makes the payment along wth nterest, f any. after gvng two days notce to the Cenl. 10. The Depostory Partcpant shal have a rght to provde such nformaton related to the Clent s account as may be requested by the Depostory from tme to tme. 11. The Clnnt shall have the rght to create a pledge of the securtes hold n the demateralsed form wth tho Depostory Partcpant only n accordance wth the procoduro and subjoct to the restrctons lad down under the Bye Laws and Busness Rules. 12. The Depostory shall not be lable to the Clent n any manner towards losses, labltes and expenses arsng from the clams of thrd partes and from taxes and othar governments! charges n rasped of securtes credted to the Clent's account. 13. The Clent may excercse the rght to freeze hs account mantaned wth the Depostory Partcpant so as to lock the securtes held wth the Depostory Partcpant n accordance wth the procedure prescrbed n the Bye Laws and Busness Rules. 14. The Clent may excercse the rght to defreeze hs account mantaned wth the Depostory Partcpant n accordance wth the procedure and subject to the restrctons lad down under the Bye Laws and Busness Rules. 15. The Clent shall notfy the Depostory Partcpant, wthn seven days, of any change n the detals set out n the applcaton form submtted to the Depostory Partcpant at the tme of openng the account or furnshed to the Depostory Partcpant from tme to tme. 16. The Depostory Partcpant undertakes to resolve all legtmate grevances of the Clent aganst the Depostory Partcpant wthn a perod of Thrty days. 17. The Depostory Partcpant and the Clent shall abde by the arbtraton and conclaton procedure presort >ed under the Bye Laws of the Depostory and that such procedure shall be applcable to any dsputes between the Depostory Partcpant and the Clent. 18. The 0 postory Partcpant and the Clent further agree that all clams, dfferences and dsputes, arsng out of or n relaton to dealngs on the Depostory ncludng any transactons made subject to the By Laws or Busness Rules of the Depostory or wth reference to anythng ncdental thereto or n pursuance thereof or relatng to ther valdty, constructon, nterpretaton, fulflment or the rghts, oblgatons and labltes of the partes thereto and ncludng any queston of whether such dealngs, transactons have been entered nto or not, shaft be subject to the exclusve jursdcton of the courts at Mumba only. ICICI Bank as Depostory Partcpant (DP) wll not be lable to us for any acton taken or authorsed to be taken by t pursuant to the DP agreement or for any clam, loss, damages or expenses arsng n connecton wth any such acton or omsson except n so far as the same results from bad fath, wllful default or neglgence on the part of ICICI Bank. 1 ICICI Bank as DP wll not be lable or responsble for the loss or damage? arsng on account of any natural calamtes or on account of malcous damages caused on account of any strke, cvl commoton, rots, war, war lke ev nts or crcumstances beyond the control of ICICI Bank. 3. I/We hereby agree to hold ICICI Bank harmless aganst all actons, proce dngs, clams and demands, cost and expenses ncdental thereto whch may be brought aganst suffered or ncurred by ICICI Bank as Depostory Partcpant by reason of all acts done by t pursuant to the provsons of the above referred agreement executed at the tme of openng the DP account, ncludng any acton or omsson undertaken n complance wth any nstructons receved by ICICI Bank whch ICICI Bank beleves n good fatf to have been gven by me/us and make good the losses ncurred by ICICI Bank on all legal, professonal and other expenses ncurred by ICICI Bank. 5. I/We undertake to send ICICI Bank nstructons relatng to the transfer of securtes latest by 4 p.m. on busness day (excludng Saturday, Sunday and bank holdays) pror to the executon date ndcated by me/us n the debt nstructon. We note that the nstructons receved by ICICI Bank after ths, wll be carred out and updated only on "Best Effort' bass. ICICI Bank s not lable for any losses and arsng out of TlFDs accepted on the "Best Effort" bass. 6. I/We hereby authorse and nstruct ICICI Bank to debt the bank account to be notfed by me/us for the fees and other charges and undertake to ensure that adequate balances are made avalable n the bank account.
