2 ABOUT IIFCL IIFCL is a Government of India Enterprise company set up in 2006 to provide long-term finance to viable infrastructure projects through the Scheme for Financing Viable Infrastructure Projects through a Special Purpose Vehicle called India Infrastructure Finance Company Ltd (IIFCL), broadly referred to as SIFTI. IIFCL is engaged in providing long term financial assistance to commercially viable infrastructure projects with overriding priority to Public Private Partnership (PPP) projects. The sectors eligible for financial assistance from IIFCL are as per the Harmonized list of Infrastructure Sub-Sectors as approved by the Government and RBI and as amended from time to time. These broadly include transportation, energy, water, sanitation, communication, social and commercial infrastructure. IIFCL has been registered as a NBFC- ND-SI-IFC with RBI since September IIFCL has been offering its financial support to the infrastructure sector through the following products: (A) Direct Lending (B) Takeout Finance (C) Credit Enhancement (D) Refinance Scheme For further details about IIFCL, bidders may visit IIFCL website ( Date Page 2 of 11

3 INSTRUCTION TO BIDDERS 1 Date of Issue March 18, Last date of submission of bid Apr 09, 2019 Time: 15:00 Hrs 3 Date of Opening of Apr 10, 2019 Time: 12:00 Hrs Bids 4 Work Providing a Portal for Early Warning System, 360 Degree View and Market Intelligence for annual period beginning from the date of award of work. (Scope of work at Annexure I) 5 Tender Enquiry No IIFCL:CSD:01: Eligibility Criteria (i) The bidder should be a registered firm engaged in providing the portal for Early Warning System, 360 Degree View and Market Intelligence for at least 1 year. The bidder should have sufficient infrastructure and technical expertise to undertake the work. (ii) The bidder should not be barred by any of the regulatory authority including following: a) DGS&D (Govt. of India) b) Ministry of Corporate Affairs, Govt. of India (iii) The bidder should have at least 1 year of experience of similar work of developing and providing the portal for Early Warning System, 360 Degree View and Market Intelligence in any Central / State Governments PSUs / Nationalised Banks / other Government institutions. 7 EMD Earnest Money Deposit (EMD) of Rs. 10,000/- (Rs. Ten Thousand only) is required to be submitted along with the tender shall be in the form of Demand Draft/banker s Cheque payable at New Delhi in favour of India Infrastructure Finance Company Limited from any Scheduled Bank. The EMD shall be valid for a minimum period of 180 (One Hundred Eighty) days from the original last day of submission of bid. The EMD shall be payable to India Infrastructure Finance Company limited (IIFCL) without any condition(s), resources or reservations. i) The BID will be rejected by IIFCL in case EMD is not received along with tender documents, ii) iii) The EMD of bidders other than L1 will be returned within 15 days, after opening of Financial Bid. Bidder shall provide their bank details including A/c Number, IFSC Code, in which EMD shall be returned, if any, on the letter head of the bidder along with bid documents, The EMD of the successful bidder will be adjusted at the Date Page 3 of 11

4 time of release of final payment against this assignment, iv) No interest shall be paid by IIFCL on the EMD, v) The EMD may be forfeited: a) If a bidder withdraws the bid after bid opening during the period of validity; b) Upon non acceptance of LOI/Work Order if and when issued by IIFCL c) In the case of successful bidder, if the bidder fails to sign the agreement within the 10 days from the date of issue of LOI or fails to commence the work within the stipulated time period prescribed in the agreement. 8 Submission of Offer Two Bid System: Two bid system will be followed in this tender. Under this system, the bidder must submit Technical bid (Annexure-I and Annexure-II) and Commercial bid (Annexure III) in two separate sealed envelopes. These envelops should be securely sealed and stamped separately and clearly marked as Envelope No: 1-Technical Bid and Envelope No: 2- Commercial Bid respectively. EMD should be placed in the Technical Bid. The agency shall provide the access to the portal for using its services immediately on issue of work order. 11 Commencement of Operation 12 Basis of Selection Selection will be done on (Quality Cost Basis System) QCBS basis. 70% weightage will be given to Technical and 30% to Financial. 13 Security Deposit For successful bidder, the EMD will be deemed as security deposit. 14 Payment Terms Payment terms will be as under: i) 90% after successfully providing the portals and Log In IDs and Passwords ii) 10% at the end of completion of tenure 15 Tender Fee Document Non-refundable Tender Document Fee is to be paid online on portal, as per applicable. 5 TERMS AND CONDITIONS OF CONTRACT 1. Definition of Bidder : Bidder must be either a Limited Liability Partnership or a Limited Company registered under Indian Companies Act. 2. E-Tender Related Information: This Tender will follow e-tendering process [e-bids] through Website Following activities will be conducted online through above website: a) Submission of Technical Bid & Financial Bid by the Vendor. b) Opening of Technical Bid & Commercial Bid by IIFCL c) Clarification, if any, sought by the IIFCL. d) On-line evaluation by IIFCL Representatives of bidders will be online supported for e- Tendering by the Service Provider. Bidders who wish to participate in online tenders will have to register with the website through the "Registration" link provided on the home page. Bidder will create login id & password on their own in registration process. Following facilities shall be provided to registered bidders/ vendors by the service provider: a) Support to the Bidders for participating in the bids through e-tendering Website. b) Call centre support/ / phone/ fax/ chat / mobile etc. in all possible medium. c) Registration with the e-tendering website. d) User Manual / Training Kit to the Bidder. e) Any no. of users of Vendor/ Contractor organization can take support on the e-tendering system. f) Bidder who wish to participate in this tender need to procure Digital Signature Certificate (for Signing and Encryption) as per Information Technology Act and CVC guidelines using that RFP for Review & Updation of Integrated Risk Management Framework Page 6 they can digitally sign their electronic bids. Bidders can procure the same from any of the CCA approved certifying agencies, or they may contact service provider at below mentioned address and they will assist them in procuring the same. Bidders who already have a valid Digital Signature Certificate need not to procure the same. 3. Preparation and submission of tender documents: (a) The bidder has to submit the tender document duly signed on all pages by an authorized person and his/her full name and status is indicated below the signature along with official stamp of the proprietorship firm/ partnership firm/ company. 6 information/document will be liable to legal action, forfeiture of EMD and rejection of tender submitted by the firm. (b) The bidder shall enclose the following documents along with the Technical Bid. Any tender documents without these shall be invalid and rejected: i. List of Organizations/ Customer dealt by the bidder. ii. Copy of registration certificates, Viz. GST Registration, TIN number, PAN Card etc. (c) Tender received without required EMD or lesser amount will be summarily rejected. (d) The tenders not in possession of valid statutory license/registrations are liable for rejections. (e) The tender submitted by the firm/agency shall remain valid for 60 days from the date of opening Tender for the purpose of acceptance and award of work. Validity beyond 60 days from the date of opening shall be by mutual consent. (f) No bidder will be allowed to withdraw/alter/modify after submission of tenders within the bid validity period otherwise the EMD submitted by the bidder would stand forfeited. (g) EMD will be liable to be forfeited if the bidder selected for the work fail to accept, execute and complete the work on the date stipulated in the work order. 4. Tenure of work: (a) A work order shall be issued to successful bidder for a period of one year. 5. Rights of IIFCL: (a) IIFCL reserves right to (before last date of submission of bid) withdraw/relax any of the terms and conditions mentioned above so as to overcome the problem encountered by the contracting parties and same shall be put on website of IIFCL. (b) IIFCL reserves the right to accept or reject any or all the tenders without assigning any reason whatsoever and IIFCL s decision shall be final and binding on the bidder. (c) IIFCL reserves the rights to (before last date of submission of bid) suitable increase/reduce the scope of work put to this tender. In case of any ambiguity in the interpretation of any of Date Page 6 of 11

7 the clauses of the tender document or the contract document, interpretation of the clauses by the IIFCL shall be final and binding on all parties. 6. Termination of Contract on Breach of Terms and Conditions: (a) The work order can be terminated by the IIFCL if it is felt that the work carried by the selected bidder is not satisfactory. The selected bidder shall not be entitled for any compensation on account of such force closure/termination of contract. (b) In case of breach of any terms and conditions as mentioned above, IIFCL shall have the right to cancel the work order without assigning any reason thereof and nothing will be payable by IIFCL in that event the security deposit shall also stands forfeited. (c) IIFCL shall cancel the work order after giving notice period of 7 days. 7. Dispute Settlement: (a) If any dispute(s) or difference(s) of any kind whatsoever arise(s) between the Parties, the Parties hereto shall negotiate with a view to its amicable resolution and settlement through a committee appointed by Chairman or MD, IIFCL and the Licensee. In the event no amicable resolution or settlement is reached between the parties within 30 days after receipt of notice by one party, then the disputes or differences as detailed above shall be referred to and settled by the Sole Arbitrator to be appointed by Chairman or MD, IIFCL. The Arbitration proceedings shall be in accordance with the prevailing Arbitration and Conciliation Act, 1996 and Laws of India as amended or enacted from time to time. The venue of the Arbitration shall be New Delhi, India. The fee and other charges of Arbitrator shall be determined by the Arbitrator in terms of the Act and shall be shared equally between the parties. The Arbitrator will give the speaking and reasoned award. Notwithstanding any references to Arbitration, the parties shall continue to perform their respective work/obligation under the contract. 8. Indemnity Clause: (a) In case the information provided by the selected bidder on their portal is found wrong and IIFCL suffers any financial loss by using that information then the selected bidder will be held liable to indemnify and keep indemnified the IIFCL against all losses, damages, costs, charges and expenses (including legal expenses) incurred or suffered by the IIFCL due to or on account of any breach of the terms and conditions contained in this RFP. 9. Jurisdiction Clause: Date Page 7 of 11

8 Parties agree that governing law shall be India Law and courts of New Delhi shall have exclusive Jurisdiction over the matter. 10. Non- conflict Clause: A declaration may be taken on the letterhead as to non-conflict of interest by the bidder directly/indirectly with the officer/director of the company. 11.
