B. INSTRUCTION OF BIDDERS 1. a) The Bidders shall be required to submit closed envelop indicating technical bids, submission against the Government/ PSU Bonds and Securities containing prerequisite the bids with details of company profile to enable us to qualified them for financial bids. Office 6A Raja Subodh Mullick Square, Kol CANVASSING Canvassing in connection with the Bids is strictly prohibited. 3. REJECTION OF BID Bidders which do not fulfill any of the above Conditions and are incomplete in any respect are liable to rejection. 4. OPENING OF TENDER Tenders which should always be placed in sealed cover with the name of Broking Firms written on the envelop, will be received by the Managing Director or his authorized representative in the office in Presence of the committee members at 2.00 P.M. on C. GENERAL TERMS AND CONDITIONS OF THE SECURITY AGENCY : The Bidder having registration in NSE / BSE under SEBI guideline. 1) PAYMENT TERMS Delivery instruction will be made after 100% payment against deals confirmations. 2) FORCE MAJEURE If by reason of war, riots, commotion, disturbance, stoppage of work for any reason, statutory constrains, pestilence, epidemic, sickness, earthquake, fire, storms,

4 cyclones, floods, explosions or Act of God or any other cause whatever beyond the power or control of the society directly or indirectly affecting the working of establishment the contractual obligations of the parties herewith will stand suspended. 3) ARBITRATION: Except where otherwise provide in the contract all questions and disputes relating to the meaning of the specifications & timely delivery here in before mentioned and as to any other question, claim, right, matter or things, whatsoever, in any way arising out of relating to the contract specification & timely delivery, order or these conditions or otherwise concerning the specification of material or the timely delivery or failure to execute the same, whether arising during the process of the work shall be referred to the sole Arbitrator, Chairman of the K.S.M. Ltd. Should the chairman be for any reason unwilling or unable to act as Arbitrator, such question and disputes shall be referred to an Arbitrator to be appointed by the Chairman of the K.S.M. Ltd., and the award of the Arbitrator shall be final, conclusive and binding on all the parties to this contract. 4) JURISDICTION All contracts/orders shall be deemed to have been made and entered into at Kolkata and any cause of action arising under the contract shall be subject to the jurisdiction of the Hon ble High Court at Kolkata
