2 No.NFL/PT/PR/CSR/ Dt Tender Document Scope of Work NFL- Panipat Unit, a Govt. of India Undertaking intends to undertake development projects in the nearby 2-3 villages of Panipat Unit preferably within a radius of 15 KMs with special emphasis on the education of children, women empowerment, installation of solar lights, children and women health care camps, animal health camps, water harvesting/ground water recharging and any other need based development activity required in the village(s) focusing on the Triple Bottom line of the CSR concept i.e. Economic, Social and Environmental Impact. In order to achieve above objectives, NFL-Panipat Unit intends to appoint Registered, experienced and reputed NGO/ Agency for conducting Baseline Survey, Prepare Detailed Project Report and Action plan with Roadmap for execution of identified activities. The agency shall identify the specific needs of the areas, stipulate the approx. cost on implementation of the projects and benefits likely to accrue to the residents of the Villages by the execution of the identified activities. The villages where the Baseline Survey is to be carried out shall be decided by the NFL Management. Eligibility Criteria of Registered NGO/ Agency 1. NGO/Agency should be registered with the State Govt. Copy of valid Registration Certificate to be submitted. 2. Minimum experience of 3 years is required to carry out such jobs especially in the Govt. Sector. Details of such base line surveys / activities and project executed be submitted. 3. Details of Technical/ Finance/ administrative staff available with the agency to be submitted to ascertain staff capability with years of experience in rural development. 4. NGO/Agency will be required to submit copy of partnership deed/ Memorandum of Association. 5. The NGO /Agency shall also enclose one affidavit on Stamp Paper of appropriate value declaring legal status along with certification that agency has not been blacklisted by CAPART/ Central Social Welfare Board/ State Govt. 6. Copy of PF Account No., PAN No. VAT No., Service Tax, and Registration No. to be attached wherever applicable.

3 Obligations of the NGO/ Agency 1. The NGO/agency will conduct detailed baseline survey of the nearby 2-3 villages of NFL-Panipat Unit preferably within a radius of 15 KMs and will identify the needs of the village/villagers and Projects to be executed, Prepare Detailed Project Report and Roadmap for execution of identified activities in view of the objectives of Corporate Social Responsibility. 2. Detailed project report/activities to be undertaken, required information about villagers, their specific needs, benefit likely to accrue to the village/ villagers by execution of identified activities/projects, to promote children education (needs of school building, infrastructural, facilities, requirement of benches/desks, boundary wall, toilets, development of playground, development of sports activities, required in the school to increase the no. of school children and their attendance, imparting education on modern system), women empowerment (adult education, vocational training in stitching, knitting, preparation of papad/pickle and similar activities) to generate income for the family, installation of solar lights, children and women health care camps, animal health camps, water harvesting/ground water recharging and any other need based development activity required in the villages. 3. The present condition of the village/ villagers, detail of basic amenities required, number of beneficiaries likely to accrue benefits by such activities. 4. The NGO/agency will submit detailed Base Line Survey - Project Report containing the following within a period of 20 days from the date of issue of LOI/ work order. In case the agency fails to submit the detailed base line survey within 20 days, the EMD shall be forfeited and the agency will have no right or claim, what so ever, in case of forfeiture of EMD. 4 General Terms and Conditions a. Payment: Payment for conducting detailed base line survey and submission of detailed Project Report shall be made within 30 days from the submission of the report. b. Taxes: Income tax/ other taxes shall be deducted at source as applicable. c. Jurisdiction: All the disputes between the Parties in respect of present contract shall be subject to jurisdiction of courts at Panipat only. d. Arbitration & Conciliation : Except where otherwise provided in the contract all matters, questions or differences whatsoever, which shall at any time arise between the parties hereto, touching the construction, meaning, operation or effect of the contract or out of the matters relating to the contract or breach thereof or the respective rights or liabilities of the parties whether during or after completion of the works or whether before or after termination, shall after written notice by either party to the contract be referred to the arbitration of the Chairman & Managing Director, National Fertilizers Ltd. or his/her nominee. The Arbitration & Conciliation Act, 1996 or any statutory modification or reenactment thereof and the rules made there under shall govern the Arbitration proceedings. The contractor hereby agrees that he shall have no objection if the arbitrator so appointed is an employee of NFL and he had to deal with the matter to which the contract relates and that in the course of his duties as such he has expressed his views on all or any of the matter in dispute or differences. If the arbitrator to whom matter is referred, vacates his/her office by any reason whatsoever then the next arbitrator so appointed by the authority referred above may start the proceedings from where his predecessor left or at any such stage he may deem fit. It is agreed by and between the parties that in case a reference is made to the Arbitrator or the Arbitral Tribunal for the purpose of resolving the disputes/differences arising out of the contract by and between the parties hereto, the Arbitrator or the Arbitral Tribunal shall not award interest on the awarded amount more than the rate of SBI PLR/Base Rate as applicable to NFL on the date of award of contract. e. Force Majure: The terms and conditions as mentioned in this offer letter shall be subject to Force Majure. Neither the CONSULTANT nor the NFL shall be considered in default in the performance of its obligations contained therein, if such performance is prevented or delayed or restricted or interfered with by reasons of war, hostilities, revolution, civil commotion, strike, epidemic, accident, fire, flood, earthquake, regulation or ordinance or requirement of any Government or any sub-division thereof, or authority or representative of any such Govt. or any other act whatsoever, whether similar or dissimilar to those enumerated, beyond the reasonable control of the parties hereto or because of any act of God. The party so affected shall give a notice of such occurrence to the other party in writing within 3 days from the date of occurrence the force majure condition, furnishing therewith documentary evidence supporting the invoking of the force majure On cessation of force majure the party invoking force majure shall inform the other party of the period for which force majure condition continued and shall also give documentary evidence thereof to this effect.

5 f. Compensation: The NGO/Agency shall be solely responsible for any loss, damage or injury etc. caused to his personnel deployed/deputed by him for the purpose of conducting survey. Any compensation whatsoever payable on that account shall be borne and paid by the NGO/Agency. g. Agreement: The successful NGO/Agency has to execute an Agreement on Non- Judicial stamp paper on the Performa specified by NFL. The value of stamp paper shall be borne by NGO/Agency. h. Termination: If the NGO/Agency is unable to execute the work or the work under the contract is not being done to the satisfaction of company, NFL may also terminate the contract after giving a three days notice. In case of termination, the EMD shall be forfeited. i. Rejection of Base Line Survey - Project Report If the Base Line Survey Project Report does not contain the detailed required information about villagers, their specific needs, benefit likely to accrue to the village/villagers by execution of identified activities/projects, the company reserves the right to reject the report of the NGO/Agency in that case the party shall not be entitled for any payment. j. Forfeiture of EMD If the NGO/Agency to whom the work is awarded does not submit the report within the stipulated time period, its EMD will be forfeited. EMD of other unsuccessful NGOs shall be refunded without any interest. k. The Contract shall be governed by and construed in accordance with the laws of India.

6 Submission of Tenders/Bids Tender should be submitted in two part bid system as detailed below:- Technical Bid The Technical bid enclosing the below mentioned documents should be submitted in a sealed envelope-i super-scribing as Technical Bid and signed by the party. 1. Copy of valid Registration Certificate. 2. Documents for 3 years of work experience especially in Government Sector. 3. Details of Technical /Finance/Administrative staff available with the agency. 4. EMD of Rs.5000/- by Demand Draft / Banker`s Cheque drawn in favor of National Fertilizers Limited, Panipat. 5. Copy of By Laws/Copy of Memorandum of Article of Association that governs their functioning. 6. An affidavit on Stamp Paper of appropriate value declaring legal status along with certification that agency has not been blacklisted by CAPART/ Central Social Welfare Board/ State Govt. 7. Copy of statutory certificates such as PAN No., VAT No., PF Account No. and Service Tax etc. 8. Undertaking as per Annexure-I. Price Bid The Price bid as per Annexure-II should be kept in a duly sealed envelope-ii super-scribing as Price Bid and should be signed by the party. The price bid shall be opened for those parties only whose technical bid is found complete in all respects. The last date for submission of tenders is upto pm which shall be opened on same day at 3.30 PM in the chamber of CM (P&A). The parties or their authorized representatives may be present at the time of opening of Tenders. NFL reserves the right to reject the offer without assigning any reason thereof.
