2 Old Marsh Country Club Membership Pricing A Semi-Private Club in the Maine Tradition CATEGORY INITIATION FEE ANNUAL DUES INDIVIDUAL $3, $1, COUPLE $3, $2, FAMILY $3, $2, CORPORATE $3, $3, Individual Membership An Individual Membership entitles one individual use of the facilities of the Club. Couple A Member and that Member s Spouse- either a legally married husband and wife, or any two (2) unmarried adults residing in the same house. Family A Member and that Member s family- either a legally married husband and wife, or any two (2) unmarried adults residing in the same house, and their unmarried children under the age of twenty-two (22) (if residing at home, and attending school on a full time basis) shall be entitled to use the Club s Facilities. A child who has enjoyed continuous, uninterrupted privileges under a family membership shall be eligible for a membership upgrade to his/her own membership at such time as he/she no longer enjoys privileges under the family s membership. Corporate A Corporate Membership shall be available to any bona fide ongoing business entity (partnership, company, trust, or other entity) that has been in legal existence for more than one year. A business that is formed for the purpose of purchasing a Corporate Membership shall not qualify as a bona fide ongoing business for purpose of this Plan. The holder of a Corporate Membership may designate in writing up to one (1) bona fide principal, partner, director, officer, shareholder or employee, or a beneficiary or settler if the membership is held in the name of a trust, as Designee and spouse, each of whom shall complete an informational application and be above the age of eighteen (18). A Corporate Member may designate a new Designee under the membership at any time; however, such designation must be made in writing and may only be requested once before April 1st of each year. The Designee, or any substitute Designee, shall be subject to approval of the Club. Each Designee and the Corporate Member business entity shall be jointly and severally liable for all fees and other charges incurred by said Designee and any of their guests. Designee may bring guests to use the Club Facilities. Each Corporate Member may sponsor unaccompanied guests per diem, subject to tee-time availability and the discretion of the Club management.

7 Membership Agreement COMPANY Harris Golf, Inc., d/b/a Old Marsh Country Club 9 Carriage House Lane, Bath, Maine MEMBER(S) CATEGORY OF MEMBERSHIP MEMBERSHIP # Harris Golf, Inc. and its related entities (the Company ), hereby issues to the above-named Member a Membership at the Semi-Private Old Marsh Country Club, Wells, ME, ( The Club ) on the terms and conditions contained herein and described in more detail in the Membership Plan and Rules and Regulations, incorporated herein by reference and as may be amended from time to time. A. MEMBERSHIP The membership created by this Membership Agreement is a Membership at the Semi-Private Old Marsh Country Club located at Route 9B, Wells, ME ( the Club ), in the membership category set forth above. Membership is a revocable license to utilize the Club and its facilities and amenities, subject to the terms and provision of the Club s Membership Plan and Rules and Regulations as the same may be amended from time to time. Member acknowledges that Membership at Old Marsh Country Club is expressly non-equity and that no equity interest, ownership interest, vested interest, or prescriptive right or easement is created by this Membership Agreement, and that Member s Membership is not an investment in the Club, its facilities and amenities, or its business operations. B. DUES AND OTHER CHARGES All membership dues and all charges for food, beverage, goods, services and other items shall be charged to Member s membership account, and billed to Member on a monthly basis. Member agrees to pay all membership dues and all charges promptly upon receipt of Member s monthly statement, in accordance with applicable

8 sections of the Membership Plan and Rules and Regulations. Member is liable for all charges incurred by family members and guests. Spouses (or other family members) are jointly and severally liable for all dues and charges incurred by either. A Corporate Member is liable for all dues and all charges incurred by the company s Designated Members; each individual Designated Member is jointly and severally liable with the Corporate Member for all charges incurred by said Designated Member. C. RECEIPT AND REVIEW OF MEMBERSHIP DOCUMENTS Member acknowledges receipt and review of a complete Membership Package, including the Membership Application, this Membership Agreement, the Membership Plan, and the Rules and Regulations, as well as such marketing materials as the Site Plan. Member has had adequate opportunity to read and review such materials and to consult with such professional advisors and/or third parties as Member deems necessary, and Member agrees to be bound by the terms and provisions thereof as the same may be amended from time to time. Finally, Member acknowledges that Member s decision to apply for and acquire a Membership has not been influenced by, nor has Member relied upon, any verbal representations of any Club representative. D. CONSIDERATION The consideration for this Membership Agreement is the Initiation Fee paid by Member and the mutual covenants set forth herein, and the parties agree that such consideration is good, valuable, non-refundable and sufficient. E. INDEMNIFICATION Member acknowledges that the use of facilities, and any privilege or service incident to Membership, is undertaken by Member with knowledge of the risk of possible injury. Member agrees to accept any and all risk of injury to Member and Member s family members and guests which may be sustained while using the Club facilities or involved in any event or activity incident to membership. Member further agrees to indemnify the Club and to hold the Club (and its directors, officers, principals, employees, agents, committee members and other representatives) harmless from and against any loss, cost, injury, damage or liability sustained or incurred by Member, Member s family members, or Member s guests resulting from or arising directly or indirectly out of any conduct or event or omission connected with Membership in the Club and/or use of any Club facilities. F. MISCELLANEOUS This Membership Agreement shall be construed under the laws of the State of Maine, and supersedes any and all previous agreements relating to membership or playing privileges at Old Marsh Country Club. The issuance of this Membership is expressly conditioned upon the affirmative acceptance by the Club of Member s Application for Membership, notwithstanding the execution of this Membership Agreement on date(s) set forth below, and by payment by Member in full of the requisite Initiation Fee. Agreed to by and between Harris Golf, Inc. and the above-named Member(s) as of the date(s) set forth below, the latest of which shall be deemed the effective date of this Membership Agreement.
