CALL TO ORDER The April 10, 2017, Regular Board Meeting of the Century Gardens Community Development District was called to order at 6:58 p.m. in the Cafeteria of the Mater Gardens Academy Charter School located at 9010 NW 178 th Lane, Miami, Florida B. PROOF OF PUBLICATION Proof of publication was presented that notice of the Regular Board Meeting had been published in the Miami Daily Business Review on March 1, 2017, as legally required. C. DECLARE VACANCY AND SEAT NEW BOARD MEMBERS This item was deferred. D. RE-ELECTION OF OFFICERS This item was deferred. E. ESTABLISH A QUORUM It was determined that the attendance of Chairman Abraham Farhan, Vice Chairperson Shirley Villalobos and Supervisor Nildo Ruiz constituted a quorum and it was in order to proceed with the meeting: Staff in attendance included: District Managers Gloria Perez and Armando Silva of Special District Services, Inc.; and General Counsel Ginger Wald of Billing, Cochran, Lyles, Mauro & Ramsey, P.A. Also present were Luis Moreno of Miami, Florida; and Osvaldo Santiestevez of Miami, Florida. F. ADDITIONS OR DELETIONS TO THE AGENDA. There were no additions or deletions to the agenda. G. COMMENTS FROM THE PUBLIC FOR ITEMS NOT ON THE AGENDA There were no comments from the public for items not on the agenda. H. APPROVAL OF MINUTES 1. March 14, 2017, Regular Board Meeting The minutes of the March 14, 2017, Regular Board Meeting were presented for approval. A MOTION was made by Mr. Ruiz, seconded by Mr. Farhan and passed unanimously passed to approve the minutes of the March 14, 2017, Regular Board Meeting, as amended. 1 of 4 Page 2
5 CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT REGULAR BOARD MEETING APRIL 10, 2017 I. OLD BUSINESS 1. Update Regarding Lennar Expansion Project Mrs. Perez advised that Mr. Silva and she ( District Staff ) had met with Mr. Angel Rodriguez and Ms. Maria C. Herrera of Lennar Homes LLC ( Lennar Staff ) regarding the landscaping improvements along NW 179 th Lane and the refurbishing of the entrance monument features (the Entrance Improvement Project ). District Staff provided Lennar Staff with landscaping design and plants species options that would thrive in the current conditions of the medians according to opinions gathered from landscape maintenance professionals. Lennar Staff originally agreed to contribute the sum of $50,000 for the Entrance Improvements Project, but through negotiations, the offer was increased to a cap of $60,000. Lennar Staff also informed District Staff that due to a lack of time and a heavy workload that they unable to dedicate time to coordinating the Entrance Improvements Project, but would be able to provide the contact information to Lennar s preferred vendors list in order to provide the District with Lennar pricing on the Entrance Improvements Project. A discussion ensued after which: The Board did not accept Lennar Homes offer of $60,000 for the Entrance Improvement Projects and directed District Staff and management to counteroffer by only accepting said offer if Lennar agrees to coordinate all of the Entrance Improvements Projects in their entirety; from planning to permitting, engagement of contractors and professionals, scheduling of work, through the completion of the project. A MOTION was made by Ms. Villalobos, seconded by Mr. Farhan and unanimously passed to authorize District Staff to advise Lennar Homes, LLC to consider the installation or inclusion of Phoenix Palms in a staggered configuration in the medians located within NW 179 th Lane of the District. J. NEW BUSINESS 1. Consider Resolution No Authorizing District Counsel and District Staff to File Petition with Miami-Dade County to Expand the Boundaries of the District This item was tabled until the next meeting. 2. Ratify District Actions Regarding Landscaping Design Option for Medians Located along NW 179 th Lane Is item was previously discussed under Item I Consider Proposal from Crespo for Addition of Coco Palms along Lake Tracts and for Hurricane Trimming Mr. Silva presented four (4) quotes which had been provided by Crespo Lawn Service, Inc. ( Crespo ) and pertained to the installation of cocoplum shrubs (on the east side of large lake and the preserve area lake) and for hurricane season tree trimming. Mr. Silva advised that even though 2 of 4 Page 3
6 CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT REGULAR BOARD MEETING APRIL 10, 2017 Crespo would no longer be providing landscaping maintenance services to the District, he would honor the price for the quotes provided. A discussion ensued after which: A MOTION was made by Mr. Ruiz, seconded by Ms. Villalobos and unanimously passed approving Proposal #1 (for the installation of cocoplum shrubs on the east side of the large lake parallel to the guardrail) and Proposal #2 (for the installation of cocoplum shrubs on the east side of the large lake parallel to sidewalk) from Crespo Lawn Service, Inc. for a cost of $91.00 and $70.00, respectively. 4. Discussion Regarding Landscape Maintenance Proposals Mr. Silva reminded the Board that Crespo would no longer be the landscape maintenance contractor for the District, effective May 1, 2017 (a termination letter has been received by District management). As a result, Mr. Silva presented a chart, which compares the annual cost of four (4) landscape maintenance contractors for Landscape & Irrigation System Maintenance Services (same scope of services as provided by Crespo) for the District. An additional chart was also provided, which compares the cost of four (4) landscape maintenance contractors for the fertilization of seventy-six (76) Royal Palms located along NW 179 th Lane; and whitefly fumigation services for the Ficus hedges located along NW 87 th Avenue. A discussion ensued after which; A MOTION was made by Ms. Villalobos, seconded by Mr. Farhan and unanimously passed to engage Turf Management to perform the landscape & irrigation system maintenance services; thereby authorizing District Counsel to prepare a Landscape Maintenance Agreement ( Agreement ) between the District and the Contractor and authorizes execution of the Agreement by District officials, subject to final review by District Counsel. 5. Update Regarding Broken Sidewalk at Dry Retention Area Mr. Silva advised that safety measures had been taken to secure the two (2) broken concrete slabs. The resident responsible for the damages to the concrete slab has informed him that the concrete slabs will be replaced by the end of next week. Mr. Silva added that District Field Staff had reported to Miami-Dade County Public Works that approximately forty-four (44) raised sidewalk locations throughout the District. No specific timeframe for the repairs have been reported at this time. K. ADMINISTRATIVE MATTERS 1. Financial Report Mr. Silva presented the financials in the meeting booklet and briefly reviewed them with the Board. He pointed out that that available funds as of March 31, 2017, were $138, L. BOARD MEMBER COMMENTS Mr. Silva reminded the Board that the next meeting was scheduled for May 23, 2017, and included a Public Hearing on the budget. M. ADJOURNMENT 3 of 4 Page 4

9 RESOLUTION NO A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT APPROVING AND ADOPTING A FISCAL YEAR 2017/2018 FINAL BUDGET INCLUDING NON-AD VALOREM SPECIAL ASSESSMENTS; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the Century Gardens Community Development District ( District ) has prepared a Proposed Budget and Final Special Assessment Roll for Fiscal Year 2017/2018 and has held a duly advertised Public Hearing to receive public comments on the Proposed Budget and Final Special Assessment Roll; and WHEREAS, following the Public Hearing and the adoption of the Proposed Budget and Final Assessment Roll, the District is now authorized to levy non-ad valorem assessments upon the properties within the District. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT, THAT: Section 1. The Final Budget and Final Special Assessment Roll for Fiscal Year 2017/2018 attached hereto as Exhibit A is approved and adopted, and the assessments set forth therein shall be levied. Section 2. The Secretary of the District is authorized to execute any and all necessary transmittals, certifications or other acknowledgements or writings, as necessary, to comply with the intent of this Resolution. 18 RESOLUTION NO A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT AUTHORIZING DISTRICT COUNSEL AND DISTRICT STAFF TO FILE A PETITION WITH MIAMI- DADE COUNTY, FLORIDA TO EXPAND THE BOUNDARIES OF THE DISTRICT; AND PROVIDE AN EFFECTIVE DATE. WHEREAS, Century Gardens Community Development District ( District ) has received a request from Silver Springs Lennar, LLC that the landowner s parcel be annexed into the District; and WHEREAS, the District Board of Supervisors ( Board ) has determined that it is in the best interests of the District and its residents to expand the boundaries of the District; and WHEREAS, pursuant to Section , Florida Statutes, the District Board proposes to expand the District by approximately 9.70 acres. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT, THAT: SECTION 1. The foregoing recitals clauses are true and correct and are hereby incorporated into this Resolution by reference. SECTION 2. The District hereby authorizes, ratifies and confirms the filing with Miami- Dade County, Florida, of a petition to expand the boundaries of the District to include the area described in Exhibit A attached hereto (the Expansion Area ), all in accordance with Section , Florida Statutes. SECTION 3. The proper District officials are hereby authorized and directed to take all steps necessary to effectuate the intent of this Resolution. SECTION 4. All Resolutions or parts of Resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 5. If any clause, section or other part or application of this Resolution is held by court of competent jurisdiction to be unconstitutional or invalid, in part or as applied, it shall not affect the validity of the remaining portions or applications of this Resolution. SECTION 6. This Resolution shall take effect upon adoption. Page 16

WHEREAS, it is necessary for the Century Gardens Community Development District ("District") to establish a regular meeting schedule for fiscal year 2017/2018; and WHEREAS, the Board of Supervisors of the District has set a regular meeting schedule, location and time for District meetings for fiscal year 2017/2018 which is attached hereto and made a part hereof as Exhibit A. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT, MIAMI- DADE COUNTY, FLORIDA, AS FOLLOWS: Section 1. The above recitals are hereby adopted. Section 2. The regular meeting schedule, time and location for meetings for fiscal year 2017/2018 which is attached hereto as Exhibit A is hereby adopted and authorized to be published. 22 CENTURY GARDENS COMMUNITY DEVELOPMENT DISTRICT FISCAL YEAR 2017/2018 REGULAR MEETING SCHEDULE NOTICE IS HEREBY GIVEN that the Board of Supervisors (the Board ) of the Century Gardens Community Development District (the District ) will hold Regular Meetings in the Mater Gardens Academy Charter School Meeting Room, located at 9010 NW 178 th Lane, Miami, Florida 33018, at 6:30 p.m. on the following dates: October 10, 2017 November 14, 2017 March 13, 2018 April 10, 2018 May 15, 2018 June 12, 2017 September 11, 2018 The purpose of these meetings is for the Board to consider any District business which may lawfully and properly come before the Board. Meetings are open to the public and will be conducted in accordance with the provisions of Florida law for Community Development Districts. A copy of the Agenda for any of the meetings may be obtained from the District s website or by contacting the District Manager at (305) and/or toll free at From time to time one or two Board members may participate by telephone; therefore a speaker telephone will be present at the meeting location so that the Board members may be fully informed of the discussions taking place. Said meeting(s) may be continued as found necessary to a time and place specified on the record. If any person decides to appeal any decision made with respect to any matter considered at these meetings, such person will need a record of the proceedings and such person may need to insure that a verbatim record of the proceedings is made at his or her own expense and which record includes the testimony and evidence on which the appeal is based.
