CALL TO ORDER VILLAGE WALK OF BONITA SPRINGS COMMUNITY DEVELOPMENT DISTRICT REGULAR BOARD MEETING JANUARY 8, 2016 The January 8, 2016, Regular Board Meeting of the Village Walk Community Development District was called to order at 3:00 p.m. in the Town Center at Village Walk of Bonita Springs located at Latitude Drive, Bonita Springs, Florida B. PROOF OF PUBLICATION Proof of publication was presented that notice of the Regular Board Meeting had been published in the Naples Daily News on September 25, 2015, as legally required. C. ESTABLISH A QUORUM A quorum was established with the following Supervisors present: Chairman Chris Hasty Present Vice Chairman Scott Brooks Present Supervisor Laura Ray Present Supervisor F. James Kauffman Present Supervisor Terry L. Peters Present Staff members in attendance were: District Manager Kathleen Dailey Special District Services General Counsel Wes Haber (via telephone) Hopping, Green & Sams District Engineer Chris Wright RWA, Inc. Also present was Town Manager, Katherine Halas. D. ADDITIONS OR DELETIONS TO THE AGENDA There were no additions or deletions to the agenda. E. COMMENTS FROM THE PUBLIC FOR ITEMS NOT ON THE AGENDA District resident Joe McGuire asked about the August meeting minutes regarding Mr. Hasty meeting with the City on Bonita Beach Road. Mr. Brooks indicated that it may have been about Bella Boulevard regarding obtaining an estimate, which had been given to the City and HOA and that there is a bid out for landscaping. Dana Wilks asked about the schedule for trimming the bushes the CDD owns. Mr. Brooks explained that the CDD has a maintenance agreement with the HOA, so the HOA does the scheduling. 1 Page 2

Mr. Brooks explained that it is a 30 year bond and Mr. Haber opined that the balance due on any residence depends on when they purchased their home. F. APPROVAL OF MINUTES 1. October 9, 2015, Regular Board Meeting The minutes of the October 9, 2015, Regular Board Meeting were presented for approval. Mr. Haber requested that the minutes reflect that he was physically present at the meeting. A motion was then made by Ms. Ray, seconded by Mr. Peters and passed unanimously to approve the minutes of the October 9, 2015, Regular Board Meeting, as amended. G. OLD BUSINESS 1. Discussion Regarding Logan/Bella Boulevard Documents Mr. Wright stated that there had been no change in the status of the matter and Ms. Dailey reminded the Board that there might not be an update for 6 to 12 months. 2. Update from HOA Regarding Enforcement of Unauthorized Plantings on Banks Ms. Halas reported her office had been working with Landcare and that 75% of the community had been inspected. She showed the Board a diagram of what had been reviewed and stated that there were seven infractions and all but two residents had removed the illegal plantings. Mr. Kauffman asked how many properties were originally non-compliant to which Ms. Halas replied that there originally had been 17, but many of the plants did not survive. Ms. Halas explained that they had mailed two letters and there had been very little push back. Mr. Kauffman asked if Ms. Halas felt that there someone who she did not believe would comply to which she indicated that she believed all would eventually comply. H. NEW BUSINESS There were no New Business items to come before the Board. I. ENGINEERING REPORT Mr. Wright stated that there were no pressing matters and that he was waiting for the lake levels to drop in order to prepare his annual report, which is usually done in February or March. Leon Brylas asked what was the original depth of the lakes and if dredging would be required. Mr. Wright opined that lakes are usually permitted for at least a 12 foot depth 2 Page 3

He indicated if dredging occurs, it would not be necessary for another 20 or 30 years, if at all. He explained that there is not much sediment in the lakes and since the construction has been completed, without extreme sediment, dredging would not be necessary. J. ADMINISTRATIVE MATTERS Ms. Dailey had no further items. District resident Richard Castiglia asked about the timetable on the bond and when it would be time to start looking at interest rates. Mr. Brooks explained that the Board had already gone through a refinancing of the first set of bonds and that the second bonds can be refinanced after 10 years, at which time the CDD Board would consist of all residents at that time. Mr. Castiglia asked when the Series bonds could be refinanced and Ms. Dailey indicated that she would get that information from her finance department. District resident Peggy Moore asked if the streets are controlled by the HOA or CDD. Mr. Hasty opined that it is confusing since both the HOA and CDD cover the entire area. He explained that the CDD handles the lakes, lake banks, stormwater and bank gutters, but also has an agreement with the HOA to do the maintenance on those items on the CDD s behalf. Mr. McGuire again brought up that the minutes of the August meeting, indicating that there may be an error, since they refer to landscaping of Bonita Beach Road instead of Bella Boulevard. Mr. Hasty stated that the City is amenable to landscaping, but it is in the future and the cost will be approximately $300,000 to $500,000, so they were not expressively agreeing to do so at this time. Upon discussion, it was agreed that the minutes of the August 14, 2015, Regular Board Meeting were incorrect. A motion was made by Mr. Brooks, seconded by Mr. Hasty to amend Item G-2 of the August 14, 2015, Regular Board Meeting Minutes to reflect Bella Boulevard instead of Bonita Beach Road. Upon being put to a vote, the motion carried 5 to 0. K. BOARD MEMBER COMMENTS Mr. Peters stated that he had been approached by the HOA about the CDD turning over property along Bella Boulevard. Mr. Brooks stated that they would need to make a request and provide specifics, although he is not sure why the HOA would want the liability of property since the CDD has sovereign immunity. He noted that the HOA could not own the property, but could come to the District for permission to control the next entrance, if that is the property they are inquiring about. Mr. Haber opined that there are tax restrictions on improvements that are publicly owned, so more information would be needed. L. ADJOURNMENT 3 Page 4

8 RESOLUTION A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE VILLAGEWALK OF BONITA SPRINGS COMMUNITY DEVELOPMENT DISTRICT APPROVING A PROPOSED BUDGET FOR FISCAL YEAR 2016/2017 AND SETTING A PUBLIC HEARING THEREON PURSUANT TO FLORIDA LAW AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the VillageWalk of Bonita Springs Community Development District ( District ) was recently established by Lee County, Florida effective November 4, 2004; and WHEREAS, the District Manager has prepared and submitted to the Board of Supervisors of the VillageWalk of Bonita Springs Community Development District (the Board ) the proposed operating budget for Fiscal Year 2016/2017; and WHEREAS, the Board has considered the proposed budget and desires to set the required public hearing thereon. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE VILLAGEWALK OF BONITA SPRINGS COMMUNITY DEVELOPMENT DISTRICT: 1. The operating budget proposed by the District Manager for Fiscal Year 2016/2017 attached hereto as Exhibit A is hereby approved as the basis for conducting a public hearing to adopt said budget. 2. The public hearing on said approved budget is hereby declared and set for the following date, hour and location: DATE: August 12, 2016 HOUR: 3:00 p.m. LOCATION: Town Center at VillageWalk of Bonita Springs Latitude Drive Bonita Springs, Florida The District Manager is hereby directed to submit a copy of the proposed budget to Lee County at least 60 days prior to the hearing set above. 4. In accordance with Section , Florida Statutes, the District's Secretary is further directed to post the approved budget on the District's website at least two days before the budget hearing date as set forth in Section 2. If the District does not have its own website, the District's Secretary is directed to transmit the approved budget to the managers or administrators of Lee County for posting on their website. 9 5. Notice of this public hearing shall be published in the manner prescribed in Florida law. 6. This Resolution shall take effect immediately upon adoption. 17 SPECIAL DISTRICT CANDIDATES Candidates may pre-qualify beginning 10:00 a.m., Monday, June 6, 2016 Official Candidate-Qualifying Period: NOON, Monday, June 20, 2016 through NOON, Friday, June 24, 2016 Thoroughly review the information contained in this handout regarding the filing of candidatequalifying forms and filing deadlines for Special District candidates. A candidate must review all STEPS to ensure that he or she files all required forms and timely completes the candidate-qualifying process! IF YOU ARE: Pre-Qualifying Period means: The time-period, 14-days prior to the Official Candidate- Qualifying Period, during which a candidate can submit ALL required candidate-qualifying forms and pay the required candidate filing fee. Often referred to as early qualifying. Official Candidate-Qualifying Period means: The official time-period provided by Florida Law for candidates to submit ALL required candidate-qualifying forms and pay the required candidate filing fee. Before May 23, 2016: Go to STEPS 1 and 2. Step 1 is not required if the candidate does not use the candidate-petition method. Between May 23 and June 6, 2016: Go to Step 2. On or after June 6, 2016: Go to Step 3. STEP 1: Candidate Petition Process in Lieu of Paying Filing Fee Deadline to Submit Signatures is Noon, Monday, May 23, 2016 Candidate-petition signatures are not required, however, a Special District candidate who intends to utilize the candidatepetition method in lieu of paying the $25 filing fee must: 1. Submit initial forms in STEP 2 with candidate petition signatures; 2. Utilize Form DSDE 104 (Eff. 09/11) Candidate Petition Form to obtain signatures (signatures may only be on this Form); 3. Must include the area, seat or district number on each Form DSDE 104 submitted for validation and certification. 4. Obtain the valid signatures of 25 registered electors in the geographical area represented by the office sought; 5. Submit candidate-petition signatures to the Lee County Supervisor of Elections for validation and certification; 6. Submit candidate-petition signatures BEFORE NOON, May 23, 2016; 7. Pay, to the Supervisor of Elections, the signature verification fee of 10 cents per signature submitted; 8. The signature verification fee may be paid from personal funds; 9. A candidate who obtains the required number of signatures will not be required to pay the $25 filing fee; 10.
