9 AMENDMENT TO THE CONTRACT/AGREEMENT BETWEEN BASN DSPOSAL OF YAKMA, L.L.C And THE CTY OF WAPATO FOR THE COLLECTON OF SOLD WASTE AND RECYCLABLES THS NNTH AMENDMENT is entered into this day of, 2017, by and between Basin Disposal of Yakima, L.L.C. and the City of Wapato, with reference to the following facts: RECTALS A. Basin Disposal of Yakima, L.L.C. and the City of Wapato entered into an Agreement for the collection and disposal of solid waste dated April 1, 2005 (the Agreement ); B. Basin Disposal of Yakima L.L.C. and the City of Wapato agree that it will be in the Best interests of the City of Wapato and Basin Disposal of Yakima, L.L.C. to amend the Agreement for the year 2017 as outlined in this Amendment. AMENDMENT NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements contained herein, the parties hereby agree that the Agreement is amended as follows: A. Basin Disposal of Yakima, L.L.C. and the City have agreed to adjust all rates in the Agreement based on 80% of the All tems, Seattle-Tacoma-Bremerton, Base Period = 100 ( Consumer Price ndex ), based upon the percentage change from October to October index. This percentage change reflects an increase of 1.92% in the rates. B. n recognition of the fact that the Yakima County Landfill System increased rates effective February 1 st, 2017, that a further increase of 2.1% increase shall be applied to the rates charged by the Basin Disposal of Yakima, LLC. C. Combining these two factors yields a net authorized increase to the rates of 4.02%, effective February 1 st, BD-City of Wapato Contract Amendment #9 Page 1 of 2 1/11/2017 Page 9 of 12
10 D. t is understood and agreed that the increase under Section A above is normally to be made in, or around, March of each year pursuant to the Agreement. This amendment does not change the date of future adjustments under the Agreement, and is solely meant to alter the 2017 date for the Consumer Price ndex ncrease. Starting again in the year 2018, the Consumer Price ndex increase will occur pursuant to the Agreement and not pursuant to this Amendment. This Amendment, together with the original Agreement constitutes the complete and entire agreement of the parties. To the extent there is any inconsistency or ambiguity between the original agreement and the amendment, the amendment shall control.
