13 GENERAL SALES CONDITIONS Aix-en-Provence Tourist Office Receptive Groups Article 1 General provisions 1-1 In compliance with the July 22, 2009 law, local tourism organizations assisted by the State, regional and local authorities and their affiliates can participate in or assist with, in the public interest, the organization or sale of travel or of individual or group stays or any services that may be provided in relation to trips or stays including issuing transport tickets, booking rooms in hotels or in local tourist accommodation facilities and the provision of food and accommodation vouchers, tourism-related services including the organization of visits to museums or historical monuments, travel packages, as well as organizing and hosting trade fairs, exhibitions and conventions or any related events which include all or part of the services mentioned above, provided that they facilitate hosting or improve accommodation conditions for tourists in the geographical area concerned. Tourist Offices are local tourism organizations, available to service providers who have signed a mandate agreement with them or have concluded a one-time contract with them on the basis of an order form. 1.2 The Tourist Office sells through its website and its various services to groups, which are governed by these terms and conditions. Group services are reserved for groups of 15 people minimum (unless otherwise stated in the estimate). The ordering of services is restricted to customers who have previously read the general conditions of sale in their entirety and have accepted them by signing the quotation received with the mention "Good for agreement". Without this acceptance, the continuation of the ordering process is technically impossible. The client must be at least 18 years old, be mandated by the group he represents, and be legally able to contract and use the services offered in accordance with the general conditions. Except in cases of fraud, which it is his responsibility to report, the client is financially responsible for his / her actions. It also guarantees the veracity and accuracy of the information concerning it. 1-3 The estimate of the receptive service / groups of the Office of Tourism contains the following information: The precise identification of the Tourist Office, indicating its business name, postal address, address, telephone number, fax number, registered office, references to the registration of travel agents and other operators of stay, its SIRET number. This version supersedes all previous versions. 1-5 The specific terms of partners which are listed on the description of the service and on the booking confirmation, are also applicable to the offer and the supply of the services. 14 GENERAL SALES CONDITIONS Article 2 The agreement 2-1 It is reminded that any order of one or more of the services proposed by the Tourist Office supposes the unrestricted or acceptance of the present general conditions of sale, which are visible and searchable on the website (groups) and which are sent as an attachment of the estimate. 2-2 Reservation of the services proposed by the Tourist Office is done by returning the dated and signed quote, with the mention "Good for agreement", by mail or to the Tourist Office, accompanied by l (see Article 5 - Payment) 2-3 The descriptions and photographs of the services proposed by the Tourist Office, appearing on the site and in its brochures, have a purely informative purpose, the content of which may vary according to the service provider. By ordering, the customer explicitly acknowledges having obtained all the desired information, on the nature and the characteristics of the services ordered. 2-4 The contract of service becomes firm and definitive, when the client has validated the quote received (date, signature, "Good for agreement") and has paid all the services ordered. 2-5 The contract of sale between the Tourist Office and the customer is formed as soon as all the steps mentioned above have been completed: receipt of the quote signed "Good for agreement", receipt of full payment, written confirmation of the services by the Tourist Office. Article 3 Rates The prices of the groups products appearing on the website of the Tourist Office and in its brochures are displayed in Euros, VAT included. The Tourist Office reserves the right to modify the price of its services at any time, in agreement with the service provider. The prices take account of the VAT applicable on the day of the order and any change of the rate applicable to the VAT will be automatically reflected on the prices indicated on the date of invoicing. Any change or introduction of new legal or regulatory fees imposed by the competent authorities will automatically be reflected on the prices indicated on the invoice date. Article 4 Terms for the performance of the services The duration of each service is that stipulated in the description of the product or in the estimate. The customer may not in any circumstances, claim a right to remain on the premises at the end of the service. For the proper performance of the service, the customer must arrive on the specified day and time or contact the provider directly. Visites GROUPES Conditions de vente Page 2

15 GENERAL SALES CONDITIONS 4-1 Special Provisions according to the services ordered Accommodation: In the case of a reservation of accommodation, it is strongly advised the customer to inform the service provider or the Tourist Office of his arrival time. The client must refer to the hours of operation of the booked establishment. Tourist products, transport and package, group days, tourist packages: The timetables indicated must be observed in order to guarantee the smooth running of the service. In case of delay and without demonstration on the part of the customer about his time of arrival, the reservation is guaranteed according to the wishes of the service provider. It may happen that certain activities proposed by the service providers and indicated in the description of the product are cancelled, in particular for climatic reasons, in case of force majeure or stay outside the tourist season, or when the number of participants required to carry out the activity is not reached out. The cancellation of any activity for a case of force majeure or because of the behavior of a third party to the contract can not in any case result in any compensation for the benefit of the customer by the Tourist Office. Ticketing: The confirmation document should be presented upon arrival at the service provider s location. Tickets ordered are not sent by post. Article 5 Payment 5-1 Payment Terms A deposit of 30% of the total sum of the estimate is due with the return of the quote signed by the customer in order to confirm his order. The balance is due 30 days before the start date of the services provided. 5-2 Means of Payment Payment is made to the Tourist Office, by bank transfer or by check issued and payable in France. The bank details of the Tourist Office as well as the order of the checks are detailed on the invoice. 5-3 Free The free of charge is mentioned in the estimate. Unless expressly mentioned in the quotation. Article 6 - Transfer of agreement by the customer The customer may transfer the agreement to a transferee who fulfils the same conditions as him/her for the service. In this case the customer is required to inform the Tourist Office of such transfer by , no later than 7 days prior to the start of the service. The agreement must be transferred at cost price. The transferor and the transferee are jointly and severally liable visà-vis the seller for the payment of the balance due and any additional costs arising from such transfer. 16 GENERAL SALES CONDITIONS Article 7 - Modification by the Tourist Office of a substantial part of the agreement Should the Tourist Office have to make a change to one of the essential elements of the agreement before the agreed start date of the service, the customer may, without any prejudice to his/her right to claim compensation for any damage which may have been caused, and after having been informed by the Tourist Office by any means whatsoever: Either terminate the agreement and obtain an immediate refund without charge. Or accept the change to or substitution of services offered by the Tourist Office, with an addendum detailing the changes then being signed by the parties. If the substituted service is cheaper than the service ordered, the excess will be returned to the customer before the start of the service. Article 8 - Additions and changes by the customer 8-1 Any service not mentioned in the package should be paid on the spot. The customer may not, without prior approval of the Tourist Office, change the itinerary of his/her stay. Fees for changes that are not accepted remain entirely at the customer's expense. Unused vouchers will not be refunded. 8-2 The Customer should note that, in accordance with Article L of the Consumer Code, he/she does not have a right of withdrawal, which does not apply to tourism services. Article 9 Cancellation by the customer 9-1 Any cancellation or partial cancellation must be notified either by mail or by to the following address: groupes@aixenprovencetourism.com indicating the reference of the file. 9-2 For accomodation bookings: For any booking of accommodation within the framework of a group stay, the conditions of sale of the host apply. They are sent to the client for information and acceptance prior to the formation of the contract. 9-3 For bookings of guided tours, tickets, products, tourist services For tickets to tourist sites, tickets are valid for the date of the reservation. They are not exchangeable or refundable. For the services of a guide provided by the Tourist Office or one of its partners, if the cancellation occurs less than 72 hours before the start of the service, no refund. For concerts / museums / shows / excursions, tickets are not taken back or exchanged, except cancellation of the event. For activities (cooking workshop, sport, relaxation...), tickets are non-cancellable non-refundable. Cancellation conditions different from those mentioned above may be applied by certain providers. If necessary, these conditions will be stipulated in the quotation. 9-4 For transport reservations For any booking of transport in the framework of a group stay, the conditions of sale of the carrier apply. 17 GENERAL SALES CONDITIONS 9-5 For package bookings, group days and tourist packages: In the event of total or partial cancellation by the customer, the Tourist Office will automatically apply the penalties to the customer, under the following conditions: If the total or partial cancellation occurs, at least 30 days before the start of the benefits (the time taken into account is fixed at 9:00 am on the expected day of arrival), no penalty is due and the Tourism will reimburse the client the sums collected in payment for canceled services. * Between D-30 and D-15: 50% of the total service on the basis of the signed quote will be required. * Between D-14 and the start date of benefits: 100% of the total benefit based on the signed quote will be required. * * Except as specifically stated in the quote or in the reservation Confirmation. If the customer does not cancel his reservation or has not presented himself to a service provider, no refund will be made in the event of cancellation or no presentation of the customer (no-show invoice). In the absence of any special provisions mentioned on the site prior to the booking, any modification (change of departure date or return date, timetables...) or any cancellation emanating from the customer entails, except in cases of force majeure and unless otherwise agreed by the Contractor concerned, the payment of an amount corresponding to 100% of the price of the service. Article 10 Cancellation by the Tourist Office The Tourist Office must inform the customer in writing of any cancellation prior to the start of the service. The customer, without prejudice to any compensation claim for damage caused, will be refunded for any sums paid immediately and without penalty Special provisions for certain types of services that require a minimum number of participants An insufficient number of participants may be a valid reason for the cancellation of certain types of services. In this case, the Tourist Office will refund the full amount paid. Such a cancellation cannot occur earlier less than 24 hours before the start of the service. Article 11 Cancellation or modification by the customer The conditions of sale of the reserved rate specify the cancellation modalities and / or reservation modification. 18 GENERAL SALES CONDITIONS Article 12 Responsibility 12-1 As the provider of the services, the Tourist Office is the customer s sole contact and is responsible in the performance of the services ordered and obligations under these Terms of Sale The Tourist Office s programmes are based on the opening hours of monuments, museums and establishments. In the event of unforeseen closure, the Tourist Office shall in no event be held liable for the nonfulfilment of a programme that is beyond its control The Tourist Office cannot be held liable for the total or partial failure to perform the services ordered or for the full or partial lack of compliance with the obligations set out in these General Terms of Sale in the case of force majeure events, bad performance or misconduct by the customer or unpredictable and unavoidable actions by a third party not related to the provision of services The Tourist Office shall in no case be held liable for the use of these agreements by third parties or for purposes other than tourism The descriptions and photographs of the services referenced by the Tourist Office, appearing on the site and in its brochures, are purely informative and under the responsibility of the service provider. The photographs presented on the site and in the brochures are not contractual. Although every effort is made to ensure that the photographs, graphic representations and texts reproduced to illustrate the service providers presented give as accurate a picture as possible of the services offered, variations may occur. This is particularly relevant in the case of transport strikes, demonstrations, hotel staff strikes, adverse weather conditions (bad weather, storms etc.) hydrological conditions (floods etc.), establishment closures and geographical occurrences The occurrence of a force majeure event suspends any of the present obligations affected by such event, and holds harmless the party who should have performed the affected obligation. The service provider reserves the right to cancel any reservation and change the date in cases of force majeure. If the service provider is obliged to cancel the service before the customer could have started the activity, a deferral of the activity will be offered to the latter. Article 14 - Privacy 14-1 Unless client s opposition, if he/she has made a booking via our services, the Tourist Office may send an to the client with promotional offers and a questionnaire of satisfaction following his stay.
