4 General Terms of Sale 1. Preamble On the occasion of the Event, Amaury Sport Organisation (A.S.O.) offers the Companies and/or Institutions (the Customer) public relations services described in the Commercial Offering in a zone (the Reception Zone),not open to the public(the Programme), within the scope of the Event(The Services). The Customer has expressed the desire to acquire the services. Consequently, A.S.O. and the Customer (referred to hereafter as the Parties) have decided to conclude a public relations services contract (referred to hereinafter as the Contract). The Contract is made up, by decreasing order of importance, of the order form(referred to hereafter as the Order Form, these general terms of sale of public relations services (referred to hereafter as the General Terms) and the Commercial Offering, which form an indivisible whole. In case of contradiction between the Contractual Documents, the Order Form shall take precedence over the General Terms. The Contract, of which this Preamble is an integral part, governs the relations between the Parties with regard to the subject of these General Terms which supersede all other documents, written or verbal agreements; it supersedes all verbal or written agreements exchanged between the Parties prior to the conclusion of this Contract concerning the same subject. 2.Price and Terms of Payment 2.1.In return for the Services, the Customer shall pay to A.S.O. the fixed sum stipulated on the Order Form in Euros. The currently applicable rate of VAT or any other tax due at the time of payment shall be added to this sum. The total payment must be made in euros inclusive of tax on signature accompanied by the Order Form and the General Terms, initialled and signed. 2.2.Any late payment or non-payment shall be deemed a default by the Customer unless the latter can demonstrate the existence of a case of superior force, and shall lead to the immediate termination of the contract by right and without any legal formalities, without prejudice to any damages that may be claimed. 2.3Under articled441-5of the French Code of Commerce, the amount of the fixed penalty for debt collection costs stipulated in the twelfth clause of articlel441-6is set at 40euros The Customer shall not be able to claim any compensation or financial redress whatsoever in the case where, for whatever reason, it does not use the Services either partially or fully. 2. Obligations of A.S.O. A.S.O. undertakes to provide the Customer with the services, either directly or by the means of third-party service providers to which it may entrust all or part of its Services. The Reception Zone shall be set up and made available to the Customer in compliance with the provisions of the Order Form. 4. Customer obligations Access to the Reception Zone No invitation issued by the Customer shall be considered as a valid access to the Programme or the Event. Only the people wearing a bracelet issued by A.S.O. on their wrist shall be allowed access to the Reception Zone. The Customer as well as its guests, whether employees, officials and/or agents (the Persons) accept to be filmed and/or photographed and that their image can be reproduced and freely used by A.S.O. or its assignees or legal representatives during the broadcast and promotion of the Programme and the Event. A.S.O. reserves the right to refuse access to the Reception Zone or evict from the Reception Zone any person whose behaviour is liable to bother the other Customers or disturb the smooth running of the Programme or the Event The Customer shall ensure that itself and the Persons respect the following provisions: It is forbidden to use, in any form and for any use whatsoever, except for the strict framework of use within the family circle, of photos or films partially or fully depicting the Programme or the Event. It is forbidden to distribute and/or sell to the Persons and/or any third parties all products and/or services in the Reception Zone and more generally as part of the Event. It is forbidden to deploy within the Reception Zone or at the Event any marking such as banners, signs, clothing or voluminous advertising items bearing any brand whatsoever The Customer undertakes to refrain from selling, leasing, sharing, lending and/or sub-letting to any person and/or third party, in return for payment or for free, part or all of the Reception Zone. 5. Secrecy and Confidentiality The Customer undertakes to not make any declarations that are liable to harm the image of A.S.O., the Event or the Programme. The Customer undertakes to observe strict confidentiality and shall refrain from disclosing to whomsoever, for whatever reason, all the information that it may have gain knowledge via this Contract relating to the Event or more generally A.S.O. Any reference to the Programme and the Event as well as any use by the Customer of the logo of the Event and/or where applicable the Programme or any other distinctive feature related to the Event or to A.S.O. as well as any use of terms such as Supplier, Partner, Sponsor or Patron of the Event or the Programme is strictly forbidden. The failure to recognise this provision may lead to the immediate termination of this Contract and the immediate payment of a penalty set at 1/10 th of the sums stipulated in the Contract, without prejudice to further sums that A.S.O. may be led to demand to compensate any damages incurred. However, if necessary, the Customer may make reference to the Programme on the invitations that it issues on the condition that it submits the final draft version to A.S.O. for prior written agreement.

5 General Terms of Sale (continued) 6. Customer Liability and Insurance The Customer shall be liable, for the entire duration of the Contract, for all its own actions or those of the Persons within the Reception Zone or at the Event. The Customer is liable for all destruction, damage, degradation or deterioration of the Reception Zone that may be observed by A.S.O. following it being made available to the Customer. Consequently, the customer undertakes to refund A.S.O. on its first request and simply on presentation of proof for all the costs that the latter has incurred in order to restore the Reception Zone. The Customer shall, without delay, inform A.S.O. of any incident, bodily harm and/or material damage of whatever nature that occurs in the Reception Zone. Furthermore, the Customer undertakes to take out and maintain for the entire duration of the Contract, at its own cost, an insurance policy covering its civil liability and those of the Persons for all types of damages, whether physical, material or non-material, whether direct or indirect, caused by its own actions or those of the Persons and to provide proof thereof when requested to do so by A.S.O. 7. Termination In case of a failure by the Customer or the Persons to observe any one of the obligations stipulated in these terms, the Contract shall be terminated by right and without legal formalities by A.S.O. after notification to rectify such a failure is made by various means to the Customer but which remains unanswered. Such termination shall be without prejudice for A.S.O.to any demand for damages. Such a notification may be made within the hour following the failure to comply with or breach of an obligation. 8. Superior Force The Parties expressly agree that A.S.O. shall not be held liable if the Event and/or the Programme is cancelled or interrupted due to a case of superior force. Within the scope of these General Terms, the Parties agree that the following occurrences shall be classed as cases of superior force: fire, weather conditions or political conditions that make it impossible or very difficult to stage the event, in particular, flooding, epidemics, terrorist attacks, hurricanes, tornados, gales, storms, freezing, hail that adversely affects the staging of the Event, earthquakes, war, civil war, requisition, disruption of employment, lock-out or striking of the personnel and/or sportspersons necessary for staging the Event or for transporting the competitors or spectators, revolution, rioting, crushes, legal moratoriums, acts of state, withdrawal or suspension of federal authorisations, withdrawal or suspension of authorisations to occupy the sites on which the Event takes place, theft of part or all of the equipment required for the staging of the Event, electrical power-cuts, interruptions or delays in transport means or telecommunication means, impossibility to broadcast the Event via terrestrial Hertzian waves, cable or satellite, conditions making it impossible or very difficult to maintain the safety of participants in or spectators at the Event, substantial no-show of the participants in the Event. 9. Cancellation or Interruption of the Programme and/or Event The cancellation and/or interruption of the Programme and/or the Event for any reason whatsoever, shall be considered by the Parties as cases of superior force. The Customer acknowledges that A.S.O. shall not be held liable to reimburse the sum stipulated on the Order Form or pay any form of compensation arising from the interruption or total cancellation of the Event and/or the Programme and thus renounces to take any action for a case in negligence against A.S.O. in order to obtain damages for these reasons. 10. Intuitu personae This Contract is concluded intuitu personae between the Parties. The rights and obligations of the Customer shall not be assigned, delegated or transferred, either partially or in full, to a third-party, by whatever means, without the prior express written agreement of A.S.O. 11. Applicable law and competent court THIS CONTRACT WAS DRAWN UP IN FRENCH WHICH SHALL, IN ALL EVENTUALITIES, BE CONSIDERED AS THE SOLE LANGUAGE OF THE CONTRACT. ALL ITS PROVISIONS ARE GOVERNED BY FRENCH LAW. THE SOLE COMPETENT COURTS FOR ANY DISPUTE CONCERNING ITS VALIDITY, ITS INTERPRETATION, ITS PERFORMANCE AND/OR ITS TERMINATION AND/OR ITS EXPIRY SHALL BE THE COMPETENT AUTHORITIES OF THE COURT OF APPEAL IN PARIS, NOTWITHSTANDING ANY INCIDENCE REQUEST INCIDENCE AND/OR INTRODUCTION OF THIRD PARTY OR PLURALITY OF DEFENDANTS. 12.Miscellaneous Any tolerance by A.S.O., even if repeated, shall not represent a waiver or any one of the provisions in this Contract. In case of invalidity of any one of the provisions in this Contract, the Parties shall seek in good faith equivalent valid provisions.
