BriAA s Compensation Plan is designed to generously compensate you for your hard work and strong commitment, by providing a consistently increasing opportunity for growing income, comprised of bonuses, commissions and benefits resulting from your personal, business and team development. Before you dive into the full design, please make sure to read the Terminology, found at the end of this booklet so that you are fully familiar with the terms and correct vocabulary of the plan, so that you may perfectly and more easily understand it. BriAA's Compensation Plan is designed and divided into Three Guide (or Goal) Lines, as you work your way up the ladder of achievement and success: The first stage is the Consultant level. This is an important part of training, implementing and tying new concepts of work ethics and self-commitment to your goals. This is the time to learn all there is to know about the opportunity, our products and this great industry. The second stage is Building Your Success Team and setting the right tone for your group in focusing on common goals of establishing a strong structured network. Use the tools provided to you and develop your own techniques and methods that will elevate your achievements. Your success in duplicating your road to development and growth, is best expressed by the people following your footsteps and setting themselves on their own path to financial freedom. The final stage is the Leader Level. This part of the plan acknowledges your skills and experience, and recognizes you for setting an example by duplicating and teaching. When you lead an organization that is composed of many independent groups, that means you are successfully mentoring and helping new leaders to take control over their life and help others do the same. The Compensation Plan is structured to best reward the efforts and activities that correlates with the three developmental stages and offers unique and exclusive bonuses and payments accordingly. 5 How does the plan work? Now that you have joined the BriAA family, and you realize the great potential for your future in our opportunity, this is the time to read, review and thoroughly learn all the materials provided to you. There are a number of excellent resources available for you: This guide, the BriAA Manual, The Path To Success Training Guide, the BriAA website, and don t forget to reach out to your sponsor for assistance and guidance as well. It is also a good idea to participate in any company and group meetings, seminars and conventions being held anywhere near you. Please make every effort to understand all the information and turn to your sponsor or the company with any questions. Three ways to join the BriAA Family Client / Preferred Customer / Authorized Consultant 1. Be a Client BriAA's authorized Consultants are the only ones who are entitled to sell and present the products. The products are not sold or advertised in stores or online marketing places by anyone other than the company itself and its Consultants. Anyone interested in purchasing and enjoying the products is welcomed to do so by ordering from one of our international Consultants either in person or via the internet, at retail price. All updated prices are detailed on the company's website and reference materials. There is no obligation to be a Client Customer. 2. Be a Preferred Customer (PC) BriAA offers unique benefits to its loyal customers who join the BriAA Members Club. For Customers who simply wish to enjoy the products on a regular basis, and are not necessarily interested in building a business, we offer a Preferred Customer program that allows customers to earn Loyalty Points that may be redeemed for free product, as well as receiving a permanent 10% discount on all purchases. Members of the club are entitled to: % off retail price on all purchases. 2.. Earn BriAA's Loyalty Points in an exclusive program. Preferred Customers (PC) only, receive points equivalent to 20% of their purchases, based on their PV value. When the accumulated Loyalty Points reach the value of the full price of the BriAA product(s) of their choice, then they are entitled to order the product using the BriAA Loyalty Points Bonus points for referral are rewarded to a PC every time they refer another qualified Preferred Customer. Example: Miki has joined BriAA as a PC. He enjoys 10% off the retail price on his purchases. Miki recommended the products to his friend Mika, who enrolled as a PC as well, Miki received 30 bonus points, which are accumulated to his account and may be redeemed for the full-sized product of his choice once he has accumulated enough points. There are three alternative enrollment methods: (1) Purchase a Royal System, (2) Customers may purchase a PC enrollment ($29) (3) Enroll in our Automatic Shipment Program (Autoship). 5

6 The Automatic Shipment Program (Autoship) BriAA offers a convenient service for its most loyal customers that enjoy the incredible products on a regular basis. This service allows the Customer to create a specific individual repeat purchase plan according to the frequency they would like to receive the products, without the need to repurchase each month or two. By registering for the Autoship program, one receives free enrollment in BriAA's Member Loyalty Club while saving time and money each month. Autoship enrollees may change or cancel their autoship order at any time, free from penalty or charge. Example: Shira loves the products and uses them regularly. She requires a new set of Day & Night Creams every two months. So, Shira enrolls in BriAA s Autoship Program. She fills in her information and chooses the option of delivery every two months of the Duet Force Renaissance Day & Night Creams. Shira also uses the Expression Lifting Serum and the Illumination Eye Serum which she renews every 6 months. Therefore, on her Autoship form, she requests the Expression and the Illumination on specific delivery date. The payment for Shira s purchases is automatic and only gets billed upon each shipment, saving her precious time. Shira receives updates regularly to her personal account. At any given time, she may edit, change, or even cancel her autoship order if she so wishes. By participating in autoship, Shira is a Preferred Customer and is entitled to accumulate Briaa Loyalty Points, and receive free products of her choice as her points grow. 3. Be an Authorized Consultants Any individual or business entity, who loves the products and recognizes the rewarding earning opportunity, may choose to join BriAA's success team and enroll as a qualified Consultant Exclusive Benefits for Authorized Consultants 25% permanent wholesaler discount off retail price on all purchases. The ability to sell BriAA products to Customers and Preferred Customers. Can enroll new Consultants to the company, and be rewarded for their activity. Your own personal E-commerce Web Site for easy sales and convenient management of your business. Online Back Office, a powerful management tool to access all activity, bonuses and payouts status. Smart Electronic Wallet for maximum flexibility in receiving and managing your bonus payments. Access to BriAA headquarters, personnel, and special marketing tools available for Consultants only. There are two requirements for becoming a Qualified Consultant: 1. Submitting a signed Independent Consultant Agreement (in writing or online) 2. Payment of the 199$ registration fee. 8 *A consultant s Career Title is their recognition title or the highest title they have achieved. A consultant s Career Title does not change unless they are promoted or demoted (see Demotion Policy). Career Title remains unchanged for 12 months. *A Consultant's Paid-as Title, however, may vary from month to month. The Paid-As Title is dependent upon each month's activity and achievements, and determines accordingly, the title by which a Consultant is paid upon in each particular month. Important to remember: it is crucial to completely fulfill the monthly minimal requirements of a certain title in order to be eligible for payment according to that title in the relevant period. For example, Joanna met the requirements to promote to the title of Gold Star in June. Her Career Title is now Gold Star and will remain so until she promotes to a higher title or is permanently demoted (see Demotion Policy). In July, she is paid-as a Gold Star. Her Career Title and Paid-as Title are the same. In August, she is paid-as a Key Star. Her Career Title remains as a Gold Star but her Paid-as Title for August is Key Star. The Company calculates the payouts and bonuses to be paid at the end of each Calendar month 'period'. A consultant must maintain at least 100 Personal Volume (PV) to be considered Active for that period. If a consultant is not active in the period, they receive no commissions from their downline. However, they will receive personal retail commissions from their client purchases even if they are not Active. A consultant s customer purchases will accrue toward the consultant s PV and count toward Active status. 8 From the moment of your enrollment, you are entitled to a permanent wholesaler discount of 25% off retail value for all your purchases and therefore, you are entitled to the retail profit. Retail Profit will be awarded to a Consultant on all orders placed by themselves or their customers at the Preferred Customer or Retail Price Point. The amount of the Retail Profit will be 15 25% accordingly. *There is no obligation to purchase products for self-consumption

9 Starting out with BriAA is a unique opportunity for personal growth as well as financial independence. There is a wonderful path to discover, but no matter how far you are going, and what your destination is, all journeys begin with a first step. Forward. Every new Consultant begins their career according to the Consultants Ranks: Title/requirement Training Consultant Beginner Consultant Advanced Consultant KEY STAR Total Qualifying Volume PV Active Legs - X1 X2 X2 4LV * PV = A volume number associated with each product used for qualification. For Example: A consultant s PV consists of a combination of the volume from orders placed personally and by their personally sponsored customers (orders placed directly with the company by customers). * Active Leg = A leg begins with a first level consultant and includes all of the consultants beneath them. A consultant has as many legs as they have first level consultants. An Active leg, means that somewhere along that leg, there is a least one Active Consultant. * 4LV = Four Level Volume is a Consultant's PV and their entire downline volume, down four (4) levels regardless of their title. (each new consultant in the chain is a new level). Please read the detailed terminology. According to the ranks requirements, a Beginner Consultant is one that has at least one Active Leg, and over 100 PV. Advanced Consultant has at least 200 PV and two Active Legs, whereas a KEY STAR titled Consultant, has the same, in addition to having 1,000 4LV. For example, Sally enrolled in the Company. She paid the enrollment fee and filed the signed Independent Consultant Form. She purchased 3 Expression Serums, at wholesaler's price of 25% discount, and paid $270. During the next week, Sally sold all three Serums to her sister in law and her friends. Sally earned 25% retail profit on the sales, for a total of $90. She also accumulated 360 PV. In case her sister in law Michelle decides to enroll as a consultant herself, then Sally will be entitled to 4% of Michelle's activity, since Sally fulfilled the requirements of a Beginner Consultant. 9 Active Consultants that are paid-as a Beginner Consultant or higher may receive a percentage on the Commissionable Volume (CV) from the sales of their downline through four levels. 1. The percentages and number of levels that a consultant receives is based on their Paid-as Title each period and is regardless of the title of the people below them. 2. The ranks of the consultant s downline is meaningless in regards to the Uni-level payouts, therefore a consultant is rewarded also on the commissionable volume of higher ranked consultants in her downline. Paid-As Title/ Levels Training Consultant Beginner Consultant Advanced Consultant KEY STAR Level 1-4% 6% 8% Level % Example: Dona purchased and sold 200 PV, she enrolled two new consultants that are considered two Active Legs, (they or someone in their downline is active), therefore Dona is qualified as an Advanced Consultants, she is entitled to 6% of the commissionable volume of her first level Consultants' Sales. If Dona and her personal Group in the first 4 levels reach a total of 1,000 PV, then Dona would qualify as a KEY STAR and be entitled to 8% of her first level sales as well as 3% on her second level sales as well.

10 Be Fast, Be the Best BriAA offers unique beginners and special sales bonuses: The plan is designed to recognize Consultants quickly for their effort, building confidence and repeated successes right from the get go, and therefore it rewards exclusive benefits to new consultants and high performances: The Fast Start Bonus (FSB) A significant 5% bonus on all the Commissionable Volume from the new consultants on your first and second level who are in their first three full months in the business (month they enroll plus the following three months). FSB rewards consultants on their sponsoring efforts, in order to promote smart building of your success team. By making sure you have as many legs as possible, you are assuring that your future organization will have a strong and solid foundation. A well-structured team increases your potential payouts and growth. Example: Zoe, an an active Consultant, recruited her friend Debby and her brother Ron. Both are her first level consultants. Debby enrolled John, her neighbor, making him Zoe's second level consultant and so forth. Zoe is entitled to 5% of all of Debby's and Ron's commissionable volume during their first three months as consultants. 10 PSB - Power Seller Bonus A selling Genius that reaches high PV is entitled to percentage of his sales volume. The higher the volume, the higher the percentage. When a consultant excels in creating direct sales volume, they are entitled to a bonus- a certain percentage of sales. The percentage depends upon the monthly PV. BriAA understands that there are people who simply love to sell. Others may have mastered the right way to introduce good products and find Consultants, and are doing it with great success. Hard work is always highly valued and appreciated at BriAA, therefore, a PSB is rewarded to all consultants that excel in their sales volume and entitles them to a segment of their own selling achievements according to their efforts: 1000 PV 5% of personal sales 1750 PV 10% of personal sales 3000 PV 15% of personal sales 5000 PV 20% of personal sales Example: Sara is a natural born seller. This month alone, she has sold products to her office colleagues, to other moms at the playground, and friends, in grand total of 3150 PV. Sara is entitled to 25% of the volume and an extra PSB of 15%, together, 40% of her monthly sales. Another example: Alex is not a great fond of sales, but she enrolled many preferred customers who referred others too. This month, her total combined volume reaches 5,980 PV with only 200 PV from her own sales and then remainder coming from her PCs. Therefore Alex will be entitled to the 20% PSB, on top of the 15-25% retail commissions she receives as a consultant.

11 RSB - Rising Star Bonus When you promote to KEY STAR within your first 3 full months (month of enrollment plus 3 additional, consecutive months), you will receive a one-time bonus of 100$. Matching Rising Star (KEY STAR Advancement Bonus. (MRSB) When you qualify as a KEY STAR or higher and help someone that you sponsor to promote to KEY STAR within their first 3 full months, you will receive a Matching $100 bonus. Example: Jonathan joined BriAA in January following his dad David. In March, Jonathan sold products and reached 200 PV. He enrolled Suzi and Judi as Consultants and they enrolled Joy and Ben. Jonathan, and everyone in his downline down four levels, reached a total of 1,000 4LV. Jonathan is qualified as a KEY STAR and therefore entitled to an Advancement bonus of $100 RSB. David sponsored Jonathan, helped and taught him the basic principles of the business, therefore, he is also entitled to a $100 Matching Advancement Bonus. Every new consultant that David sponsors that qualifies as a KEY STAR for the first time in their first three months, David will be rewarded the MRSB. The RSB rewards you for qualifying as KEY STAR early on. The KEY STAR title represents the most important and desired rank in the team building stage. It is by far the most profitable title to reach in your first steps as a consultant as well as a sponsor for new Consultants below you. 11 Your smart strategy for building your success team, should include as many Customers and Consultants as possible. Having steady and varied legs secure your consistent income and growth. Therefore, your main focus should be on sponsoring and promoting as many Key Stars below you in their first three months, as possible, and increase your income significantly through volume and bonuses. The more Key Stars you promote, the more profound and secured your business gets. The KEY STAR title really is a milestone in your career path. By helping others succeed, you are building your own success, through smart leverage of your investment in the business. This title offers the most rewarding compensation for your efforts in the team building stage and for a well-structured future. This is an important stage - one where you need to decide whether you are content with your rank and the efforts required, or whether you wish to step up and increase your rank and income. 12 BriAA's Success Product Packs 12 Since you only get one chance for a first start, we wish it to be your best. BriAA offers a unique one-time limited opportunity to purchase one of the Success Product Packs. The opportunity is valid through your first full calendar month from enrollment only. The Success Product Packs contains four units of a System and an extra FREE unit. Therefore, the Product Pack creates a significant profit of a full System value in addition to the retail profit you can receive from the sale of the product System. But that is not all there is to it! Every new consultant you enroll, that purchases a Success Product Pack, rewards you with a unique bonus of $50-$200 Fast Start Product Packs Bonus (FSPPB) Given the fact that a new Consultant relies greatly on the assistance and guidance of their sponsor, learning from their experience and knowledge, it is only fair to acknowledge that sponsor's support. As your personal Sales Volume grows, a Consultant is rewarded with a percentage of PV. Their focus is now on duplicating their achievements by promoting the leadership qualities of the Key Consultants below them.

14 As before, BriAA Consultants continue to receive a percentage on the commissionable volume of the sales of their downline through four levels. The percentages and number of levels that a Consultant receives is based on their Paidas Title each period and is regardless of the title of the people below them. Paid-As Title / Levels KEY STAR RED STAR BLUE STAR GOLD STAR & UP Level 1 8% 9% 10% 10% Level 2 3% 4% 5% 6% Level 3 3% 4% Level 4 3% 14 Example: recently, Michelle enrolled four new consultants that also kept attracting Customers and Consultants alike, creating four legs composed of at least one Active Consultant each. Two of the four legs have at least one KEY STAR Consultant each, and the total volume for Michelle and the first 4 Levels beneath, total 8,000 4LV. This month, Michelle purchased and sold products amounting to 2,000 PV, she is qualified as a GOLD STAR, and therefore she is entitled to payouts for all four levels, in varied percentages: 10% first level, 6% second level, 4% third level and 3% forth level. Michelle will receive a 5% FSB on the Commissionable volume from her first and second level consultants during their first three months, a PSB of 10% on her PV and also a 500$ Advancement Bonus. In case Michelle also sponsored KEY STARS who qualified to that title during their first three months, she will receive $100 Matching Bonus for each of them. The GOLD STAR title is indeed the golden rank, it is a destination to aspire to and an excellent starting point for you and your organization facing the next evolving step in the business - leadership. The GOLD STAR rank will best leverage your investment of time and efforts versus the compensation you will receive. Special Bonuses: Gold Star Bonus (GSB) When you promote to GOLD STAR for the first time, you will receive a one-time bonus of $500. The GOLD STAR title reflects your well respected achievements and best expresses your ability to lead and guide others to success. Your next focus should be promoting and supporting your downline to qualify for the GOLD STAR title. Having GOLD STAR legs increases your DV and promotes you quickly towards the Leadership ranks and entitles you to an exclusive bonus of $500 for each time a Consultant you sponsored is qualified as a GOLD STAR.

15 Matching GSB When you are qualified as a GOLD STAR or higher and have someone in your personal group promote up to GOLD STAR, you will also receive a Matching GOLD STAR Advancement Bonus of $500. Now that your success team is strong and solid, you are entitled to additional bonuses for your entire personal group volume. Personal Group Bonus (PGB) When you are paid as a GOLD STAR or higher and have at least 12,000 Personal Group Volume, then you will receive an additional 2% bonus on the sales volume of the commissionable volume of your entire personal group*. * Personal Group consists of the consultant themselves and their entire downline, down to but not including the next GOLD STAR or higher (carreer title). This bonus is meant to reward you directly for your group effort. Your ability to promote and lead your team towards steady growth, entitles you to receive additional 2% of your personal team's success Example: Sharon is qualified to be paid as GOLD STAR, her personal group reached 14,000 PGV (10,500 CV)this month, entitling Sharon to riecve PGB of $210 in addition to all other bonuses and payouts she receives. Achieving the GOLD STAR rank means that you have reached a significant stage in your business development which places you on the diving board, about to jump into the deep waters, the Leadership ranks. These titles reflect visionary leadership for an organization sponsoring many success teams, and shows proven capability to navigate them towards success and accelerated growth while identifying future leaders capable of duplicating the accomplishments. 15

Uni-Levels Payouts Paid-As Title / Levels GOLD STAR & UP Level 1 10% Level 2 6% 16 Level 3 4% Level 4 3% Generation Bonus Becoming a Leader, or qualifying as an Executive and higher, entitles you to receive a percentage on the sales of not only your first four levels, but also of the groups that develop below you, your generations. This Bonus ultimately makes sure you are rewarded on the depth of your developing organization in addition to all other bonuses you receive. The GOLD STAR title marks the beginning of a new generation. When a consultant in your downline qualifies as a GOLD STAR (career title), they create a new success team which they lead. This in fact creates your first generation. When the next GOLD STAR Consultant in your downline is qualified (career title), she will be the start of your second generation and so on. 17 Example: Jennifer reached 400 PV and has 5 active legs beneath her, two of those have a GOLD STAR Consultant and one with an EXECUTIVE Consultant. Jennifer's four level volume amounted to 12,000, and her entire downline exceeded 75,000 DV. Jennifer is qualified as an AMBASSADOR and therefore receives 4 level payouts. 10% on her first level, 6% on her second, 4% on her third and 3% on her forth. In addition, she is rewarded for the three generations below her, 4% on her first generation, another 4% on her second and 3% on her third. In case Jennifer qualified for other bonuses, she will receive them additionally. Check Match Bonus Paid-as Executives and higher will receive a Check Match on their Personally Enrolled consultants that earned at least $500 from the Fast Start Bonus, Uni-Level Payouts, Generation Payouts, and Personal Group Bonus. The check match percentage will be determined according to the paid-as title. Becoming a Leader, or qualifying as an Executive and higher, entitles you to receive a percentage on the sales of not only your first four levels, but also of the groups that develop below you, your generations. Paid-as Executive and higher receives 10%-15% Check Match when his personally enrolled consultant earned more than $500 from FSB, Levels & Generation Payouts, and PGB. Paid-as Executive and higher that kept their paid-as title for a period of three consecutive months of a yearly quarter, is entitled to a portion of the company's attained volume, according to the number of shares they are entitled to. 18

If you wish to move forward and earn more, set your sights on the KEY STAR rank as your next goal. Every new consultant s first three months are a onetime opportunity for amplified profit: 1. Qualifying as KEY STAR in the first three months entitles Consultant to a $100 bonus as well as her sponsor. The more sponsored consultants you help qualify as KEY STARs, the more bonuses you receive. 2. A Consultant is entitled to 5% bonus of the CV from the new Consultants on their first and second levels who are within their first three full months. All activity of their first and second level Consultants, during their first three months in the business. 3. During the first 30 days from enrollment, a new consultant is eligible to purchase a onetime Success Product Pack. 4. When you personally enroll a new consultant that purchases a Success Product Pack, you will receive a bonus of $50-$200. As you increase your personal sales volume, you are entitled to a percentage bonus of the sales, between 5%-20%. To advance further in your career, mark the next objective: the GOLD STAR rank. Once you are qualified for the first time, you ll receive a $500 bonus..whenever someone in your personal group qualifies as GOLD STAR, you are entitled to $500 bonus as well. Qualifying as a GOLD STAR indicates your well-built and strong team. When you have at least 12,000 Personal Group Volume, you will receive an additional 2% bonus on the sales of your entire personal group. Qualifying as GOLD STAR indicates your well founded and strong team. When you have at least 12,000 Personal Group Volume, then you will receive an additional 2% bonus on the commissionable volume of the sales of your entire personal group. Paid-as Executive and higher receives 10%-15% Check Match when his personally enrolled consultant earned more than $500 from FSB, Levels & Generation Payouts, and PGB. If you are consistently keeping your paid-as Executive and higher title, you may be eligible to shares to earn a percentage of the company s attained volume, according to the number of shares entitled to you. 19 Income Disclosure The BriAA USA Compensation Plan is an exciting opportunity that rewards you for selling our exclusive skincare line and for sponsoring other participants who do the same. Although the opportunity is unlimited, individual results will vary depending on commitment levels and sales skills of each participant. Since BriAA USA has recently launched, it lacks enough statistical data to prepare reliable income disclosures. 20 Terminology 20 Active Active Leg Advancement Bonus Key Star Advancement Bonus - Key Star Matching Advancement Bonus - Gold Star Advancement Bonus - Gold Star Matching Cancellation Policy Career Title Check Match Commissionable Volume (CV) Customer Demotion Policy Downline Downline Volume (DV) A consultant must maintain at least 100 Personal Volume (PV) to be considered Active for that period. If a consultant is not active in the period, they receive no commissions from their downline. However, they will receive personal retail commissions from their client purchases even if they are not Active. A consultant s customer purchases will accrue to the consultant s PV and count toward Active status. Any first level consultant and their entire downline where at least one person is considered to be Active. When a person is promoted to Key Star for the first time and is within their first 3 full months (Join Month + 3 Months), they will receive a $100 one-time bonus. When a consultant promotes to the Key Star title for the first time and receives the Key Star Advancement Bonus, their sponsor is eligible to receive a Matching Key Star Advancement Bonus. The sponsor must be Paid-As Key Star or higher in the period the consultant promoted to receive this bonus. If they are not paid-as a Key Star or higher, then no bonus is paid out. When a consultant promotes to the Gold Star title for the first time, they will receive a $500 one-time bonus. The first upline Gold Star or higher (Career Title) is eligible to receive a Matching Gold Star Advancement Bonus when a downline consultant promotes to the title of Gold Star for the first time. The first upline GSTAR or higher (Career Title) is qualified to receive this bonus if they are paid-as a GSTAR or higher. If they are not paid-as a GSTAR or higher, then no bonus is paid out. Consultants must have a minimum of $300 PV in a 12-month period in order to remain a consultant and keep their downline. If they fail to meet this requirement in any 12-month period, they will be canceled which causes them to be removed from the company genealogy (downline organization). Their downline and customers will be compressed to the next upline consultant who is in good standing. A consultant s Career Title is their recognition title or the highest title they have achieved. A consultant s Career Title does not change unless they are promoted or demoted (see Demotion Policy), unlike a Paidas Title, which may vary from month to month. For example, Joanna met the requirements to promote to the title of Gold Star in June. Her Career Title is now Gold Star and will remain so until she promotes to a higher title or is permanently demoted (see Demotion Policy). In July, she is paid-as a Gold Star. Her Career Title and Paid-as Title are the same. In August, she is paid-as a Key Star. Her Career Title remains as a Gold Star but her Paid-as Title for August is Key Star. Paid-as Executives and higher will receive a Check Match on their Personally Enrolled consultants that have at least $500 in earnings combined from the Fast Start Bonus, Level Overrides, Generation Overrides, and Personal Group Bonus. Commissionable Volume (CV) is the volume on which commissions are paid. The Commissionable Volume will be equal to the Wholesale Amount unless otherwise disclosed. A customer is an individual who purchases products for personal use and has not signed an agreement with the company. There are two types of customers: Retail Customers and Preferred Customers. When used alone, the term customer refers to both types. Customers are not allowed to sponsor (i.e. have a downline), do not receive commissions, and are not credited with volume. The volume from a customer s purchase(s) is credited to the consultant who sponsored them. Gold Stars and higher must be paid-as their Career title at least once every 12 months in order to keep their Career Title. If a consultant is not paid-as their Career Title at least once within 12 consecutive months their Career Title will be demoted to their Paid-As title in the 12th month. There are no demotions for titles lower than Gold Star. Supreme Ambassadors who are not paid-as their Career Title due to not meeting the 1 New 1st Generation Gold Star requirement will not have their titles demoted so long as their meet all the other requirements for their title at least once every 12 months. For example, if you qualify for your title in June, you will keep your Career Title until June of next year. If, prior to June of next year, you qualify again in September, you will keep your title until September of next year. All of the people below you are considered to be part of your downline. The total Qualifying Volume (QV) from a consultant and their entire downline organization. It includes ALL downline consultants regardless of their titles and the consultant themselves. The person who introduces an individual to the company is considered to be the Enroller" (or Sponsor). Enroller Fast Start Bonus The first two upline sponsors of a new recruit that is within their first 3 full months (Join Month + 3 Months) may receive a Fast Start Bonus on the Commissionable Volume (CV) of orders placed within the first 3 full months of that new recruit, beginning with the day of application. This is paid in addition to all other bonuses. To receive these bonuses, a consultant simply needs to be Active. If the Fast Start Bonus Level 1 does not pay out, the Fast Start Bonus Level 2 may still pay out if the receiving consultant is Active. Fee s Annual/Monthly Startup Fee: $199 Renewal Fee: $99 Fees will not have any QV or CV assigned to them. Four Level Volume (4LV) Four Level Volume is the QV from the consultant themselves (PV) and their entire downline, down four (4) levels including the PV from other GSTAR and higher ranked people.

21 Generation Generation Overrides Group Leadership Consistency Pool Level Level 1-4 Overrides Leg Loyalty Points Minimum Commission Check New 1st Generation Gold Star Paid As Title (also referred to as Paid-as) Period Personal Volume (PV) A Generation is a group that has developed in your downline. It starts with a Career Title Gold Star (or higher) and includes everyone below them, down to but not including the next Gold Star or higher, based on Career Title (because that would be the start of the next generation). Paid-as Gold Stars and higher (who have a Career Title of Executive or higher) may receive Generation Overrides on the Commissionable Volume (CV) from their downline Generations and their personal group. For example, a G1 would pay out on the first downline GSTAR or higher title (based on Career Title) and all the people below them, down to but not including the next GSTAR or higher (Career Title). If a Career Title Executive or higher is paid-as a Gold Star then for that period, they may receive a Generational override 1 of 2%. A consultant themselves and their entire downline, down to but not including, the next Gold Star (Career Title) or higher. This is also sometimes referred to as a personal group when talking about a specific consultant and their group. Paid-as Executives and higher may receive a portion of the quarterly Consistency Pool. This pool pays out only in calendar quarters (Jan Mar, Apr June, etc.) in which the company has attained at least $400,000 Qualified Volume (total for the quarter). Paid-as Executives and higher must have been paid as an Executive or higher all three periods in order to receive a portion of the pool. Shares are awarded to each participating consultant based on their Paid-as Title for each month. Please refer to the table for specific share assignments. For example, Dan qualified as an Executive for two of the three months in the calendar quarter and in the third month, he promoted to Premium Executive. Dan will receive a total of 4 shares, 1 share for each of the two months he was paid-as an Executive (total of 2 shares) and 2 shares for the third month in which he was paid as a Premium Executive. The position a consultant has in a downline relative to another upline or downline consultant. Consultants personally sponsored (i.e. first level) are Level One. Those consultants sponsored by Level One consultants are Level Two, relative to the original consultant. Customers are not considered when counting levels and do not occupy a position in a consultant s genealogy. Active Consultants that are paid-as a Beginner Consultant or higher may receive a percentage on the Commissionable Volume (CV) from the sales of their downline through four (4) levels. The percentages and number of levels that a consultant receives is based on their Paid-as Title and is regardless of the title of the people below them. If a consultant is inactive or unqualified, then that Level Override will not roll upline. Please refer to the definitions of Active, and Qualified. A leg begins with a first level consultant and includes all of the consultants beneath them. A consultant has as many legs as they have first level consultants. For example, if Sally has five first level consultants then she has five legs. Sarah is one of Sally s first level consultants. Sarah, and her entire downline, is considered to be one line to Sally. Preferred Customers will receive loyalty points on each of their purchases (autoship and non-autoship purchases). $20 no commission check will be issued less than $20 Supreme Ambassadors (SAMB) must meet an additional maintenance requirement. They need to maintain at least 1 New 1st Generation Gold Star (GSTAR) every 12 months or promote a current one to a higher title. This means that every 12 month rolling period (oldest month off, newest month on), they need to have at least 1 new Gold Star from their personal group or promote a current Gold Star to a higher title. If they fail to meet this, then they will be paid-as demoted to an Ambassador. However, if they subsequently meet the requirements to promote to a higher title (even without this requirement), then the counter will be reset and they will once again have 12 months. For example, Julie becomes a Supreme Ambassador in January. January becomes month one in her counter for this maintenance requirement. Julie has through December to meet this requirement. If she doesn t fulfill the requirement, then in January of the following year, she will revert to being a paidas Ambassador. If Julie meets this requirement in November, she would have through October of the following year to meet the requirement (1 new GSTAR or promote a current Gold Star to Golden President). If she does, the counter is reset. If she does not, then she is reverted to being a paid-as Ambassador. Each Consultant is paid at the title for which they qualify during the period. The requirements to be paid-as a title is the same as the requirements to promote to that title with the exception of Supreme Ambassadors which have one additional requirement (please see also New 1st Generation Gold Star). If in any period they fail to achieve their Career Title level, they are paid at the lower title to which they do qualify for during the period. They retain their Career Title but are paid as the title they actually qualify for. A period refers to the specific time frame in which qualifications and payouts are calculated for. In this plan, a period is equal to an actual Calendar month. Six periods would be six calendar months. A volume number associated with each product used for qualification. For Example: A consultant s PV consists of a combination of the volume from orders placed personally and by their personally sponsored customers (orders placed directly with the company by customers). 21

22 Personal Sponsor Power Seller Bonus The consultant directly above another consultant in the genealogy is considered to be the Personal Sponsor. This may or may not be the same as the enroller due to compression when a cancellation occurs. Consultants that achieve a minimum PV in the period will be qualified to receive an additional percentage on their total Qualifying Volume in the Period (both personal and customer orders). Please refer to the Power Seller Bonus table below for specific volume requirements and percentages PV 5% of total QV 1750 PV 10% of total QV 3000 PV 15% of total QV 5000 PV 20% of total QV 22 Personal Group Bonus (PGB) Personal Group Commissionable Volume (PGCV) Personal Group Volume (PGV) Preferred Customer Product Pack Bonus Promote (Promotion) Qualified Qualified Leg Qualifying Volume (QV) Reinstatement Policy Retail Customer Retail Profit Roll-up Starter Kit and Supplies Paid-as Gold Stars and higher with at least 12,000 PGV may receive a Personal Group Volume Bonus on all of the Commissionable Volume (CV) of the sales of their personal group (see also PGCV), including their own personal volume. Personal Group Commissionable Volume is the CV from the consultant themselves and their entire downline, down to but not including the next Gold Star or higher (Career Title). This is the basis for which the Personal Group Bonus will be paid upon (please see PGV for what the Personal Group Bonus uses to qualify on). Personal Group Volume is the QV from the consultant themselves and their entire downline, down to but not including the next Gold Star or higher (Career Title). To be considered a Preferred Customer, a customer must have done one of the three methods below and thus will receive a discount off the retail price of the products they purchase in the period. Preferred Customers may sign up from the following three methods: 1) In the current period or previous 11 monthly periods, pay a $29 annual fee. 2) Have an Active Autoship Profile with an order scheduled to be created in the period 3) In the current period or previous 11 monthly periods, purchase a full treatment pack at $560 retail Customers who fail to meet one of the 3 requirements above will be considered a retail customer for the period and will not receive a discount on their purchases until one of the 3 requirements above have been met. The sponsor of a new recruit that purchases a Product Pack within their first 30 days may receive a Product Pack Bonus. (see table below for amounts for each Product Pack). To receive these bonuses, a consultant simply needs to be Active. Expression Product Pack $50 Trio Product Pack $100 Royal Product Pack $200 A consultant promotes to a new Career Title when they meet all of the qualifications for that title in the period. The promotion is effective the first day of the same period meaning that regardless of what day the promotion was actually qualified for, the new Career Title is effective for the entire period. For example, if a consultant meets the qualifications for an Executive on June 23rd, they promote to the title of Executive for the entire period of June (effective June 1) and will be paid-as an Executive for the entire period of June. A consultant is considered to be Qualified if they meet the Paid-As requirements for a particular payout and/or title. Qualified legs require that at least one individual in the leg is qualified to be paid-as a specific title position (or above) during the month. For example, to be a Gold Star, one needs four Active Lines plus two legs of which must have at least one representative that is paid-as a Key Star or higher. Qualified Legs actually help to determine the monthly Paid-As Title. Qualifying Volume is a currency neutral point value assigned to each product and is used for Personal Volume (PV), 4 Level Volume (4LV), and Downline Volume (DV) qualifications for titles and various bonuses. The QV is the same regardless of what country a product was purchased in, allowing Consultants to develop multi-country organizations. If a consultant is canceled or resigns, they may request reinstatement at any time and, if approved, will be reinstated under their original sponsor. Their downline organization will not be reinstated nor their previous title. They will be considered a new consultant for all intent and purposes. If a consultant wishes to join under a different sponsor, they must wait for a minimum of six months after resignation, reversion, or termination, before reapplying and will start as a new consultant, without their former downline and title. A Retail Customer is a customer that is not signed up on Autoship. They pay the full retail price and purchase when they desire. A Retail Profit will be awarded to the Consultant on all orders placed by themselves or their customers at the Preferred Customer or Retail Price Point. The amount of the Retail Profit will depend on the product purchased. This amount will typically range from 15 25%. Roll-up refers to the rolling up of payouts due to a consultant being inactive, unqualified, removed, or ineligible and giving it to a consultant that is active, eligible, and qualified. In this plan, there is no roll-up used. Starter Kits and Sales Aids, or Business Kits are a core item needed to become a successful Consultant. Starter Kits should not have any QV or CV assigned to them. Starter Kits also shouldn t be used as a profit center, typically they are priced around the cost of the kit. Business Supplies or Sales aids also shouldn t have any volume assigned to them and are not used as a profit center either.
