Corporation Bank, Zonal Office, Chennai invites application from well reputed Private Security Agencies [PSAs] holding Private Security Agencies (Regulation) Act, 2005 (Central Act 29 of 2005) Tamil Nadu Private Security Agencies Rules, 2008 to submit their application for outsourced activity and having not less than 3 years experience in Cash Van operations with Public Sector Banks in Tamil Nadu for executing such works. 2. The service provider/contractor/firm will be the employer of all the workers and supervisors engaged for this work. He shall comply with all applicable union, state and local laws, ordinances, regulations and codes in performing its obligations hereunder, including the procurement of licenses. 3. The agency must hold valid State Govt. and or Central Govt. licenses /permits for carrying out such works. 4. The selected Service provider/contractor/firm shall enter in to an agreement with the Bank as per our prescribed format and the terms and conditions therein shall be binding on both parties. 5. Nature of work : - Providing Cash Van services to collect carry and deliver cash from and to our branches, and customer's offices, between our branches and Currency Chest located in the State of Tamil Nadu. The Cash Van ( Mahindra-Genio / Mahindra Bolero-Camper / Tata-Xenon specifications of which are to be approved by Bank) is to be provided with driver and loader. 6. Tenders as per the supplied format along with relevant supporting documents are to be addressed to "The Deputy General Manager and submitted to the address mentioned above. 7. Tenders should reach this Office latest by by 3.00 pm. Superscribe the tender envelope as "TENDERS FOR EMPANELMENT OF PRIVATE SECURITY AGENCIES FOR CASH VAN". BANK : Corporation Bank, Zonal Office, 38 & 39; Whites Road, Royapettah, Chennai INSTRUCTIONS TO SUBMIT THE APPLICATION FORMS. 1. The application form consists of the following documents, i.e., i) Instructions to submit the application form ii) Important Information iii) "T (Technical)" part of the application along with 4 Annexures. iv) Cost of Tender Documents & EMD by Demand Draft ( EMD refundable to unsuccessful bidders) v) "F (Financial)" part Financial bid of the application 2. The offers are to be submitted under two parts, i.e., 'T' (Technical) part and 'F' (Financial) part T part Technical Part constitutes - Items at 1 - i), ii), iii) & iv) above 2.2. F part Financial Part constitutes only Item at 1 - v) above Please submit the completed application form to the above Zonal Office of the Bank. 3. T (Technical) part: 3.1. All the required information as per the details called for in "T" part is to be furnished duly keeping in view the Features / Requirements desired by the Bank. The features / requirements sheets, important information sheets are also to be attached to the T part. Offerers also may enclose any additional details regarding technical features. 2

Do not give any indication of the price, cost and financial aspects of the offer in "T" part Please put the duly filled T part of the application along with additional information and self-attested copies of all relevant certificates in a separate cover and seal the same. Please also mention the offerer's name, full address and telephone numbers and mobiles numbers on the cover. 4. F (Financial)" part: 4.1. The F part of the application shall contain nothing but price aspects of cash van without any conditions. (If the price is subject to any conditions, the same will be disqualified) Important : Please put the duly filled F part of the application in a separate cover and seal the same. Both the sealed covers of T part and F part are to be kept in another separate bigger closed cover, duly sealing the same and clearly indicating the name of the offerer and his full address, phone nos. on the cover. The same should be superscribed as follows: "Offer for Empanelment of Agencies for Cash Van Services vide Corporation Bank, Zonal Office, Chennai advertisement appeared in and dated and in Bank s website 5.1 Please ensure that the final sealed cover contains two separate closed and sealed covers pertaining to T and F of the offer. Private Security Agencies / Service Providers should submit separate form for each out sourced activity. 5.2 In case of more than one offerer, all the offerers or their GPA holder have to sign all the pages of the offer (both T and F parts). 6. Incomplete applications / applications lacking in details and without signatures are liable to be rejected. 3

4 7. Applications / offers received after the last date / time mentioned in the advertisement will not be accepted. 8. Offerers are requested to deliver the closed cover in person to the address of the concerned Zonal Office only. In case they intend to send by post, the same may please be sent by Courier / Speed post / Registered Post addressing to the said office to ensure proper receipt of their offer. Bank is not responsible if any offers sent by post are lost in transit. 9. Offerers should keep their offer/s valid for a period of 6 months from the date of advertisement. 10. Please note that the F (Financial) part of the offer will not be opened along with the T part. After scrutiny of the technical part, visits to the Offices, Inspection of the vehicles, assessment of the offers and evaluation of the offers through feedback from other Banks. The F part of only those offerers, whose offers are found suitable to the Bank, will be opened at a later date. The date of opening of F part will be intimated to those offerers, whose offers are found suitable as per T part of the application. 11. Offerers are requested to submit their lowest possible quotes in the F part as negotiations / discussions will be held only with L1 (lowest quoted offerer), subject to suitability of the offer as per T part. 12. Bank reserves its right to reject any or all the offers without assigning any reason whatsoever. 4

5 Technical Part T Part with 4 Annexures 1. Empanelment : Tender for Cash Van Services in Tamil Nadu State for suitable qualified private security agencies holding PSARA 2005 license under Tamil Nadu Private Security Agencies Rules Date of Issue of documents: The application documents can be downloaded from from the Bank s website 3. Last Date of receipt of Empanelment documents: The last date of receipt of application documents is up to 3.00 p m After this time, no applications will be accepted. 4. Date of Opening: The Empanelment documents will be opened on the last date of receipt at 03:30 pm as stated above. All the agencies are invited for the Empanelment document opening. This is not a financial bid opening. 5. Address for submission of the application for empanelment: The applications should be addressed to and reach below address by the due date and time. Deputy General Manager, Corporation Bank, Zonal Office, 38 & 39; Whites Road, Royapettah, Chennai Authorized Signatory: The documents can be forwarded by duly authorized representatives of the Agency concerned. Representative will have to enclose the Letter of Authority along with this offer or when demanded by BANK, otherwise the offer will be considered null and void at any stage as per the decision of BANK. 7. Bank reserves the right to accept or reject any or all tenders without assigning any reasons and also cancel the tender process. 8. Nature Of Work: a. Providing Cash Van services to collect, carry and deliver cash from and to our branches and customer's offices, between our branches and Currency Chest, Chennai. b. Bank requires ONE Cash Van (Mahindra - Genio / Mahindra Bolero - Camper / Tata - Xenon specifications [in annexure] to be approved by bank) with driver and loader. The cash van shall be attached to our Currency Chest, Chennai and required to bring the cash from the branches located in the entire state of Tamil Nadu. The quote should be lump sum for cash van and crew., i.e, van + driver + loaders. 9. Contract Period: a. The contract shall be for a period of three years. An increase of 8% to 10% over the last basic charges, each year, as per requirement of the bank and based on the satisfactory service, may be considered. 5

6 b. Bank reserve the right to terminate the contract with due notice in case the agency fails to provide satisfactory service or fails to take security measures or does not adhere to the tender terms & conditions. 10. Earnest Money Deposit: EMD of ` 1, 00, (Rupees One Lakh) shall be given with the offer. This shall carry no interest and shall be retained by the bank. EMDs of unsuccessful bidders will be returned after finalization of contract. EMD submitted by successful bidder shall be converted / adjusted as Security Deposit. In case the firms are not found eligible technically, the EMD & Financial Bid shall be returned after finalization of Technical bid. In case of withdrawal by successful bidder, EMD will be liable for forfeiture. 11. Security Deposit: The Agency identified for providing cash van services shall be required to keep a security deposit amounting to 10% of the annual contract value by way of Bank Guarantee (as per Annexure) before commencement of the contract for the duration of the contract. Annual contract value will be the approved monthly rate for one cash van with driver, 2 loaders for 12 months. 12. Order of application : It is desirable that the application follows the sequence given below A. Cost of Tender Documents - Demand Draft for ` 2,500/- B. Annexure 1 C. Annexure 2 D. Annexure 3 E. Annexure 4 F. EMD of ` 1,00,000/- by Demand Draft in favour of Corporation Bank Zonal Office, Chennai G. Annexure 5 K. Annexure 6 H. Proof of documents given in Annexure 3 in listed order I. Proof of documents given in Annexure 2 in listed order J. Any other additional information 13. Superscription: The envelope containing the documents must be superscribed as Agencies for Cash Van Services for Corporation Bank. If the envelope is not super scribed then there are chances of misplacement, therefore it is advised that the envelope be superscribed as above mailed/handed over at the address given. 14. Conditions for envelopes sent by post/courier: The documents may also be sent by post/courier to reach before the scheduled date and time as indicated above. The following are essential conditions to be followed for the documents sent by post/courier, failing which the envelope may not be opened and not considered or may be treated invalid: A. Documents should be preferably sent by Speed Post or Registered Post if it is not possible to deposit the documents in person B. Documents should be sent only to the address as given below in the designation specified, i.e., Deputy General Manager, Corporation Bank, Zonal Office, 38 & 39; Whites Road, Royapettah, Chennai

7 C. Acknowledgement may be given by Department of Post only for documents sent by Speed Post /Registered Post. D. Envelope should be superscribed as advised above (in para 9 above). The agency has to necessarily superscribe the envelope, failing which the envelope may not be considered and may remain unopened, or be opened with some other documents or may be accidentally opened before due date rendering it to be treated invalid as per the discretion of BANK. E. BANK takes no responsibility for any documents not reaching in time. F. BANK takes no responsibility for documents not reaching at all. G. BANK takes no responsibility for documents received in torn, opened or mutilated conditions. Such documents may not be accepted at all and are liable for rejection. H. Envelopes, which are not superscribed, may not be considered. I. Envelopes, which are not addressed properly, may not be considered. 15. Agreement: A suitable agreement would have to be entered into with BANK, after empanelment and subsequently being successful in the financial bids. 16. Right of Rejection: BANK reserves the right to reject all / any applications without assigning any reasons at any stage. 17. Right to place the orders to multiple agencies: BANK reserves the right to place the orders to more than one agency after the financial bids and after the analysis of the bids. The decision of BANK will be final in the distribution at that point of time. 18. Eligibility: The agency should adhere to the eligibility criteria specified from time to time. The agency should meet the following guidelines as recommended by IBA. The agency should be : A. Private Security Agencies (PSAs ) who have obtained the prescribed license to engage in the business of Private Security Agency as per the provisions of the Private Security Agencies (Regulation) Act, 2005 (Central Act 29 of 2005) and Tamil Nadu Private Security Agencies Rules, B. be in this business for last three to five years and having 3 years experience in Cash Van operations with Public Sector Banks in Tamil Nadu. C. have annual turnover of one crore during past three years, ie, as on 31/03/2016 D. have credible supervisory infrastructure and network. E. have effective infrastructure for training. F. have a Certificate of Registration from ROC or Registrar of Firms or Letter of Proprietorship. G. have Income Tax clearance certificate (latest) & PAN No. in name of the agency H. have audited balance sheets. I. have registration under Shops & Establishments Act and Certificate from ESI Corporation (latest as applicable). J. have Certificate from EPF Organisation under EPF & Misc. Provision Act (latest as applicable). K. be registered with the Govt. under Contract Labour Act (Regulations & Abolition) 1970 L. be empanelled with public sector banks (Preferably 2 to 3 PSBs) M. have statutory Registrations 7

8 In any case, they should have prior experience in the same area. The agencies must have proper office & infrastructure for training in Tamil Nadu. The agencies would be empanelled based on their performance, training facilities, experience and their standing in the field. As also, for empanelment, the intending security agency should submit a reference certificate in original from a Nationalized Bank (preferably) or a PSU or a Government Department as per the format in Annexure 4 on Letter Head of Client. (without which the empanelment will not be done). This is an essential condition. 19. Agencies/ firms should clearly indicate, giving explicit supporting documentary evidence, with respect to the above, in absence of which their proposals will be rejected summarily at the qualification stage itself. 20. Availability of requisite permissions and licenses and compliance with the statutory provisions: The agency is required to follow all the statutory acts as may be applicable for such type of work for which they are applying through this empanelment form. As manpower is required, then the agency merely by filling the empanelment form confirms that the agency has all the requisite permissions and licenses to carry out all the assignments as stipulated by this empanelment form. Further, merely by filling the empanelment form, the agency reconfirms that the agency has complied with all the statutory provisions of the central, state, local and municipal laws in force. The agency also confirms merely by filling the empanelment form, to comply with any future laws that may be enforced upon by the statute. Agencies which do not have requisite permissions / licenses or who do not comply with the statutory provisions are requested to fill in the empanelment form only if they are eligible in this respect. 21. Valid original registrations viz., Service Tax, PF, ESIC, registration with labour commissioner, etc. and with any other authorities as per requirement should be available with the agency and be produced as and when required. Consequences of insufficient permissions / licenses or compliances on the part of the agency would be to the agency s account and the agency merely by filling in the empanelment form indemnifies BANK of any or all such consequences. 22. Blacklisting/Debarring: The agency merely by filling the empanelment form confirms that the agency has not been blacklisted / debarred by any government department / agency, Reserve Bank of India, nationalized bank, or any Public Sector Unit or body. The agency is advised not to fill in the empanelment form if they have been disqualified by any of the government agencies. 23. False Information: In case if it is found that the agency has not given the correct information and flouted any condition or the agency does not have all the appropriate licenses and all the statutory permissions, whatsoever required, to carry out the activity as required in these assignments then BANK reserves the rights to cancel the empanelment and award the assignment in the manner as deemed fit. This can be done at any stage. 24. Indemnity: Further, by submitting this empanelment form, the agency indemnifies BANK for any of the consequences arising out of non-availability of any of the requisite permissions/ licenses / any other statutory permission whatsoever required to carry out this assignment. Also by submitting this form, the agency 8

9 indemnifies BANK for any of the consequences arising out of non-compliance of any of the conditions laid by the statute for agency or their representatives/ officials in carrying out this assignment. 25. Extension of empanelment: As stipulated by BANK, after the period of expiry, the arrangement can be extended on mutual consent for a further period of one year or up to the period till new empanelment comes in force. However this option can be exercised only by BANK. 26. Termination: BANK reserves the right not to empanel any or all applications without assigning any reasons as also to terminate the contract after the financial bid process without assigning any reasons. As also, in case it is found that the service is not as per requirement / standards, time lines, or the frequency of corrective measures required is high, then BANK retains the right to terminate the Contract with the selected agency (after financial bid) and in such case, the agency will not be entitled to claim any damages from BANK or make any claim for fees in respect of such unsatisfactory / substandard services. As also BANK reserves the right to terminate this contract if it is established on the basis of price discovery that it would be beneficial for BANK to go in for a fresh empanelment/contract. 27. Confidentiality: The Agency after appointment shall maintain strict confidentiality of all the documents, information, data coming in possession of the Agency as a result of awarding the contract after financial bid process and also any oral, written or other information disclosed for evaluation or for any other purposes shall be considered as confidential information passed on to the Agency. 28. Usage of data / documents / information : After appointment, the Agency shall ensure that the documents, data, information etc., if imparted by BANK or if come to the knowledge of the agency, are / is not used or permitted to be used in any manner (directly or indirectly) incompatible or inconsistent with that authorized by BANK in writing. The confidential information will be safeguarded and the Agency shall take all necessary actions to protect BANK s, its customers, and Government of India s interest against misuse, loss, destruction, alterations or deletions thereof. Any violation of the same will be liable for action under the law which shall entitle BANK to claim damages from the agency apart from taking action under the appropriate Law. This is an irrevocable condition and it will continue to be in force even if the agreement between the agency is terminated with BANK. 29. Breach of clause: In the event of any breach or threatened breach of any clause by the Agency and/or individual assigned by the Agency for the performance of the services, the Agency shall be liable to pay damages as may be quantified by BANK. Apart from the above, BANK shall have the right to proceed against the Agency and/or its assigned person/s under appropriate law. 30. Penalty: When Bank observes that the cash van / services of loaders are not available as per agreed terms penalty of up to three days payment would be imposed on the agency. 31. Other terms : Following general terms are to be complied The selected agency shall furnish the following documents in respect of the driver and loaders, before the commencement of the contract: A. List of trained Driver & Loaders identified/selected by the agency for 9

10 deployment with Bio-Data, i.e., date of birth, age, qualification, address etc.; and they should have proper Police Verification or verification satisfactory to the Bank. B. Certified copy of the character certificate in Form III. C. Necessary endorsement of of RTO for modification/seating capacity is needed in RC book of Cash Van/s. wherever provided should meet Bank specifications which would be communicated as and when needed. D. The cash van/s where provided should meet the specifications of the BANK E. The selected agency shall provide proper uniform and identity card in form IX to the driver and loaders deployed, having the photograph of the person and personal identification such as name, designation, address and identification mark etc. 32. Jurisdiction: All matters pertaining to this empanelment shall be subject to the jurisdiction of the courts in Chennai Region only. 33. Inspection: BANK reserves the right to depute its Officers, Auditors, other officials as it may decide etc. to visit the office / commercial / of the selected agency for checking their infrastructure, man power and other related documents mentioned and for checking records, quality controls, work processes without advance intimation and the agency will have to provide the necessary documents etc. to BANK to help BANK ensure presence of appropriate equipment, manpower, software and other licenses, permissions, etc. Inspection will be done, if so decided by BANK on periodic basis also. 34. Corrections: All the corrections made anywhere in the empanelment form or the financial bid, whenever called, will have to be authenticated. The corrections without authentication are liable to be rejected. This is an important condition as the correction may have a bearing on the rate/amount quoted resulting in altering L1 or L2 position in the financial bids. Decision of BANK will be binding in this case. The bidder/vendor/ Agency merely by filling in this empanelment form agrees to this delegation of power to BANK to decide in this matter. 35. Preference: BANK reserves the right to give preference to Public Sector Enterprises/ Government undertakings. Preference is also given to agencies already on the panel of other public sector banks, subject to meeting other conditions. 36. Additional Information: During the evaluation of empanelment, BANK may, at its discretion, ask the agency for a clarification. The request for clarification and the response shall be in writing. If the response to the clarification is not received by BANK before the expiration of the deadline prescribed in the written request for clarification, BANK reserves the right to make its own reasonable assumptions at the total risk and cost of the applicant. As also, the agency is required to update BANK on any developments which may affect the evaluation. During the period of empanelment if the name of the Agency/company (or its division) has undergone a change due to acquisition, amalgamation etc., the Agency/company shall inform BANK. In such cases, all the obligations under the contract with BANK should be 10

14 Other Information 1. The contract for cash van services cannot be subcontracted. 2. T he initial period of engagement would be 3 years, renewable annually, subject to satisfactory performance and agreement is to be entered as per Bank s format. 3. The engagement may be terminated by one month s notice by Bank. 4. Agency should provide all proofs of payment of ESI, PF etc. and other statutory payments to the Bank. 5. All details sought in annexure 1 & 2 must be correctly filled and signed at appropriate places. 6. Bank reserves the right to accept or reject any or all tenders and also cancel the tender process. 15 Annexure 3: S.No Eligibility Criteria Documents/ Information to be provided in the submitted 1 The Agency / Company should have PSARA 2005 license valid for Entire Tamil Nadu State by competent authority governed by Tamil Nadu Private Security Agency Rules, The Agency / Company should be in this business for at least 3 years as on 31st March 2016and having experience in Cash Van operations with Public Sector Banks in Tamil Nadu. Memorandum & Articles of Association and Work orders confirming year and area of activity should be attached, 3 The responding Agency / Company should have been profitable in any two of the last Three (3) financial Years as revealed by Audited Accounts / certified balance sheet. Copy of the audited profit and loss account/ balance sheet/ annual report of the last three financial years. 4 The responding Agency/ Company should have an average annual turnover of at least ` 1 crore as revealed in Annual Financial Statements reported in India in the last 3 financial years. Copy of the audited profit and loss account / balance sheet/ annual report of the last three financial years. 5 Application should be accompanied by Income Tax Returns for the last three assessment years with PAN Number IT returns and copy of PAN card 6 The responding Agency should have been providing such services to various clients. 17 Annexure- 5 DECLARATION BY THE AGENCY In case my / our Offer is accepted, I / we undertake the following and declare as under:- 1. Undertake to submit Police verification of all the staff. 2. That the drivers of the vehicle will be on permanent roll of the agency and possess valid driving license. 3. Will provide mechanically fit cash van as per laid down specifications, which would be not older than two years vintage with laid down quantum of crew with mobile communication. Local reputed garages will be entrusted for regular vehicle maintenance. Cash van will be provided with valid Fuel cards for fuel refilling. 4. Proposed Cash Van will be made available to the Bank at designated place for their inspection at least seven days prior to deployment dates. 5. Statutory norms like Minimum Wages Act; work man compensation Act, EPF, ESIC & Third party insurance and insurance cover for the staff and property and any mandatory requirements laid down by the Government will be complied with. A monthly certificate on compliance of the above of the previous month will be provided along with the monthly bills. 7. The agency has training facilities for the crew, where the staff will undergo periodic training and a certificate of such training will be submitted to the bank periodically. 8. The agency has license under PSARA 2005 and the Tamil Nadu Private Security Agencies (Regulation) Rules, 2008 valid for state of Tamil Nadu and is providing cash in transit services. 9. The cash van will have RTO passing and applicable State Govt. registration and permits for commercial activity as required for the bank/branch. 17

Will fully facilitate for the bank s compliance with regard to RBI guidelines on Code of Conduct in Outsourcing of Financial services by Banks. 12.
