Sealed Tenders in the prescribed format are invited for providing 148 Nos. Security personnel from the registered contractors/security agencies holding valid licence as per Private Security Agency Regulation Act, 2005 (PSARA-2005), Contract Labour (Regulation & Abolition) Act, 1970, ESI Act, 1948, EPF Act, 1952, Service Tax & Income Tax Act etc. under two bid system viz.(i) Technical Bid & (ii) Financial Bid. The Security Agency will be required to deploy 148 nos. security personnel in following three categories. i) Security Supervisor 10 Nos., (ii) Armed guard 51 nos. and (iii) Civil Guard -87 nos. for Head Office of OSBC as well as 9 Nos. depots located in various places of Odisha, on outsourced basis and on the terms and conditions set out by OSBC Ltd. The above requirement is not fixed and is subject to variation by enhancement or reduction as per the need of the Corporation from time to time. Agencies having minimum 3 years experience for providing security services to Govt./ Semi-Govt./PSU/Govt. Autonomous Bodies and gross annual turnover of minimum 5 Crores rupees need to apply. The tender documents may be downloaded from the website of OSBC Ltd. i.e. and should be submitted along with the cost of Tender amounting to Rs.5,000/- + 5% VAT and EMD amounting to Rs.2,00,000/- (Rupees Two lakh) only refundable (without interest) in shape of Demand Draft drawn in favour of Odisha State Beverages Corporation Ltd. payable at Bhubaneswar. The tenders shall reach the undersigned by 1 p.m. of positively. All the tenders will be opened on the same day i.e. on at 3 p.m. in presence of bidders or their authorised representative, if any. Tenders received beyond the stipulated date & time and /or not accompanied with the required documents shall not be entertained. The Technical Bid should contain the information & documents as stated in ANNEXURE I along with Declaration at Page -10. The bidder should quote the lump sum monthly rates for providing the security services in the prescribed form as available at ANNEXURE II (Financial Bid) and also give analysis of the same along with the terms and conditions if any. If at any point of time, it is found that the contractor has furnished false information, the Contract/Tender will liable to be cancelled. 2 Validity of Tender : The tender & rates quoted shall remain valid for a period of 120 days from the last date of submission of the tender. The contract shall remain valid for a period of 3 (three) years, subject to satisfactory performance in each year. The criteria of satisfaction will include among others, No complaint against the agency or no default of the agency in compliance of any statutory dues, electronically and timely payment of the wages etc. beside any other related criteria to be decided by the OSBC as per need. The decision of OSBC in this regard will be binding and final on the Security Agency. However, OSBC reserves the right to terminate the contract/agreement at any time after giving one month s notice to the Security Agency. If the services of the security agency is found satisfactory during its term of agreement in OSBC, the contract can be extended for the mutually agreed period on the same terms and conditions or with some additions/ deletions/ modifications mutually agreed upon by the Security Agency and the OSBC Ltd. The successful bidder has to submit an amount of Rs.25 lakhs towards Security Performance Deposit in the form of an irrevocable and revolving Bank Guarantee in favour of OSBC Ltd. from any PSU banks at Bhubaneswar having validity period of another six months beyond the completion of the contract period. The Bank Guarantee will have to be given by the Bank in the Format prescribed by OSBC and not in any other format. If the contract is renewed, the Security Deposit in shape of the Bank Guarantee needs to be renewed accordingly prior to expiry of the validity period of the same. The Security Performance Deposit should be submitted before issue of the final work order. The successful bidder has to intimate about the acceptance of the offer for providing security personnel in OSBC within 07 days from the date of issue of the confirmation letter from OSBC, failing which the EMD amount shall stands forfeited without notice. 3 Scope of Work & Security Criteria : The selected Security Agency shall provide total standard security service in the 9 depots as well as Head Office of OSBC by deploying physically & mentally fit personnel. The deployed personnel should be of good moral conduct having no criminal background. The security personnel so deployed will be responsible for physical and material security at OSBC H.O. & depots. At present, total 148 nos. security personnel in three categories mentioned in the Tender Notice are required for security of the premises of 9 depots and Head Office of OSBC round the clock in 8 hourly shifts. The duty of each security personnel should be managed in such a way that the security personnel are available /deployed in all the three shifts of 8 hours round the clock on all the days including weekly day of rest taking in to view of the latest notification of Labour & ESI Deptt., Govt. of Odisha. Number of security personnel may be increased or decreased at the discretion of the competent authority i.e. OSBC Ltd. Terms and Conditions : 1. The security personnel to be deployed in 3 (three) categories i.e. (i) Security Supervisor, (ii) Armed Guard and (iii) Civil Guard must be physically and mentally fit to perform such duties. They must not have any medical disability. The personnel so deployed should be paid minimum wages as per the latest wage rate of Labour & ESI Deptt. Notification, Govt. of Odisha along with EPF and ESI facilities. 2. The Security Agency is required to provide total standard security service round the clock and vigilance to the entire premises. The entire administration, establishment & management in respect of the security personnel deployed for the captioned work shall be the responsibility of the Security Agency. 3. The Security Agency will also be responsible for their leave, replacement, weekly off, holiday and other welfare measures and keep OSBC Ltd. indemnified against any claim made by the personnel deployed. The deployed personnel shall not claim nor shall be entitled to get any financial Page 3 of 11

4 or other benefits from the Corporation. However, if any deployed person is found to be negligent, disobedient or mischievous, the Security Agency shall upon information/instruction from OSBC shall replace the said person immediately with a suitable substitute. 4. The uniforms as well as ankle boots, whistle, loaded torches and security equipments to all security personnel as per their post must be supplied by the Security Agency at his own cost and will also ensure wearing of proper uniform at the time of performing their duty. 5. The tender has been invited under two bid system i.e. Technical Bid and Financial Bid. The interested agencies are advised to submit two separate sealed envelopes super scribing Technical Bid for Providing Security Related Manpower Services to Odisha State Beverages Corporation Ltd. And Financial Bid for Providing Security Related Manpower Services to Odisha State Beverages Corporation Ltd.. Both the sealed envelopes should be kept in a third sealed envelope super scribing Tender for Providing Security Related Manpower Services to Odisha State Beverages Corporation Ltd.. Fax/ Tenders will not be accepted. The Tenders will be opened in the chamber of G.M. (Admn.), OSBC Ltd. or in the designated place in Head Office of OSBC Ltd. in presence of the bidders or their authorized representatives, if any on the stipulated date and time as mentioned in the Tender Notice. 6. In the first place, the Technical bids will be opened and financial bids of those who qualify in the Technical bids after scrutiny will be opened on intimation. Contract shall be awarded to the lowest -1 bidder. 7. The Earnest Money Deposit (EMD) of Rs.2,00,000/- (Rupees Two lakhs) only, refundable (without interest), should be necessarily accompanied with the Technical Bid of the Security Agency in the form of Demand Draft in favour of Odisha State Beverages Corporation Ltd., payable at Bhubaneswar, failing which the tender shall be rejected summarily. EMD in respect of bidders not qualifying in the technical bid will be refunded without any interest after 15 days and within 30 days from the date of opening of technical bids. Page 4 of 11

5 EMD in respect of bidders qualifying in the technical bid but not finally selected as per the financial bid will be refunded without any interest after 15 days and within 30 days from the date of opening of the financial bids. EMD in respect of finally selected bidder will be refunded without any interest after 15 days and within 30 days from the date of signing of agreement with OSBC. 8. The successful bidder will be required to execute an agreement with OSBC upon which necessary work order will be issued for deployment of security personnel. 9. Manpower provided is to be covered under proper insurance of industrial accident. 10. The Branch Manager of depots of OSBC as well as the General Manager (Admn.) of H.O. or designated authorized official shall be at liberty to carry out surprise checks regarding the security arrangements. 11. Any compensation for this engagement on account of death, disability of any security personnel so provided for deployment in depots as well as H.O. of OSBC Ltd. will be the responsibility of the Security Agency. Even if such disability manifests after termination of the contract shall be the exclusive liability of the Security Agency. 12. Bill shall raised by the Security Agency on monthly basis. It shall be the responsibility of the Agency to prepare absentee statement at depot level as well as at H.O. level and after duly countersigned by the Branch Manager in depot and G.M. (Admn.) in H.O. and also by authorized person of the Security Agency, the absentee statements will be submitted in H.O. along with bill and other required papers relating to statutory payments / deposits for reimbursement. Bills will be submitted by the Security Agency complete in all respect within first week of every succeeding month for reimbursement. 13. In the event of enhancement of Minimum Wages by Govt. of Odisha, the same shall be paid along with corresponding statutory dues to the deployed personnel with prior intimation to OSBC Ltd. 6 14. The Security Agency shall be responsible for contribution and deposit towards Provident Fund and Employees State Insurance, wherever applicable for the persons deployed in OSBC by him. He shall submit copies of ECRs for such payments in support of his compliance of the same to the OSBC and also for reimbursement of the same. The Security Agency shall ensure creation of the Unique Activation Number (UAN) and EPF Pass Book of each deployed personnel. He shall also ensure issue of ESI card in favour of each deployed personnel. 15. The Security Agency will be liable to pay the Service Tax and cess as applicable from time to time on the total billed amount of OSBC Ltd. which should be clearly indicated in the monthly bill amount including the appropriate Cess. The Corporation shall deposit 100% of service tax payable to the Central Excise Authority, in case the Security Agency is an individual, HUF or Partnership Firm, then for that purpose the Security Agency shall have to submit the proof of their constitution in the form of a declaration (in the shape of an Affidavit). In other cases, the Corporation will deposit 75% of Service Tax with the Authority and will release the balance 25% of Service Tax to the Security Agency for depositing the same at their end with the Service Tax Authority under reverse charge mechanism. A copy of the deposited e-challan will be submitted by the Security Agency during reimbursement of the bill for the next month. The Corporation shall not be responsible in any manner in case of any noncompliance by the Security Agency in this regard and any dispute, if arises, on this account the Security Agency will squarely be responsible and will meet all dispute and keep the OSBC totally indemnified from any contingencies arising out of it. 16. No accommodation shall be provided to the security personnel by OSBC Ltd. The agency may arrange suitable accommodation for them in the nearby area. 17. The Tax deduction at Source (T.D.S.) shall be made as per the provisions of Income Tax Act & Rules, as amended, from time to time and a certificate to this effect shall be provided by the Corporation to the Security Agency. The Security Agency shall maintain all statutory registers required under the Law and shall produce the same, on demand, to the authorities of the Corporation and/or any other statutory authority. 19. In the event of any dispute arising in respect of the clauses of the Agreement the same shall be resolved through bipartite negotiation and active mediation (wherein the decision of the M.D., OSBC Ltd. shall be final and binding). 20. All disputes thereafter shall be under the jurisdiction of the courts at Bhubaneswar only. Page 7 of 11
