2 In this connection with procurement of Credit card type of pen drives, e-tender is invited. You are requested to give your financial quote and give your lowest competitive rate for the above mentioned work as per Scope of Work and Terms & Conditions contained in the following annexures: 1. Instructions and General Terms & Conditions to the Bidders- Annexure-A 2. Financial Bid- Annexure-B 3. Application Letter for Supply of Credit Card Type Pen-Drives- Annexure-C 4. e-reverse Auction Guidelines for Supply of Credit Card Type Pen Drives- Annexure-D 5. The submission and opening of Bids will be through e-tendering process. Bidders can download bid document from the web site or from e-tender link given in REC website However, bidders will also submit in the form of a hard copy of the complete Bid document along with supporting documents, annexure etc. except Financial Bid. Bid envelop should be superscribed as Tender for the supply of Credit Card type Pen drives. Financial Bid has to be uploaded through e-tender process. In case sealed Financial Bid is submitted in hard copy, same will be returned to the bidder unopened at the time of opening bids and in case the Financial Bid is unsealed etc., the bid shall be summarily rejected. Note: To participate in the e-bid submission, it is mandatory for bidders to have user ID & Password. In case of e-reverse auction, the same user ID and password shall be used. For the purpose of obtaining User ID and password, the bidder has to register itself with REC through Tender Wizard Website given below. Please also note that the bidder has to obtain digital signature token for applying in the tender. In this connection vendor may also obtain the same from Tender Wizard. Steps for Registration (i) Go to website (ii) Click the link Register Me (iii) Enter the details about the bidder as per format (iv) Click Create Profile (v) Bidder will get confirmation with Login ID and Password. B. Steps for application for Digital Signature from Tender Wizard: (1) Download the Application Form from the website Follow the instructions as provided therein. In case of any assistance you may contact REC officers whose address is given at the end of this letter. (2) Financial Bid to be submitted through online mode only on website in the prescribed form Annexure-B C. One Part Bid: Financial Bid: to be submitted online. Financial Bid will be valid for 90 days. D. Submission of Earnest Money Deposit (EMD) of Rs.2,50,000 (Rupees Two Lakhs Fifty Thousand only) in the form of DD in favour of Rural Electrification Corporation Limited on a scheduled commercial bank payable at New Delhi. To upload and submit scan copy as well as submit original in a separate sealed envelope.

3 E. Micro & Small Scale Units: - The following facilities are extended to Micro & Small Scale Units registered with National Small Industries, Nirman Bhawan, New Delhi:- (i) Issue of Tender Sets free of cost (ii) Exemption from payment of Earnest Money (iii) Waiver of Security Deposit upto the monetary limit for which the unit is registered; and (iv) In case the participating MSMEs quoted price within the band of L1+15% by allowing such MSME to supply upto 20% of the tender value by bringing down their price to L1 price. Out of this 20% minimum 4% shall be purchased from SMEs owned by SC/ST, the quantity fixed by SMEs shall be equally distributed among them as under: a. In case there is one bidder from MSME owned by General/SC/ST and its rates are within 15% of the L1 price then the entire 20% of the quantity shall be allowed to the said MSME owned by General/SC/ST provided the firm is agreed to lower their price at L1 price. b. In case there are 4 bidders from MSME and out of these four belongs to SC/ST and their rates are within15% of the L1 price, then the 20% of the quantity shall be equally allocated to all the four MSMEs including MSMEs owned by SC/ST provided all are agreed to lower their price at L1 price. c. In case there are 9 bidders from MSMEs and out of these 9 one belongs to SC/ST and their rates are within 15% of the L1 price, then the 4% quantity shall be allocated to MSME owned by SC/ST and balance 16% of the quantity shall be equally allocated to other eight MSMEs provided all are agreed to lower their price at L1 price. Last Date for submission: The Bids complete in all respects should be addressed to the undersigned, Corporate Communications, Rural Electrification Corporation, Core-4, Scope Complex, 7 Lodi Road, New Delhi and submitted latest by noon on Submission of Financial bids after noon will not be entertained. Tender should be superscribed as Tender for the supply of Credit Card type Pen drives. Training for e-reverse Auction: REC will facilitate training for participation in Reverse Auction on for the Reverse Auction to familiarize the vendors/bidders with Reverse Auction process. In case there is change in date and time of training shall be communicated to all bidders. Clarification on bid documents and contact persons: You are requested to understand the job properly before quoting the rates. Submission of the tender by the bidder implies that he has read all the documents and has made himself fully aware of the work. In case you need any clarification on the bid documents, please make all your correspondence to Rama Vijay, DGM (CCPR) or Shri K.Ashish Rao, AM (CCPR) ( ). All such clarifications should reach this office five (5) days before the close of the bid date to be eligible for written reply from us. Any clarification received less than five days before the close of the bid date will not be answered. 5 Annexure-A Instructions and General Terms & Conditions to the Bidders Detailed Scope of Work (SoW) is listed below but not limited to the following: 1) Scope of Work: Supply of 65,000 (Sixty Five Thousand) credit card type pen drives with case (branding both on case and pen drive) and data uploading and packaging with given specifications on turnkey basis. 2) Specifications: Capacity Size Chip Shell Printing/ Branding Speed Casing Data uploading Particulars 8 GB 84x52x2 mm Toshiba Eco Friendly ABS plastic 4/4 Full color double side on each pendrive and single side on each case Read Speed: 10-15mb/s Write Speed: 4-8mb/s Transparent Plastic case for each pendrive Matter will be provided by REC 3) Quantity mentioned are tentative and rate quoted shall be inclusive of tax and other charges remain fix for + 15% of the tentative requirement. 4) All statutory duties and taxes (including excise and customs) Sales Tax and other charges that may be payable by the bidder in connection with supply, shall be included in the price quoted. 5) The agency may be required to carry out minor changes in the branding /design without any financial implication 6) Delivery of pendrives shall be as per requirement of REC at REC Office, SCOPE Complex, New Delhi/ MOP Sharam Shakti Bhawan, Rafi Marg, New Delhi or any other place within Delhi as per direction of REC. No additional freight, packaging, transportation or any other charges, etc, would be payable for delivery of the pendrives. 7) The price should be firm and valid till date of complete execution of the work. No escalation on any account whatsoever shall be paid under the contract. 8) Unconditional discount shall only be accepted, if offered, and shall be clearly indicated in the financial bid. 9) Completion Time: Within 15 (fifteen) days after final go ahead 10) Designing for branding of the pendrives shall be given by REC.

6 12) Bid Evaluation: (a) E-reverse auction shall be conducted among the bidders as per enclosed guidelines. Lowest bidder shall be decided only after completion of the E-reverse auction. Guidelines for e-ra are at Annexure-D. (b) The bidder must comply with the terms and conditions of contract. No deviations shall be entertained. (c) The decision of REC with regard to selection will be final & binding and no communication in this regard will be entertained. It may be noted that REC reserves the right to reject any or all the tender/bid without assigning any reason whatsoever. 13) EMD: (a) An amount of Rs.2,50,000/- (Two Lakh Fifty Thousand only) in the form of demand draft from a nationalized bank in favour of Rural Electrification Corporation Ltd. and payable at New Delhi is to be submitted in a separate sealed envelope superscripted EMD for Credit Card Type Pendrives which is refundable. (b) The EMD of successful bidder shall be released without interest after submission of performance bank guarantee. The EMD of unsuccessful bidders will be returned after completion of bidding process without any interest after award of work. (c) Withdrawal or modification of a bid after submission of bids may result in the forfeiture of the EMD (d) In case of successful bidder fails to accept letter of award within the stipulated period mentioned in letter of award, besides forfeiture of EMD, bidder shall not be considered for participation in any bidding process for next three years in REC. 14) Performance security deposit: (a) The successful Bidder shall furnish performance security deposit to REC in the form of a Demand Draft for an amount equivalent to 10% of the contract value, valid for two months within 3 days from the signing of the contract agreement, for performance obligation. The same will also be treated as performance security deposit towards defaults like non-delivery, cancellation, liquidated damages, recovery of any amount etc. (Annexure F-a). (b) The performance security deposit shall be in the form of a Bank Guarantee from a Scheduled Bank or a Bankers Cheque or Demand Draft as given at Annexure F(b). 15) Each page of the Bid submitted should be signed by the bidder. 16) The sealed Bid and EMD complete in all respects should be presented personally to the Corporate Communications Division at Rural Electrification Corporation, Core-4, Scope Complex, 7 Lodi Road, New Delhi at noon Submission of Bid after noon on will not be entertained. 17) REC reserves the right to extend the deadline for submission of bids by issuing an amendment in which case all rights and obligation of the REC and the bidders previously subject to the original deadline will then be subject to the new deadline.

7 18) Terms of Payment: (a) The payment will be released subject to deductions, if any within one month of receiving the bill after completion of the work. (b) Advance, if required can be released max upto 30% of the award value after submission of Bank Guarantee of equivalent amount (Annexure F(c)). Balance payment of contract value within 30 days of completion of event and due submission of bills. 19) Other Terms & Conditions: a) REC has the right to assess bidder s capability and capacity to perform the contract, should the circumstances warrant such assessment in the overall interest of the owner. b) The bidder has to maintain the quality of work and the work shall be executed / completed to the entire satisfaction of the officer-in-charge. c. The Contractor shall execute the work strictly as per specifications, scope of work& Genera Terms and Conditions and time schedule as stipulated in the tender document. d. Liquidated Damages: In case of delay in completion of the job as per schedule, liquidated damages for the 2% per day of delay subject to maximum 10% of award value shall be deducted from the Contractor s Bill. 20) General Terms and Conditions: a). In case of award of this job, the following shall be applicable definitions and terms and conditions: i. Contractor/Agency shall mean the bidder whose bid is accepted by the owner for award of the works and shall include such successful bidder s legal representatives, successors and premised assigns. ii. Officer shall mean the officer appointed in writing by the REC to act as officer from time to time for the purpose of the contract. b). No other person except Contractor s authorized representative shall be allowed to enter REC s premises. c) Within the REC s premises, the contractor s personnel shall not do any private work other than their normal duties. d) Contractor shall be directly responsible for any/ all the disputes arising between him and his personnel and shall keep REC indemnified against all losses, damages and claims arising thereof. e) The personnel engaged by contractor shall be subject to security check by REC s Security staff while entering / leaving the premises. f) Contractor shall be solely responsible for payment of wages/ salaries and allowances to his personnel that might become applicable under any new act or order of Government of India. REC shall have no liability whatsoever in this regard. 21) Settlement of Dispute/Arbitration: If any dispute(s) or differences of any kind whatsoever arise between the Parties, the Parties hereto shall negotiate with a view to its amicable resolution and settlement to a committee appointed by CMD, REC. In the event no amicable resolution or settlement is reached between the parties, the differences shall be referred to and settled by the Arbitral Tribunal comprising CMD of REC as Sole Arbitrator. Alternatively, CMD, REC may appoint any person to act as Sole Arbitrator. The arbitration proceedings shall be in accordance with prevailing Arbitration and Conciliation Act, 1996 and Laws of India as amended or enacted from time to time. The venue of the arbitration shall be New Delhi, India. The Fee and other charges of Arbitrator shall be as per the rates fixed by the REC and shall be shared equally between the parties. The arbitrator will give the speaking and the reasoned Award. The party will not be entitled to any pendent elite interest during arbitration proceedings.

8 22) Force Majeure For the purposes of this Contract, Force Majeure means an event which is beyond the reasonable control of a Party and which makes a Party s performance of its obligations under the Contract impossible or so impractical as to be considered impossible under the circumstances. Without limiting the generality of the forgoing, force majeure occurrences Force majeure occurrences shall include: acts of nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster) war, invasion, acts of foreign combatants, terrorist acts military etc. Party asserting force majeure shall have the burden of proving proximate cause that reasonable steps were taken to minimize the delay and damages caused by events when known. 23) Jurisdiction: The parties hereby agree that the Courts at New Delhi shall have exclusive jurisdiction in all matters relating to or arising to or out of the contract.

11 Annexure D e-reverse Auction Guidelines for supply of credit card type pen drives These Guidelines are intended to guide about e-reverse Auction processes, awarding criteria, and confidentiality requirements, and to the binding nature of bids made at e-reverse Auction. The aim of e-reverse Auctions is to enable negotiations to be engaged in using technology that allows a faster pricing process, a more objective way of selecting bidders and greater transparency of market prices. The bidders are expected to follow the standards set forth in these Guidelines:- 1. Reverse Auctions are carried out under the framework of rules as defined by REC and all bidders participating in Reverse Auction shall understand/accept and give an undertaking for compliance with the same to the REC in the prescribed format (Annexure E). 2. Any bidder not willing to submit such an undertaking shall be disqualified for further participation with respect to the said procurement. 3. Reverse Auction shall be carried out amongst the bidders who have quoted within lowest price +15% of the evaluation criteria price. However in case no other bidders fall within +15% of l-1 quoted prices then reverse auction can take place up to lowest price + 25% or as decided by REC shall be allowed to participate in the online reverse auctioning. 4. The overall lowest price quoted by the bidder will be considered as Reserve Base Price during reverse auction, further the item wise price of all items shall be arrived from the overall lowest quoted price in the same ratio as quoted by the bidders earlier in the financial bid and all the bidders will be considered at same platform. 5. Decrement value to be kept for conducting Reverse Auction shall range from 0.50% to 5% of the Reserve Base Price converted to the nearest round figure, depending upon the value of the bid. 6. Preferably the time duration to be kept for conducting Reverse Auction process is from 11:00 AM to 3:00 PM with the incremental time duration of 30 minutes from the time of last quote considering that the bidder may be provided the sufficient time for quoting their best lowest rates. The window may be extended to accommodate 30 minutes for response time, if required. The auction will terminate either at the scheduled end time or as extended as per requirement till there is no response during the incremental time duration. However, REC reserves the right to modify the process with pre-information to bidders, if required. 7. The eligible bidders can participate in the online Reverse Auction from any place of their choice and need not to visit REC office for this purpose. 8. The User ID and password for online reverse auction is same as used in online bidding process/ provided at the time of bidder registration. 9. The Reserve Base Price for Reverse Auction will be informed after the Opening of Price Bid. This shall be the lowest rate received against the initial price bids submitted by participating bidders. 10. REC shall make all out efforts to rectify the problem(s) leading to system failure during the online reverse auction. However in case the system could not be restored within the reasonable time period as deemed fit by REC, the reverse auction event shall be suitably extended/ shall be restarted again after rectification by giving a new schedule for the same, which shall cover the left over time period as per the original schedule. On restart of reverse auction the last R1 price received during reverse auction at which the reverse auction event got terminated, shall be the starting price. 11. REC will facilitate training for participation in Reverse Auction on to familiarize the vendors/bidders with Reverse Auction process. In case there is change in date and time of training shall be communicated to all bidders. 12. Any vendor/bidder not participating in training shall do so at his own risk and it shall not be open for him to make any complaint/grievance later. 13. No request for postponement/fixing of Training Date/Time shall be entertained.

12 14. The Date and Time of commencement of Reverse Auction shall be communicated to the shortlisted bidders at least One day in advance. 15. Any force majeure or other condition leading to postponement of auction shall entitle REC to postpone the auction. 16. The Reverse Auction shall be conducted by REC through its service provider specifically identified/appointed by REC. 17. All the bids made from the log-in ID given to bidder shall ipso facto be considered. Bids are to be made by the vendor / bidder using log-in ID and password assigned by the service provider /auctioneer. 18. Any bid once made through registered log-in ID / password by the vendor / bidder cannot be cancelled. The bidder, in other words, is bound to sell the Offering as per the RFP at the bid price. 19. Every successive bid by the bidder / vendor being decremented bid shall replace the earlier bid automatically and the final bid as per the time and log-in ID shall prevail over the earlier bids. 20. No two bids can have identical price from two different vendors. In other words, there shall never be a Tie in bids. 21. All bidders will be able to view during the auction time the current lowest price in portal. Bidder shall be able to view not only the lowest bid but also the last bid made by him at any point of time during the auction time. 22. Names of bidders/ vendors shall be anonymously masked in the Reverse Auction process and vendors will be given suitable dummy names. After completion of Reverse Auction, the service provider / auctioneer shall submit a report to REC with all details of bid and the original names of the bidders and the L-1 bidder. 23. REC shall however, be entitled to cancel the procurement of Reverse Auction process, if in its view procurement or reverse auction process cannot be conducted in a fair manner and / or in the interest of REC. 24. The successful vendor/ bidder shall be obliged to provide a Bill of Material at the last bid price at the close of auction. 25. No vendor shall involve himself / itself or any of his / its representatives in any price manipulation directly or indirectly with other bidders. If any such practice comes to the notice, REC shall disqualify the vendor / bidders concerned from the reverse auction process. 26. Bidder shall not disclose details of its bids or any other details concerning Reverse Auction process of REC to any other third party without specific permission in writing from REC. 27. Neither REC nor service provider / auctioneer can be held responsible for consequential damages such as no power supply, system problem, inability to use the system, loss of electronic information, power interruptions, UPS failure, etc. (REC shall, however, entertain any such issues of interruptions, problems with open mind and fair degree of transparency in the process before deciding to stop or extend the auction). 28. Any aggrieved vendor / bidder through Reverse Auction process can represent in writing within 24 hours of the Reverse Auction to REC, failing which no representation/ complaint etc. shall be entertained. 29. REC s decision on award of Contract shall be final and binding on all the Bidders.

13 Annexure E Acceptance Letter For Participation In e-reverse Auction Event (To be signed and stamped by the bidder) In a bid to make our entire procurement process more fair and transparent, REC intends to use the e- reverse auctions as an integral part of the entire tendering process. The following terms and conditions are accepted by the bidder on participation in the bid event: 1. I/WE agree that REC's decision to award the work would be final and binding on the suppliers/ bidders. 2. I/We agree to non-disclosure of trade information regarding the purchase, identity of REC, bid process, bid technology, bid documentation and bid details to any other party. 3. I/We have fully made ourselves aware of auto bid process and have ensured our participation in the e-reverse auction event, failing which REC will not be liable in any way. 4. I/We ensure availability of the infrastructure as required at our end to participate in the auction event through Internet medium. Inability to bid due to telephone line glitch, internet response issues, software or hardware hangs, power failure or any other reason shall not be the responsibility of REC. 5. I/We agree that in case of Intranet medium, REC shall provide the infrastructure to bidders. Further, REC has sole discretion to extend or restart the auction event in case of any glitches in infrastructure observed which has restricted the bidders to submit the bids to ensure fair & transparent competitive bidding. In case an auction event is restarted, the best bid as already available in the system shall become the basis for determining start price of the new auction. 6. I/We agree that in case we fail to participate in the auction event due to any reason whatsoever, it shall be presumed that we have no further discounts to offer and the initial bid as submitted by us as a part of the tender shall be considered as our final no regret offer. Further, I/We agree that any offline price bids sent from us in lieu of non-participation in the auction event shall be out rightly rejected by REC. 7. I/We shall be prepared with the competitive price quotes on the day of the auction event. 8. I/We agree that the prices as quoted by us during the auction event shall be inclusive of all the applicable taxes, duties and levies and shall be FOR at site. 9. I/We agree that the prices submitted by us during the auction event are binding on us. 10. I/We agree that no requests for time extension of the auction event shall be considered by REC. 11. I/We agree that the original price bid shall be reduced on pro-rata basis against each line item based on the final all inclusive prices offered during conclusion of the auction event for arriving at Contract amount.
