Planning Apprves the assciatin's missin, visin, and values and reviews assciatin management's perfrmance in achieving it. Assciatin management is defined as the President, the Bard f Directrs, and the Chief Executive Officer. Annually assesses the ever-changing envirnment in which the assciatin functins and apprves the assciatin's strategy in relatin t it. Annually reviews and apprves the assciatin's plans fr funding its strategy. Reviews and apprves the assciatin's prgrams, plans, and directins. 2. Organizatin Regularly discusses with the Chief Executive Officer matters that are f cncern t him/her r t the Bard f Directrs. Is assured that management cntinuity is prperly prvided. Is assured that the status f rganizatinal strength and staffing is equal t the requirements f the SLA Strategic Plan. Apprves apprpriate cmpensatin and benefit plicies and practices. Determines the eligibility f candidates fr the nminatin f fficers and directrs as submitted by the Nminating Cmmittee and apprves the reprt f the Nminating Cmmittee fr the nminatin f fficers and directrs. Annually reviews the perfrmance f the Bard f Directrs and takes steps (including recmmendatins fr its cmpsitin, rganizatin, and respnsibilities) t imprve its perfrmance. Operatins Reviews the results achieved by management as cmpared with the assciatin's missin, the assciatin's prgram plans, and the SLA Strategic Plan as well as in cmparisn with thse f similar rganizatins. Ascertains that the financial structure f the assciatin is adequate fr its current needs and the implementatin f the SLA Strategic Plan by apprving the assciatin's annual budget. Prvides candid and cnstructive criticism, advice and cmments t the President, ther members f the Bard f Directrs, and the Chief Executive Officer. Apprves majr actins f the assciatin, such as capital expenditures n all prjects ver authrized limits r majr changes in prgrams and services. 4. Audit Is assured that the Bard f Directrs and its cmmittees are adequately and currently infrmed thrugh reprts and ther methds f the financial cnditin f the assciatin. Is assured that published reprts prperly reflect perating results and the financial cnditin f the assciatin. Ascertains that management has established apprpriate plicies t define and identify cnflicts f interest thrughut the assciatin, and is diligently verseeing the enfrcement f thse plicies. Apprves independent auditrs. Reviews cmpliance with relevant material laws affecting the assciatin. 5. As Chair f the Bard f Directrs and Chief elected fficer, accepts respnsibility fr the success r failure f the enterprise. Assumes respnsibility fr the assciatin's cnsistent achievement f its missin and financial bjectives. 2. Gives directin t the frmulatin, and leadership t the achievement, f the assciatin's philsphy, missin, and strategy, and t its bjectives and gals. Assures that the assciatin is making cnsistent and timely prgress tward the fulfillment f the SLA Strategic Plan. 3. As Chair f the Bard f Directrs, assures that the Bard f Directrs fulfills its respnsibilities fr the gvernance f the Special Libraries Assciatin. 3 4. As a partner with the members f the Bard f Directrs, ptimizes the relatinship between the Bard and the management f the assciatin. 5. As a partner with the Chief Executive Officer, helps him/her t achieve the missin f the assciatin. Chairs the meetings f the Bard f Directrs. Sees that the Bard functins effectively, interacts with management ptimally, and fulfills all f its duties. As described in the Bylaws f the Assciatin appints members and designates the chair f all Standing Cmmittees, Advisry Cuncils, and Task Frces as needed. Recmmends cmmittee chairs with an eye t future successin. Wrks with the Executive Cmmittee and the Chief Executive Officer in recruiting members f the Bard and ther talent fr whatever vlunteer assignments are needed. Gets the best thinking and invlvement f each Bard member, stimulating each ne t give his/her best. Reflects any serius cncerns the Chief Executive Officer has in regard t the rle f the Bard f Directrs r individual Bard members. Reflects t the Chief Executive Officer the cncerns f the Bard f Directrs and ther cnstituencies. Presents t the Bard f Directrs an evaluatin f the pace, directin, and rganizatinal strength f the assciatin. Annually fcus the attentin f the Bard f Directrs n matters f rganizatinal gvernance which relate t its wn structure, rle, and relatinship t the management f the assciatin. The President must be assured that the Bard f Directrs is satisfied that it has fulfilled its respnsibilities. Acts as an additinal set f eyes and ears fr the assciatin. In crdinatin with the Chief Executive Officer, serves as an alternate spkespersn fr the assciatin. Fulfills such ther assignments as the President, the Bard f Directrs and the Chief Executive Officer agree are apprpriate and desirable fr the President t perfrm. Recmmends a directr f the Bard t serve as secretary. The Bard shall elect a directr t serve as secretary. The Executive Cmmittee fr the evaluating year (president, past president, president-elect, treasurer and secretary) is respnsible fr cnducting the evaluatin f the Chief Executive Officer, with the evaluating year s president taking the lead. She/He may chse t seek input frm the Bard f Directrs n the perfrmance review f the Chief Executive Officer. Psitin Descriptin f President-Elect The President-elect is the secnd-ranking elected fficer in the Special Libraries Assciatin and assumes the highest elected psitin at the cnclusin f his r her term. He r she supprts the President in fulfilling the gals and bjectives f the Bard f Directrs by prviding cntinuity t established prgrams and frmulating future prgrams fr his r her wn presidency. 4 Attends Bard f Directrs, Executive Cmmittee, and Business meetings f the assciatin. Accepts respnsibilities delegated by the President, such as representing the President at allied rganizatin meetings, and any ther duties as apprpriate t the presidency. Shares with the President visits t SLA Chapters during his r her term as President-Elect, up t six chapter visits, except in the case f a Chapter anniversary celebratin. Serves as a vting member f the Awards & Hnrs Cmmittee. Serves as Liaisn t the frthcming Cnference Prgram Cmmittee, which takes place during his r her tenure as President f SLA. The Executive Cmmittee fr the evaluating year (president, past president, president-elect, treasurer and secretary) is respnsible fr cnducting the evaluatin f the Chief Executive Officer, with the evaluating year s president taking the lead. She/He may chse t seek input frm the Bard f Directrs n the perfrmance review f the Chief Executive Officer. Descriptin f Past President Serves n Awards & Hnrs Cmmittee as a member; will be chair f cmmittee the fllwing year. May be asked t cnduct rientatin fr new Bard members at January meeting. Supprts gals and activities f the President. Prvides advice, guidance, and assistance t President -- but nly if asked! Similarly, is available t ther Bard members, cmmittee chairs, and ther assciatin leadership and membership t prvide infrmatin and suggestins as needed. As a member f the Bard f Directrs, utilizes and shares experience gained as President-Elect and President frm chapter visits, ther cntacts with the membership and the chapter and divisin leadership, cntacts with cmmittees, dealings with assciatin staff, and dealings with ther rganizatins as SLA's elected leader. The Executive Cmmittee fr the evaluating year (president, past president, president-elect, treasurer and secretary) is respnsible fr cnducting the evaluatin f the Chief Executive Officer, with the evaluating year s president taking the lead. She/He may chse t seek input frm the Bard f Directrs n the perfrmance review f the Chief Executive Officer. Each Directr participates by: Attending all bard meetings prepared t further the success f the assciatin and t supprt the assciatin's missin, visin, values and gals. Mnitring and mentring standing cmmittees and advisry cuncils as assigned and n an as needed basis prviding advice, encuragement and a vice fr the cmmittees t the Bard. Acting as a rle mdel, change agent and prfessinal exemplar. Psitin Descriptin f Secretary t the Bard f Directrs Each year the Bard elects ne directr, recmmended by the President, t serve as secretary t the Bard. Prepares Bard cnference call and in-persn meeting agendas in cnsultatin with the President and Chief Executive Officer. Takes minutes at all Bard meetings. Submits written draft f minutes, within tw weeks f meetings, fr apprval by Bard f Directrs. Psts agendas and minutes t the Bard wiki. The Executive Cmmittee fr the evaluating year (president, past president, president-elect, treasurer and secretary) is respnsible fr cnducting the evaluatin f the Chief Executive Officer, with the evaluating year s president taking the lead. She/He may chse t seek input frm the Bard f Directrs n the perfrmance review f the Chief Executive Officer. Psitin Descriptin: Treasurer Serves a three-year term. Functins The Treasurer shall perfrm the usual duties f the ffice and thse assigned by the Bard and, at the Annual Business Meeting, shall reprt t the members n the financial status f the assciatin. Aside frm attending all Bard meetings, ther duties f the Treasurer are: Act as the Bard's "mney cnscience." Help prepare the assciatin's annual budget. Mnitr expenditures and incme, usually thrugh mnthly financial statements. Mnitr the assciatin's lng-term investments. Stay abreast f assciatin activities and be prepared t ffer practical suggestins and advice. Cnsult with headquarters staff n prgrams and services (new and ld) which impact n the budget; including mnthly telephne cnversatins with the Chief Administrative Officer. 6 Chairs Finance Cmmittee. Presents Treasurer's reprt t the membership at the Annual Business Meeting during annual cnference. The Executive Cmmittee fr the evaluating year (president, past president, president-elect, treasurer and secretary) is respnsible fr cnducting the evaluatin f the Chief Executive Officer, with the evaluating year s president taking the lead. She/He may chse t seek input frm the Bard f Directrs n the perfrmance review f the Chief Executive Officer. Relatinships Maintains regular cntact with the Chief Administrative Officer. Time Cmmitment An average f ne hur per week is needed t read mnthly financial statements, prepare reprts and cnduct cnference calls with assciatin staff leaders. Psitin Descriptin: Divisin Cabinet Chair-Elect Functins The Divisin Cabinet Chair-Elect serves n the SLA Bard f Directrs and wrks clsely with the Divisin Cabinet Chair and the Divisin Cabinet Past-Chair t prvide a fcus fr Divisin cncerns. The Divisin Cabinet Chair-Elect is elected by the membership fr a three-year term, serving the first year as Divisin Cabinet Chair-Elect, the secnd year as Divisin Cabinet Chair and the third year as Divisin Cabinet Past- Chair. T serve as a full member f the SLA Bard f Directrs and t lead, advise, and supprt the activities f the Special Libraries Assciatin. T attend all Bard meetings prepared t further the success f the assciatin and t supprt the assciatin s missin, visin, values and gals. T serve as secretary at the Divisin Cabinet meetings and disseminate the minutes t Divisin leadership. T secnd mtins brught t the Bard f Directrs by the Divisin Cabinet Chair. T rganize Leadership Orientatin and Leadership Summit activities, in cnjunctin with the Chapter Cabinet Chair-Elect (and ther vlunteers), fr the annual cnference and Leadership Summit Meeting.
