1 GUJARAT URBAN DEVELOPMENT COMPANY LIMITED, GANDHINAGAR Appointment as Tax Consultant & Advisor for AY Gujarat Urban Development Company Ltd. (GUDC Ltd.) has been established by the Government Gujarat with a mandate to catalyze Urban Development. GUDC Ltd. is 100% owned Government Gujarat Undertaking having its Registered Office at Gandhinagar. 1. GUDC Ltd is presently implementing Water Supply and Under Ground Drainage Projects under Swarnim Jayanti Mukhya Matri Shaheri Vikas Yojana, Municipal Solid Waste Management, Railway over Bridge/Railway under Bridge, Energy Efficiency Project etc. 2. GUDC Ltd. requires the services a reputed Chartered Accountant Firm/Company (CA Firm) having its Head fice in Ahmedabad or Gandhinagar only to work as Tax Consultant & Advisor for AY on work to work basis. 3. Interested CA Firm shall send its details in the Formats prescribed as per Annexure A - Technical Proposal and as per Annexure B - Financial Proposal. 4. Interested CA Firm shall send its proposals in Two parts and in Two separate gum/wax Sealed Covers duly marked Technical Proposal and Financial Proposal respectively. These two envelopes (called as Inner Envelopes) shall then be put inside One outer envelope. Proposals shall be submitted in the given format only. 5. Outer envelope should be a gum/wax sealed and marked as Appointment Tax Consultant & Advisors for AY and shall reach GUDC Ltd. by REGD. AD / SPEED POST only on/before , 5.30pm. Proposal received after will not be accepted. Proposal sent through any other mode will not be accepted. 6. Technical Proposals will be opened on at 4.30pm in the Conference Room GUDC Ltd., Udhyog Bhavan, Block no, 6, 5 th Floor. Gandhinagar. 7. Financial fers only technically qualified CA Firms will be opened on at pm the Conference Room GUDC Ltd., Udhyog Bhavan, Block no, 6, 5 th Floor. Gandhinagar. 8. All applications shall be submitted in English. 9. Application along with enclosures should be hard bound, page numbered and initialled on each page. Loose/Spiral Bound or Combo bound shall be considered non-responsive.

In addition to the identification required in as above, each the envelopes shall indicate the Name and Address along with contact number the Applicant to enable the Application to be returned unopened in case it is received and declared late or GUDC Ltd. declares the application non-responsive. 11. Application duly completed in all respect shall be addressed to : Chief Financial Officer Gujarat Urban Development Company Ltd. Udhyog Bhavan, Block.6, 5 th Floor, GH Road, Sector 11, Gandhinagar /27/ /65/ Processing Fee : The applicant CA Firm shall submit n Refundable Processing fee Rs. 1,000/- (Rs. One Thousand only) in the form a Demand Draft drawn in favour Gujarat Urban Development Company Ltd. payable at Gandhinagar issued by a Nationalized Bank along with the Technical proposal. Application submitted without Processing fees shall be rejected. 13. Earnest Money Deposit (EMD): Earnest Money Deposit Rs. 15,000/- (Rs. Fifteen Thousand only) n Interest bearing in the form a Demand Draft drawn in favour Gujarat Urban Development Company Ltd. payable at Gandhinagar issued by a Nationalized Bank shall be submitted along with the Technical proposal. Application submitted without Earnest Money Deposit shall be rejected. On selection a successful CA Firm, the said Earnest Money Deposit shall be converted into Security Deposit n Interest bearing and will be returned on completion all the work as per Annexure B as decided by the Company. EMD non successful bidders will be returned. 14. Copies all the orders for the appeals won before CIT(A) and ITAT shall be attached. 15. Application submitted without required document/supporting as asked for shall be out right rejected without giving any reason. 16. The CA Firm shall quote lump sum fees for works as per Annexure B irrespective no. meetings/hearings/attendance etc. Hourly basis fees, Partner/Assistant/ attendance basis fees shall not be quoted. 17. Fees quoted shall be inclusive charges for all discussions, all visits, conferences by/ with CA Firm/its representative in respect the works as per Annexure B. Fees shall be inclusive out pocket expenses, all perquisites, allowances, expenses, etc. and excluding Service Tax as applicable. TA/DA and other incidentals are not eligible. other expenses claims shall be entertained.the CA Firm shall not be eligible to claim any other amount over and above the fees quoted by them. condition shall be attached to the payment terms.
3 18. The CA Firm shall depute its staff at GUDC Ltd. fice at Gandhinagar for preparation details /submissions etc. 19. Right to Reject any or all Proposals: twithstanding anything contained in this fer /Terms Reference (ToR), GUDC Ltd. reserves the right to accept or reject all or any proposal and to annul the selection procedure and reject all proposals, at any time without incurring any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons there. 20. GUDC Ltd. reserves the right to accept or not to accept lowest responsive fer based on evaluation and to reject any or all fers without assigning any reason. 21. In case unsatisfactory services/any dispute arising in future, decision the Managing Director, GUDC Ltd. shall be final and binding to both the parties. 22. The CA Firm shall accept and sign the Terms & conditions as stated at Annexure C. 23. Technical Proposal, Financial Proposal and Acceptance Terms & Conditions shall be submitted on the letter head by the CA Firm. 24. MINIMUM ELIGIBILITY CRITERIA: The CA Firm shall have minimum Five Partners whom at least Three partners shall be FCA. Minimum Two partners shall be in full time practice in Taxation. The CA Firm shall have its Head fice in Ahmedabad or Gandhinagar. The CA Firm shall have minimum experience Ten years handling Taxation work Government PSUs, State Financial Institutions, Government Companies, Government Corporations, Public Limited Companies at assessment level and experience Seven years handling appellate work at CIT(A) and ITAT level Government PSUs, State Financial Institutions, Government Companies, Government Corporations and Public Limited Companies. The CA Firm shall have represented and won at least Five cases at both CIT(A) and ITAT level in the last Five years Government PSUs, State Financial Institutions, Government Companies, Government Corporations or Public Limited Companies. 25. SCOPE OF WORK FOR TAX CONSULTANT & ADVISOR FOR A.Y :- GUDC Ltd. needs the services a Chartered Accountant Firm to work as Tax Consultant and Advisor for AY , as per scope stated in Annexure B.

Calculation Provision for Taxation and Calculation MAT credit Entitlement for Final Accounts purpose. ( a) Attending assessment / reassessment proceedings before the Assessing Officer and also preparing details /submissions to be made to the Assessing Officer. On receipt assessment order preparation rectification application, if any. Attending and preparing replies to notices received under various sections the Income Tax Act. (b) Attending and preparing details/ submissions for notices/ applications under various sections Income Tax Act before ACIT/DCIT/Addl.CIT/JCIT/CIT/CIT(A) etc. Attending and preparing letters /details for Application for Stay Demand before ACIT/ DCIT /ADDL. 8 ANNEXURE C Terms and Conditions 1. The appointment shall be initially for a period ONE year. Further renewal /extension shall be subject to appraisal and decision by the Managing Director. 2. Payment shall be made on actual performance by the CA Firm and on receipt the final order the work. The CA Firm shall maintain strict confidentiality regarding any sensitive information obtained in course its contract with GUDC Ltd. and shall not make any use information for any purpose other than Income Tax. It shall not accept cases or render advice against the GUDC Ltd. so long as appointment is continued with the GUDC Ltd. The CA Firm shall be required to submit a bond fidelity to the GUDC Ltd. for maintaining secrecy GUDC Ltd. s business operations, procedures and policies. 3. The CA Firm shall be liable for the consequences, errors and omission on its part. However, the indemnification to be paid by the CA Firm shall depend on seriousness error/omission and shall be determined in relation to the CA Firms fee and shall not be in excess fee. 4. The assignment shall not be sub-contracted to any other CA Firm. 5. The CA Firm before undertaking the work shall submit an undertaking that if during its appointment with the GUDC Ltd., any its client/clients happen to be GUDC Ltd. s borrower whether directly or indirectly, it shall be forthwith brought to the notice the Managing Director the GUDC Ltd. Failure to do so shall entail cancellation the appointment and otherwise action as decided by the GUDC Ltd. 6. Jurisdiction shall be Gandhinagar only. 7. The CA Firm shall assign staff to GUDC Ltd. at its fice at Gandhinagar for each work. The CA Firm shall not change the staff assigned to GUDC Ltd. without the permission the GUDC Ltd. 8. All ORIGINAL receipts/acknowledgements for all the papers/ letters/appeals filed with any authority shall be handed over to GUDC Ltd. immediately. 9. Appeal forms shall be submitted to GUDC Ltd. for signature within Fifteen days the assessments orders/other orders given to CA Firm and shall be filed with respective appellate authorities before due date filing. : Place: Signature Name & Designation Membership.
