1 SEMINAR THE COMPANIES (AMENDMENT)ACT, 2017 on 23 rd January, 2018 at IMC Chamber of Commerce and Industry Dear Sir / Madam, IMC s Law and Justice Committee is organizing a Seminar on The Companies (Amendment) Act, 2017, as per following details: Day & Date : Tuesday, 23 rd January, 2018 Time : 5.00 p.m. to 7.00 p.m. Venue : Walchand Hirachand Hall, 4 th Floor, IMC Recently The Companies (Amendment) Bill, 2017 was passed by both Lok Sabha (on 27 July 2017) and by Rajya Sabha (on 19 Dec. 2017) and received President s approval on 3 rd January The Act introduces certain notable amendments which have far reaching implications to working of companies and directors and is the culmination of a long consultative process undertaken by the Company Law Committee constituted by the Ministry of Corporate affairs with a view to addressing certain concerns raised and revamping some provisions and creating easy of doing business. Some of major amendments include definitions and clarification of certain terms in Section 2. Omission of provisions relating to Time limit of 270 days for certain filings, forward dealing and insider trading, matters to be stated in Prospectus- inter alia information and financial information as specified by the SEBI, civil liability for misstatements in Prospectus, provisions relating to Issue of Sweat Equity Shares, further share issues including on private placement of shares and prohibition on issue of shares at discount. The legal provisions and their practical effect arising from the doing away with the requirement of approval of the Central Government for managerial remuneration above prescribed limits under Schedule V, Provisions affecting prohibition on acceptance of deposits from public and repayment of deposits, compliance provisions requiring providing for maintenance of register of significant beneficial owners and filing of returns in this regard with the ROC and removal of requirement for annual ratification of appointment or continuance of auditor and so on.

2 Objects of the Seminar The proposed seminar is aimed at having a look at these various amendments and understanding the effect and implications of the changes introduced by the amendment on administering of companies and compliance requirements.
