This is the fifth time The World Bank has joined with INSOL International and UNCITRAL to present the Eleventh Joint Multinational Judicial Colloquium on Insolvency. These Colloquiums have brought together judges, regulators and judicial officials from around the world to consider a wide range of insolvency-related issues. These issues have included judicial co-operation in cases of cross-border insolvency, access to courts by insolvency practitioners and recognition of insolvency administrations by foreign courts. The Eleventh Joint Multinational Colloquium has an extremely important agenda. With the growth of crossborder trade, the number of insolvency cases where there are assets in more than one jurisdiction, or where there are cross-border groups will inevitably increase. The Colloquium will assist participants to understand the developments in the handling of such cases. It will compare the judicial and juridical practice in dealing with practical and theoretical issues arising in cross-border insolvency cases in a number of jurisdictions representing all major legal systems. The Colloquium is a closed meeting, open only to Judges, civil servants from relevant Ministries and judicial administrators. Small Practice Issues Meeting 4.00pm 5.30pm, Sunday 22 March 2015 The INSOL International Small Practice Committee under the chairmanship of Hans Klopper annually holds an open meeting for small practitioners attending the conference on Sunday 22 March at 4.00pm-5.30pm in order that everyone can meet prior to the start of the conference to facilitate networking. 6 Main Sponsors: A3 Intellectual property - ownership, licenses, enforcement and sales In recent years, as the high-tech markets have grown and companies in distress have looked for innovative ways to realise value from their intangible assets, new opportunities have opened up for the purchase and licensing of intellectual property in connection with creditor protection proceedings. Around the world, differing insolvency laws create unique opportunities for debtors to sell and protect their own intellectual property and, possibly, to shed unwanted IP licenses they entered into in better times. It is important for practitioners to understand the potential consequences of an insolvency proceeding on the rights of owners, licensors and licensees of intellectual property. The panelists in this session will compare and contrast the differing treatment of intellectual property, particularly trademarks and patents, in various countries and the competing policies that guide these distinctions. Both the press and the public consistently conflate the issues surrounding offshore financial centres by labeling all offshore financial centres as tax havens, a term with negative connotations. A clear distinction needs to be made between the different types of offshore financial centres, as some are tax havens, notably the tax treaty jurisdictions and the secrecy jurisdictions, while others are not, such as the neutrality jurisdictions. Transparency is the objective of the neutrality jurisdictions, and it is not possible to have a proper debate without understanding these distinctions. Once this objective is understood, consideration needs to be given as to the best method to achieve transparency for the purposes of eliminating criminality, money laundering and tax evasion. Query whether FATCA as promulgated by the United States is the most effective method to achieve these objectives, or whether the FATF 40 Recommendations (as supported by the G20 and OECD) are the most effective method to achieve these objectives. Is it cost effective to have both methodologies? This session will explore these issues to allow the audience to reach their own conclusions. B2 The corporate group restructuring / insolvency, 2015 edition The 2015 corporate group is global. It may have headquarters in country A but its subsidiaries, even some of its divisions, are in jurisdictions B, C and D and even L, M and N. What happens when financial difficulties strike? Do the insolvency laws of all these different jurisdictions need to be factored into strategic thinking by those plotting a route to the financial sunny uplands for the group? Or is there a way to utilise just one set of laws and courts and hence avoid multi-jurisdictional complexity? Or is this thinking just a solution in search of a problem? In answering these questions, the panel will look at (a) the existing special cases substantive consolidation, piercing the corporate veil, multi-company consolidating schemes, (b) ways of making different laws and courts work better together co-ordination of courts and practitioners through the UNCITRAL Model Law provisions and best practice guidelines, the EC Regulation requirements and the potential new EU provisions for Group Co-ordinators, 5

B3 The independent director: private portfolio and public companies With increasing regularity, independent directors have been called upon to provide comfort in the context of corporate actions, especially transactions among affiliate portfolio companies. Similarly, when a company is troubled by financial problems, it often falls to the independent director to assess whether protection through an insolvency proceeding is appropriate and in the best interests of shareholders and creditors. An independent director can also be called upon to make decisions for a company on inter company claims when other members of the board sit on multiple affiliate boards. This session explores the differences in the roles between those traditionally discharged by an independent director in public companies and those arising in entities controlled by private equity or hedge funds that comprise a group of portfolio companies. 3.15pm 3.45pm Networking Coffee Break Sponsored by RSM 3.45pm 4.45pm Breakout Sessions C1 - The downfall of the Batista Empire The meteoric rise of Brazilian natural resources, and logistics magnate Eike Batista and his X empire in the last decade was only matched by its catastrophic bust in 2013, after overly optimistic oil production estimates failed to materialise that led to the collapse of oil exploration and extraction giant OGX, the group s centrepiece. As complex financing structures involving assets, companies and investors in multiple jurisdictions unravelled, the stage was set for a battle between local banks, government development agencies, international bond investors and public equity holders for the remains of the once high flying X empire, all the while putting Brazilian bankruptcy courts and law to its greatest test ever. Using the downfall of the Batista Empire as a backdrop, the speakers will focus on issues facing creditors and professionals in large bankruptcy proceedings in Brazil. Key aspects of the Brazilian bankruptcy law, the role of the courts, the conflicts between local and foreign creditors and the political and social forces that influence the process will be part of the discussion in this interactive session. The speakers will also discuss the challenges in structuring bankruptcy remote financing using offshore financing companies and how these structures played out in practice. C2 Insolvency law reform in the EU hello Chapter 11 or goodbye NY and London? Cross-border restructurings in which companies forum shop to benefit from more favourable insolvency laws abroad have become common place in Europe. This has created international competition between insolvency regimes within Europe and urged European legislators to revamp their insolvency laws in order to offer a more attractive restructuring environment. Several Member States have recently reformed or are currently undertaking reviews of their national insolvency laws. On 12 March 2014 the European Commission published recommendations on a new approach to business failure and insolvency, further prompting Member States to reform their national insolvency rules. On the other side of the Atlantic Chapter 11 of the US Bankruptcy Code is currently also under review. Are legislators in Europe modelling reform on an outdated US system that the US itself is moving away from? Together with the participants the speakers will try to identify the key elements that any modern restructuring law should feature. 6

In some countries with disproportionately large banking sectors this mushroomed into a sovereign debt crisis. The consequences are still with us today in abnormal measures such as QE and near-zero interest rates. The cry from around the globe was Never again! shortly followed by And if it happens again, then not with our money! By common consent there is no appetite around the world for taxpayers money to be spent bailing out banks therefore techniques have evolved to redefine how failed or failing financial institutions are dealt with. Dramatic new powers (the latest being bail-in) have been invested in central banks, which fundamentally change all previous conceptions of insolvency and property. The speakers from around the world will examine these changes. Commercial banks have receded from their traditional role as providers of debt capital and they've pared their loan portfolios to reduce pressure on their capital requirements. The sovereign debt markets have been roiled with the prospect of looming defaults. This altered landscape has provided fertile territory for hedge funds that, in response, have greatly expanded their roles in distressed situations. Funds have eclipsed banks as original debt holders, debtor-in-possession financing providers, and exit financiers. Funds now constitute controlling equity. They hold significant blocks of sovereign debt. Indeed, funds have populated all levels of the capital structure to the extent that they are in competition with other hedge funds to achieve dominant positions in a restructuring.
