4 I. PREQUALIFICATION Bidder should have adequate financial capability to remit the agreed amount within 15 days of receipt of sale order. II. HOW TO SUBMIT BIDS Tenders shall be submitted as e tender through Other mode of submission will not be accepted. The Tender has two parts. Part A and Price part B. Both parts shall be uploaded to e-portal. Part A: a) Duly filled Annexure I in PDF format b) Bidders self introduction letter. c) Documentary evidence showing turnover / balance sheet for the last two financial years and bank statement ending on d) Copy of PAN card. e) Fee in the prescribed form:- Bidder desirous of taking part in a bid shall log to then select tender and initiate payment. RTGS/NEFT/Net banking is enabled for making payments. Payment gateway of State Bank of Travancore will have below options. a) State bank of Travancore (SBT Net banking): Bidder shall make online payments using his/her internet banking enabled account with State Bank of Travancore. b) RTGS/NEFT/Payments through other bank accounts through NEFT payment gate way of State Bank of Travancore: When bidders selects NEFT payment gateway, a pre-filled challan will be made available online by State Bank of Travancore based on the the e-procurement system, which the bidder may take print-out. With this challan bidder has two options: i) To make an online NEFT payment using internet banking of the bank in which the bidder holds his account by adding the account number in the challan as an Inter Bank Beneficiary. ii) Transfer from his bank account, through NEFT. The bidder should exercise this option 48 hours before the closing bid. Part B: a) Price Bid in the BOQ sheet (Excel format). Quoted rate should be inclusive of all taxes and duties. Page 4 of 8

5 III. GENERAL CONDITIONS 1. It would be advisable if the organization familiarize themselves with the Dredger before preparing their Proposals. To obtain first-hand information, bidders are encouraged to visit to the TCL and verify the dredger available certificates related with the dredger before submitting a Proposal. All visit to the company in connection with the tender are not reimbursable. 2. Payments: Agreed amount need to be remitted to company within 15 days of receipt of sale order. EMD of successful bidder will be released only after the compliance of sale order issued. 3. Insurance should be arranged by the successful bidder. 4. Dredger is stationed and floated in the lake nearby the registered office of TCL. Mobilization charges will have to be borne by the successful bidder. 5. Company may not offer any maintenance facility/labour/tools and tackles/fuel etc. 6. Company has no responsibility and liability over the losses, damages made and/or met by the successful bidder, once the dredger handed over to them. 7. Company has no responsibility and liability over the losses, damages made and/or met by the successful bidder to existing structures, water bodies etc 8. Company does not have any liability and responsibility over the agreements made by the successful bidder with any third party in connection with this notice. 9. All payments to any agencies including toll, pilotage, berth charges etc., will be to the account of the successful bidder. 10. Successful bidder shall observe all the rules/regulations/orders of Central and State Government and local authorities including KIV rules during mobilization and in the further operation of dredger. If any breach of the said rules/orders, the successful bidder shall be solely responsible for this. 11. Necessary permission regarding mobilization of dredger, tug laying, transportation of stores, fuel, spares etc shall be arranged by the successful bidder. Care should be taken to avoid spillage of fuel or oil in the lake. Page 5 of 8

6 12. The final acceptance of the bid rests entirely with the Company, who do not bind themselves to accept the highest or any bid. 13. Company shall be the liberty to amend/alter/cancel the tender/conditions at its discretion. 14. The company may modify the bid documents at its own initiative by an addendum/corrigendum. The addendum/corrigendum will be published in the web site and shall be binding upon them. The bid shall be furnished taking to account the addendum/corrigendum, if any published as mentioned above and any failure in doing so will lead to consequences including rejection of bid for which the company will not be responsible. 15. The company may extend the last date for the submission of bids at its discretion in exceptional cases as company may think fit. 16. If the successful bidder fails to satisfy the contractual obligations, contract may be cancelled forfeiting EMD/any payment due with Company. 17. Negotiations: Bidders will be required to attend the negotiation, if the company desires so. The date and venue of negotiation as fixed by the TCL will be final and binding on the bidders. 18. If any bidder withdraws from his bid before the validity period fixed for keeping the rates firm for acceptance, the earnest money, if any, deposited by him will be forfeited to the company or such action taken against him as the company think fit. 19. Company reserves the right: a) To accept at its sole and unfettered discretion any bid or reject any or all bids without assigning any reasons whatsoever at any stage. b) To negotiate with one or more number of firms. 20. The sale order(s) resulting from this notice and any amendments to be issued subsequently with its terms and conditions and stipulations constitute the entire agreements relating to the contract between the contractor and the company and both parties are bound by the terms and conditions. 21. Contractor has to execute an agreement with Company on Kerala Govt. stamp paper of suitable value. 22. Refund of EMD: Processing of refunds will be carried out by State Bank of Travancore in the following stages. For more details refer G.O. (MS) No.11/2013/ITD dated Page 6 of 8

7 a) After opening of Bid (Incomplete bid or withdrawal of bids) b) After technical bid evaluation (Rejected bids) c) After financial bid evaluation (All bids other than L1 & L2) d) EMD of L2 bidder only after award of Contract/execution of agreement with L1. e) Cancellation of tender. 23. No adjustment of tender form cost, with any previous amount remitted/bill with the company will be allowed. 24. The rate quoted should be valid for 90 days. Bidders shall bear all costs associated with the preparation and submission of tender. Company will in no case be responsible or liable for these costs, regardless of the conduct or out-come of the tendering process. No Agency shall be allowed at any time on any ground whatsoever to claim reduction in the rates quoted. 25. Special conditions, if any, of the bidders attached with the bid will not be applicable to the contract, unless they are expressly accepted in writing by the Company. 26. All disputes between the parties arising out of this sale notice shall be submitted to arbitration by a single arbitrator to be appointed by the Company. 27. Any suit or legal proceedings against the Company with respect to the tender notice shall be filed or instituted only in a court having jurisdiction in the town of Kottayam in Kerala State. 28.
