1 What is the KTA selling? The KTA is selling the assets of SOEs. Investors only bid on the assets - and only a few of the current liabilities of the SOE. Not the SOE itself. In this document, NewCo refers to the assets (and limited current liabilities) of the SOE being sold by the KTA. How do I bid for a NEWCO? There are two first steps in bidding for a NEWCO: Go to the KTA website, and read the relevant sections. You should download the Rules of Tender and read them carefully, or contact the KTA, and make an appointment to meet with a KTA Privatisation Department representative, at either the main office in Prishtina or any of the regional offices. The main number for the KTA Privatisation office is ext 255. The KTA regional offices are in Pristina, Gjilan, Mitrovice, Prizren and Peje. Detailed contact information for all KTA offices is in the last section of this document. What information should I request from the KTA? You must request the Tender Documents for the NEWCO you are interested in buying. There are specific Bid Documents for each NEWCO. You will also need the NEWCO s Tender Number for your Bid Envelopes. When are bids accepted? Bids are only accepted by hand on from 12 Noon (12:00) to 17:00 on the bid date, sixty working days after the tenders are announced. In the case of the first seven tenders launched by the KTA, they were announced on 15 May. Bidders have 60 days to conduct research and to prepare a bid. The bid date for the first seven NEWCOs is Monday, 14 July The second group of 18 tenders was announced on 2 July The bid date is Wednesday, 3 September Can I mail in my bid? No. You MUST DELIVER THE BID ENVELOPES BY HAND. Must I deliver the bid personally? No, you can use a friend or a courier. They will be issued a receipt. Where must I deliver my bid? 2 The Bid Documents must be submitted in English (copies in Albanian or Serbian can be submitted along with the English language documents). How do I present my Bid Documents? You will need 3 Bid Envelopes to contain your Bid Documents. 1. All of your Bid Documents must be put in a large sealed envelope: the Bid for Tender Number envelope. Inside this envelope, you must place two other envelopes: 2. the Bid Eligibility Information envelope. 3. the Bid Price envelope. What documents are required? How do I arrange the documents in these envelopes? Step 1 All the documents and envelopes listed below must be contained in one big envelope. (This is the Bid for Tender Number envelope.) On the outside of this envelope you should write in large letters Bid for Tender Number XXX Name of NewCo (please put the Tender Number in place of the XXX and the actual name of the NewCo in place of Name of NewCo.) Please see the example below.) Bid for Tender Number KTA01 ABC NewCo (example) Step 2 Inside the Bid for Tender Number envelope you should put another envelope marked Bid Eligibility Information. You should also record the Bid Tender Number on this envelope. Please see the example below: Bid Eligibility Information (bid tender number XXX XXXNewCo) Page 2 of 5

3 The following Documents must be put inside the Bid Eligibility Information envelope: 1. A piece of paper which lists: Your name Your street address Your city and country Your telephone number Your address 2. A Statement of Eligibility. This is a letter written by you. It states that you are eligible to bid. You cannot bid if you are bankrupt, have been convicted of a crime, or are currently under investigation for criminal activities. (Government institutions, SOEs, and POEs cannot bid. Employees of government institutions, SOEs, and POEs may bid individually or in a group.) 3. A certified copy of your passport or business registration form 4. A signed letter stating that you agree to follow the bid conditions and rules of tender you should read the rules carefully to ensure that you can comply. 5. Bank Letter. This is a letter from your bank stating that they have seen your bid and that they agree that you have enough funds available to pay your bid price. 6. A Money Transfer Order Form from your bank confirming your payment of the Bid Submission Fee of 300 to a KTA account at the BPK. This is an administrative charge and will not be returned to you unless the tender is withdrawn. 7. A Money Transfer Order Form from your bank confirming your payment of the Bid Deposit of 2500 to a KTA account at the BPK. This is a deposit to show good faith. It will be returned to you. Step 3 Inside the Bid for Tender Number envelope you should put another envelope marked Bid Price. Bid Price Page 3 of 5

4 Inside the Bid Price envelope, you should put a piece of paper which lists the details of your bid price. The Bid Price envelope will only be opened if the eligibility material in the Bid Eligibility envelope is satisfactory. Bid Price information should appears as follows: Bid Price. Enter the bid price you intend to pay for the NEWCO. 1. Initial Charter Capital. This amount on line 2 is the amount of 2. 1, initial charter capital for which the KTA must be reimbursed. Add the amounts on Lines 1 and 2 and enter the result 3. THE AMOUNT ON LINE 3 IS THE TOTAL AMOUNT OF MONEY THAT YOU WILL NEED TO PAY TO THE AGENCY SHOULD YOU BE CHOSEN AS THE WINNING BIDDER. Summary The sealed Bid Eligibility envelope contains your statement of eligibility, certified copies of your passport/id or business registration form, signed statement agreeing to follow the rules of tender, bank letter, bid submission fee, and refundable deposit. The sealed Bid Price envelope contains a sheet of paper indicating your bid price. These 2 envelopes go inside the Bid for Tender Number.. envelope which is then sealed and handed in to the KTA office in Prishtina or Mitrovica on the Bid Date between 12:00 and 17:00. Can you explain each of the Bid Documents a little more? Yes. Statement of Eligibility. This is a written statement which affirms that you are an eligible bidder. See the Rules of Tender section 4. Certified copies of your passport or business registration form - see the Rules of Tender section 4.2. Signed Statement agreeing to follow bid conditions and rules of tender Bank Letter see the Rules of Tender section, 4.2 (v) Bid submission fee 300 this is non-refundable and must be paid with a money order made to the KTA. You can obtain such a money order from your local bank. Refundable Deposit 2500 this is refundable (you will get it back) but you must also pay with a money order. Do not pay cash and do not use a personal check for this. Page 4 of 5

5 Envelope with bid price (the Bid Price envelope) Note carefully the Rules of Tender section 4.2 (c). There must be no other information provided on the outside of this envelope and no information or marks which could identify the Bidder. I m still confused.
