1 TYROL SKI AND MOUNTAIN CLUB ANNUAL GENERAL MEETING Tuesday October 27, 2015, 7:15 PM to 8:45PM Confederation Hall, 4585 Albert Street Burnaby BC Chairperson: Jim Brown Directors: John Anastacio, Uli Haussman, Cheryl Zipper, Nora Franzova, Dan Klinksgaard, Carole Selig, Pete Hall Guests: Andrew McFarlane, Gordon McKeever Regrets: Barbara Keys Adoption of Agenda Amend scrutineer term from 2014/15 to 2015/16. Jim proposed a motion to adopt the agenda as amended. Moved by Alastair Campbell and seconded by Judith Hollick. Adoption of AGM minutes from October 21, 2014 Jim proposed a motion to adopt Tyrol AGM Minutes Ver1 Oct Moved by Alastair Campbell and seconded by Anette Anastacio. Directors Reports Treasurer...Carole Selig Carole outlined the current financial health of the lodge including a detailed breakdown of month by month by month lodge stay revenue. Assets show a significant increase in property and equipment due to the new sprinkler system installation. This is offset by an equivalent liability in the form of debentures valued at $73k. Lodge revenue is almost identical to the previous year but overall expenses are $4k higher. This gives us a net loss to just over $2k this year. Following an extensive lodge usage analysis it was determined that we have room for improvement in terms of filling more beds, especially during the ski season weekends. Future efforts and better snow conditions will hopefully eliminate the current deficit situation. Also, even with the funds raised by the special assessment (approx. $8.5k per year) we still have a shortfall of over $21k related to the rezoning and development project. Some money has been taken from the operating account in order to cover this shortfall.

2 A concern regarding the increased insurance premium was brought up. The lodge should be reduced risk due to the sprinkler installation. Carole indicated that the insurance company maintains the rate is still competitive even though we now have a new sprinkler system in the lodge. We will continue to pursue a discounted competitive policy. However, we face the reality that there are not too many insurance companies willing to offer us coverage due to the nature of the lodge and club. Jim proposed a motion to accept the treasurer s report. Moved by Barb Taylor and seconded by Paul Hawman. Scrutineers Report... Andrew McFarlane Andrew indicated we are 2 years operating at a loss so we need to take a careful look at revenues versus expenses going forward. Jim indicated the new board needs to explore ways of increasing revenue while maintaining costs going forward to make sure we are sustainable in the future. Lodge Report... Dan Klinksgaard Group bookings have been fantastic this past year which really helps with revenue. Thank you to Sean and Nina for their efforts. The sprinkler system was completed and the septic tank was serviced. The wood situation may be a bit problematic this coming ski season as we are no longer allowed to store wood under the lodge. Please only take inside what is needed for the duration of your stay. Thanks to Barb and Matt for repairing the dumb waiter. The fall work weekend was a big success and included a farewell party for Jim. Membership... Pete Hall Pete outlined the current membership is healthy with 343 total members. Welcome to a number of new members who joined this year. It is nice to see that our club is still growing. Also, we currently have 5 lockers available at only $20 per year. Sports... Uli Haussman Uli presented a lively and entertaining slideshow. This included various `snowshoe` trips which turned into fair weather hikes due to the lack of snow. Jim led his last North Shore bike ride as him and Adelle are no longer North Shore residents. Next year will be a Vancouver Island bike ride. The hiking season included the Sea to Sky hike near Squamish. Various other hikes throughout the summer were enjoyed. We also had a return to Victoria on the Galloping Goose bike ride in July. A weekday kayak trip in Deep Cove included a buffet lunch in Panorama Park. Uli also led a hike on the Ptarmigan Ridge trail, Mount Baker. Barb and Matt Taylor highlighted a spectacular marine hike in the Algarve as the Portugal Section of Tyrol Club. Social... Cheryl Zipper

3 Cheryl thanked Jackie Parkinson and Muriel for their hard work with the French Dinner Party over the years. This year was their last one. There was no Feast of Fields bike ride due to the lodge closure in May. We are looking forward to the upcoming Christmas Party in December. Families are welcome as it is on a Friday. A slide show with Jim at the work weekend was shown. Newsletter.. Nora Franzova Nora indicated the manner of communications will be enhanced over the coming year. Along with the usual and snail mail means of communications we will be utilizing social media to reach out to the membership. President... Jim Brown Jim thanked Judith for her hard work in raising $2,500 with the plant sale. Thanks go out to the digging party for their efforts with new water line trench. Thanks also go out to Judith and Nora for providing food and beverages. Heinz has been updating the website over the years and has decided to step down from this role. Thank you Heinz for the years you have dedicated to this task!!! The club is unique in Whistler and rich in heritage with continued longevity. In 2016 it will be the 50 th anniversary of the building of the lodge. There have been and will continue to be numerous challenges in the club. Jim`s job as President over the past 26 years was find solutions to issues as they arise. One example, the Sons of Norway property issue came to the point where we needed to raise $1M+ dollars in order to save the club. We needed a good lawyer, a manager and many other details. As a club we need to be resourceful when issues arise. Jim will continue to be directly involved with the ongoing property issue until the title for the 3 acres has been handed to the Tyrol Ski Club and the future subdivided 2 acres is sold. Jim thanked his wife Adelle for enduring his 26 years as President, through the good, the bad and the ugly. This was followed by a big applause and a standing ovation. Old Business Property Issues... Jim & Andrew The sprinkler system is now installed and soon to be certified by the Whistler Fire Chief. This saved the club over $100k by not having to build a new road. Gordon and Jim had a meeting with Mike Furey, CAO at the Municipality, to highlight awareness to the importance of the rezoning application. They also met with council members at Tyrol Lodge in order give them a good idea what our application is all about. Everyone present agreed we cannot lose such an important part of Whistler heritage. Gordon McKeever had a long chat with the current fire chief. It was important to bring the fire chief up to speed with our current rezoning application in order to have them certify the

4 sprinkler installation. We are very close to being able to submit the rezoning application in order to have the first and second reading at the Municipality. Once the rezoning is complete we will start work on the subdivision application. Jim will continue to be involved through to the completion of this process. We are going into year 4 of the Limited Partnership so there is some sense of urgency. New Business Appointment of Scrutineers for In absentia, Barbara Keys has agreed to continue as scrutineer. Vincent Pigeon has also put his name forward as scrutineer. Thank you to both Barb and Vincent. Election of Directors According to our constitution at each AGM we elect four members to two year terms. The new board of directors then divides the positions among the 8 directors. Finishing their term are Jim, Cheryl, Nora and Carole. Jim, Cheryl and Nora have decided not to pursue re-election. We thank them for their years of service. As only Carole will stand again, we need three new directors. The outgoing board nominates Nancy Mizzoni, Charlie Palmer and Mark Batho in addition to Carole Selig. With this slate and the continuing directors, Uli Haussmann, John Anastacio, Dan Klinksgaard and Pete Hall, the directorships would be reorganized as follows: Uli moves from Sports to President; Nancy becomes Vice-President with the aim of assuming the presidency next year; Carole remains Treasurer; Dan remains Lodge director (with Jamin Davis as understudy for next year); John remains Secretary; Pete remains Membership director; Mark takes on Sports and Social; Charlie takes on Communications. Thank you to everyone who has contributed to not only these important positions on the board but who have also contributed to the club as a whole. Jim proposed a motion to accept all of the nominations as they were presented. Motion moved by John Anastacio and seconded by Paul Hawman. The motion was passed unanimously. Honorariums and Allowance No change

5 Extraordinary Resolution for Funding Rezoning BY-LAW NO. 4 EXERCISE OF BORROWING POWERS 1. For the purpose of carrying out the Objects of the Club, the Directors may borrow or raise or secure the payment of money in such manner as they see fit, and in particular by the issue of debentures, provided that the Directors shall not borrow or raise or secure the payment of money, and debentures shall not be issued, without the sanction of an extraordinary resolution of the Club. A motion is to be presented to the membership to raise funds for the purpose of continuing to fund the Rezoning project. Members to be charged an additional $ for Family members and $50.00 for Single members for the fiscal period 2015/2016. Jim proposed a motion to accept the aforementioned extraordinary resolution. Motion moved by Vincent Pigeon and seconded by Jamin Davis. The resolution was carried by a majority vote. Question period None Adjournment Meeting adjourned at 8:45pm.
