Alden J. Bianchi is the Practice Group Leader of the firm s Employee Benefits & Executive Compensation Practice and a Member in the Employment, Labor & Benefits Section. He advises corporate, not-for-profit, governmental, and individual clients on a broad range of executive compensation and employee-benefit issues, including qualified and nonqualified retirement plans, stock and stockbased compensation arrangements, ERISA fiduciary and prohibited transaction issues, benefit-related aspects of mergers and acquisitions, and health and welfare plans. Alden represented the Romney administration in connection with the historic 2006 Massachusetts health care reform act, and he has testified before the Senate Finance Committee on the subject of health care reform. He is a member of the BNA Pension & Benefit Publications Advisory Board, a resource to one of the nation s premier tax and legal publishers, Tax Management, Inc./Bureau of National Affairs. Mr. Bianchi is a graduate of Worcester Polytechnic Institute; Suffolk University s and Georgetown University s law schools. He holds an LL.M. in taxation from Boston University School of Law. 2 Managing Your Plan Committees Joan Disler Member of the Firm & Chair of the National Employee Benefits Steering Committee Epstein Becker Green Joan A. Disler is a Member of the Firm and Chair of the National Employee Benefits Steering Committee. Ms. Disler directs a national practice that provides strategic and practical counsel to the firm s clients on complicated issues relating to employee benefits. Ms. Disler s practice focuses on all aspects of employee benefits law, including pension and welfare plans under ERISA and the Internal Revenue Code. Ms. Disler counsels a broad range of clients on employee benefit issues, with respect to mergers and acquisitions, qualified and non-qualified plans, deferred compensation and executive bonus plans, plan and trust documents, administrative services agreements, and plan terminations and reversions. Ms. Disler designs, implements and terminates employee benefits plans, including defined benefit pension, 401(k), supplemental executive retirement, cafeteria and medical plans; consults on administration with emphasis on IRS filings, summary plan descriptions, reporting and disclosure requirements and ERISA fiduciary duties; advises on employee benefit issues in corporate mergers and acquisitions; advises clients on a broad range of employee benefits matters, including qualified plan design, welfare plan design, employee benefit plan compliance issues, and employee benefit plan funding requirements; and advises plan trustees and committees with respect to fiduciary issues. She counsels clients regarding non-qualified deferred compensation plans and other executive programs as well as multiple employer pension plan issues and multi-employer pension plan issues. Additionally, she counsels a variety of clients on employee benefit matters relating to corporate transactions and restructuring and bankruptcy proceedings. She represents clients before the Internal Revenue Service, with respect to applications for determination letters and corrections under the Employee Plans Compliance Resolution System as well as the U.S. Department of Labor, with respect to audits and applications for advisory opinions, and also before the Pension Benefit Guaranty Corporation, regarding defined benefit plan termination issues. Ms. Disler lectures regularly around the country on varied employee benefit issues and developments and has authored articles on various topics of ERISA and employee benefits law. She is an Executive Editor of the Benefits Litigation Update and also contributes to the Executive Women s Networking Blog. Ms. Disler was named in Chambers USA ( ) among the Leaders in Their Field for Employee Benefits and Executive Compensation. Chambers ranked her in Band 1 in 2011 and 2012, and quotes clients saying she is a very talented employee benefit and executive compensation attorney and her quality of knowledge and technical expertise really stands out. 3 Pension De-Risking Amy Moore Partner & Member of Employee Benefits and Executive Compensation Practice Covington & Burling Amy Moore is a member of Covington s employee benefits and executive compensation practice. She advises public and private companies and tax exempt organizations on a wide range of tax, ERISA, and employment law issues concerning all types of benefit programs. Ms. Moore counsels some of the world s largest multinational companies on the design and implementation of innovative benefit strategies, including the restructuring of retirement programs to meet the needs of the modern work force; the use of surplus pension and insurance assets to provide non-traditional benefits; and the establishment of funding and security arrangements for welfare plans and executive compensation. She represents clients in connection with pension fund investments in private equity funds, hedge funds, group trusts, and derivatives. She also advises on benefits and compensation issues in acquisitions and divestitures, debt finance, joint ventures, and other corporate transactions. Ms. Moore represents companies in audits and contested agency proceedings involving benefit plans and advises clients on employee benefits issues that arise in connection with ERISA litigation and settlements. She also counsels employers on issues of plan administration and the correction of operational problems under governmentsponsored remedial programs. She received her law degree in 1983 from the University of Virginia, where she was an Articles Editor of the Virginia Law Review. She clerked for Judge Frank Coffin on the United States Court of Appeals for the First Circuit before joining Covington & Burling in Richard Shea Partner Covington & Burling LLP Richard Shea is chair of Covington s Employee Benefits and Executive Compensation practice. Mr. Shea is widely regarded as the nation s leading authority on cash balance, pension equity, and other complex benefit plan designs. His practice spans the full breadth of activities needed to help his clients resolve novel, sensitive, or intractable issues. His approach focuses on developing important new legal insights and ideas, and then combining them into effective litigation, legislative, regulatory, and benefit design strategies for his clients. Before joining Covington in 1991, Mr. Shea served as Associate Benefits Tax Counsel at the Treasury Department, where, together with his colleagues at the Treasury Department and the Internal Revenue Service, he was responsible for developing federal tax legislation and regulations governing employee benefits and executive compensation. He is a member of the Pension Research Council Advisory Board, Wharton School, University of Pennsylvania and a fellow of the American College of Employee Benefits Counsel. He received a J.D from the University of Virginia School of Law in 1983 where he was the Executive Editor of the Virginia Law Review. He won the Edwin S. Cohen Prize in Tax Law. 4 ERISA Preemption Anthony Shelley Chair, Executive Committee Miller & Chevalier Anthony Shelley s practice focuses on the litigation of pension benefits and health care issues before the federal and state trial and appellate courts and administrative agencies. Mr. Shelley s experience includes the litigation of matters involving the Employee Retirement Income Security Act (ERISA) and other federal employee benefits statutes, such as the Federal Employees Health Benefits Act (FEHBA). He has defended companies and plans in class actions and individual suits concerning challenges to benefits denials, exclusions from coverage, and subrogation and reimbursement matters. He has dealt frequently with issues of federal jurisdiction and the preemption of state law. Mr. Shelley s experience also extends to disputes under the Medicare Act. He has argued before the U.S. Supreme Court and served as lead counsel in several important Circuit court cases. Another aspect of Mr. Shelley s practice focuses on protecting the rights of employees and retirees whose pension plans have failed and are now under the administration of, and subject to the insurance guarantees provided by, the Pension Benefit Guaranty Corporation (PBGC). Currently, he is representing a group of 1700 retired US Airways pilots in landmark litigation against the PBGC, in which they dispute the level of benefits determined for them by the PBGC upon the termination by US Airways (through bankruptcy) of its pension plan for pilots. In monetary terms and legal scope, the case is among the largest lawsuits ever brought against the PBGC. Mr. Shelley is frequently quoted on timely issues and speaks regularly at national and industry conferences. Mr. Shelley has been published in a wide variety of business publications. 5 Welcome & Introductions Jeanne Denz Director, Global Employee Benefits General Mills, Inc. Chair, Board of Directors, ERIC Jeanne Denz is Director, Global Employee Benefits for General Mills. In this capacity Ms. Denz is responsible for the design, cost, communication and administration of all employee benefits programs around the world. General Mills is recognized by Fortune as a great place to work which reflects the culture created by its overall workforce value proposition. Ms. Denz has held positions in all areas of the benefits function. Ms. Denz is a trustee of the Council of Employee Benefits, a member of the Conference Board s Research Council on Employee Benefits, Chair of ERIC, a charter member of BHCAG and a charter member of the National Drug Purchasing Coalition. Ms. Denz serves on the board of the University of Minnesota Medical Center. She is also a leading expert on pandemic influenza preparedness and in that capacity serves as the Associate Editor of CIDRAP Business Source Weekly Briefing at the University of Minnesota. Congressional Panel of Hill Staffers Andy Banducci Professional Staff Member Committee on Education and Workforce U.S. House of Representatives Andy Banducci is a Professional Staff Member for the House Education and Workforce Committee, focusing on employer-provided retirement plans. As a part of the committee s ERISA jurisdiction, the committee oversees the Pension Benefit Guaranty Corporation and the Department of Labor. A native of northwestern Pennsylvania, he attended Penn State and then the University of Michigan Law School. After graduation, he entered private practice, specializing in various aspects of employee benefits law. He joined Chairman Kline s staff in Kara Getz Legislative Director and Tax Counsel Office of Congressman Richard E. Neal Kara Getz is Tax Counsel and Legislative Director for Congressman Richard Neal, a senior member of the Ways & Means Committee. Prior to joining Congressman Neal s staff, Kara was Chief Counsel for the Senate Special Committee on Aging working for Chairman Herb Kohl and Tax Counsel for Senator Gordon Smith, a senior member of the Finance Committee. Kara also has worked as the Director of Congressional Affairs for ASPPA and as a Senior Manager in the National Compensation and Benefits Group of Ernst & Young LLP s Human Capital practice. 6 Martin Reiser Professional Staff Committee on Ways & Means Subcommittee on Health U.S. House of Representatives Marty Reiser serves as professional staff for the House Ways and Means Subcommittee Health (Majority). In this role, he focuses on health care issues impacting employers, the economy, and jobs. Previously, he served as a manager of government policy for Xerox Corporation, and specialized in benefit and economic issues. He also has served as a Chief of Staff for Rep. Dan Miller (R-FL) and as Rep. Miller s associate to the Budget Committee. Mr. Reiser began his career at the U.S. Department of Commerce. He holds a law degree from George Mason University and a Master s in International Affairs from George Washington University. He earned a B.A. from Holy Cross. Joseph L. Schiffhouer Corporate Vice President, Tax and Employee Benefit Law FedEx Corporation Vice Chair, Board of Directors, ERIC (Moderator) Joe Schiffhouer is the Corporate Vice President, Tax and Employee Benefit Law, at FedEx Corporation in Memphis TN. Joe has practiced law in the Tax and Benefit areas for over 30 years, the last 17 at FedEx. Prior to that Joe was a partner at Jones, Day Reavis and Pogue and at Buchanan Ingersoll in Washington DC and Pittsburgh PA. Joe received his J.D. from the University of Chicago Law School in 1979 and Masters of Law in Taxation from Georgetown University Law School in The New Wellness Regime under the Affordable Care Act and Beyond: If It Doesn t Kill Us, Will It Make Us Stronger? Christine L. Richardson Partner, Executive Compensation & Benefits Practice Pillsbury Winthrop Shaw Pittman LLP Christine Richardson is a partner in the Pillsbury Winthrop Shaw Pittman s Executive Compensation & Benefits practice. She provides advice on all aspects of employee benefits, including: drafting, designing, implementing, and administering tax-qualified plans such as 401(k) plans; non-qualified deferred compensation programs; welfare benefit plans encompassing health plans, severance programs, cafeteria plans; fringe benefit plans; bonus programs; and handling WARN Act, HIPAA, and COBRA compliance issues. Her clients include start-ups to well-established public companies. In the area of mergers and acquisitions and various corporate transactions, Ms. Richardson has comprehensive experience in handling employee benefits issues encompassing benefits due diligence, negotiating benefits representations, warranties and covenants, earn out agreements and handling transition issues. Notably, she has worked on the employee benefits issues arising in the spin-offs of well-established public companies. Ms. Richardson has handled numerous submissions to the Internal Revenue Service and Department of Labor through each of their voluntary correction programs. Additionally, she has assisted clients with audits by both the Department of Labor and the Internal Revenue Service. Ms. Richardson has also supervised submissions to the IRS regarding its Page 6 of 11

7 review of retirement plans tax qualified status. Ms. Richardson s experience extends to ERISA fiduciary considerations, as well as securities law issues emerging from implementation and administration of stock funds in tax-qualified plans. She is a member of the American Bar Association, Tax Section Chair Emeritus, Employee Benefits Mergers & Acquisitions subcommittee; Treasurer and Member of the Board of Directors of the Foundation of the Bar Association of San Francisco (BASF); California State Bar Association; Western Pension Benefits Conference; National Association of Stock Plan Professionals ( NASPP ); and Northern California Human Resources Association ( NCHRA ). Ms. Richardson holds a B.A., Mathematics and Government from Claremont McKenna College and a J.D. from Cornell Law School. She is a member of State of California Bar. Thomas N. Makris Senior Counsel Pillsbury Winthrop Shaw Pittman LLP Mr. Makris has nearly 30 years of experience in employment-related litigation and counseling including wage and hour disputes, wrongful termination, sexual harassment, employment discrimination, employment-related torts, and copyrights, trademarks, and trade secrets disputes. Mr. Makris provides counseling on compliance issues including wage and hour audits, EEO compliance, leaves of absence, and ADA accommodation issues, as well as general policies and procedures. He provides tactical support for decisions that employers need to make quickly regarding employee terminations and discipline, harassment and discrimination complaints (including performing investigations), leave requests, and demands for accommodation. Mr. Makris also assists clients with long-range strategic issues, such as structuring bonus and other executive compensation plans, severance programs, and strategies for protection of intellectual property. Mr. Makris aids his clients in avoiding liability related to hiring decisions and employment contracts, compensation, leaves, discipline, internal investigations, and terminations, and layoff decisions. Mr. Makris assists clients in negotiating, drafting and implementing effective employment and executive contracts, employee policies and handbooks, and other employment documentation. Mr. Makris counsels clients in a variety of industries including high-tech, such as software, hardware and biotech; non-profit services; finance and banking; airlines; agricultural; telecommunications; and health care. Mr. Makris was certified as a Senior Professional in Human Resources by the Human Resource Certification Institute. He has spoken on a wide-range of topics, including employment discrimination law, use and abuse of independent contractor relationships, wage and hour law, family and medical leave, the Americans with Disabilities Act, and current legislative and regulatory issues. Mr. Makris is a co-author and legal consultant for The Mutual Respect Program, a video based sexual harassment training and prevention program. 8 ERIC Member Wellness Roundtable Discussion Douglas Grossman-McKee, PhD, MBA Director, Health and Welfare Eaton Corporation Doug is currently the Director, Health and Welfare for the Eaton Corporation. In his current position, Doug is responsible for the health and welfare plan administration of 35,000 U.S.-based Eaton employees. In addition, Doug is leading a global wellness initiative for Eaton s 100,000 world-wide employees in over 50 countries. Prior to joining Eaton Corporation, Doug worked for the Walgreen s Company for a new health and wellness division led by Take Care Health Systems. While at Walgreen s, Doug helped craft a disease state leadership program and played a role in the redesigning of the healthcare management plan for the 225,000 Walgreen s employees. Doug also served as an employee assistance program manager at The Progressive Corporation, where he was responsible for marketing the assistance program to 27,000 employees nationwide. During his 15-year tenure, he also directed a clinical research program and was responsible for organizational training, consultation for the emergency management team, contract management, quality assurance and case management. Earlier in his career, Doug also gained experience as a clinical and staff psychologist, including working for the United States Air Force. Doug attended Case Western University, where he received his master s and doctorate degrees in clinical psychology. He also holds a Master of Business Administration from Cleveland State University. He completed his undergraduate studies at Brown University, where he earned a Bachelor of Arts in psychology graduating magna cum laude. Fikry W. Isaac, MD, MPH, FACOEM Chief Medical Officer, Wellness & Prevention, Inc. & Vice President, Global Health Services Johnson & Johnson Inc. Fikry Isaac, MD, MPH, FACOEM is the Vice President, Global Health Services, Johnson & Johnson. Dr. Isaac leads the development of health & wellness strategies, policies, guidelines, and services worldwide (Occupational Medicine, Employee Assistance Program (EAP) and Wellness). Dr. Isaac has been with Johnson & Johnson since 1989, and for the past 10 years, he has been driving the comprehensive Total Health programs that have reduced the Company s healthcare costs and improved the health of employees. He also serves as the Chief Medical Officer, Wellness & Prevention, Inc., a Johnson & Johnson Company. In this role, he provides Health Management expertise, strategic direction and supports customer acquisition and lead generation. In addition to his MD, he received his degree of Master of Public Health in Occupational Medicine from the Medical College of Wisconsin in May 2001 and is a Fellow of the American College of Occupational and Environmental Medicine where he chairs the Pharmaceutical Section and the Corporate Health Achievement Award. Dr. Isaac is the industry Co-chair of the Life Science and Innovation Forum - APEC. Juarez Healthcare & Wellness Benefits Supervisor North America Human Services Caterpillar Human Services Chris Juarez is the North America Healthcare & Wellness Benefits Supervisor at Caterpillar Inc. He has responsibility for Benefits Plan Design and Wellness Benefits. Chris is a new employee of Caterpillar and has been in this role since Dec Prior to his position at Caterpillar, he served 22 years in the United States Air Force, holding numerous positions with increasing responsibilities in the areas of Human Resources and Recruiting. Juarez, a native of New Orleans, LA, graduated from Colorado Christian University with a bachelor s degree in Human Resources Management and from the University of Oklahoma with a master s degree in Human Relations. Lunch & Keynote Presentation: Prospects for Health Cost Containment and Tax Reform in the Current Congress The Honorable Allyson Schwartz (D-PA) U.S. House of Representatives U.S. Representative Allyson Y. Schwartz is currently serving her fifth term representing Pennsylvania s 13th Congressional District. The 13th District includes both the close-knit neighborhoods of Northeast Philadelphia and the first ring suburbs of Montgomery County. Schwartz currently serves on two committees in Congress: the Budget Committee and the Ways and Means Committee, which has jurisdiction over federal tax policy, Medicare, and Social Security. As the Vice Ranking Member of the House Budget Committee, Schwartz has distinguished herself as a vocal proponent of fiscal discipline and responsible budgeting. The Committee for a Responsible Federal Budget praised the Congresswoman for her fiscal responsibility and thanked her for being open to comprise and putting the nation s fiscal interest above politics. In the 113th Congress, Schwartz was reappointed to the powerful House Committee on Ways and Means where she will work to grow the economy, strengthen the middle class and meet our obligations to our seniors and our future in a way that is fair, balanced and fiscally responsible. The Congresswoman will work with her colleagues to ensure the solvency of Medicare and Social Security and enact smart tax policy that strengthens the middle class and makes the right investments in education and innovation to strengthen our economic competitiveness. Since 2009, Congresswoman Schwartz has served as Vice Chair of the moderate New Democrat Coalition, which proposes centrist, smart, and innovative policies to encourage economic growth and opportunity in America. She has consistently worked with business leaders to develop proposals and policies that create jobs and allow small businesses to thrive in our global economy. Schwartz is also co-chair of the New Democrat Coalition Health Care Task Force. Schwartz s first piece of legislation, which was enacted into law in 2007, offers tax credits to businesses that hire veterans returning from Iraq and Afghanistan. These credits have helped ease the process of returning home for our soldiers and are an important token of our gratitude for their service. As a leader on health care policy, Schwartz has played a significant role in strengthening primary care; improving access to quality, affordable coverage for all Americans; ensuring coverage for children with pre-existing conditions; and strengthening benefits for seniors. Most recently, Schwartz has taken the lead on reforming the Page 9 of 11

10 Medicare physician payment system to protect seniors access to their doctors, provide physicians with stability and certainty, and improve quality and efficiency while driving down costs in Medicare. Schwartz is founder and Co-Chair of the Healthcare Innovation Task Force, which brings together health care leaders in Congress to advance and promote innovations in the health care system. And as founder and Co-Chair of the Academic Medicine Caucus, Schwartz is a vocal advocate for academic medical centers and works closely with medical schools, teaching hospitals, and health care organizations in Southeastern Pennsylvania. Schwartz also serves on the Livable Communities Task Force, to promote sustainable communities that improve the quality of life for residents, bring economic development to our neighborhoods, and make our communities a safer and healthier environment for our children. Prior to her service in Congress, Schwartz was a leading healthcare executive in Philadelphia. From 1990 to 2004, she served as a member of the Pennsylvania State Senate, where she was considered one of the most accomplished legislators for her ability to forge bipartisanship relationships. She earned a B.A. from Simmons College in Sociology and a Masters of Social Work from Bryn Mawr College. She is married and has two grown sons. Ann Marie Breheny Corporate Research and Innovation Group Towers Watson (Moderator) Ann Marie Breheny works in the Towers Watson Corporate Research and Innovation group, where she tracks federal legislative activity affecting a wide range of employee benefits and human resources programs, including health benefits, defined benefit and defined contribution retirement plans, retiree medical programs, nonqualified deferred compensation, welfare benefits, executive compensation and other issues. In her career, she has worked with Towers Watson associates and clients as they dealt with such major issues as the Patient Protection and Affordable Care Act (PPACA), Pension Protection Act (PPA) HIPAA, the Small Business Jobs Protection Act, the Medicare Modernization Act, and many other issues. Ann Marie keeps Towers Watson consultants and clients apprised of breaking developments and works with them to analyze and assess the implications of new legislation. She frequently writes and speaks on topics relating to active and forthcoming legislative issues. Ann Marie joined Towers Watson in Prior to joining Towers Watson, she worked at a legal association in Washington, D.C., where she monitored federal and state legislation and provided support to affiliated state associations. 11 Retirement Plan Leakage & Withdrawals Richard Jones, FSA Senior Partner and Leader National Practices Group, Aon Hewitt Rick is a Senior Partner and Leader of the National Practices Group for Aon Hewitt s Retirement Consulting practice. He is based in Lincolnshire, Illinois, and is a Fellow of the Society of Actuaries, an Enrolled Actuary, and a Member of the American Academy of Actuaries. During his 25 years with the firm, Rick has consulted on a broad range of retirement plan financial strategy and design issues for our largest clients, including benefit design and competitiveness, financial strategy, and approaches in mergers and acquisitions. Rick has met with numerous federal government administration and legislative representatives and committees, including presentations to Senate Finance Committee staff, House Ways and Means members, Department of Labor, and Treasury Department executives. He also testified before the Senate Health, Education, Labor, and Pensions Committee during October 2009 on pension relief issues. In addition, Rick regularly speaks with executives, boards, and investors on pension topics, including JCPenney s Pensionomics investor conference during June In his role leading the National Practices Group for Aon Hewitt, Rick is responsible for our consulting style and practices, our Chief Actuary s team--providing technical guidance and training to our actuaries, our national valuation and technology operations, our international retirement consultants, and our team of ERISA attorneys.
