4 -1- OPERATING POSTAL BAG (COURIER & PARCEL) SERVICE THROUGH BUS NETWORK OF UPSRTC Uttar Pradesh State Road Transport Corporation, a U.P. Government undertaking, having a fleet of approximately 9500 premium and high end buses as per (annexure-iv) and 225 bus station spread across the state, carries app. 50 crore passengers annually. We also provide services to adjoining states of DELHI, PUNJAB, HARYANA, MADHYA PRADESH, RAJASHTHAN and UTTARAKHAND. UPSRTC in order to explore the opportunity of providing usage right of its bus network for carrying courier & parcel by authorised bidder by assigning them exclusive space for the purpose. UPSRTC hereby invites detailed proposals as mentioned herein, from interested bidders for participating in the proposed venture of U.P.S.R.T.C. 1.0 SCOPE OF WORK a) The bidder will use specified space being made available inside as well as on a segregated area of luggage carrier at the roof top of it s premium buses as well as hired buses and for A.C. buses, owned by UPSRTC, excluding Volvo and other high end buses on where ever they are available basis, through separate boxes /container/space on a fixed term of (03) three years. Technical bid may be one but financial bid shall be submitted separately for each bid-parcel. b) All business arrangements shall be the responsibility of the bidder and UPSRTC will not provide any assistance for the same. c) Bidder shall have full rights to utilise only the fleet of regions allotted to them as mentioned in bid parcel and in case he wants to do business in areas which is not being covered by these buses he will be free to get in to agreement with those bid parcel holders whose buses (as per bid parcel) are covering those areas. UPSRTC will not object to such agreements. d) Induction of new buses to the existing fleet or any reduction thereof, up to 25 nos. in any region for premium category and up to 5 Nos. for A.C. buses, shall have no monetary implications on the agreement with the successful bidder. Any variation in the fleet beyond this limit shall be adjusted on pro rata basis towards the payment to UPSRTC/bidder. The rental implication will be applicable wef. the first day of succeeding month on the basis of average fleet strength of previous month for every addition or deletion. Note: The bidder will be allowed to create exclusive container/boxes/space in sizes as following- L W Ht Premium bus- 150cm 60cm 45cm Roof top Inside bus AC bus Inside bus The bidder will be authorised to display the name of its enterprise/company on these boxes in standard size of 15cmx 45cm. but will not write or display any where inside the bus. The maximum weight that can be carried on any particular bus, under this arrangement, shall not exceed 500 (five hundred) Kilograms, in any case. (1) The space, maximum 10 x 10 at bus stations for keeping parcel/courier will be provided by UPSRTC on a token rental of Rs ONE per month basis. UPSRTC may provide room where ever possible otherwise successful bidder will be allowed to erect temporary shelter for this purpose.
5 -2- (2)During transportation of parcel/ courier UPSRTC will not be responsible for any damage or loss. Bidder may get the parcel/ courier insured at his own cost. Loading and unloading of parcel/courier on buses shall be responsibility of contractor. (3)Period of contract shall be three years from date of agreement which shall not be extended. 2.0 BIDDING PROCESS The bidders are required to submit their Proposals in two separate envelopes, as detailed below, at Uttar Pradesh State Road Transport Corporation, Head Quarter, Tehri Kothi, M.G. Marg, Lucknow only. Any proposal submitted elsewhere will not be considered. The document downloaded from website or Photostat copies, can also be submitted along with a bank draft of Rs (one thousand fifty only, including vat) favouring SECRETARY, UPSRTC, payable at LUCKNOW, towards the cost of document. The envelopes of technical and financial bids should duly mention Technical Bid and Financial Bid boldly on the envelopes. Envelope A Submission of Technical Bid Submission of Technical bid of this document along with a bank draft of Rs.50,000/- (Rupees Fifty thousand only) favouring SECRETARY, UPSRTC, payable at LUCKNOW, towards the earnest money (in a separate cover attached with Envelope-A, but not inside it). In absence of earnest money technical bid will summarily be rejected. The earnest money of the successful bidder shall be adjusted towards the payments to UPSRTC. The envelope shall necessarily contain the certified copies of Audited financial statements i.e. Balance-Sheet & profit/loss statement for , & and Income Tax Returns for the assessment year , & or else the financial bid of the participant bidder will not be opened. Envelope B Submission of Financial Bid The Financial bid must be given in annexure-vi of this document. The financial bid form must be filled in as per instructions on it. Note: 1- Bidders may submit one technical bid but financial bid has to be submitted separately for each bid parcel as detailed in annexure V 2- Envelope - A will be opened by the designated in-house committee, and only the qualifying bidders will be intimated to attend the opening of financial bids. 3.0 QUALIFICATION OF BIDDERS The bidder should submit certified copies of Profit & Loss statement, Balance- Sheet for , & and Income Tax Returns for the assesment year , & to meet following eligibility criteria That the bidder has a minimum average annual turnover of Rs. 4 lacs ( four lacs) during above mentioned three years per bid parcel for premium and A.C. buses within that region, i.e. the gross bid value/annum of all the bid parcels offered by any bidder
6 -3- should not exceed the average annual turnover, for the years mentioned above else financial bid of such bidder will be summarily rejected. In the case of a joint venture the aggregate turn over of joint venture shall be individual turn over of the contributing partner multiplied by the ratio of their share holding in the joint venture undertaking. 4.0 GUIDELINES FOR SUBMISSION OF TECHNICAL BID (Envelope-A) a) The bidder may be a single entrepreneur, a partnership firm, a company incorporated under the Indian Companies Act, 1956 or any other legal entity or a group of legalentities which is registered under specific act/ regulation before the notification of this tender notice, The term ' bidder ' would therefore apply to all category of entities. b) Any entity which has been barred by Government of India / any State Government or any of its agencies from participating in tendering or otherwise and the bar subsists as on the statement of qualification submission date, would not be eligible to submit any statement of qualification document. Any bidder who has earlier defaulted in payment or performance to UPSRTC or has been associated as director or owner or signatory of such firm/company shall not be eligible to participate in the bidding process. A notarised affidavit to this effect shall have to be furnished by all bidders irrespective of their legal status. c) Qualification of a Bidder to participate further in the selection process would depend upon its meeting the general eligibility and qualification criteria. d) The authorized signatory must sign all the pages of the technical bid along with his name and official seal. e) The technical bid should have no overwriting except as necessary to correct errors made by the bidder themselves, in which case such corrections must be dully signed by the person signing the technical bid. 5.0 PRESCRIBED FORMATS FOR SUBMISSION (Envelope-A) The bidder shall provide evidence of their capability (both technical and financial) and adequacy of resources to carry out the project effectively. To this end, technical bid submitted shall include the following information: PARTICULARS FORMATS Structure & Organization A ( Annexure I ) Turnover of the bidder B ( Annexure II ) Experience in similar Projects C ( Annexure III ) While submitting the formats duly filled in, the bidders may enclose latest copies of brochures and technical documentation giving any other additional information about the bidder and all the parties of the Entity, if any. 6.0 SELECTION/ EVALUATION CRITERION Uttar Pradesh State Road Transport Corporation, based on the above information furnished by the bidder and any other information provided, may award the project to one or more than one bidder. The criterion of selection of bidder shall be based on the highest quoted rates by the bidder for that particular bid parcel or group of bid parcels.
7 GENERAL CONDITIONS: 7.1 DISQUALIFICATION Even though the Bidder meets the pre-qualifying Criteria, they could be disqualified if they have: 1) Made misleading or false representations in the forms, statements and attachments submitted in proof of the qualification requirements. 2) If it is found that his any previous contract any where was cancelled for his default. 3) Failed to provide any clarifications related thereto. 4) Where the bidder has already submitted the Tender document and is a member of a entity which has already submitted the technical bid/ tender document or vice versa. 5) If any member of a Entity is replaced or withdraws, except without prior written permission of UPSRTC at any stage. 6) If any such information which would have entitled UPSRTC to reject or disqualify the bidder, becomes known after the bidder has been pre-qualified, UPSRTC reserves the right to cancel the pre-qualification of the bidder at any later stage, without assigning any reason thereof. 7) Where the applicant is a Joint Venture/Partnership firm or an entity of similar nature, UPSRTC may disqualify the entire entity for any of the reasons set out above, even if it applies in respect of only one member of the Entity. 8) The Lead member (having at least 26% equity stake and maximum share) of bidding Entity cannot be changed. Any such change or Applicant except with the written permission of UPSRTC. 9) Bidders who canvass or attempt to influence the pre/ post-qualification or selection process shall necessarily be disqualified from the process at any stage 10) Any entity which has been barred by Government of India / any State Government or any of its agencies from participating in tendering or otherwise and the bar subsists as on the technical bid submission date, would not be eligible to submit any technical bid document. A notarised affidavit to this effect shall have to be furnished by all bidders irrespective of their legal status. 7.2 VALIDITY OF PROPOSAL The proposal submitted by the bidder shall be valid for a period of 6 (Six) months from the specified date for submission. 7.3 UPSRTC s RIGHT TO ACCEPT OR REJECT PROPOSALS Notwithstanding anything contained in this Proposal, UPSRTC reserves the right to accept or reject any or all Proposals, and to cancel the bid process, at any time, without incurring any liability to the affected bidder and without any obligation to inform the affected bidder of the grounds for such rejection. 7.4 SIGNING OF THE AGREEMENT: The agreement shall be signed by the bidder or its authorised signatory and the officer(s) authorized on behalf of the UPSRTC.
8 STAMP DUTY AND TAXES The stamp duty shall be charged as per prevailing Act. Any expenditure on stamp duty, documentation etc., incurred on registration would be borne by the successful bidder and any form of taxes shall be paid & born by the bidder. 7.6 PAYMENT TERMS a) 25% of the gross annual bid value will be the security money to be deposited by the bidder in the form of unconditional bank guarantee valid up to six months beyond agreement period before signing of the agreement, within fifteen days of issue of letter of award which shall be refunded after expiry of agreement only after getting no dues certificate from regions. No interest what so ever shall be paid to bidder towards any amount deposited with UPSRTC under any cercumstances. Another 25% of the gross annual bid value shall have to be deposited at the time of signing of the agreement as advance payment for three months. b) The balance of annual bid amount i.e. 75% of gross annual bid amount shall be payable in equated advance monthly installment, in shape of post dated cheques in favour of Secretary, U.P.S.R.T.C. payable at par at Lucknow for the next nine months, to be furnished at the time of signing agreement to the this effect i.e. the first monthly payment through post dated cheques will start from the 90 th day from date of signing of agreement. c) For the second year the successful bidder shall again have to make monthly rental payments through 12 (twelve) monthly post dated cheques provided to the corporation at least three months before the completion of the first year of the agreement. There after the same shall be applicable for third year also. d) Service tax as applicable from time to time shall be paid by bidder to UPSRTC and gross amount of service tax shall be paid along with 25% of annual bid value paid in form of advance payment for three months to be paid at the time signing of the agreement. 7.7 PENALTY FOR DELAY IN PAYMENT In case of non- clearance or delay in realisation / clearance of the EMI of annual bid amount and / or other outstanding dues the bidder shall have to pay 1% per day- but if the bidder fails to deposit the dues within thirty days, UPSRTC shall have the right to terminate the contract after issuing a show-cause notice and providing 07 days time for its reply. 7.8 LOSS/ DAMMAGE TO CONTAINER/BOXES UPSRTC shall not be responsible for any loss / damage what so ever, to the bidder. However bidder shall be responsible for any loss to UPSRTC because any activities of bidder during contract period. 7.9 TERMINATION OF CONTRACT: a) If the contractor fails to fulfill his obligations, the contract shall be terminated and the security money shall be forfeited. b) Agreement can be terminated on three months notice by either side EXCEPTIONAL CIRCUMSTANCES AND FORCE - MAJEURE: The bidder must get an insurance done from the insurance company established under law of the land for safety of his investment for all circumstances such as wars, invasion, armed conflict or act of foreign enemy, riot, insurrections, act of terrorism, sabotage, criminal, damage or threat of such act nuclear explosion, radioactive or chemical contamination, any effect of the natural elements, including geological conditions what so ever.
9 REGULATORY FRAMEWORK: The bidder must be Government registered parcel/courier operator. All necessary licenses has to be procured by the bidder himself. The bidder will be obliged to protect the national interests like national security whenever necessary and required. They will abide by various statutory requirements relating to protection of environment safety etc., and also abide by the directives issued by the Government or Implementing Agency of various rules and regulations and/or UPSRTC in this regard from time to time, in accordance with the provisions of the operation Agreement or the laws in force DISPUTE RESOLUTION: All disputes between the parties arising out of contract, shall be referred for Arbitration to the Managing Director or an officer, not below the rank of General Manager of the corporation, and nominated and appointed by Managing Director on his behalf. All disputes shall be subject to court at Lucknow jurisdiction PROHIBITTED ACTIVITIES The authorised bidder shall not be permitted to use the space hired to carry any such material which is prohibited under any law or rule to be carried by road transport e.g. drugs, weapon, explosive, fish or any substance which leaks liquid and/or emanates odour, animal, birds etc. In case of any dispute regarding category of goods which are not allowed, decision on duty station in-charge shall be final and binding. To decide upon the effect or impact of any such activity which is deemed objectionable by any Regional Manager/unit head or any competent authority, the decision of the corporation shall be final and binding. For any objection on quality or contents of material or goods carried, by any competent authority, UPSRTC will only endorse and acknowledge the legal status of the bidder, who in turn will ensure compliance for its rectification; however no rebate or monetary compensation will be allowed for the same.
