1 DREAM RIDE SWEEPSTAKES OFFICIAL RULES 1. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. Purchasing a product or service will not increase your chances of winning. Open to legal U.S. residents of the 50 United States, the District of Columbia, and Puerto Rico who are at least eighteen (18) years of age or older and who are AutoZone Commercial customers responsible for the management of the AutoZone Commercial Account for their business [excluding select National Accounts and the following accounts: Tires Plus and Firestone locations, CarMax, Monro Muffler Brake, First Group America Parent, Firestone Parent Accounts, Sears, Jiffy Lube Franchises, National Account Recovery Program,/Heartland, Monro, Sears, First Group, CCAL - Central Cal Growers and Farmers, Universal Technical Institute, Dunalp and Kyle Gateway Tire, Calverts Express Auto and Tire Parent, Express Auto Credit, & USPS Western VMP Group 3] who are in good credit standing as of the date of entry (the "Entrant"). Prizes will be awarded to the business associated with the AutoZone Commercial Account and not an individual employee. Employees, officers and directors of AutoZone Parts, Inc. and its subsidiaries and affiliates and Continental AG (the "Sponsor"), The Ohana Companies, LLC, Don Jagoda Associates, Inc. ( Administrator ) and each of their distributors, vendors, advertising/promotion agencies, and any others engaged in the development, production, execution or distribution of this Promotion (defined below), including, but not limited to, the entities supplying the prizes herein as well as their immediate family members (spouses, siblings, children and parents, regardless of where they live) or members of the same households (whether related or not) of such employees, officers and directors are not eligible to participate. All federal, state and local laws and regulations apply. Promotion is void wherever prohibited or restricted by law. 2. PROMOTION PERIOD: The Dream Ride Sweepstakes (the "Promotion") begins at 12:00 a.m. Central Time ("CT") on July 1, 2018 and ends at 11:59 p.m. CT on August 25, 2018 (the "Promotion Period"). For purposes of these Official Rules, all times are given in Central Time. 3. HOW TO ENTER: There are two ways to enter the Promotion: A. Enter with Purchase: AutoZone Commercial Accounts who purchase eligible Continental Belt products ( Eligible Products ) through or from an AutoZone store, or an approved shop management system during the Promotion Period will receive ten (10) entries for a purchase of 5-10 Eligible Products; twenty (20) entries for a purchase of Eligible Products; fifty (50) entries for a purchase of Eligible Products; and one hundred (100) entries for a purchase of 31 or more Eligible Products ( Purchase Entry ). Minimum of five (5) Eligible Products must be purchased during the Promotion Period to be entered into the Promotion. Limit one hundred (100) Purchase Entries per AutoZone Commercial Account throughout the duration of the Promotion Period. To receive Purchase Entries in the Promotion you must provide your AutoZone Commercial Account ID Number (PIN) with your purchase of Eligible Products. All Purchase Entries must be received by 11:59 p.m. CT on August 25, B. Enter Without a Purchase via U.S. Mail: During the Promotion Period, hand print your Commercial Account ID Number (PIN), your complete name, shop/business name, complete business mailing address, business phone number and business address and your date of birth on a plain piece of paper between 3 x5 and 8 ½ x11 in size and mail in a hand-addressed stamped envelope to: The Dream Ride Sweepstakes Entries, PO Box Page 1 of 6

2 7770, Wilmington, DE ( Mailed Entry ). You will receive up to one hundred (100) Mailed Entries for the eligible Mailed Entry you submit (unless you have already entered via purchase and you have not received 100 entries, you will receive the balance of 100 entries). All Mailed Entries must be postmarked no later than August 25, 2018 and received by August 31, 2018 to be eligible. There is a limit of one (1) Mailed Entry per person. Collectively, all Purchase Entries and Mailed Entries will be referred to as ( Entries ). Limit one hundred (100) Entries per person/household throughout the duration of the Promotion Period, regardless of method of Entry or combination of methods of Entry. Mechanically reproduced/photocopied Mailed Entries are automatically void. See Rule 4 for details about winner selection and odds, See Rule 6 for details about prizes. 4. RANDOM DRAWING/ ODDS: Eight (8) Finalists businesses and Ten (10) First Prize businesses will be selected in a random drawing on or about September 4, 2018 from among all eligible Entries received during the Promotion Period. Odds of winning a prize/being selected as a Finalist will depend upon the total number of eligible Entries received. Random drawing will be conducted by the Administrator, whose decisions are based on its sole discretion and interpretation of these Official Rules, and are final and binding in all respects. 5. GRAND PRIZE EVENT: The eight (8) confirmed Finalists (see Rule 7 below for details on confirmation), along with one (1) guest each (18 years of age or older) will be invited to attend a Sponsor determined event at the 2018 SEMA Trade Show ( Grand Prize Event ). Each Finalist in attendance will receive a randomly selected envelope (pre-selected by the Sponsor/Administrator in advance of the Grand Prize Event). Only one (1) envelope will contain a winning message declaring that respective Finalist is the Grand Prize winner of the 1969 Camaro Z28 ( Grand Prize ) (subject to verification of eligibility and compliance with these Official Rules). A Finalist must be present at the Grand Prize Event in order to win, but if, for any reason, a Finalist is unable to participate in the Grand Prize Event, the Finalist may designate in writing that only his/her guest may open the envelope on his/her behalf ( designee ). A designee must be 18 years of age or older with a valid U.S. driver s license and sign a Liability Release prior to participating. Designees will be approved by Sponsor in its sole discretion. Designees must affirmatively agree that should the designee s envelope be the winner, the Finalist they are representing will win the Grand Prize and the designee has no rights in or to the Grand Prize. If a Finalist/designee violates the instructions of Sponsor s Representative in conjunction with the Grand Prize Event or otherwise acts in an inappropriate manner (in Sponsor s sole discretion), such Finalist/designee may be disqualified and the respective Finalist will forfeit the opportunity to win the Grand Prize. The maximum odds of a Finalist receiving the winning envelope are 1 in 8. Should more than one envelope contain a winning message, none of the envelopes contain a winning message, or the Vehicle is unavailable for the Grant Prize Event, or the Event cannot take place as planned for any reason, Sponsor s Representatives will conduct a random drawing of all Finalists present at the Grand Prize Event (or if Grand Prize Event is cancelled, from confirmed Finalists) in order to determine the Grand Prize winner. 6. PRIZES AND APPROXIMATE RETAIL VALUE ( ARV ): A. FIRST PRIZES: There are ten (10) First Prizes. Each First Prize will consist of a $1,000 Tire Rack Gift Card. B. FINALIST PRIZES: There will be eight (8) Finalist Prizes. Each Finalist, and a guest (must be 18 years of age or older) will receive a 4-day/3-night trip to the SEMA Trade Show show in Las Vegas, NV, scheduled to take place from October 30, 2018 to November 2, Page 2 of 6

3 Prize includes round-trip economy-class air transportation for two (2) from the major airport nearest the winner s home (in Sponsor s sole discretion), three (3) nights hotel accommodations [one (1) room/double occupancy] at a Sponsor-specified hotel, round-trip ground transfers between airport/hotel, admission to the 2018 SEMA Trade Show (the Trade Show ) for the winner plus guest, and each Finalist will receive $100 Visa Prepaid Gift Card to be used towards the SEMA Trade Show registration. The ARV of each Finalist Prize is approximately $3,500. If a Finalist winner lives within a 150-mile radius of the Trade Show destination (in Sponsor s sole discretion), that Finalist winner will receive a Sponsorspecified travel stipend in lieu of air transportation and no additional compensation will be provided for air transportation portion of prize. Finalists must be available to travel on dates specified by Sponsor surrounding the Grand Prize Event, which may be subject to change. Each Finalist and his/her respective guest must travel together on the same itinerary and must possess valid travel documents (i.e., valid photo ID, passport, etc.) in order to travel. Failure by the Finalist and his/her guest to obtain required travel documents in the time required to travel on the specified travel dates may result in forfeiture of the Finalist Prize and a chance to win the Grand Prize and alternate selection of another potential Finalist, time permitting. In the event that any of the associated events that may be available to the Finalists do not take place as scheduled or are cancelled for any reason, that portion of their Prize may not be awarded and no additional substitution or compensation will be provided. In the event the Trade Show is cancelled, the Grand Prize Event may, but without obligation, be rescheduled and held at an alternate location at Sponsor s sole discretion, and alternate travel accommodations will be provided to the Finalists so that they may participate. No refunds or credit for changes are allowed. Sponsor and the SEMA Trade Show will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppages, natural disasters, or any other event outside their control that may cause the cancellation of the Promotion or any prize award, including without limitation, the Grand Prize Event and/or use of the prizes. All other expenses and costs not expressly listed or described in these Official Rules, including, but not limited to, meals, taxes, insurance, telephone charges, room service and laundry services, personal expenses, gratuities, entertainment, transfers, incidental charges, any transportation not mentioned within such a prize description, and all expenses for any of the foregoing, are the sole responsibility of each prize winner/finalist. Actual retail value of each Finalist Prize may vary due to such Finalist s residence and time of travel; if actual value is less than indicated approximate retail value, Finalist will not receive the difference in cash. Sponsor and SEMA Trade Show Event officials, as applicable, will not replace any lost, mutilated, or stolen tickets or admission passes. Finalists and their guests agree to comply with all applicable regulations in connection with the SEMA Trade Show. Sponsor and the SEMA Trade Show Event officials, as applicable, reserve the right to remove or to deny entry to Finalist and/or a guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person and that Finalist will then not be eligible for the Grand Prize. The terms and conditions of any ticket (i.e., airline, event) awarded as part of the Finalist Prize will ultimately govern in the event any of the circumstances described in this paragraph occur. C. GRAND PRIZE: There will be one (1) Grand Prize. A 1969 Camaro Z28 automobile ( Vehicle ). The total ARV of the Grand Prize is $75,000. The Grand Prize winner is solely responsible for all applicable taxes, insurance, licensing, registration, and title fees for the Vehicle. The Grand Prize winner will be required to show proof of insurance and a valid driver s license prior to taking delivery of the Vehicle as directed by the Sponsor or Grand Prize may be forfeited. Vehicle make, color and any other specifications are at sole discretion of Sponsor. Grand Prize is awarded as-is and any additional Vehicle options that are not already included and installed on the Vehicle are the sole expense of Grand Prize winner. No substitution or transfer of Grand Prize permitted except as specifically stated in these Official Rules and at the sole discretion of Page 3 of 6

4 the Sponsor. Grand Prizes is non-transferable, non-assignable, and not refundable, and must be accepted AS IS and as awarded. The total ARV of all Prizes is $113,000. Collectively, the Finalists and First Prize winners will be referred to as ( prize winners ). Prizes will be awarded to the businesses associated with the winning AutoZone Commercial Accounts listed on winning Entries. The owner/operator of each winning business has the sole discretion as to who at the business will receive the prize and that person will be responsible for all applicable taxes associated with the prize. All applicable federal, state and local taxes are the sole responsibility of winner. All applicable federal, state and local laws and regulations apply. Limit of one (1) prize per person/family/household/address. Sponsor reserves the right to substitute any portion of a prize with a prize of equal or greater value. The prize winners will be notified by and/or U.S. mail. Further details for claiming the prizes are outlined under the "Prize Notifications" section of these Official Rules. Prize Winner consents to use of his/her name, business name, likeness, biographical information, and voice in advertising worldwide without additional compensation (TN residents will not be required to sign a publicity release as a condition of winning prize). Return of prize or prize notification as undeliverable may result in disqualification and alternate selection. No cash or other substitution may be made, except by Sponsor, who reserves the right (but has no obligation) to substitute a prize (or a component thereof) with another prize (or component thereof, including cash) of equal or greater value for any reason as determined by Sponsor in its sole discretion. 7. PRIZE NOTIFICATIONS: Except where prohibited, potential owner/operator of the associated Finalist and First Prize winning businesses must sign and return to the Administrator, within three (3) days of receipt, an affidavit of eligibility/release of liability/publicity release (where legal) (the "Required Documents ") in order to claim their prize. If the owner/operator chooses to transfer the prize to another employee at their business, he/she may designate so on his/her Required Documents and that selected recipient of the prize will also need to complete the Required Documents. If the potential prize winner fails to sign and return the Required Documents within the required time period, the potential prize winner forfeits his/her right to the prize and alternate prize winner may be selected at random from among all remaining eligible Entries received. Prize winner s failure to sign and return the Required Documents within the required time period may result in forfeiture of prize and alternate selection. Finalists must also agree to accept the Grand Prize should he/she be determined to be the Grand Prize Winner and must do so on the Required Documents as a condition of being confirmed as a Finalist. Prizes are taxable as income and prize winners are solely responsible for any taxes on the prize he/she has received, including, but not limited to all applicable federal, state and local taxes. Winners must report income to the Internal Revenue Service. In the event it is deemed during the verification process that such potential winner does not have a unique, personal and valid social security number for Sponsor to report the tax liability associated with acceptance of the prize, potential winner will be disqualified and an alternate winner will be selected. 8. GENERAL: By participating in this Promotion, Entrants/associated businesses/winners agree: [a] to abide by and be bound by these rules and decisions of Sponsor and judges which shall be final in all respects relating to the Promotion, including without limitation the interpretation of these rules; [b] to release, discharge and hold harmless Sponsor, its franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from their participation in the Promotion or their acceptance, use or misuse of prize; and [c] if a prize winner, to the use of their name, business name, voice, image and/or likeness for advertising, publicity and promotional purposes by Sponsor and Sponsor's subsidiaries Page 4 of 6

5 and affiliates without further compensation (unless prohibited by law) and to execute specific consent to such use if asked to do so. All Promotion materials are subject to verification and are void if [a] not obtained in accordance with these Official Rules and through legitimate channels; [b] any part is counterfeited, altered, defective, damaged, illegible, reproduced, tampered with, mutilated or irregular in any way; [c] are obtained where prohibited; or [d] are mutilated, altered, copied, hand printed, forged, water damaged, manipulated or tampered with in any way, or which contain any printing, mechanical or typographical errors, will be considered null and void and will not be eligible for prize redemption. Sponsors' liability for defective Promotional materials is limited to replacement while supplies last. Entrants assume all risk of loss, damage, destruction, delay or misdirection of Promotion materials, and mail submitted to Sponsor and / or Administrator. Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion and their respective directors, officers, shareholders and employees are not responsible and shall not be liable for [a] printing, distribution or production errors and Sponsor may rescind, cancel or revoke this Promotion based upon any printing, distribution, production or other error without liability at its sole discretion; [b] electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction; [c] unauthorized access to or alterations of entry materials; [d] lost, late, illegible or postage-due mailed Entries; [e] technical, network, telephone equipment, electronic, computer, hardware or software malfunctions; and [f] limitations of any kind, or inaccurate transmissions of or failure to receive information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof. Sponsor and / or Administrator are not responsible for lost, late, incomplete, incorrect, damaged, misdirected, or illegible Entries or any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted. Sponsor may prohibit an Entrant from participating in the Promotion or allowing his/her business to win prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Promotion by cheating, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Administrator. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TOTHE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. If, for any reason whatsoever, this Promotion, in Sponsor's sole opinion, is not capable of running as planned, including, but not limited to, by reason of tampering, fraud, or any other cause which, in the Sponsor's sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of this Promotion Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend this Promotion, limit Entries to those submitted prior to the action taken, and conduct a random drawing from those Entries for the Finalist and First Prizes. Entry information becomes property of Sponsor. All federal, state and local regulations apply. 9.
