1 WGN AMERICA LAST MAN STANDING WATCH & WIN SWEEPSTAKES Official Rules NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. ELIGIBILITY: You must be at least 18 years of age or older or the age of majority in your state of residence, whichever is older, and a legal resident of the 50 United States or the District of Columbia at the time of entry. The Last Man Standing Watch & Win Sweepstakes (the Sweepstakes ) is not open to employees of Sponsor or those employees immediate family members. Employees and their immediate family members of any of Sponsor s affiliated companies, licensees, advertising or promotional agencies, or sponsors are also ineligible. For purposes of this Sweepstakes, immediate family members means grandparents, parents, siblings, spouse, children (including stepchildren), and in laws. You may not participate in this Sweepstakes if you are a professional actor or if you are a member of the SAG-AFTRA or any other union or guild that would entitle you to compensation for appearing on Last Man Standing (the Show ). For purposes of this Sweepstakes, a professional actor is defined as any individual who makes more than 10% of his or her annual income from acting and any individual who has ever participated as a walk on or extra in the filming of the Show (whether that individual actually appeared in the Show or not). This Sweepstakes is void where prohibited. 2. TO ENTER: Sweepstakes begins October 3, 2018 at 5 p.m. ET and runs through October 19, 2018 at 1:30 a.m. ET (the Sweepstakes Period ). To enter, watch the Show on WGN America and look for the code word (the code word ) displayed on screen during each episode of the Show. The Show airs on Wednesdays from 5 p.m. ET through midnight ET and on Thursdays from 7 p.m. ET to 12:30 a.m. ET (one episode every half hour). Once you have the code word, log onto Wgnamerica.com and follow the Sweepstakes link(s) until reaching the entry page (the Sweepstakes Page ). Accurately complete the entry form, including the correct code word, your name, birthdate, and valid address. All entries must be submitted during the Sweepstakes Period. If any dispute arises as to the identity of any online entrant, the entrant will be considered the individual to whom the entry s address is assigned, as shown on the service provider s records. Entries containing attachments, generated by a script, macro or other automated means will be disqualified. Entrants must use their own name. Only entries containing the correct code word will be eligible. Each Wednesday and each Thursday there will be a new code word. Entries with the Wednesday code word must be submitted by 1:00 a.m. ET on Thursday morning, and entries with the Thursday code word must be submitted by 1:30 a.m. ET on Friday morning. Sponsor reserves the right in its sole discretion to disqualify any entry at any time that in Sponsor s opinion does not comply with these Official Rules. By entering, entrants agree to be bound by and comply with these Official Rules. Limit one entry per person per code word.

2 Entries in excess of the limit will be disqualified if discovered by Sponsor. Sponsor is not responsible for lost, incomplete, damaged, illegible, late, or misdirected entries, or for errors in mechanical transmission, unavailability of phone lines or connections, cellular phone service, or any other technical malfunctions or inability to transmit messages or entries. Sponsor reserves the right to delay the announcement of the code word if breaking news or other unanticipated events prevent the code word announcement from occurring as scheduled. If such changes occur, they will be posted on the Sweepstakes Page. 3. SELECTION OF WINNERS: After the close of the Sweepstakes Period, Sponsor will select winners by random drawing from among all eligible entries, subject to verification and compliance with these Official Rules. Odds of winning depend on the number of eligible entries. Sponsor will attempt to notify the winners by . A potential winner will be disqualified and Sponsor may select another winner by random drawing from remaining eligible entries (at Sponsor s sole discretion and time permitting) if: (a) winner does not respond within 48 hours of first notification attempt; (b) winner does not fulfill the eligibility requirements; (c) winner does not adhere to the Official Rules; (d) winner does not sign and return any required documents or provide required information by deadlines set by Sponsor; and/or (e) if the prize notification is returned as undeliverable, refused, or declined. Sponsor will conduct up to two alternate drawings for each prize, time permitting. 4. PRIZES & PRIZE RESTRICTIONS: There is one Grand Prize and one runner-up prize. The Grand Prize is a three-day/two-night trip for winner and one guest to Los Angeles. Trip package consists of roundtrip, coach-class air transportation for two from a major U.S. airport nearest winner s home (determined by Sponsor in its sole discretion) to Los Angeles, or, if winner lives within 180 miles of Los Angeles, a $100 American Express gift card; two nights standard accommodations at a hotel to be determined by the Sponsor (one standard room, double occupancy); roundtrip ground transportation to and from the destination airport and hotel and to and from the hotel and the set where Last Man Standing (the Show ) is shot; $500 (provided in the form of a American Express Gift Card); and an opportunity for the winner potentially to appear as a walk on in a scene in the Show (there is no guarantee the winner will be in the shot or that the scene will be in the Show). Winner will receive no compensation for appearing as a walk on. Winner and guest must be willing and able to travel between November 5, 2018 and November 23, 2018 (on exact dates to be designated by Sponsor), or must forfeit the Grand Prize. Approximate retail value ( ARV ) of the Grand Prize is $3,500. There are 10 runner-up prizes. Each runner-up prize is a $100 American Express Gift Card. ARV: $1,000. Total ARV of all prizes: $4,500. Sponsor will make travel arrangements on behalf of Grand Prize winner, and winner must cooperate with Sponsor. Actual value may vary based on air transportation fluctuations and distance between departure and destination, actual cost for hotel accommodations, and ground transportation costs. If actual value is less than stated ARV, difference in prize value will not be awarded. Grand Prize winner and guest must travel on the same itinerary. Airline tickets are non-refundable/non-transferable and are not valid for frequent flyer miles. All airline tickets are

3 subject to flight variation, work stoppages, and schedule or route changes. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged. Sponsor will not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carriers, transportation companies, prize providers or any other persons providing any prize-related services. Grand Prize winner and guest are responsible for all necessary travel authorizations, medical and travel insurance (and all other insurance), valid travel documents (i.e., valid photo ID) and all expenses and costs, not expressly listed above, including, but not limited to, taxes, tips, meals, entertainment, transfers and transportation. Grand Prize winner and guest are responsible for transportation to and from his/her home to the airport. If the guest of the Grand Prize winner is a minor, he/she must be accompanied at all times by his/her parent or legal guardian. Dates of departure and return are subject to change. Certain restrictions and blackout dates may apply. Seat selection and timing of trip subject to availability and confirmation of reservations. No refunds or credit for changes are allowed. If Show walk on opportunity does not occur for any reason (or if the scene is cut or winner does not appear in the shot), no alternate prize will be awarded. Prize is nontransferable, except at Sponsor s sole discretion. Prize details and availability are subject to change, in which case Sponsor may substitute a prize of equal or greater value. No substitutions or cash redemptions, except at Sponsor s sole discretion. All properly claimed prizes will be awarded provided a sufficient number of eligible entries are received, but in no event will Sponsor award more prizes than are provided for in these Official Rules. 5. CONDITIONS & RESTRICTIONS: Entrants agree Sponsor has the sole right to decide all matters and disputes arising from this Sweepstakes and that its decision is final and binding. Except where prohibited by law, entrants agree to allow use of their name, voice, photograph, likeness, and hometown, in any medium of communication, including print, Internet, radio and/or television and for any purpose in connection with the Sweepstakes, including advertising, promotional or other purposes, by Sponsor and/or its affiliates, without additional compensation. By entering, entrants agree to release, indemnify and hold harmless Sponsor, Twitter, Facebook, prize provider and their parent companies and affiliates, and each of their employees, representatives, contractors, sponsors and advertisers, from any and all liability, loss, damage, costs or claims related to any allegation regarding participation in the Sweepstakes and/or the award of, the receipt of, or the use of their prize. Winner may be required to execute and return an affidavit of eligibility and release of liability/publicity (TN residents are not required to sign publicity release) prior to receiving their prize, and, if so, must do so within seven business days of the date Sponsor sends the same to winner. As a condition of entering, entrants agree: (a) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or related to this Sweepstakes, or prize awarded, will be resolved individually, without resort to any form of class action, and exclusively by the appropriate court in Cook County, Illinois, to which participant submits to personal jurisdiction; and (c) any and all claims, judgments, and awards will be limited to actual out-of-pocket costs incurred, excluding

4 attorneys fees and court costs. Some jurisdictions do not allow for limitations on the ability to pursue class action remedies, or certain kinds of damages, and so these limitations may not apply to you. This Sweepstakes will be governed and enforced pursuant to Illinois law, excluding choice of law provisions. Sponsor reserves the right to prohibit any entrant from participating in the Sweepstakes if, at its sole discretion, Sponsor finds such entrant to be tampering with the entry process or the operation of the Sweepstakes, or if such entrant shows a disregard for, or attempts to circumvent, these Official Rules, or acts: (a) in a manner the Sponsor determines to be not fair or equitable; (b) in an annoying, threatening, or harassing manner; or (c) in any other disruptive manner. Sponsor assumes no liability for (a) any incorrect or inaccurate entry information; or (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Sponsor through information technology systems in Sponsor s control, but Sponsor shall not be obligated to consider any data or other information collected from any other source. If there is any conflict between any term of these Official Rules and any advertising or entry materials used in connection with the Sweepstakes, the terms of these Official Rules will govern. Neither the failure of Sponsor to insist upon or enforce strict performance of any provision of these Official Rules or the failure, delay or omission by Sponsor in exercising any right with respect to any term of these Official Rules, will be construed as a waiver or relinquishment to any extent of Sponsor s right to assert or rely upon any such provision or right in that or any other instance. 6. DISRUPTION: If for any reason, this Sweepstakes is not capable of running as planned, including infection by computer virus, tampering, fraud, technical failure, or any other cause that corrupts or threatens the administration, security or integrity of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to terminate or suspend the Sweepstakes or any portion of the Sweepstakes. If Sponsor terminates the Sweepstakes, it will determine the winners by random drawing from among all eligible, non-suspect entries received prior to the termination. If Sponsor terminates or modifies the Sweepstakes, Sponsor will post notice on the official Sweepstakes website and on the next showing of the Show. 7. NO AFFILIATION WITH FACEBOOK OR TWITTER: This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook or Twitter.
