1 INSTITUTIONAL BIDDING PROCESS No. UNDPGCCA/SUR/IICA/02/207 I. GENERAL CONDITIONS. The Inter-American Institute for Cooperation on Agriculture (IICA) is the contracting party for this contract and in no event IICA be liable for any damages whatsoever including, without limitation, damages for loss of profits, in any way connected with the cancellation of a tender procedure even if the Contracting Authority has been advised of the possibility of damages. The publication of a procurement notice does not commit the Contracting Authority to implement the program or project announced. 2. Interested companies/individuals should send their bids before the aforementioned date and time to IICA s offices in Suriname, addressed as follows: Inter-American Institute for Cooperation on Agriculture (IICA) National Purchasing Committee Institutional Bidding Process No. UNDPGCCA/SUR/IICA/02/207 Supply and Installation of Protected Agriculture Structure and Equipment for Producer Group Vereniging Belangen Behartiging Weg Naar Zee P.O. Box 895 Letitia Vriesdelaan, Paramaribo, Suriname. Printed copies of the financial and technical bids should be presented in three (3) separate, sealed envelopes in English, one containing the technical bid, another with the financial bid, and a third with the legal documents; and electronic copies in PDF format. The Bidder s name (individual or Company), the name and number of the bidding process, and the contents of each envelope (technical bid, Financial bid, and legal documents) should be written on the outside. Each envelope should also contain the Bidder s details: name (individual or Company), business name, full address, and contact information (phone, and fax numbers, address etc.). One original () and two (2) copies of the bids should be submitted. IICA will confirm receipt of the bids as soon as they arrive.

Bidders should provide and attach to their bids in a separate, sealed envelope: A certification of their legal status; A copy of their corporate ID as an artificial person, or identity document (if the bidder is participating as a natural person); The number of clients to which they are currently providing their services and at least one reference from a client with evidence of similar type supply and installation interventions as the one offered to IICA; Description of their type of operation and service; Recent financial statements ( ); Certification stating that they are up to date with their social security and other related payments. 4. Based on its regulations and procedures, IICA establishes that it has up to seven working days to settle the invoices presented under the terms of the contract, which means that bidders should include in their bid a minimum period of 7 working days for the settlement of invoices, which should not include taxes. The contractor should submit bills in USD and the Institute will settle them in the same currency. Payment will be made via cheque, following the presentation of the invoices. 5. The Institute reserves the right to accept any or all of the bids received, or to reject them if they do not meet the requirements described in the Call for Tenders. The Institute also reserves the right to modify in part or in whole any of the specifications of the good during the bidding process up to the formal award of Contract. 6. The presentation and signing of the bids is expressly understood to mean that the bidder has carefully read the requirements, which it expressly accepts without reservations, and that, if the bidder is awarded the Contract, its bid will be an integral part thereof. 7. The National Purchasing Committee will open the bids on the 7th day of the month June of the year 207. The bids will be opened at IICA s offices in Paramaribo in the presence of a group not including the bidders. IICA will inform bidders of its decision regarding the awarding of the contract by the 4th day of the month June of the year The National Purchasing Committee will follow the guidelines established in IICA s regulations and procedures to ensure impartiality in its analysis of the bids and decision regarding the awarding of the contract. 2

3 9. In its decision, IICA will call for a Contract of 3 months and will also specify that a thorough review be carried out one month after the Contract has been signed and implemented. 0. Once awarded, IICA may rescind the Contract signed before its expiration date if it is not satisfied with the services received. IICA shall inform the corresponding legal representative 4 days in advance. 3

4 II. SPECIFIC CONDITIONS. The bid for the provision of services and the financial bid should fulfill all the requirements and characteristics described herein, as they meet the Institute s needs. 2. The Supplier shall deliver in no more than three (3) months from the date of signature a single fully operational protected agriculture structure with all the structures, equipment, facilities and systems itemized in 2 above. 4. The bid should contain a detailed description of the supplies tendered in conformity with technical specifications offered 2, the resolution of problems, costs, delivery times, and other aspects of interest that reliably demonstrate the competitive advantage of the bidder. IICA may seek confirmation of the information presented in the bid if deemed pertinent. Tenderers should provide a sketch depicting the front, back, side and top views of the proposed structure. 5. The financial bid should be presented in the following format (See Annex II) for supplies and installation tendered. The financial bid should be valid for at least 60 days from the date upon which it was submitted in the tender process. 6. Surinamese law shall in all matters not covered by the provisions of the contract. 7. The Contractor shall take the necessary measures to ensure the visibility of Inter-American for Cooperation on Agriculture (IICA), the United Nations Development Programme (UNDP) and the Global Climate Change Alliance+ (GCCA+). 8. The Contractor will be required to provide a Performance Bond which shall be 0% of the Contract value including any stated amounts in addenda to the contract. This bond must be provided together with the return of the countersigned contract after the tenderer receives the contract signed by the Contracting Authority. The performance guarantee shall be held against payment to the Contracting Authority for any loss resulting from the Contractor's failure to perform his contractual obligations fully and properly and may be provided in the form of a bank guarantee, a banker's draft, a certified cheque, a bond provided by an insurance and/or guarantee company or an irrevocable letter of credit made out to IICA. The guarantee shall continue to remain valid until the contract has been fully and properly performed. The performance guarantee shall be released or refunded on the date of final acceptance. 9. The Contractor shall be covered by All-Risks Insurance valid until the provisional acceptance of the final deliverables. 2 Annex I provides a form to be used for this purpose 6

7 0. The place of acceptance of the final deliverables shall be at the site at Weg Naar Zee identified by IICA, Paramaribo, Suriname.. The implementation period shall run for a period of three (3) months from the contract signature date of both parties to the date for provisional acceptance. Time is of the essence. 2. Supplies shall be excluded of all internal fiscal charges applicable to their manufacture, including VAT, all stamp and registration duties, and taxes applicable to their importation in compliance with existing privileges of the Institute and funding agencies as International Organizations in Suriname. 3. The Contractor shall bear all risks relating to the goods until provisional acceptance at destination. 4. The Contractor shall warrant that the supplies are new, unused, of the most recent models and incorporate all recent improvements in design and materials. The Contractor shall further warrant that none of the supplies have any defect arising from design, materials or workmanship. This warranty shall remain valid for no less than one year after provisional acceptance. 5. Any disputes arising out of or relating to this contract which cannot be settled otherwise shall be referred to the exclusive jurisdiction of the Surinamese Court applying the national legislation. 6. Since the Contractor is deemed to have determined its prices on the basis of its own calculations, operations and estimates, it shall, at no additional charge, carry out any work that is the subject of any item in its tender for which its indicates neither a unit price nor a lump sum. 7. The supplies shall be taken over by IICA when they have been delivered in accordance with the contract, have satisfactorily passed the required tests, or have been commissioned as the case may be, and provisional acceptance has been issued or is deemed to have been issued. 8. The contract shall not be considered to have been performed in full until the final acceptance has been granted or is deemed to have been granted by IICA. 9. The following are prohibited from being institutional suppliers: a. a current staff member of the Institute; b. any person who has held the post of Director General or Deputy Director General and does not have the express authorization of the current Director General; 7

8 c. any current delegate, diplomatic representative or other employee of the government of a Member State; d. any first-degree relative of a current staff member of the Institute; e. any person or firm that has served as a supplier for the Institute and has failed to comply with a contract for the procurement of goods or services, or has done so unsatisfactorily; f. any person, corporation, partnership, association or other business entity which, under the laws of the Member State where the contract is to be performed, is not authorized to provide the goods and/or the services referred to in the Contract; g. and a former staff member of the Institute who has signed an agreement with the Institute that is currently in force and stipulates that the former staff member is ineligible to enter into any form of contract for remuneration with the Institute. 20. IICA will evaluate the following aspects of the bids submitted in accordance with the evaluation criteria approved by the National Purchasing Committee: a. Administrative Compliance: eligibility of tenderer; completeness of documentation, other administrative requirements of the tender dossier; b. Economic and Technical Compliance: economic and financial capacity; professional capacity; technical capacity; c. References of national, regional, multinational, or transnational clients. 2. A virtual clarification meeting will be scheduled for Tuesday, May 6, 207 at 09:30 am local Suriname time. The meeting will be conducted via WebEx. Information on the virtual link will be forwarded to interested Bidders at least two days prior to the meeting due date. Potential Bidders are therefore required to forward their s and expressed interest in partaking in this meeting to the IICA Suriname Delegation iica.sr@iica.int 22. The eventual documentation supplied should clearly indicate (highlight, mark) the models offered and the options included, if any, so that the evaluators can see the exact configuration. Offers that do not permit to identify precisely the models and the specifications may be rejected by the evaluation committee. The offer must be clear enough to allow the evaluators to make an easy comparison between the requested specifications and the offered specifications. 0
