2 Terms and Conditions This rig package was initially built to work in Mexico by X-Treme Energy Group, the manufacturer who has ceased operations. Constructed and designed for a warmer climate, this rig can still remain in Canada with some additional modifications. The Rig is approximately 85% completed and all components are brand new. We have broken this Rig Package into 54 lots. With this process, you will have the option to bid on the complete package or on certain lots that you are interested in. The 2 generation buildings have each been broken out into 4 lots Lots 8 through 15 you can either bid on the entire generation building or on each engine/generator package. Each Offerer shall, with his Offer, deliver to Century a certified cheque payable to Century for five percent (5%) of the total offer price. If an Offer is accepted, in whole or in part, such cheque shall be cashed and the proceeds thereof relating to those separate Offers accepted shall constitute a deposit (the Deposit ). 3 Terms and Conditions (cont d) 4. The Deposit shall be applied to the purchase price on completion of the Agreement. However, if an offer is accepted and the purchaser fails to complete the purchase of the Assets in accordance with the terms of the agreement, the Purchaser shall forfeit their deposit. 5. A cheque accompanying an Offer that is not accepted, in whole or in part, by Century, or monies relating to those separate Offers not accepted by Century, shall be returned to the Offerer, without interest, to the address given in its Offer within five business days from the Tender Closing Date. 6. The balance of the Purchase Price together with all applicable taxes (including Goods and Services Tax) shall be paid to Century by cash, certified cheque, bank draft or money order in Canadian Dollars, on the Closing Date. Possession of the Assets will not be granted until the balance of the Purchase Price has been paid in full. 7. Any documentation or other material provided to prospective Purchasers relating to the Assets which is the subject matter of the Terms and Conditions of Sale including without limitation all related Schedules, has been prepared solely for the convenience of prospective Purchasers and is not warranted to be complete or accurate and is not part of the Terms and Conditions of Sale. 8. Century will evaluate the offers received and may individually contact some or all prospective purchasers to request additional information about their respective offers. 9. Century reserves the right to withdraw any Assets from the sale at any time prior to the Closing Date.
