Box 2390 Huffman, TX Phone (281) ~ Fax (281) January 25, 2018 NOTICE OF INVITATION TO BID Sealed proposals will be received until 9:00 a.m., Friday February 23, 2018, in the Huffman Independent School District Administration Office, FM 2100, Huffman, TX 77336, in accordance with the specifications attached. Proposals will be publicly opened at the stated deadline. The envelope containing your proposal should be plainly marked: Security Cameras Proposal Number CSP-18-T01 Open 9:00 a.m., February 23, 2018 Any proposal received later than the specified time, whether delivered in person or mailed, shall be disqualified. Faxed proposals and phone proposals will not be accepted. Proposals shall be submitted only on these forms. Deviations to the General Terms and Conditions or the Main Proposal shall be noted in writing by the proposer and shall be included in the proposal. Proposals may be submitted on any or all items, unless stated otherwise. All prices are to be effective for one (1) year after award. The Board of Trustees reserves the right to reject any and/or all proposals and to accept any proposal deemed most advantageous to the Huffman Independent School District and to waive any informality. 2 Introduction 1.1 Project Description Huffman ISD is constructing a new Elementary School for 850 of its students in grades K- 5. Huffman ISD is seeking bids for the security cameras that will installed in this new, innovative building. Proposers must submit a proposal for all items specified and should not include installation or configuration services. 1.2 Current Environment Huffman ISD s current security camera environment consists of a mix of older Axis cameras and newer Panasonic security cameras. 1.3 Projected Installation Date Successful proposers shall be notified after school board acceptance of their proposal on February 26, 2018 and will be provided a purchase order March 1, All ordered items must be received at Huffman ISD before April 10, Clarification and Requests for information All requests for clarification or information should be directed to David Carpenter, Director of Technology; dcarpenter@huffmanisd.net, All correspondence must reference the appropriate proposal number CSP-18-T01. Equivalent products must offer the following minimum characteristics: a. The Dome Network Camera shall produce a resolution of 4,000 x 3,000 pixels at up to 15 fps with a 12 mega pixel mode. b. The Dome Network Camera shall offer Wide Dynamic Range (WDR). c. The Dome Network Camera shall produce a color image with a minimum illumination of 0.02 lux and a monochrome image with lux at F1.6, shutter speed of 16/30s and High gain mode. d. The Dome Network Camera shall offer a built-in IR LED to produce a clear monochrome image in zero lux conditions with 30m (98.43feet) irradiation distance. e. The Dome Network Camera shall generate multiple simultaneous video streams of JPEG and H.264 high profile. f. The Dome Network Camera shall utilize 3D-Digital Noise Reduction (3D-DNR) to remove visual noises in low light conditions. g. 7 GENERAL CONDITIONS Items listed below apply to and become part of the terms and conditions of this proposal unless superseded by any supplemental specifications or conditions enclosed or attached hereto; in which case the attached or enclosed conditions will prevail The proposal shall be placed in a separate envelope, sealed and properly identified with the RFCSP number and title and the proposal opening time and date. No oral, telegraphic, telephonic, or facsimile proposals will be accepted. Huffman Independent School District shall not be held liable for any proposal that is not clearly identified and consequently not considered Proposals shall be received in the Huffman ISD Administration Building, FM 2100, Huffman, Texas by the hour and date specified on the official 'Notice' form. The Huffman ISD shall not be held liable for late proposals. Late proposals will be returned to the Vendor unopened. DO NOT FAX OR YOUR PROPOSAL Proposals must be submitted on this form. Deviations to the General Conditions and/or Specifications shall be clearly noted in writing by the proposer and shall be included in the proposal Submit 1 (ONE) copy in a sealed, plainly marked envelope Pricing should be F.O.B. Destination, Inside Delivery, Freight Prepaid. *If proposing otherwise, vendor must show an exact or estimated cost of delivery on the proposal form Proposals must show the number of days required to deliver the article(s) to the specified location under normal conditions after receipt of an order (ARO). Failure to manually sign and date the proposal is grounds for disqualification. The person signing the proposal should show title and/or authority to legally bind their firm to a contract with the Huffman ISD Any catalog, brand name, and/or manufacturer s reference used is descriptive, not restrictive, and is intended only to indicate type and quality desired. Proposals on brands of like nature and quality will be considered unless otherwise specified. If offering an alternate product, proposal must show manufacturer, brand, model, etc. of item being offered. Complete descriptive information of each alternate product must be included with the proposal. If the vendor takes no exception to the specifications herein, Vendor shall be required to furnish brand names, models, etc. as specified by the Huffman ISD All items proposed shall be new, in first class condition, including containers suitable for shipment and storage, unless otherwise indicated Addenda are to be incorporated as part of the proposal and shall become part of the Contract Documents. The receipt of all Addenda shall be acknowledged on the Acknowledgement Form The Huffman Independent School District reserves the right to accept or reject all or any part of any proposal, waive minor formalities and award the proposal deemed to be most advantageous to Huffman ISD The Huffman ISD reserves the right to purchase additional articles as listed on the proposal subject to verification of the same or lower prices and conditions as originally proposed All items and services offered shall conform to all applicable local, state and federal laws, ordinances and regulations It is to be understood that the Vendor, if awarded an order or contract, agrees to protect, defend, and hold harmless to the Huffman Independent School District from any suits or demands for payment that may be brought against it for use of any patented material, process, article or device that may enter into the Security Cameras 7
8 manufacturer and/or construction or form a part of the work covered by either order or contract; and further agrees to indemnify and hold harmless the Huffman Independent School District from suits and actions of every nature and description brought against it for, or on account of, any injuries or damages received or sustained by any party or parties by, or for any of the acts of the vendor, his servants or agents A Performance, Payment and/or Bid Bond will only be required for this proposal if so stated in the specifications and/or Special Conditions It is not the policy of the Huffman Independent School District to award contracts based solely on 'low price'. Huffman ISD will select the solution offering the overall 'best value' as determined by the evaluation criteria All vendors shall execute the Acknowledgement Form, Felony Conviction Notification Certificate of Residency and Deviation Form enclosed herewith for a proposal to be considered The Huffman Independent School District shall not be held liable for non-funding of a contract caused through no fault of its own Pursuant to Texas Government Code Sec proposers hereby verify that they do not boycott Israel; and will not boycott Israel during the term of the contract This agreement is subject to the appropriation of funds by the District in its budget adopted for any fiscal year for the specific purpose of making payments pursuant to this agreement. The obligations of the District in any fiscal year for which this agreement is in effect shall not constitute an indebtedness of the District beyond that fiscal year. In the event of non-appropriation of funds in any fiscal year to make payments pursuant to this agreement, this agreement may be terminated It is the policy of the Huffman Independent School District to not discriminate on the basis of sex, race, disability, color or national origin in its educational programs, activities and/or employment practices Huffman Independent School District is exempt from Federal Excise Tax, State and Local Tax. Do not include tax in your proposal totals. If it is determined that tax was included in the proposal, it will not be included in the tabulation or any awards. Tax exemption certificate will be furnished upon request Notwithstanding anything to the contrary contained in these terms and conditions, upon the District s acceptance of a proposal, the vendor and the District will have entered into a binding contract. The contract is enforceable from the time of acceptance without regard to the time of notification to the vendor of acceptance. Vendor will be notified by a Letter of Award issued by the District. If the vendor neglects or refuses to follow such notice within thirty (30) days, Huffman ISD will cancel the contract and seller may be held liable for any loss or expense sustained by Huffman ISD as a result of vendor's failure to conform to this contract. 20 Form 1295 Instructions -Form 1295 Effective January 1, 2016, a governmental entity may not enter into a contract requiring board approval, unless the business entity submits a Disclosure of Interested Parties (Form 1295) at the time the business entity submits the signed contract. The following definitions apply: 1. Interested Party means a person: a. Who has a controlling interest in a business entity with whom a governmental entity contracts: or b. Who actively participates in facilitating the contract or negotiating the terms of the contract, including a broker, intermediary, adviser, or attorney for the business entity. 2. Intermediary means a person who actively participates in the facilitation of the contract or negotiating the contract, including a broker, adviser, attorney, or representative of or agent for the business entity who: a. Receives compensation from the business entity for the person s participation; b. Communicates directly with the governmental entity or state agency on behalf of the business entity regarding the contract; and c. Is not an employee of the business entity 3. Business Entity means any entity recognized by law through which business is conducted, including a sole proprietorship, partnership, or corporation. Business entity includes a for-profit or nonprofit entity. He term does not include a governmental entity or state agency. 4. Contract includes an amended, extended, or renewed contract. 5. Controlling Interest means: a. An ownership interest or participating interest in a business entity by virtue of units, percentage, shares, stock, or otherwise that exceeds 10 percent; b. Membership on the board of directors or other governing body of a business entity of which the board or other governing body is composed of not more than 10 members; or c. Service as an officer of a business entity that has four or fewer officers, or service as one of the four officers most highly compensated by a business entity that has more than four officers. A business entity must file Form 1295 electronically with the Texas Ethics Commission using the Commission s online filing application, which can be found at: The business entity must print a copy of the completed form, which will include a certification of filing containing a unique certification number. The Form 1295 must be signed by an authorized agent of the business entity, and the form must be notarized.
