Offer valid from 1st May 2015 to 30th June TERMS & CONDITIONS 1.MasterCard India Services Pvt Ltd ( MasterCard ) is conducting the Summer Travel Campaign (the Campaign ) during the period from 1st May, 2015 to 30th June, 2015 (the Campaign Period ). 2.The Campaign is open to all holders of MasterCard branded credit cards, MasterCard branded debit cards and MasterCard branded prepaid cards issued by MasterCard customer banks or other issuers in India. Maestro branded cards are excluded from the Campaign. The following persons are not eligible to participate in the Campaign:- (a) The employees (whether permanent or temporary) of MasterCard, each MasterCard customer bank in India and their respective subsidiaries and holding companies; (b) The employees (whether permanent or temporary) of MasterCard s promotion agencies and other entities involved in the conduct, implementation and/or administration of the Campaign (as determined by MasterCard in its sole discretion); and

2 (c) The immediate family members of each such employee. For the purposes hereof, immediate family members includes spouse, parent, child (including adopted child and step-child), brother, sister and the spouse of the child, brother or sister. For the purposes of these terms and conditions:- (d) INR means Indian Rupee, the lawful currency of India; (e) MasterCard Cardholders means holders of MasterCard Cards and MasterCard Cardholder means a holder of a MasterCard Card; (f) MasterCard Cards means MasterCard branded credit cards and MasterCard branded debit cards issued by MasterCard Customers and MasterCard Card means a MasterCard brand credit card or a MasterCard branded debit card issued by a MasterCard Customer; (g) MasterCard Customers means MasterCard customer banks or other issuers in India who have been licensed by MasterCard to issue MasterCard branded cards and who have issued the relevant MasterCard Cards in question; and (h) Participant means a MasterCard Cardholder who participates in the Campaign. 3. By participating in the Campaign, each MasterCard Cardholder fully and unconditionally agrees to these terms and conditions and accepts that the decision of MasterCard regarding the Campaign and all matters related to or connected with it, including, without limitation, the interpretation of these terms and conditions, is final and binding and no queries shall be entertained. In the event all or any of these terms and conditions are not acceptable to a MasterCard Cardholder, such MasterCard Cardholder should not participate in the Campaign, notwithstanding the offer. These terms and conditions shall be binding on the Participants. 4. To participate in the Campaign:- (i) The MasterCard Cardholders need to spend Rs. 10,000 or more in the travel category on MasterCard Debit, Credit card or Prepaid Card, which purchase transactions must be in respect of the following transaction categories, whether any one of the following transaction categories or a combination of any of the following transaction categories:- (a) online (internet) e-commerce transactions with merchants located within the geographical borders of India ( Online India Transactions ); (b) point-of-sales transactions at merchants located within the geographical borders of India ( POS India Transactions ); and/or (c) point-of-sales transactions at merchants located outside the geographical borders of India or online (internet) e- commerce transactions with merchants located outside the geographical borders of India (collectively POS & Internet Cross-Border Transactions ), (which purchase transactions shall be referred to as the Qualifying Purchases ). The date of spend shall be the transaction date on which the actual purchase transaction was made; (ii) The aggregate value of the Qualifying Purchases must be greater than or equal to the equivalent of INR 10,000; (iii) The Qualifying Purchases must be for personal consumption only and MasterCard reserves the right to disregard or disqualify Qualifying Purchases or purchase transactions which are commercial in nature; for avoidance of doubt, spends on any commercial card do not qualify for the Campaign,

3 The above terms are collectively referred to as the Eligibility Criteria. A MasterCard Cardholder who meets the Eligibility Criteria shall in these terms and conditions be referred to as the Eligible MasterCard Cardholder. 5. To determine the winners of the Campaign, MasterCard will identify the Eligible MasterCard Cardholders meeting the Eligibility Criteria in each of the Prize Categories (as defined in clause 7 below) based on the payment card information and transaction information retrieved by MasterCard from the MasterCard Customers. For this purpose, MasterCard will select and analyze information only in respect of the top 50 MasterCard Cardholders in terms of INR value of Qualifying Purchases during the Campaign Period. 6. Under the Campaign there shall be a Grand Prize as follows Grand prize category ( Grand Prize Category ). There will be ten (10) grand prize winners under the Grand Prize Category determined after the end of the Campaign Period. The winners of the Grand Prize Category will be the ten (10) Eligible MasterCard Cardholders with the highest INR value of Qualifying Purchases during the Campaign Period. In the event that two or more Eligible MasterCard Cardholders have the same INR value of Qualifying Purchases during the Campaign Period the Eligible MasterCard Cardholder who attained such cumulative INR value of Qualifying Purchases first in time will rank ahead of the other(s). 7. The prizes to be awarded to the winners under the Grand Prize Category are as follows (collectively the Prizes ):- Each of the ten (10) winners under the Grand Prize Category will receive the following travel package prize ( Grand Prize ):- Return economy class flight tickets for two (2) people from city of origin, India to Istanbul, Turkey on an airline of MasterCard s choice; Accommodation for four (4) days and three (3) nights in Istanbul, Turkey for two (2) people inclusive of breakfast in a hotel of MasterCard s choice; Welcome Reception for two (2) Half day guided private tour of Istanbul including access to top sites; Dinner for two (2) at an acclaimed Istanbul restaurant selected by MasterCard; Daily breakfast for two (2) at hotel; Airport transfers in Istanbul, Turkey; Hot air balloon flying adventure for two (2); Farewell dinner for two (2) at a renowned restaurant in Istanbul; One (1) MasterCard branded prepaid card with a USD300 prepaid value; and A reference to winner in these terms and conditions refers to a winner of a Prize. 8. The Prizes will be distributed to the winners by the respective MasterCard Customers which issued the MasterCard Cards used by the winners to make their winning Qualifying Purchases. 9. MasterCard will inform each MasterCard Customer which of its MasterCard Cardholders are winners under the Campaign within sixty (60) days from the expiry of the Campaign Period. Within sixty (60) days from the expiry of the Campaign Period, MasterCard will provide the relevant Prizes to the relevant MasterCard Customer for distribution to those of its MasterCard Cardholders who are winners under the Campaign. It shall be the responsibility of the

4 MasterCard Customers to distribute the relevant Prizes to those of their respective MasterCard Cardholders who are winners under the Campaign and to keep MasterCard informed about acceptance of the prize by the Cardholder. If the MasterCard Customer fails to send the Grand Prize Winner s acceptance to MasterCard or the MasterCard Customer s reply is not otherwise received by MasterCard for any reason within four (4) business days of MasterCard sending the Grand Prize Winner Notification, the Grand Prize Winner will be disqualified and have his/her Grand Prize forfeited and MasterCard will be entitled to award the Grand Prize to an alternative Grand Prize Winner. MasterCard and its directors, officers, employees and agents shall not be liable to the winners under the Campaign or any other person for any deficiency, delay, omission, default or failure by any MasterCard Customer in distributing the relevant Prizes to the winners thereof. The winners under the Campaign must claim the Prizes from the relevant MasterCard Customer. 11. The components of the Grand Prize are subject to the following terms and conditions:- (i) These terms and conditions also apply to the winner s companion travelling with the winner; (ii) Unless stated otherwise, the travel and accommodation arrangements forming part of the Grand Prize is limited to arranging for the issue of the flight tickets and arranging for accommodation; (iii) The Grand Prize does not include:- (a) Ground transportation charges from the winner s address to the airport; (b) Airport departure or government taxes; (c) Insurance coverage charges and destination visa charges; (d) Charges for upgrades or other changes sought at the accommodation venue as also any other charges incurred at the accommodation venue; (e) Expenses relating to undertaking excursions, visiting attractions and similar expenses relating to amusement and entertainment other than those specifically provided in clause 7(i) above; and (f) Any other cash expenses incurred by the winner and his/her travelling companion. For the avoidance of doubt, all out-of-pocket expenses, spending money, meals, travel expenses, accommodation expenses, taxes, travel insurance, surcharges, and all other ancillary costs and expenses incurred by the winner and his/her companion in collecting, redeeming and using the Grand Prize and each component thereof are the sole responsibility of and shall be borne by the winner thereof and his/her companion, except to the extent where specifically stated otherwise in clause 8(i) above; (i) Winners and their travelling companions must comply with the terms, conditions and limitations of airlines/other transport providers (including adherence to the travel itinerary) and the accommodation providers (including adherence to the check-in/check-out times and stay related terms) involved in the provision of the Grand Prize. MasterCard will not be liable to provide any alternative prize, cash equivalent or other compensation if the airlines or other transport providers or the accommodation providers terminate the travel or accommodation arrangements due to the winner s and/or his/her travelling companion s failure to comply with such terms, conditions and limitations; (ii) It will be the winner s and his/her travelling companion's responsibility to organize and obtain:- (a) all relevant insurance (including, but not limited to, health and travel damage to property) which may be required or prudent to be taken; and insurance, insurance for theft, loss and (b) the requisite visas for the destination country.

5 MasterCard will not be liable to provide any alternative prize, cash equivalent or other compensation if the winner and/or his/her travelling companion has been refused entry into the destination country on account of failure to obtain any requisite insurance or visa or if the winner and/or his/her travelling companion is unable to travel due to delays in obtaining any insurance or visa; (vi) The winner and his/her travelling companion must have and maintain valid passports endorsed with all relevant visas and with expiry dates no less than six (6) months following the proposed dates of travel or such other duration as may be required by any relevant regulations. These passports, and their holders, must not be subject to any restrictions on their rights to travel to and from the applicable country or countries. Passport control and incountry authorities may reserve the right to refuse entry to winners and/or their travelling companions. It shall be the winner s responsibility to ensuring his/her ability to travel to the destination country and for any additional costs incurred in case the entry in to the destination country is refused; (vii) The winner and his/her travelling companion must comply with and are responsible for obtaining any vaccinations and complying with the relevant health regulations required by the destination country; (viii) It is the responsibility of the winner and his/her travelling companion to check for any travel advisories issued by the Government and determine whether they wish to accept the risk of travelling to the destination country. MasterCard will not be responsible for any loss or damage suffered by any winner or his/her travelling companion arising out of their failure to follow any travel advisories issued by the Government. MasterCard will also not be liable or responsible for any loss or damage suffered by any winner or his/her travelling companion in case the winner and/or his/her travelling companion fails to redeem the Grand Prize as a result of any Government travel warning or advisory applicable to the destination country and/or countries or for any other failure on their part to travel and in such cases MasterCard will not be liable to provide any alternative prize, cash equivalent or other compensation if the winner and/or his/her travelling companion fails to redeem a Grand Prize for any reason; and (ix) MasterCard reserves the right to determine and vary (a) the airline for the flight tickets; (b) the hotel and room category for the accommodation; and (c) the restaurants for the included meals. 12. The Prizes cannot be transferred or exchanged or redeemed for cash, credit or any other prizes and any other items in part or in whole. The Prizes or any component or item thereof which is unutilized for any reason whatsoever cannot be exchanged for cash or any other item. No substitution of the Prize (or any component or item of the Prize) is allowed. MasterCard may, at its sole discretion, at any time and without prior notice, replace or substitute any of the Prizes or any component or item thereof with another item of similar value. 13. All costs and expenses incurred in collecting and using the Prizes are the sole responsibility of and shall be borne by the winners. 14. By participating in the Campaign, each Participant agrees: (a) to these terms and conditions, including terms relating to MasterCard s liability in respect of the Campaign; (b) that the Participant represents only himself/herself here and no other person; (c) that he/she is of the legal age of majority in order to enter into contracts; (d) to provide accurate information to MasterCard; (e) that the Participant will not use the Campaign to reproduce, duplicate, copy, sell, resell, distribute, publish or exploit for any commercial purpose the products or services provided by MasterCard or obtained through the Campaign without obtaining the express, prior written consent of MasterCard. This restriction includes any attempt to incorporate any information from the Campaign into any other directory, product or service; (f) that the Participant will not use the Campaign for any purpose that is unlawful or prohibited by these terms and conditions; and

6 (g) that MasterCard accepts no responsibility for late, lost, rejected, blocked, undelivered or misdirected notifications and other correspondence and Qualifying Purchases postings, including, without limitation, notifications and correspondence and Qualifying Purchases postings not received due to the malfunction of any device, software application, equipment, computer, computer server or network, however described, or notifications or other correspondence or Qualifying Purchases postings which are lost in the course of transmission or delivery. 15. All selections and/or decisions made by MasterCard in relation to the Campaign (including, without limitation, the selection of winners) will be final and conclusive. No enquiries or complaints will be entertained. The MasterCard Customers shall be entirely responsible for any queries or complaints from their MasterCard Cardholders in relation to the Campaign. 16. Each MasterCard Cardholder acknowledges that MasterCard, its subsidiaries, affiliates and associated companies/entities and agencies (collectively the MasterCard Group ) do not assume any responsibility for: (i) any Prizes offered under the Campaign; (ii) any products and services offered under the Campaign or related to or connected with the Prizes or any component of item thereof; (iii) any products and services offered by any MasterCard Customer; (iv) the failure of any electronic communications in relation to delivery and/or receipt of winner notifications and other notifications whatsoever; and (v) any notification or correspondence that is lost, late, misdirected, intercepted, undelivered, rejected, blocked, deleted or otherwise not received for any reason whatsoever, as the case may be. Under no circumstances shall the inclusion of: (i) any Prize offered under the Campaign; (ii) any product or service offered under the Campaign or related to or connected with the Prize or any component of item thereof; or (iii) any product or service offered by any MasterCard Customer, be construed as an endorsement or recommendation of such Prize or product or service by the MasterCard Group. 17. No representation or warranty of any kind is given by the MasterCard Group as to the Prizes offered under the Campaign and all liability of any kind whatsoever is excluded to the fullest extent permissible by applicable law. In the event legislation mandates conditions or warranties which cannot be excluded, restricted or modified except to a limited extent, then to the extent permitted by law, the MasterCard Group s liability is limited to, at its option: (i) the replacement of the Prize or the supply of an equivalent prize; or (ii) the payment, if it does not contravene any law, of the cost of the replacement or supply. 18. The providers of the Prizes and the providers/suppliers of any other products and services offered under the Campaign or related to or connected with the Prizes or any component or item thereof are not agents, contractors, employees, servants, consultants or affiliates of the MasterCard Group. 19. All risks associated with the collection, use and redemption of the Prizes, the travel to and from any venues and locations associated with the Prizes shall be assumed by the winners and their companions (if any). The MasterCard Group and their respective directors, officers, employees and agents shall not be liable to the winners or

7 their companions under the Campaign or any other person for any deficiency, delay, omission or failure related to or connected with the Prizes or any component of item thereof. 20. To the fullest extent permitted by applicable law, each MasterCard Cardholder shall not have any claim whatsoever against any member of the MasterCard Group and their respective directors, officers, employees and agents in respect of any action, proceeding, judgment, damage or loss (including, without limitation, incidental, punitive, consequential, special, direct or indirect damages, loss of profits, loss of business, loss of business opportunity or economic loss), expense, injury (including, without limitation, death or personal injury), damage to property or liability suffered or incurred by the MasterCard Cardholder (including any companion of the winner) or any other person arising from or in connection with:- (i) such MasterCard Cardholder s participation in the Campaign; (ii) the collection, receipt, redemption, use or misuse of the Prize or any component of item thereof by such MasterCard Cardholder and/or any other person; and (iii) the travel to and from any venues or locations associated with any Prize. 21. Each Participant shall indemnify and hold the MasterCard Group and their respective directors, officers, employees and agents harmless from and against any and all claims (including claims for negligence), liabilities, suits, damages, judgments, costs and expenses (including, without limitation, attorney s fees) and all losses and expenses resulting or arising from or connected with any claims or actions by any third parties against the MasterCard Group or any entity therein or their respective directors, officers, employees and agents due to any default, act, omission or negligence of such Participant, including, without limitation, default in complying with these terms and conditions or any violation of any applicable law, rules and regulations by such Participant. 22. The MasterCard Group and their respective directors, officers, employees and agents shall not, to the fullest extent permissible by applicable law, be liable in any way whatsoever in respect of any of the following:- (i) lost, late, misdirected, intercepted, undelivered, rejected, blocked or deleted notifications or correspondences or Qualifying Purchases postings; (ii) any Prize that is damaged, defaced, illegible, lost, stolen or otherwise not used; (iii) inaccurate information provided by the Participant, howsoever caused; (iv) any amount charged to a MasterCard Cardholder s MasterCard Card account in the course of participating in the Campaign or in making any Qualifying Purchases; (v) the suspension, cancellation or termination of the Campaign for any reason whatsoever; (vi) virus or other corruption, technical or mechanical error or failure, human error, negligence or unauthorized human intervention in any part of the entry process, the winners selection or determination process, the computation of the cumulative value of the Qualifying Purchases of any MasterCard Cardholder or the operation or administration of the Campaign; (vii) technical or mechanical errors related to computers, servers, mobile phones, satellites, telephone lines, network lines or any other equipment; (viii) non-receipt of notifications or correspondences or Qualifying Purchases postings; and (ix) any action, proceeding, judgment, liability, loss, injury, claim or damage (including, but not limited to, incidental, punitive, consequential, special, direct or indirect damages or losses, loss of profits, loss of business, loss of business opportunity, economic loss), expense, death and personal injury incurred or suffered by any Participant or any other person which may be caused, directly or indirectly, in whole or in part, from (i) any participation in the Campaign; or (ii) the collection, receipt, redemption, use or misuse of any Prize or any component or item thereof.

MasterCard s records of all matters related to or connected with the Campaign, including, without limitation, the computation of the cumulative Qualifying Purchases values shall be conclusive and binding on MasterCard Cardholders. MasterCard s decision on all matters relating to or connected with the Campaign shall be final and binding on MasterCard Cardholders. 24. MasterCard accepts no responsibility for any tax implications that may arise from any Prizes or any component or item thereof or the claiming, redemption and use thereof. Any tax filing obligation or any tax, rates or fee payment due to any authority as a result of the participation in the Campaign by a MasterCard Cardholder or the collection, redemption, receipt or use of any Prize or any component or item thereof remains the sole responsibility of the winner thereof. It is the responsibility of each winner to seek independent advice on the possible implications this may have on his/her own financial situation. 25. MasterCard reserves the right to discontinue the Campaign at any time during the Campaign Period, by giving a suitable notice in the website of MasterCard. 26. Any of these terms and conditions may be changed, varied, modified and/or deleted by MasterCard in its sole and absolute discretion at any time and from time to time by giving suitable notice on the website of MasterCard, but without any prior individual notice to MasterCard Cardholders or to any other person and each MasterCard Cardholder irrevocably and unconditionally agrees to accept any such changes, variations, modifications and deletions. 27. Without prejudice to the provisions of clause 25 above, in the event MasterCard is prevented from continuing with the Campaign or the integrity and/or feasibility of the Campaign is undermined by any event beyond the control of MasterCard, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, infection by computer virus, unauthorized intervention, breakdown in equipment, technical failures or other cause not reasonably within the control of MasterCard, MasterCard shall have the right, in its sole and absolute discretion, to abbreviate, modify, suspend, cancel or terminate the Campaign without any further obligation. 28. Each winner consents to the MasterCard Group and its respective, licensees, successors, assigns and contractors (including, without limitation, the providers of the Prizes and the MasterCard Customers), filming or otherwise recording the winner s appearance, poses, voice and statements, and editing such recordings (collectively Footage ). Each winner agrees that MasterCard and the MasterCard Customers may use, or license others to use, the Footage or a reproduction of it, in whole or in part, and/or the winner s name, voice, likeness and any biographical material which the winners may provide, in connection with the use of the Footage, for marketing and promotional purposes, on websites operated by or for the winner and in social media channels. Each winner further agree that MasterCard and the MasterCard Customer, in their sole discretion, may edit, modify, add to, delete from or change the Footage. Each winner hereby releases the MasterCard Group and the MasterCard Customer and their licensees, successors and assigns, from and against any claim of any kind or nature whatsoever arising from the use of the Footage, including, but not limited to, those based upon moral rights (which, to the extent such moral rights may not be assigned to MasterCard and the MasterCard Customer are expressly waived by each winner), defamation (including, without limitation, libel and slander), invasion of privacy, right of publicity, copyright, or any other personal and/or property rights ("Claims") and agree that the winners will not now or in the future assert or maintain any Claims against MasterCard and the MasterCard Customer, its contractors or their parent companies, subsidiaries, affiliates, licensees, successors or assigns. 29. The winners may be required to participate in publicity programmes which MasterCard or the relevant MasterCard Customer may from time to time organize in connection with the Campaign and if so, such winners must attend such functions. Expenses and/or costs incurred by a winner in attending such functions shall be borne by the winner.

In*SSC3+ connection with conducting the Campaign, MasterCard will be using MasterCard Cardholder s MasterCard Card information and MasterCard Card transaction information to select the winners of the Campaign. MasterCard will also be transferring the MasterCard Card information and the MasterCard Card transaction information of MasterCard Cardholders who meet the Eligibility Criteria to its service provider and the MasterCard Customer which issued the MasterCard Card for the purpose of selecting and contacting the winners.
