Tender document may be obtained from the office of General Manager (Works), Sambhar Salts Limited, Sambhar Lake, Pin , Dist. - Jaipur (Rajasthan) on any working days by paying Rs 500/- as cost of tender on or before till 15:00 hrs or may be downloaded from the website Eligibility Criteria 6.1 The bidder should have successfully constructed executed at least cumulative seven no. borewell in the last seven years. 6.2 Bidder shall submit, in support to the above, the list of successful works completed along with their work order/loi and the completion certificates along with offer. 3

4 7. Essential Requirement of the Bidder/Bidder: 7.1 The bidder/ Company / Firm / Agency must be registered with the appropriate registration authority (Labour Commissioner, Income Tax Department, GST Registration, Employees Provident Fund and Employees State Insurance Acts etc.). Contractors preferably registered in appropriate class with CPWD / PWD / Municipal Authorities / Semi Govt. Organization. 8. Obligations of the agency: 8.1 The agency should employ men/women aged between 18 to 5 8 years (and preferably below 55), who have good health and clean conduct record. 8.2 The agency should employ personnel who can converse well in English and local language. 8.3 The agency should provide at least 2 sets of Uniforms to all personnel employed by them. 8.4 The agency should provide necessary tools and equipment s that are necessary f or the execution of works as detailed in the tender document. 9. SUBMISSION OF TENDER The tender should be submitted in two bid system as described below. Following is to be submitted in a separately sealed envelope Super-scribed as follows: 9.1 Envelop 1: Pre-Qualification Bid (PQB) / Technical documents: Following documents are required to be submitted in the sealed Envelope No.1 - Super scribed as - Pre- Qualification / TECHNICAL/ Bid Covering letter indicating the list of enclosures Bid Security (EMD) (Rs.35,000/- Thirty Five Thousand) by DD drawn in f avour of Sambhar Salts Limited and payable at Sambhar Lake or can be deposited in Company s account through RTGS/ NEFT with declaration as per Annex General information of the Bidder duly signed by the bidder or his authorized representative in the Performa and format as given in Annex Original/downloaded tender document duly filled in, signed and stamped by the bidder or authorized representative of the bidder. 5 9.1.7 Undertaking to accept Terms and Conditions of the Tender document and to comply with them as per Annex- 7 on Non-Judicial stamp paper of Rs. 500/- (Five Hundred only) duly notarized and signed by the bidder or authorized representative of the bidder(to Be submitted by the successful bidders only) The bidder should preferably be Registered in appropriate class with CPWD/PWD/Municipal Authorities/Semi Govt. Organization and also with the appropriate registration authority (Labour Commissioner, Income Tax Department, GST Registration Employees Provident Fund and Employees State Insurance Acts etc.).as applicable. Self-attested copy of certificates to be submitted with Technical bid The bidder should be furnished a list of technical / Competent staff with their qualification & experience, which will be deployed at the unit for execution of works as per tender Copy of valid MSME/NSIC Registration certificate (if any) as applicable. 9.2 Envelop-2: Price / Financial bid The Price Bids must be submitted in the prescribed format as Annex- 8 and nowhere else in Envelope-2 only. *PLEASE NOTE THAT NO PRICES SHALL BE INDICATED IN THE PQB OR THE TECHNIC AL BID OTHERWISE, THE BID WILL BE REJECTED OUTRIGHTLY WITHOUT ANY FURTHER CORRESPONDENCE Rates will be f ixed till duration of contract and no escalation of prices shall be provided on any account whatsoever. Any revision in the taxes & duties slab will be in scope of bidder only. The rate must be written both in words and figures. There should be no erasures and or over writings. Corrections, if any, should be made clearly and initialled with date. Non submission of requisite document(s) or providing of incomplete technical details by the bidder is liable to bid cancelation during the technical evaluation stage itself without any further reference, whatsoever. 10. The Company reserves the right of giving purchase / price preference to the offers from 5

6 Public Sector Undertakings in accordance with the policy of Govt. of India from time to time. 11. It may please be noted that the COMPANY may award the contract to the qualif ied Bidder whose rates are found lowest without negotiations or after negotiations, if required, but that too, only with the lowest qualif ied Bidder. Therefore Bidders are advised to be careful to quote the genuine rates only. 12. Tender received after due date and time as mentioned in the tender document will not be entertained. 13. The firms black listed by any of the Govt. Department shall not be eligible for submission of bid. 14. Tender not submitted in the appropriate prescribed form and not completed in all respects shall be rejected. 15. Tenders without requisite EMD and Cost of Tender Form shall be rejected out-rightly. 16. Bidder shall not be entitled to claim any costs charged or incidental or in connection with the preparation and submission of their tenders even though Sambhar Salts Limited may choose to withdraw the notif ication of tender or reject all the Tenders without assigning any reason thereof. 17. In case, Bidder is registered with NSIC as SSI, a copy of certif icate should be enclosed and are exempted for remitting EMD and Cost of Bid Document. 18. The f irms registered as Micro & Small Enterprises (MSEs) should enclose a copy of registration certif icate to avail exemption f or remitting EMD & cost of Bid Document. 19. Bidders, which have f ailed to full-f ill earlier contractual obligations, shall not be considered. 20. The order or acceptance resulting from this tender and any amendments to be issued subsequently with its terms & conditions and stipulations in response to this tender or revised offer or any counter offer will constitute the entire Agreement relating to the tender between the successful Bidder and the Sambhar Salts Limited and both parties are bound by the terms and conditions as stipulated in the tender documents. 21. Payment Terms: Number of borewells may increase / decrease as per actual requirement of company and quantity of items to be executed at site can be increased or decreased as per the requirement of company / underground strata/ actual site condition. Contractor shall submit the bill based on actual quantity, after completion of works for each borewell to the entire satisfaction of the company, which shall be duly verified by the authorised officers of the company and payment will be made to the contractor within 21 days of submission of bill. 22. Rates submitted are inclusive of all taxes and duties and shall remain firm during the period of contract. 23. SECURITY DEPOSIT (SD) 23.1 Security 5% of contract value is to be remitted on awarding of contract and Earnest Money so deposited shall be adjusted in security deposit and shall be kept with the company for the successful completion of contract. Security deposit can be submitted by NEFT /RTGS/DD/FDR/Bank Guarantee of Nationalized bank. 6

7 23.1 Interest will not be allowed on Earnest Money Deposit (EMD)/SD:- In the event of breach of contract on the part of the Bidder the Company will be entitled to forfeit wholly or partially the above amount of Security Deposit with the Company. No interest will be allowed on the Security Deposit. The Company further reserves the right to adjust the Security Deposit towards any amount due to the Company from the Bidder and in such event, the Bidder on receipt of notice from the Company, shall make further deposit to restore the Security Deposit to the full amount Refund of Security Deposit: On satisfactory performance of the contract and on receipt of No Dues /No Demand certificate from the unit head, the Security Deposit will be refunded to the Bidder provided that no claim whatsoever against the Contractor / Agency is made and nothing is due from the Contractor / Agency and that the Contractor / Agency has completed the work to the entire satisfaction of the Company With-holding or forfeiture of Security Deposit : Without prejudice to the rights of the company to claim damages arising on account of breach of contract under the Contract Act 1972 the Security Deposit shall be liable to be withheld/forfeited wholly or partially at the sole discretion of the Company when the Contractor / Agency either fail to fulfil his contractual obligations or to settle in full his dues to the company Recovery from Security Deposit: The company is empowered to deduct from the Security Deposit or from any other outstanding amount, any sum that may be fixed by the company as being the amount of loss or losses or damages suffered by it due to delay in performance or non- performance of any of the conditions of the contract This Security Deposit shall be refunded on the satisfactory completion of the contract. It shall be lawful for the company if any difference or dispute is likely to exist; to defer payment of the Security Deposit or any portion thereof which may be due to the Bidder until such difference and dispute shall have been finally settled or adjusted. 24. Bid Evaluation Criteria: The technically qualified bidder having quoting least G. Total Amount [i.e. (1)+(2)+(3)+(4)+(5) as per description mentioned in Price Bid (Annex. 8)] will be considered as L Time Period of Completion: The contractor shall have to complete the work within 30 Days from the date of awarding the contract without fail. 26. Liquidated Damages: In case the prescribed works as stipulated in the tender document are not completed within the stipulated period of 20 days, then Liquidated 0.5 % per week of the value of incomplete works shall be levied on the Contractor upto maximum 10% of the Contract value, after which Company may consider cancellation of Contract and get the remaining works executed by itself or through any other agency at the risk and cost of contractor. 27. Number of Borewells to be Constructed at Nawa Lake Area : 10 Nos.(Quantity of Borewells may increase / decrease as per actual requirement of company. The work involve following items:- S.No. Item of work Quantity Transportation, installation of drilling unit set including providing of bore well site according to the coordinate given by GPS Machine at site of work complete in all respect. Including labour, material & equipment. Drilling and reaming of 11" dia (275mm) borehole in all type of soft strata including Clay, Moorum, Kankar, Graval, Soft related rock and other soft strata as directed and 7½" dia.(188 mm) borehole by D.T.H. machine in hard rock as directed by Company in all respect. Including labour and material. Labours charge for assembling and lowering of P.V.C. pipe 8" dia (200 mm) plain and slotted pipe in bore holes and P-gravel packing charges as directed excluding the cost of P.V.C pipe (ISI make) and P-gravel complete in all respect. P-gravel is available at Nawa kyar and transportation will be conducted by the party. Development of P-gravel packed bore hole by air compressor having a capacity of 1100 cfm and 300 PSI pressure 7.00 Kg./ cm 2 give sand free water. The payment shall be made after trail and for actual working hours. Subject to counting of maximum 08 Hrs. to each bore well as directed by the Supply and stacking of PVC casing Pipe (ISI Mark) 8 dia (200 mm) nominal size. 10 Nos 182 meter x 10 Nos=1820 meters meters x 10 Nos = meters 10 Nos meter x 10 Nos= meters 2. Scope of work under this Tender will includes Construction of Borewell a t N aw a l a k e a r e a but not limited to followings: 3. Materials and Workmanship The Contractor is responsible for the supply of all materials, equipment, and safety equipment protective materials and vehicles necessary to carry out the works. All materials are to be new, and materials and workmanship are to be of the best quality throughout and subject to the approval of the company. The Contractor will make written requests to the company for the approval of a substitution of any material or construction other than those specified in tender document. Except where otherwise stated, the standard of quality will fully comply with the relevant Indian Standard specification and/or code. 8

9 4. Electricity The contractor shall make his own arrangement if required. All temporary / permanent wiring must c o m p l y w i t h relevant regulations. Prices are to be quoted inclusive of e l e c t r i c i t y charges. Electricity charges on actuals shall be deducted from running bill. 5. Medical facilities Medical facilities from near-by area hospital are available to the Contractor s employees on chargeable basis. 6. Water It will be the Contractor's responsibility to arrange water as required. 7. Clean up on Completion The whole of the premises is to be cleaned up on completion, all surplus materials and rubbish removed, and leaves the whole of the premises in a state fit for operation. 8. Work Health and Safety i) The contractor shall cover all personnel deputed for production under appropriate insurance scheme. ii) The company shall not be responsible or held responsible or held liable for any damage to person or Property that may result during the execution of contract by the contractor. iii) The contract or has to agree to indemnify the company from any or all claims for damages that may result during the execution of project by the contractor. iv) The contractor shall provide all safety gears and livery to its workmen to ensure their safety and protection from injuries during the execution of works. 9. Payment Terms & Condition Number of borewells may increase / decrease as per actual requirement of company and quantity of items to be executed at site can be increased or decreased as per the requirement of company / underground strata/ actual site condition. Contractor shall submit the bill based on actual quantity, after completion of works for each borewell to the entire satisfaction of the company, which shall be duly verified by the authorised officers of the company and payment will be made to the contractor within 21 days of submission of bill. Central C.P.W.D. specification will be followed. 2. Quantity can be increased or decreased as per the requirement of company and the underground strata. 3. P.V.C. casing Pipe/Slotted (ISI mark) Pipes will be supplied by the contractor. 4. Contractor shall have to arrange all type of machines, tools and equipment required for the purpose. 5. Each bore should be drilled and reamed strictly vertical i.e. 90 degree exactly. 6. All the P.V.C.Pipe (Assembly) should be lowered at 90 degree exactly and strictly vertical. 7. Contractor shall have to collect the soil samples from each boring & prepare chart showing the depth & Type of soil strata etc. i.e. water bearing strata details and also prepare a rough strata diagram along with salient feature. 8. The P.V.C. Plain/Slotted pipe will be joined by treaded joint or by Cement solvent. 9. Drilling / lowering / development work etc. will be done in only day working. 10. The work of next bore will be started after handing over the previous bore well in all respect. 11. After completion of work a trial for 24 hours should be conducted by the contractor from company s Motor and pump approximate discharge in gallon per hours should be mentioned. 12. Gravel must be cleaned and washed by the party before packing in the borehole. 13. Party will be responsible to provide sand free water after development work subject to continuing of maximum 8 hours for each bore wells. W herever used in this contract and / or in any of the Annexure hereto, unless the context shall otherwise require, the following terms shall have the following meanings COMPANY : shall mean Sambhar Salts Limited, A Company within the meaning of Companies Act, 1956 and a subsidiary company of Hindustan Salts Ltd. having its Registered Office at Hindustan Salts Limited (A Government of India Enterprise), G-229,Sitapura Industrial Area, Jaipur (Rajasthan) India Capital of Rajasthan State and shall include its lawful successors and assignees. 1.3 Bidder : shall mean Firm/ Agency submitting offer against the tender. 1.4 CONTRACT : shall mean the Terms and Conditions as per the Tender Documents and SUBSEQUENT AMENDMENTS THERETO, if any, agreed in writing by the parties hereto on the basis of which the bidder shall carry out the work arising out of this tender. 1.5 CONTRACTOR / AGENCY : shall mean the successful bidder who is awarded Contract to perform the work covered under this tender document and shall be deemed to include its lawful successors, executors, representatives or assignees. 1.6 APPROVAL OF COMPANY : shall mean the written approval of the Chairman & Managing Director of the Company or any other officer authorized by him. 1.7 Words denoting masculine gender or singular number shall also include the feminine gender and plural number and Vice - Versa where the contract so requires or permits. 1.8 Contractor shall mean Individual/Firm/contractor engaged for Construction of Borewell at Nawa Lake Area by the company on Conclusion of said tender. 1.9 CONTRACT VALUE : shall mean the amount inclusive of all taxes and duties finalised as a result of this tender for Construction of Borewell at Nawa Lake Area. ARTICLE 2: RIGHTS OF THE COMPANY 2.1 Copies of other drawings and documents pertaining to the work will be open for inspection to the bidder at the office of the site. Bidders are advised to inspect and examine the site and its surrounding and satisfy themselves before submitting their tender as to the nature of the ground and sub-soil (so far as is practicable), the form and nature of the site, the means of access to the site, the accommodation they may require and in general shall themselves obtain all necessary information as to risks, contingencies and other circumstances which may influence or affect their tender. 2.2 A bidder shall be deemed to have full knowledge of the site whether he inspects it or not and no extra charges consequent on any misunderstanding or otherwise shall be allowed. 2.3 All designated material samples will be tested and inspected at Contractor s expense if desired by Sambhar Salts Ltd. at designated laboratories. 11

12 2.4 Final bill will not be processed until rectification of defects / deviated items as pointed out by the authorized officer of the company/designated Site in charge/ Engineer In charge. 2.5 Statutory deductions from the bills will be made as per Govt. rules. 2.6 Quantities mentioned in schedule may vary i.e. increase /decrease as per site requirement. 2.7 The scope of work includes furnishing all material, labour, tools, equipment and management necessary for incidental to the construction and completion of work. All the work, during its progress and completion, shall conform to the lines, elevations and grades as shown in the drawings furnished by company. In case any detail for efficient completion of the work is omitted from the drawings and specifications, it shall be the responsibility of the Contractor to bring the same to the notice of authorised official/engineer In-charge of the company for further decision on the same. In case the authorised official/engineer In charge accepts the omission and orders for the correction/ insertion of the detail then the same shall be installed by the Contractor for acceptable completion of works. 2.8 The bidder shall be responsible for arranging and maintaining at his own cost all materials, tools & plants, facilities for workers and all other service required for executing the work unless otherwise specifically provided for in the contract documents. 2.9 The Contractor shall be responsible for the true and perfect setting out of the works and for the correctness of the positions, levels, dimensions and alignment of all parts thereof as per drawing. If at any time, any error shall appear during the progress of any work, irrespective of the fact that the layout had been approved by the Company, the Contractor shall at its own cost rectify such error, to the entire satisfaction of the authorised official of the company/ designated Engineer In-charge The site shall be cleared of all type obstructions/materials by the contractor at its own cost The proposed work covered under this tender during its progress can be inspected by the authorised officers of the company or any other authority authorised on its behalf by the Company All the works specified in the tender or are required to be done for completion of works as mentioned in tender shall be executed in best W orkman like manner with materials of best and approved quality of the respective kinds in accordance with the particulars contained in and implied by the specifications and as represented by the drawings or according to such other additional particulars, and instructions as may from time to time be given by Company during the execution of work, and to its entire satisfaction. If required by the Company the Contractor shall have to carry out tests on materials and workmanship in approved material testing laboratories or as prescribed by the Company at its own cost to prove that the materials etc., under test conform to the relevant ISI or applicable standard or as specified in specification. The necessary charges for preparation of Mould (in case of concrete tube) transporting, testing etc. shall have to be borne by the Contractor. No, extra payment on its account shall be entertained The Contractor shall conform to the provisions of all applicable Government Laws, local byelaws, Acts, Regulations and Rules related with the proposed works in the tender. ARTICLE 3: DIFFERENCES OR DISPUTES 3.1 Mutual Settlement of Disputes Except where otherwise provided for in the contract, all disputes shall in the first place be resolved through mutual discussions, negotiations, deliberations and consultations associating senior executives /nominees of both the parties to dispute. 3.2 Conciliation If the effort to resolve all or any of the disputes through mutual settlement fails, such disputes shall be referred to the sole conciliator to be appointed by the Company under the Arbitration and Conciliation Act, The settlement agreement shall be final and binding on the parties. The settlement agreement shall have status and effect of an arbitration award. 3.3 Arbitration If the efforts to resolve all or any of the disputes through conciliation fail, such disputes shall be referred to the sole Arbitrator to be appointed by the Chairman cum Managing Director, Hindustan/ Sambhar Salts Limited. There shall be no objection by the CONTRACTOR if the sole Arbitrator so appointed is an employee of Company. In case the Arbitrator so appointed is unable to act for any reason, Chairman & Managing Director, Hindustan/Sambhar Salts Limited, in the event of such inability, shall appoint another person to act as an Arbitrator in accordance with the terms of the contract. Such persons shall be entitled to proceed with reference from the stages at which it was left incomplete by his predecessor. 12

13 3.3.2 Subject to the afforested conditions, the provisions of the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under and for the time being in force shall apply to the conciliation and arbitration proceeding s under this clause Pending resolution of disputes and differences, the work shall continue without hindrance as per schedule and shall not be either slowed down or stopped. If the work is slowed Down or stopped during the period of dispute, the CONTRACTOR shall be responsible for The loss of work/production or delays and any loss sustained by Company due to such actions by the CONTRACTOR shall be made good by the CONTRACTOR The Arbitrator may from time to time, with the consent of all parties, extend the time in making the award The cost incidental to the arbitration shall be at the discretion of the Arbitrator The provisions of Micro, Small & Medium Enterprise Development Act, 2006 and the Micro and Small Enterprises (MSEs) Order, 2012 (as amended from time to time), shall be applicable to the parties. The arbitration shall be conducted at Jaipur (Rajasthan) or at such other place or places as the Arbitrator may so decide. ARTICLE 4: JURISDICTION Subject to Article 3 above, it is hereby agreed that all actions at law or suits arising out of or in connection with this contract or the subject matter thereof whether as to construction or otherwise shall be instituted in court of competent jurisdiction at Jaipur in the State of Rajasthan, India. ARTICLE 5: FORCE MAJEURE In case either of parties fail, to full fill, in time, then, respective contractual obligation owing to future event beyond their control like Acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities, civil war, rebellion, from time to time for performance of such obligation/responsibility shall automatically extended for the period of force majeure. Provided f orce majeure is established & one party shall inform to the other party for such occurrence but no one party shall blame other party and claim by the Bidder due to force majeure condition, & both parties mutually agree to further course of action. ARTICLE 6: RECESSION AND CANCELLATION OF CONTRACT 6.1 Bidder shall not make any alterations, affix, construct permanent construction, fixtures of any nature on any property, assets or infrastructure of any nature. The company reserves the right for conducting the inspection of the property, assets or infrastructure etc. allocated to the Bidder and Bidder s premises where the books of Accounts/ Vouchers/ Bills/ Computers/ Hard Disk etc. are lawfully kept at any time during day or night without prior notice and Bidder is under obligation to intimate in case there is any change in place where these things etc. are kept with 24 hours of such change through or hand delivery and fax. If any alteration in the allocated condition of existing properties including land then, contract shall be terminated by the company without assigning any reason thereof, at its discretion by giving 2 days notice to the Bidder and the amount deposited by the Bidder shall be forfeited by the company. 6.2 If any Technical or Legal complication arises through statutory agencies or any other reason, during the period of contract, then contract shall be terminated by the company at its discretion by giving seven days notice to the party and party shall not claim any damages for such cancellation of contract. ARTICLE 7: NON SUBLETTING OF CONTRACT The Bidder is barred from any sub-letting/sub-allocation of contract of any nature. ARTICLE 8: DAMAGES UNDER THE CONTRACT: Loss or Damage to Company s Property: The Contractor shall carry out the work without damage and/or interference to any other work, machines or equipment and property of the company adjacent to the area of Bidder s work. In case during the execution of contract by the Bidder any loss or damage occurs to any property of Sambhar Salts Limited, then contract shall be terminated by the company and the amount deposited by the party shall be forfeited. For damaging the company property Civil and Criminal proceedings will be initiated against the Bidder at the discretion of company and loss incurred by the company due to such damages will be recovered from the Bidder. 13

14 ARTICLE 9 : POWER OF ATTORNEY A person signing the agreement or any documents forming part of the contract on behalf of the Bidder shall be responsible to produce a proper power of attorney duly executed and attested by a Notary public under the Notaries Act in his favour stating that he had authority to bind the Bidder in all matters pertaining to the contract including the arbitration clause. ARTICLE 10: CHANGE IN CONSTITUTION On the death or retirement of any partner of the successful Bidder/Firm before complete performance of the contract, the Sambhar Salts Limited may at his option cancel the contract and in such case the Bidder shall have no claim whatsoever to be compensated by Sambhar Salts Limited without prejudice to any of rights or remedies under this contract, if Bidder is proprietorship concern and the proprietor dies during the performance of this contract, the Sambhar Salts Limited shall have the option to terminate the contract without compensation and the company will be entitled to recover its claim from his/her legal heirs and from the property moveable or immovable of the Bidder. ARTICLE 11: NOTICES Any notice hereunder may be served on the Bidder by registered mail at his last known address. Proof of issue of any such notice will be conclusive of the Bidder having been duly informed. ARTICLE 12: CANVASSING IS PROHIBITED Canvassing in connection with the tender is strictly prohibited and tender is liable to be rejected. Any bribe or commission, gift or advantage given, promised or offered by or on behalf of the Bidders, their partners, agents or servants to any officers, servant or representative of the Sambhar Salts Limited for obtaining or for the execution of this or any other contract or for receiving payments under the contract shall in addition to the criminal liability may insure, subject to the cancellation of this tender or any other contracts and also to payment of any loss resulting from any such cancellation and the Sambhar Salts Limited shall be entitled to deduct the amount so payable from any money otherwise due to the Bidder under this or any other contracts. Any question or dispute as to whether the Bidders have incurred any liability under the clause shall be settled by Sambhar Salts Limited in such manner and on such evidence or information as it may think fit and sufficient and its decision shall be final and binding. ARTICLE 13: MAINTENANCE OF DISCIPLINE BY THE CONTRACTOR The Contractor shall be liable to comply with covenants of contract and tender documents. The company expected the Bidder and his representatives and the labour to conduct themselves in a disciplined manner. All rules and instructions pertaining to well-being of the factory and its precincts, the sanitation and health etc. should be adhered to and in the event of any theft, arson or any anti-social activities on the part of the Bidder, his employees or his labour, the company shall have the right to terminate the agreement. ARTICLE 14: GOVERNING LAWS AND RIGHT OF INDEMNITY OF THE COMPANY. The Contractor shall indemnify the company for all the injuries caused to any person or to public property due to his negligence or to the negligence of his workmen/ customer/guests etc. during the performance of contract. a) The Contractor shall comply with all the provisions of the Statutory Acts and rules framed hereunder particularly in respect of the Factory Act the payment of wages Act. 1936, the Industrial Disputes Act, 1947 the Industrial Employment Standing orders Act, 1946, the Minimum W ages Act, The collection of statistic Act, The workmen s compensation Act, Fatal Accidents Act, personal Injuries (Compensation Insurance) Act, The Trade union Act, 1926, Maternity Benefit Act, 1961, Employees Provident Fund Act, 1952, Contract Labour (Regulation and Abolition) Act, Indian contract Act, 1872 and the rules framed by the state in respect of various Labour Acts as demanded from time to time and shall also comply with the provision of any other enactment statues, rules regulations made by a competent authority and enforce in the state during the currency of the contract. The Bidder shall indemnify the company for the penalties on account of breach of any of the conditions, there under. b) The company shall remain indemnified by the Bidder against any claim arising under the payment of wages Act, or the payment of Bonus, PF or Gratuity of compensation Act arising during the pendency of the contract. All such claims will be met with by the Bidders themselves from the payment made to them. 14

15 ARTICLE 15: DEDUCTION OF TAX, DUTIES ETC Applicable taxes, duties, royalties etc., shall be payable by the Contractor Taxes & Levies: The Contractor/ agency engaged shall ensure full compliance with tax laws of India with regard to this contract and shall be solely responsible for obtaining requisite registrations and filing of returns etc. The agency shall be required to submit documentary evidences like copies of acknowledgements, returns etc If the agency/contractor fails to file returns/pay taxes in times as stipulated under applicable Indian/state tax laws and consequently any interest or penalty is imposed by the concerned authority, the bidding agency/contractor shall pay the same. The agency/contractor shall indemnify Company against any and all liabilities or claims arising out of this contract for such taxes including interest and penalty that any such tax authority may asses or levy on the agency/contractor Tax deduction at source shall be governed as per prevailing rules. ARTICLE 16: CONTRACT DOCUMENT A contract arising of acceptance of this tender or in consequence of this tender, the company and the Bidder, agreed to abide by all the terms & conditions of these tender documents as well as the terms and conditions mutually agreed in writing between the parties. ARTICLE 17: COMPLETENESS OF TENDER The tender should be complete with all details of illustrative and descriptive literature. ARTICLE 18: FOLLOWING SAFETY OF PERSONNEL Contractor and the any of the manpower deployed by him at the site shall follow the prevailing Rules / Discipline and safety procedures as prescribed in statue and by company at site. Contractor shall cover all the persons deputed at site under appropriate Insurance scheme. Company shall not be responsible or held liable for any damage to person or public property that may result due to any accident or on the use, misuse or failure of any tools and equipment used by the Contractor and his manpower deputed at site during execution of Contract.
