4 Chapter-I Introduction 1.0. Intent of this specification: The intent of this tender is to select a Consultant with requisite experience and qualification as indicated in the clause for experience criteria for conducting Environment Impact Study as per the Terms of Reference (TOR) issued by State Level Environment Impact Assessment Authority, Assam and obtaining Environmental Clearance from State Level Environment Impact Assessment Authority, Assam for 30 MW (nominal) Silchar Gas based Power Project under APGCL through competitive bidding Silchar Power Project The proposed project site is located in Sonaibarighat in the district of Cachar, Assam. The Latitude and Longitude of the project site is 24 O N and 92 O E respectively. As per ONGCL NIT, the gas delivery point from the Baskandi and Bhubandar field will be at Baskandi Bk-1, which is near to the proposed project site at Sonaibarighat. The site is approximately 9 Km away from Silchar town, near the Barak River, situated on a road bifurcating from Silchar-Aizawl Road. Silchar town is well connected by railway and National Highway to rest of India. It has also one airport from where regular flights are available to Assam and Kolkata Technology of the Project Regarding the selection of technology of the project, APGCL intended to install either dual fuel combined cycle gas turbine or open cycle gas engine based power project. The Terms of Reference (TOR) to be obtained must be for both the technology. The bidder needs to conduct the Environmental Impact Assessment (EIA) study based on the TOR to be issued by SLEIAA. 5 Chapter-II Terms and Conditions 2.0. Scope of Work: The services to be provided by the EIA Consultant for 30 MW (nominal) Silchar Power Project as described in Chapter-I shall comprise of the following. I. Terms of reference: To obtain terms of reference for EIA study of the project from State Level Environment Impact Assessment Authority, Assam. II. To carry out Environment Impact Assessment Study as per Terms of Reference issued by State Level Environment Impact Assessment Authority, Assam. III. Collection of all public domain data, historical and current, required for the EIA study. IV. Preparation and submission of Draft EIA Report incorporating all the requirements in the TOR issued by State Level Environment Impact Assessment Authority, Assam including Executive Summary in English, Assamese and Bengali in hard copies in adequate numbers and in soft copies. V. Attending Public Hearing at a site decided by the competent authority at Consultant s cost and provides clarification to all issues raised in the public hearing. VI. Preparation and submission Final EIA Report for submission, incorporating decisions in the Public Hearing, video record of Public Hearing proceedings, including Executive Summary in English, Assamese and Bengali in hard copies in adequate numbers and in soft copy. VII. Attending meetings with SLEIAA, Assam at Consultants cost. VIII. Attending any meeting at consultant s cost, as required by SLEIAA, Assam or any authority for successful completion of services, i.e. issuance of Environmental Clearance by SLEIAA, Assam IX. Preparation of Environment Management plan and Disaster Management Plan. X. Issuance of Environmental Clearance by SLEIAA, Assam Facilities to be provided by APGCL I. APGCL will not provide accommodation at project site for the EIA Consultant s field personnel. II. APGCL shall not provide any public domain data, historical or current, required for EIA study of the project. III. Hydro-meteorological data, current and historical shall be collected by the Bidder. Cancellation of work order The consultant is expected to execute the work in right earnest in scheduled time and with due diligence. APGCL reserves the right to cancel/withdraw the work order and forfeit the earnest money if the consultant fails to execute the work as per job completion schedule offered in technical bid form-7. If the consultant fails to start/execute/complete work as per job completion schedule for the Reason not attributable to APGCL, then APGCL has their full right to cancel/terminate/withdraw the work order with 7 (Seven) days notice to the bidder through followed by hard copy. In such case, the security deposit/ earnest money of the consultant will be forfeited. APGCL shall however judiciously review such kind of act of delay, work stop or non performance on the part of the bidder and shall issue one warning notice to the bidder (7 days duration) before issuing the termination / cancellation notice. This clause shall however not be applicable in case of Force Majeure Clause Earnest money Bids shall be accompanied with Earnest Money amounting to Rs 25,000.00(rupees twenty five thousand only) in the form of Demand Draft of any Nationalized /schedule Bank duly pledged in favour of the Dy. General Manager (F& A), APGCL, Bijulee Bhawan, Paltan Bazar, Assam payable at Assam. Bids received without EMD or less amount of EMD shall be rejected outright. The EMD of unsuccessful bidders shall be released on request. EMD of the successful bidder shall be released on completion of the work and subject to forfeit on withdrawal of offer at any time after submission of bid or as per clause 2.4 above. No interest shall be paid against the EMD Security deposit against advance Successful Bidder shall be required to submit security deposit for disbursal of 5 % advance in form of bank guarantee by a Nationalized/schedule Bank for an amount Page 6 of 23

8 equivalent 10% of the total work value including taxes and duties with validity. The BG format is enclosed as ANNEXURE A below. The bank guarantee shall be sent along with the acceptance letter of the work order Performance Bank guarantee Successful bidder shall be required to submit PERFORMANCE GUARANTEE of equivalent amount of 10 % of the work value including taxes and duties in form of bank guarantee by a Nationalized/schedule Bank with validity. The BG format is enclosed as ANNEXURE B below. Failure to execute the work as per job completion schedule in technical bid form-7, unless affected by Force Majeure Event (Clause -2.13) as defined below, shall lead to enforcing of the bank guarantee and cancellation of the work order. The performance bank guarantee shall be sent along with the acceptance letter of the work order Validity of the Offer The offer shall be valid for a period of 60 (Sixty) days from the date of opening of the Technical bid Completion time of work Draft EIA report must be submitted within a period of 120 days from the date of acceptance of WORK ORDER. The final EIA report after incorporation of suggestions in public hearing and ready for submission to SLEIAA for Environmental clearance must be completed within 170 days from the date of issue of WORK ORDER Liquidated Damage In case of failure of completing the job within the completion time of work as referred in clause-2.9, Liquidated 2% of the total contract value per day subject to a maximum of 10% of the contract value shall be imposed on the bidder. The amount will be recovered from the bill of the contractor; however this is subject to Force Majeure clause Acceptance of work order Acceptance letter of work order by signing on all the pages of the work order accompanied by bank guarantee for as security deposit must reach APGCL within seven working days from the date of issue of work order by APGCL. 9 2.12. Collection of field data APGCL may ask the consultant to proceed to collect field data any time after placement of work order so as not to miss the immediate non monsoon season, for early completion of work Force Majeure "Force Majeure Event" shall mean any event or circumstance or combination of events or circumstances referred to clauses described below that wholly or partly prevents or unavoidably delays any Party in the performance of its obligations under this Contract, but only if and to the extent that such events and circumstances are not within the reasonable control, directly or indirectly, of the affected Party and could not have been avoided if the affected Party had taken reasonable care. Force Majeure includes but not limited to the following events and circumstances to the extent they, or their consequences, satisfy the above requirements: (a) Any cause which is beyond the control of Contractor or Owner, as the case may be. (b) Natural phenomenon including but not limited to weather conditions, floods, drought, earthquakes and epidemic. (c) Acts of any Governmental authority (domestic), including but not limited to war (declared or undeclared), revolution, quarantine, embargoes. (d) Sabotage, riots and civil commotion. (e) Nationwide or wide spread strikes or labour disputes extending beyond the Project site. The following events are explicitly excluded from Force Majeure Events and are solely the responsibility of the affected party: I. Any strike, work-to-rule action, go-slow, or similar labour difficulty which is not specifically, enumerated in the above clauses (a) to (f); II. a delay in the performance of any contractor; III. economic hardship; v) changes in Applicable Laws; IV. Force Majeure events which occur outside India and do not directly involve India. If the Contract is delayed or impeded in the execution of the work by circumstances of Force Majeure as herein defined, then the Contractor shall, within one week, give notice in writing to the Owner of the existence of circumstances of Force Majeure, together with the evidence relied upon. 10 Effect of Force Majeure: The contractor shall not be considered to be in default or in breach of his obligations under the Contract to the extent that performance of such obligations is prevented by any circumstances of Force Majeure which arise after the date of acceptance of WORK ORDER. 11 Chapter-III Experience criterion and evaluation criteria of the bids 3.0 Experience criteria The bidder shall have the following minimum experience: Successful completion of EIA study along with preparation of Environment Management plan and Disaster Management Plan of 1(one) Gas based Power Plant of not less than 30 MW capacity where Environmental Clearance has been issued by Ministry of Environment and Forest, India, New Delhi or State or State Level Environment Impact Assessment Authority (S LEIAA) and which is as per Gazette of India Notification of MINISTRY OF ENVIRONMENT AND FORESTS New Delhi 14th September, The consultant must have Certificate of Registration of the NABET/QCI as per office memorandum dated 2nd December, 2009 from Ministry of Environment and Forest, Govt of India Credential of Personnel- The consultant s Personnel must be BE/B Tech/Post graduate in respective discipline Capability of personnel- The consultant s Personnel in respective fields should have minimum of five years of experience. 3.1 Evaluation criteria of the bids The bid will comprises of two parts i.e. technical bid and price bid. Following shall be the evaluation criteria of the bids. A. 100 marks are allotted for technical bids and the scores will be distributed as follows. 1. Experience for Combine cycle gas turbine project = 40 Marks. Minimum experience required is one successful project as mentioned under experience criteria. Maximum four successful projects shall be considered. Marks per project= 10 marks 2. Experience for Gas engine based power project = 40 Marks Experience required for successful completion of gas engine based power project. Maximum four successful gas engine based power projects shall be considered. Marks per project= 10 marks Page 10 of 23

12 3. Regional Experience = 20 marks Regional Experience- Consultant having experience of conducting EIA studies within North East region of India will score five marks for each project. Maximum four successful projects shall be considered. Marks per project= 5 marks Score in Technical Bid =90x (percentage of marks score in Technical bid) B. 10 Marks are allotted for financial bid Bidder offered lowest price will score the highest mark. However any price below eight (8) lakhs shall be considered to be eight (8) lakhs for evaluation purposes. Score = 10x (Lowest Price Quoted a bidder Price quoted by the bidder) Score in Financial Bid =10x (percentage of marks score in Financial bid) C. 13 Chapter-IV Instruction to bidders 4.0 Procedure for Submission of Bids The Bid shall be submitted in three separate sealed envelopes enclosed in one sealed cover. Sealed cover and envelops should be inscribed with the following: 1. The NIT no. 2. Content of the Envelope. 3. Address of the purchaser. 4. Date and time of opening of tender. 5. Address of the Bidder. Envelop-1 shall contain the earnest money deposit. Envelop-2 Shall contain technical bid in triplicate with the original marked as Original. Envelop-3 Shall contains the price bid in triplicate with the original marked as Original. The above three envelops shall be sealed and inscribed with envelop number, NIT number and address of purchaser and bidder must be enclosed together in a sealed cover and delivered by hand or sent by "Registered Post with Acknowledgment Due"/ "Reputed Courier Service" to the purchaser to reach him on or before the date of opening the bids. All pages of the Bid and other accompanying documents shall be signed with seal at the lower right hand corner with date by the Bidder or any person authorized by the bidder. No overwriting shall be allowed. Any writing requiring correction shall be struck out and signed. No correcting ink shall be used. Any Bid which is incomplete, ambiguous, or not in compliance with the Bid Document is liable to be rejected. Cover-I containing Earnest Money Deposit (EMD) will be opened first, on the date, time and place as specified in the Notice Inviting Tender (NIT) in presence of Bidders or their representative. If the amount and mode of EMD submitted satisfy the requirements of purchaser then the Cover-II will be opened. Cover-III containing price offer of the technically accepted Bidders will be opened at a later date with prior intimation only to those Bidders whose Bids are technically qualified. Whereas by the virtue of condition of the clause 2.3 Schedule of Payment of the bid document, the APGCL has agreed to make advance payment of 5(five) % of the order value to the Firm against submission of Bank Guarantee by the Firm of the equal amount and the Firm has agreed to furnish this Bank Guarantee from a Nationalized/scheduled Bank for a sum of Rs.(Rupees...) only. Whereas the Firm has requested the APGCL to accept the guarantee of ( ) (Name of any Nationalized/scheduled Bank with address) and the APGCL has agreed to accept the same. Whereas by virtue of the clause 2.8 of the tender document the firm was required to furnish a Bank Guarantee from a nationalized/schedule Bank for a sum of Rs. i.e.10% of the work value as security for the satisfactory performance of the work done.
