Sealed offers are invited for engagement of Government approved valuer for valuation work including ascertaining weight of old & obsolete plant and machinery etc. lying at BCL s Clive, Victoria & Angus Works. The offer shall consist of two bid types: 1. Part-I : Techno-commercial bid 2. Part-II : Price Bid Both Part I & Part II shall be inserted separately in 2 envelopes, sealed and superscribed with Part No. & above mentioned Tender No. These two bids shall be put in a 3 rd envelope, sealed & super scribed with our Tender No, Date and Due date. Sealed Tender, addressed to General Manager (Coordination), Braithwaite & Co. Ltd. 5, Hide Road, Kolkata may be dropped in our Tender Box No 2 (in case of hand delivery) or may be sent by Registered post but must reach us Positively within (due date) by 2.30 P.M. The techno-commercial bid will be opened on at 3.00 P.M. During opening of Techno-commercial Bid (Part-I), and Price Bid (Part II), the bidders may depute their authorized representative to be present as witness. However, only the technocommercially acceptable bidders will be intimated before opening of the price bid. Price Bids (Part-II) shall be opened at a different date for which separate intimation will be sent to techno-commercially acceptable bidders. PART I: TECHNO-COMMERCIAL BID: A. SCOPE OF WORK: Physical verification, Inspection, Assessment of condition and valuation work along with their Reserve Price of various old & obsolete plant & machinery as per list lying at different location of Clive, Victoria & Angus Works. The valuation work shall be plant & machinery wise and weight of each plant & machinery shall have to be indicated in the valuation report. The valuation reports shall be separately as per unit wise list of old and obsolete Plant & ries. Bidders who are quoting against website display should submit all papers related to their credential i.e. All papers related to credentiality i.e. proof of past performance with respective customers (preferable Government Customer). Copies of purchase order of similar type of jobs carried out with reputed organization / companies and PSUs. Bidder must be a Govt. approved valuer and copy of necessary documents in this regard shall have to be submitted.

2 Page - 2 B. GENERAL TERMS & CONDITIONS: 1. Braithwaite & Co. Limited has the following three Works / Units: a. Clive Works : 5, Hide Road, Kolkata b. Victoria Works : P- 61, Circular Garden Reach Road, Kolkata c. Angus Works : P.O. Angus, Bhadreswar, Hooghly. 2. Security Deposit; For due fulfillment of contractual obligations, the successful bidder shall furnish Security deposit within 15 days of receipt of Purchaser order in the form of Bank Guarantee (as per format provide by BCL)/ Demand Draft / Pay order, valid till completion of contract period. The amount of Security Deposit will be 5 % of contract value. The proceeds of the Security Deposit or proceeds on invocation of BG shall be payable to the purchaser as compensation for any loss resulting from the contractor s failure to complete its obligations under the contract. Security Deposit will be discharged and returned to the contractor on completion of contractor s obligations under the contract. As and when an amendment is issued to the contract, the contractor shall within 15 days of receipt of such an amendment furnish to the purchaser an amendment to the security deposit and / or Bank Guarantee rendering the same valid for the contract as amended. Security Deposit may also be built up by deducting the amount proportionately from each bill of the contractor on their request. However, 50% of the total amount of Security is to be deposited by the successful bidder on receipt of Purchase order in the mode specified above. Balance 50% may be recovered from running bill. Security Deposit may be exempted for NSIC, SSI, RDSO / D.G.S.D registered bidders and also PSU Company. However, valid documents for registration of the items tendered to be submitted with the techno-commercial bid. 3. All corrections (if any), must be signed at the appropriate place by the signatory of the bidder, otherwise tender will be invalid. However, no correction is allowed in price bid. 4. Offer should remain valid for 90 days from the date of opening of this tender. 5. Alteration, inclusion, deviation will not be allowed once the bid is submitted. However, Tender Evaluation Committee / purchaser may demand further clarification, if required. 6. On placement of order, your price shall remain firm till completion of the total job. 7. Company reserves the right to terminate the order giving 15 days prior notice at any point of time. 8. Payment Terms: Payment will be made with 30 days credit after submission of bill with relevant documents. 9 Bidder must be a Govt. approved valuer and copy of necessary documents in this regard shall have to be submitted along with the Techno-Commercial Bid. 10. Bidder shall visit Clive Works / Victoria Works / Angus Works before quoting and ascertain the job to be performed against tender. Bidder shall contact respective unit heads for any query / clarification etc.

3 Page Liquidated Damages: In the event of failure on your part to complete the supply within the stipulated completion period, Braithwaite reserves the right to recover a sum of 0.5 % of every week of delay or part thereof, by way of L.D. subject to maximum of 10 % of ordered value. 12 Risk Purchase: In the event of failure on your part to complete the job within the reasonable period of time as decided by the purchaser, the purchaser reserves the right to get the job done by other agency / agencies as per the order on `Risk Purchase basis and shall recover the extra cost thereof, if incurred, will be recovered from you. 13 Arbitration: All questions, disputes or differences whatsoever shall arise between the Purchaser and the supplier upon or in relation to or in connection with the contract, either the party may forthwith give to the other notice in writing of the existence of such question, dispute or differences and the same shall be referred to the adjudication of sole Arbitrator who shall be the Managing Director shall have the right and authority to appoint any Officer of the company as Arbitrator not below the rank of a General Manager who is not directly connected with the Purchase Order. Such a reference submitted to the arbitrator shall be deemed to be the submission to the arbitration within the meaning of the arbitration and conciliation act, 1996 statutory modification thereof. The proceedings of the arbitration shall be held in Kolkata. 14. Any legal dispute that may arise will be settled within the jurisdiction of Court of Kolkata. 15. The awarded job is to be completed within 7 days from the date of LOI / P.O. 16. No transport charges, fooding charges, incidental charges etc. shall be payable for the job. 17. The contractor shall not assign or sublet the contract either in part or full to any other person / manpower without proper approval in writing from us. 18. The selected valuer shall contact respective unit heads, who shall nominate relevant officials for the above valuation work. 19. Unconditional acceptance of all the terms & conditions as mentioned above should be given by the tenderer along with their offer. PART II: PRICE PART: Price shall be quoted as per following format: i. Rates should be quoted both in figures and words. ii. Overwriting in price figure of the quotation will be rejected. iii. Lowest bid shall be evaluated on the basis of Lump-sum amount in totality basis received from a bidder. iv. The rates shall be quoted for lum-sum value in totality basis (i.e. for the valuation job of 3 units as per enclosed list) inclusive of all taxes & duties.
