6 Team Andrey Gaek is a Managing partner of the RONIN Partners Group of Companies, its founder, and direct supervisor. As the majority Group shareholder Andrey supervises the process of creation and realization of the business development strategy, and takes active part in day-today management. Since the Group was founded at the beginning of 2008, he and his partners have achieved great results. In spite of the world economic instability, the Group demonstrated strong growth of basic indicators, entered Top 5 operators of the Russian financial market, solidified its positions in work with private customers, asset management of institutional investors assets, and implemented a number of large-scale corporate finance projects. Before creating the RONIN Partners Group, Mr. Gaek supervised the investment business of the NOMOS- BANK JSC during 15 years where he worked as Senior Vice-Chairman and was a member of the Board. Andrey managed the whole complex of the bank activity in the investment area: operations on the stock, exchange and currency markets; the work related to asset management and brokerage service, provision of services for VIP customers, mergers and acquisitions and other corporate finance products. Headed by Andrey the Nomos Bank became one of the principle members of the Russian financial market and gained among investors and issuers the reputation of a reliable financial institution with a highly professional team of experts. Andrey graduated from the Moscow Institute of Physics and Technology with a Degree in Applied Mathematics and Physics. 6

7 Team Vasiliy Fedorov Managing Director, CEO of RONIN Ltd. Mr. Fedorov is responsible for securities market operations and further business development of the Group. Prior to joining the Group, Mr. Fedorov used to be a Chief Investment Officer responsible for securities market operations of NOMOS-Bank. Graduated from the Moscow State University with a specialization in applied mathematics. Mr. Fedorov s a winner of multiple annual awards as the best trader and specialist in various MBA nominations. ALEXEY GOMIN Managing Director Mr. Gomin is responsible for the development of new products and attracting clients for the Group Started his career in financial markets in From 2004 to 2007, Mr. Gomin was the vice-president of VTB24 and managed its division of trading and corporate financing. Graduated from the Moscow State University with a specialization in applied mathematics. SERGEY Stukalov CEO of OJSC RONIN Trust Asset Management Sergey Is responsible for the development of institutional asset management and unit investment funds Entered the asset management market in 1993 and has worked in top-management positions in UFG Invest, Solid Management, and UK PIF Montes Auri (VTB Asset Management). In 2009, he joined RONIN Trust. Graduated from the Moscow Institute of Physics and Technology Vladislav Oschepkov Managing Director Is responsible for provision of M&A and corporate financing services and projects related to direct investments funds. Has unique experience in M&A transactions and corporate financing. Before joining the Group he implemented projects in different economic areas, working as a top manager in many big Russian companies Graduated from the Moscow Institute of Physics and Technology. 7

8 Team ARTIOM DELENDIK Managing Director Mr. Delendik is responsible for corporate governance policies and procedures. Prior to joining the Group, Mr. Delendik used to manage the structural development division in NOMOS-Bank. Graduated from the Moscow State Institue of Foreign Affairs with a specialization in international economic relations. YULIY SHLEPER Financial Director Mr. Shleper is responsible for financial and treasury management within the Group. Prior to joining the Group, Mr. Shleper used to work as the treasurer for Extrobank, Santander Consumer Bank and Gazenergoprombank. Graduated from the Finance Academy under the Government of Russian Federation with a specialization in international economic relations. IVAN GUMINOV Leading Portfolio Manager Mr. Guminov is responsible for portfolio management and long-term investment strategies within the Group. Prior to joining the Group, Mr. Guminov used to head a group of portfolio managers in NOMOS-Bank. Graduated from the Moscow Institute of Physics and Technology with a specialization in applied physics and has a Master s degree in Economics from the State University-Higher School of Economics. GRIGORIY MYASNIKOV Chief Trader Is responsible for carrying out the Group s trade operations. Prior to joining the Group, Mr. Myasnikov used to be the Chief Trader of the brokerage firm Lenstroimaterialy (St. Petersburg). Ph.D. in economics (St. Petersburg State University of Economics and Finance). 8

12 Ronin Europe The Group carries out its international operations through its 100%-owned Cypriot subsidiary, Ronin Europe. The company is regulated by the Cyprus Securities and Exchange Commission and is the main Group s operating company and booking center for the bulk of client-driven transactions. Ronin Europe benefits from Cyprus favorable tax and legal regimes as well as from long-standing relationships between Russian and Cypriot companies. We trade on leading global exchanges, such as London Stock Exchange, NYSE (New York Stock Exchange), NYMEX (New York Mercantile Exchange), NASDAQ, CME (Chicago Mercantile Exchange), Borsa Italiana, Deutsche Boerse Xetra, Eurex Ultra, Euronext, Hong Kong Stock Exchange, ICE Futures Europe, through our brokers (CITI, Credit Suisse, NOMURA, Instinet). The key expertise of our team is advisory on implementing a vast range of financial instruments, including venture and mezzanine financing. Debt Financing We provide our clients with opportunities of raising capital from public debt market as well as bank financing from largest Russian banks. Bank financing is used by our clients for asset purchases and project financing. Distressed financing We provide advisory services on current liquidity optimization to effective companies having temporary difficulties. Thus, in 2012 the building that houses RONIN Partners offices received a new lease of life. In an attempt not only to revive the original beauty of the building, which the group acquired in 2010, but also to preserve it for future generations, RONIN Partners conducted a thorough restoration of the estate house. Last year the building was officially recognized as a historical and cultural memorial of Moscow, and included in the list of objects of cultural heritage of Russia. 18
