2 AN INTRODUCTION The Nuclear Decommissioning Authority (NDA) is a non-departmental public body created through the Energy Act Its work to clean up the UK s civil nuclear legacy is the largest and most important environmental restoration programme in Europe. The NDA owns 17 sites, along with the associated assets and liabilities, across England, Wales and Scotland. Some of these sites date back to the 1940s and the very earliest days of the UK s nuclear industry. The NDA reports to the Department for Business, Energy and Industrial Strategy (BEIS) and, for some aspects of its work in Scotland, the NDA is responsible to Scottish ministers. The NDA has a strategic role which establishes the overall approach to the decommissioning work across its sites, allocates budgets, sets targets and monitors progress ensuring value for the UK taxpayer. Background to the Recruitment of the Magnox MD In 2012, the NDA commenced a competitive procurement exercise for a multibillion pound contract to provide decommissioning services at the 12 nuclear sites operated by Magnox Ltd. Through the new Magnox contract, the NDA aimed to deliver the decommissioning work at the Magnox sites more efficiently and to incentivise the contractor deliver further savings for the taxpayer. EnergySolutions, the organisation that ran the contract to operate and decommission the Magnox sites until 2014, unsuccessfully bid for the contract and subsequently issued legal claims against the NDA. In July 2016, the High Court found that the NDA had wrongly decided the outcome of the procurement process in awarding the contract to Cavendish Fluor Partnership (CFP). In March 2017, the Secretary of State for BEIS announced the NDA s decision to terminate the contract with CFP early, due to a significant mismatch between the work specified in the tendered contract and the work that needs to be done. In September 2017, the NDA (with approval from the Secretary of State) served notice of termination to CFP, effective from 1 September 2017, allowing for a 24 month notice period ending on 31 August It is the NDA s view that a subsidiary business model is the best way forward for Magnox Ltd. Sellafield Ltd became a subsidiary of the NDA in April 2016 and, since then, has made significant progress in decommissioning and hazard reduction while delivering savings for the taxpayer. While there are likely to be similarities with the Sellafield business model, there are also likely to be differences. Learning from the Sellafield experience will be applied in developing the Magnox model. A subsidiary model will create better alignment between the NDA and Magnox Limited management teams and allow for greater flexibility and increased responsiveness. It will help provide a greater focus on the delivery of the longterm NDA mission and make the interfaces and accountabilities between NDA and Magnox Ltd simpler and clearer.

3 A joint NDA/Magnox team has been set up, whose mission is to deliver the revised business model by 1st September The NDA therefore now wishes to recruit a Managing Director, replacing the outgoing team of Cavendish Fluor Partnership employees seconded into Magnox Ltd, to lead the transition and form a new organisation THE ROLE MANAGING DIRECTOR PURPOSE OF POST The Managing Director is accountable to the Board for the delivery of the NDA Mission and the safe, efficient and effective management of the company and its sites. The Managing Director is accountable for the delivery of safety, financial, contractual and operational performance, and for providing inspirational leadership and strategic vision. The post reports to the Business Chair of Magnox. DIMENSIONS Approximately 2,300 employees plus contractors, taking the full work force to approximately 3,000 Annual budget of circa 500m.

4 KEY ACCOUNTABILITIES AND RESPONSIBILITIES The Managing Director has the authority of the Board to lead, direct, control, and develop the Company in the safe and compliant delivery of work programmes on behalf of the NDA and authorities as delineated and delegated by the Board. Specific responsibilities are to: Support the operations and administration of the Board by advising and informing Board members, interfacing between the Board and the Executive and promoting the NDA mission, policies and strategic plans throughout the organisation; Deliver the NDA objectives and play an active role as a member of the NDA Estate; Manage the day to day operations of the Company; Lead the Executive in the delivery of excellent financial, operational and safety performance by defining goals, standards and expectations and closely monitoring results against plans and budgets; Provide effective management of the Company s business to allow the Board to carry out its legal duties, including duties arising from nuclear site licences, authorisations, the Company role as an employer, and those necessary to maintain the safety of the public and employees; Take recommendations and advice from the following, who are appointed by the Chair/Board: o o o Chair of the Nuclear Safety and Environment Council; Chair of the Nuclear Safety Committees; Central Emergency Support Centre (CESC) Controllers and Assistant Controllers. Maintain the Company Decommissioning and Radioactive Waste Management Strategy (S036) validating and obtaining acceptance by the Board for any changes; Provide oversight of Significant Management of Change submissions to ensure organisational resilience is maintained; Maintain an effective working relationship with Regulators and other Stakeholders.

5 PERSON SPECIFICATION The successful candidate will be someone with intellectual capacity, leadership skills, and extensive change management experience in complex, multi-site, high hazard organisations. Previous experience in the nuclear space would be beneficial given the intricate working relationships with the Office for Nuclear Regulation (ONR). The successful candidate will also be able to demonstrate all or most of the following knowledge, experience, skills and capabilities in their application and at interview: Knowledge and Experience A track record of achievement at a senior leadership level in a private or public sector organisation such as oil and gas or the chemical sectors; Experience of multi-site, mega programme management (as either client or contractor), for example, through large scale infrastructure programmes in rail, construction, defence, energy, nuclear, or oil and gas; Experience of large scale change management and transformation across multi-site organisations, with different cultures, traditions, operating plans and a combined direct and contractor workforce; Skilled and effective leadership of a similarly sized organisation; A background in strong project management disciplines; the ability to grasp the key technical challenges; Experience of managing senior stakeholder relationships in a complex stakeholder environment, including Whitehall and Westminster, possibly in a regulated industry; ideally including trade unions, non- Governmental organisations (NGOs), communities and environmental groups;

6 Experience of successfully applying effective corporate governance arrangements in an organisation of relevant scale. Skills and Personal Attributes A strong and effective leader who is skilled at building teams, and who can motivate and lead a dispersed workforce through a high degree of change; A strong commercial background, able to manage a complex contractor base; The ability to think and operate both strategically and operationally across the full business lifecycle; The judgement to set the pace of change and understand where the areas of key risk are. A strong communicator and listener, with a wide range of audiences; Maturity, gravitas and presence, with high levels of emotional intelligence; Resilient; able to deal with ambiguity and change; An appetite to drive simplicity from complexity; Committed to serving the public interest. TERMS OF APPOINTMENT Location: There is flexibility on the location for the right candidate, as Magnox has 12 sites across the UK. Regular travel to Magnox UK sites around the UK will be important. Relocation: there is a comprehensive relocation package or a second home allowance, as appropriate.
