The Suppler s olgton under ths luse 3.2 s the Clent s sole remedy gnst the Suppler for reh of wrrnty. 3.3 Exlusons: To the mxmum extent permtted y lw, the Suppler s wrrntes re lmted to those stted n luse 3.1. Any mpled ondton or wrrnty (nludng ny wrrnty under Prt 3 of the New Zelnd Contrt nd Commerl Lw At 2017 s exluded. The Clent grees nd represents tht t s qurng the Serves for the purposes of trde. If new Intelletul Property desred n luse 4.3 norportes Suppler Intelletul Property or ny thrd prty mterl, the Suppler grnts or must otn for the Clent n rrevole, perpetul, non-trnsferle nd fully pd lene to use tht Intelletul Property or thrd prty mterl wthn New Zelnd for the Clent s nternl usness purposes. 5.1 Fees: The Clent must py the Fees to the Suppler for provdng the Serves. 5.2 Invong: The Suppler must provde the Clent wth vld GST tx nvoes on the dtes set out n the Key Detls, or f there re none, monthly for Serves undertken n the prevous month. The Fees exlude GST, whh the Clent must py on txle supples under the Agreement. The Clent must py the Suppler s nvoe: y the 20 th of the month followng the dte of nvoe; nd eletronlly n lered funds wthout ny set off or deduton. 5.3 Overdue mounts: The Suppler my hrge nterest on overdue mounts. The Clent must py for Serves provded efore the expry or termnton dte. 8.5 Olgtons ontnung: Cluses whh, y ther nture re ntended to survve expry or termnton, nludng luses 6, 7 nd 8, ontnue n fore. 9 DISPUTES 9.1 Good fth negottons: Before tkng ny ourt ton, prty must use est efforts to resolve ny dspute under, or n onneton wth, the Agreement through good fth negottons. 9.2 Olgtons ontnue: Eh prty must, to the extent possle, ontnue to perform ts olgtons under the Agreement even f there s dspute. 9.3 Rght to seek relef: Ths luse 9 does not ffet ether prty s rght to seek urgent nterloutory nd/or njuntve relef. 10 GENERAL PROVISIONS 10.1 Fore Mjeure: Nether prty s lle to the other for ny flure to perform ts olgtons under the Agreement to the extent used y Fore Mjeure, provded tht the ffeted prty: mmedtely notfes the other prty nd provdes full nformton out the Fore Mjeure; uses est endevours to overome the Fore Mjeure; nd ontnues to perform ts olgtons s fr s prtle Wver: To wve rght under the Agreement, tht wver must e n wrtng nd sgned y the wvng prty Independent ontrtor: The Suppler s n ndependent ontrtor of the Clent.
