1 MINUTES OF THE REGULAR MEETING OF THE BOARD OF COMMISSIONERS OF THE HOUSING AUTHORITY OF SAVANNAH April 10, 2018 The Board of Commissioners of the Housing Authority of Savannah met in regular session at the offices of the Housing Authority, 1407 Wheaton Street, at approximately 12:15 p.m., Tuesday, April 10, After a moment of silence, the meeting was called to order by Vice Chairman Bobby Lockett and upon roll call those present and absent were as follows: Present: Absent: Wanda Parrish, Chairwoman Bobby Lockett, Vice Chairman Thomas Henry Wanda Parrish Ron Scalf G. Lind Taylor None Also present were Executive Director Earline Wesley Davis, Director of Development Services Kenneth Clark, Director of Assisted Housing Programs Lynn Coleman, Director of Finance Robert Faircloth, Director of Resident Services Yolanda Fontaine, Director of Facilities Management Robert Marshall, Director of Human Resources Douglas Reed, Management Analyst Tammy Brawner, Asset Manager Irvenia Brooks-Kapers, Asset Manager Angela Capers, Accountant/Internal Auditor Neikelle Ferris, Asset Manager Inez Green, Accounting Administrator Jeff Hanna, Grants and Procurement Administrator Monifa Johnson, HOPE VI Community Service Coordinator/Homeownership Specialist DaShawna Kea, Real Estate Analyst Rafaella Nutini, Asset Manager Elizabeth Richardson, Public Housing Family Self-Sufficiency Coordinator Paprice Simmons, Resident Advisor Deborah Goldwire and Resident Advisor Joyce Williams. Attorney Dana Braun of Ellis, Painter, Ratterree, & Adams LLP were also in attendance.

2 Regular Meeting April 10, 2018 Page Two ADMINISTRATION OF OATHS OF OFFICE TO NEW COMMISSIONERS Vice Chairman Bobby Lockett administered the oaths of office to Thomas Henry and Ron Scalf. The Board and staff all welcomed the new Commissioners. APPROVAL OF CONSENT AGENDA The Consent Agenda included the minutes of the March 13, 2018 regular meeting, minutes of the March 23, 2018 special meeting, Financial Report, Development Services Report, Resident Services Report, Assisted Housing Programs and Public Housing Report. Commissioner Scalf made a motion, seconded by Commissioner Parrish, to approve the consent agenda. The motion passed unanimously. ADOPTION OF OPERATING BUDGET AND PERFORMANCE FUNDING SYSTEM CALCULATION OF OPERATING SUBSIDY FOR FISCAL YEAR ENDING MARCH 31, 2019 The budget incorporates all operating funds into separate operating budgets for each Asset Management Project Group, the Central Office Cost Center, the Housing Assistance Payments Fund and the Local Fund. Two budget workshops for the combined operating budget for the fiscal year ending March 31, 2019 were held on March 8, 2018 and March 23, At its March 23, 2018 workshop, the full Board was present and agreed to recommend adoption of the budget as presented. Commissioner Taylor made a motion to approve the Operating Budget and Performance Funding System Calculation of Operating Subsidy for the Fiscal Year Ending March 31, 2019 and to authorize the Chairperson to sign the PHA Board Resolution Approving Operating Budget, Form HUD (Board Resolution No , which immediately follows these minutes). Commissioner Parrish seconded the motion and the budget was unanimously adopted. ELECTION OF CHAIRWOMAN The resignation of Kay Ford from the Board of Commissioners has left the position of Chairperson vacant. Vice Chairman Lockett opened the floor for nominations. Commissioner Taylor nominated Wanda Parrish to serve as Chairwoman of the Board of Commissioners. The floor was closed for nominations and Commissioner Parrish was unanimously elected as Chairwoman. The Commissioners and staff offered their congratulations to Chairwoman Parrish, who then took over the meeting. ADOPTION OF BOND INDUCMENT LETTER RESOLUTION FOR WESTLAKE AND LINWOOD APARTMENTS Attorney Dana Braun presented that Georgia law authorizes housing authorities to issue revenue bonds to finance, in whole or in part, the cost of the acquisition, construction, reconstruction, alteration or repair of eligible housing projects, which includes apartments for persons of low income. Vitus Development is an affordable housing Page 1868

3 Regular Meeting April 10, 2018 Page Three developer that owns more than 100 properties in 22 states that total more than 10,000 units. Vitus is acquiring Westlake Apartments located in the unincorporated area of Chatham County and at the same time acquiring Linwood Apartments in Gainesville, GA. Westlake is a 100 unit apartment development and all 100 units are covered by a Housing Assistance Payment ( HAP ) contract for Section 8 residents. Likewise, Linwood Apartments in Gainesville is an 100 unit apartment complex, with 84 units covered by a HAP contract restricting those units to Section 8 residents. Both Westlake and Linwood are presently owned by the same entity and Vitus has a contract ot purchase. It is Vitus plan to acquire these two properties and fully renovate the properties. Both Westlake and Linwood were built in 1974 and are in need of renovation. The total cost for acquisition and renovation is $30,274,279. Vitus has filed an inducement letter application with HAS seeking HAS to issue $16.5 million in housing revenue bonds, the proceeds of which will be used to partially fund the acquisition and renovation of these two apartment developments. The inducement letter would constitute a declaration of HAS s official intent to issue these housing revenue bonds. The Authority s Legal Counsel has been actively involved in the preparation of the Issuance Resolution and will be present to discuss any further legal issues and the HAS Bond Committee has met and recommends approval to move forward. After some discussion, Commissioner Scalf made a motion, seconded by Commissioner Taylor, to adopt Board Resolution , a bond inducement letter resolution for Westlake and Linwood Apartments. The motion passed unanimously. The resolution follows these minutes. UPDATE ON THE NEIGHBORHOOD RESOURCE CENTER EXTENSION Director of Facilities Management Robert Marshall provided an update to the Board on the construction progress. EXECUTIVE DIRECTOR S REPORT Executive Director Earline Davis asked staff to introduce themselves to the new Commissioners. Ms. Davis provided a housing-related overview of the proposed budget from the President that has gone to Congress. Ms. Davis announced that a day-long, in-house Fair Housing training would be held on April 20, 2018 for staff. Page 1869
