T o collect refuse collection charges directly fro m the residents or trad e facilities, i n accordance with the specified rate chargeable as indicated in Schedule s I - V o f th e Kinondon i Municipa l Commissio n (Wast e Management and Refuse Collection) By-laws, I n consideratio n o f an d i n reciproca l fo r th e contractor' s undertakin g herein, the Authorit y authorize s th e contracto r t o collec t an d appropriat e t o itsel f th e Refuse Collectio n Charges, in a manner an d i n respect o f th e areas set ou t i n the contract. 5. 16 TERMS AN D CONDITION S OF CONTRACT : Appendix A 1. DEFINITIONS: In this Agreement th e word s and expression shall have th e meaning assignee them as per Kinondoni Municipa l Commission (Waste Managemen t an d Refuse Collection Fees) by-law SERVICE SPECIFICATION : (1) Th e Contractor afte r consultatio n wit h Mtaa leaders and Ward Executiv e Officer shal l provide a schedule of the timetabl e fo r provisio n o f service i n th e area awarded. Thi s is to b e forwarded t o the Kinondon i Municipa l Council during th e tim e of signing th e contract. (2) Th e Contractor i s not allowe d t o change the schedul e specified above without prior consen t b y the authorit y and where th e authority approves an y changes then it' s th e responsibilit y o f th e Contractor t o notify all the affecte d generator s of waste. 3. REFUSE COLLECTION CHARGES : 1) I t i s the responsibilities, of th e contractor t o collect refus e collectio n charge s from all generators o f waste a s set out i n the Kinondon i Municipa l Commission (Waste Managemen t an d Refus e Collection) Fee s B y - laws ) The Contractor can use Mtaa Leaders in collecting refuse collection from residential and commercial areas. The Mtaa Leader shall be 5% of collection fee from his area of jurisdiction he assisted its collection 3) Th e Contractor shal l issue a receipt fo r al l refuse collectio n charge s collecto r The receipt shal l have the followin g information: - Contractor' s name, date, serial number, descriptio n o f service rendered, amount tendered, signature o f accepting officer o f the contractor. Th e receipt shal l have a portion retaine d (butt) which ha s the same information. Thi s butt is for monitoring/recordin g purposes. Kinondon i Municipa l Council shall have the mandat e t o inspect al l receipt book s befor e thei r use. 4) Th e contractor shal l make available for inspections all records, accounts an d invoices relatin g t o the provisio n of the soli d waste collectio n an d disposal services t o th e Kinondon i Municipa l Council (the Authority). 4. DATA COLLECTION AND PROCESSIN G The contractor wil l provide th e followin g Refus e collection data:- a) Th e hours worke d b y vehicles b) Th e number o f load s collected each day by each vehicle c) Th e volume an d weight o f waste collected pe r each load d) Th e area from which each load was collected e) Detai l o f eac h loa d arriving a t the disposal site including truc k and capacit y f) Detail s o f al l specia l waste

17 The weighbridge records at the landfill (if available) will be used as a cross check oh the collection data. 5. MONITORING SYSTEM : The authority shall retain the responsibility for monitoring an d controlling the qualit y of the work which is carried out under both the contract and site managemen t according to monitoring indicator s attached hereunder. Parameters to b e monitored shal l include:- Customers served Service frequency Waste qualities from landfill Records Equipment availability and performance Contractor's staff Revenue collection Quality of service (Streets, open space, drains, complaints, collection points) Provision and use of Healt h and Safety gears for workers 6. WASTE DISPOSAL : (1) The Contractor shall at all time properly discharge solid waste only to officiall y designated disposal facilities during official hours of operation. N o dumping of solid waste shall be made to drains, sewers, open lands, quarries, rivers, channels, swamps or other location not officially designated. (2) Unauthorized dumping o f solid waste by the contractor will be investigated thoroughly b y Kinondoni Municipal Council and if confirmed shall constitute a default on the part of th e contractor which may result in the termination o f thi s Agreement. 7. PAYMENT OF DUMPING CHARGES : The contractor shal l pay dumping or refuse disposal charges in respect of all solid waste delivered to any waste disposal site as directed by the Authority. Th e Authority shal l under no circumstance be responsible for any unpaid disposal charges. 8. ASSIGNMENT OF CONTRACT; The Contractor shall in no circumstances assign, sub-let or purport to assign or sublet any part of this contract t o any person whatsoever PROVIDED that if agreed by the Authority an y assignment occurring as a result of any internal reconstruction o f the contractor which is a limited liabilit y company may be acceptable. 9. RELATIONSHIP WITH AUTHORITY; (a) The Contractor shall in no circumstances hold himself out as being the servan t or agent of the Authority save as expressly authorized in the contract. (b) The Contractor is not and shall under no circumstances hold himself out as being authorized to enter into any contract on behalf of the Authority o r in any other wa y to bind the Authority t o the performance, variation, release or discharge of any obligation save as expressly authorized in the contract. (c) The Contractor shall not and shall in no circumstances hold himself out as having the power t o make, vary, discharge or waive any by-law or regulation of any kind. 2

18 (d) The employees of the contractor shall not hold themselves out to be and shall not be held out b y the contractor as being servants or agents of the Authorit y save as expressly authorized by the contract. 10. WORKS I N DEFAULT : If by reason of any accident or failure or other event occurring to or in connection with any. premises or plant either part y thereof o r during the performance of the services of any other times any remedial or other work or repair shall in the opinion of the Authority b e urgently necessary and the contractor i s unable or unwilling at once to do such work or repairs, the Authority ma y consider necessary, the Authority may do the work itself or arrange for i t to be done and if the work or repairs done is a work which in the opinion of the Authority, th e Contractor was liable to do at his own expenses under the contract, all costs and charges properly incurred by the Authorit y in so doing shall be pai d by the contractor to the Authority. The following shall constitute defaul t on the part of the contracto r Failur e to collect solid waste presented for collection in the contractor's area of operation Th e presence of informal waste dumps or accumulations of waste in areas where solid waste collection should be provided by the contracto r Th e presence of litter or refuse in an area that should have been cleaned The presence of solid waste on the ground near a transfer statio n Th e presence of any solid materials in a drain that should have been cleaned Scatterin g or leakage of wastes from any waste collection vehicle Imprope r handlin g of hazardous wastes Incorrect o r inadequate record-keeping by the contracto r Us e of unqualified operational personnel or inadequately maintained equipmen t Inadequat e or inappropriate respons e to viable complaints Unsaf e work practices and traffic violation Discharge/disposa l of solid waste in an unauthorized area. 11. TERMINATION OF CONTRACT: a) Th e Authority an d the contractor shall be entitled forthwith upon the happening of any of the following event s to terminate thi s contract such event being:- (i) Laps e of time as per clause 5 hereinabove (ii) Th e event referre d to herein concerning defaults in performance as mentioned in clause 10 above (iii) A substantial breach by the contractor or the Authority o f any fundamental provisio n of the contrac t (iv) Th e contractor having failed to perform a substantial part of the services for a period of one week (v) Th e contractor having a receiver and or manager, appointed or being subject of a resolution or order for winding up PROVIDED THAT an amalgamation or reconstruction of a limited company shall be deemed not to be breach of this condition i f consented to by the Authority. Upon such termination i n addition to such consequences as are set out in the other provisions of the contract, the contractor shall forthwith cease to perfor m any of the "services. 3

NOTICE : a) N o notice to be served upon the authority shall be valid or effective unless sent by prepaid registered recorded delivery post or delivered by hand to the Kinondoni Municipal Council at its principal office or to such other address as the Authority ma y notify the contractor in writing. b) An y notice to be served upon the contractor shall be valid and effective i f it is sent by hand to the named contractor a t the registered office or principal place of business and a signature obtained acknowledging receipt of the same or by prepaid registered mail. 13. ARBITRATION: a) Al l disputes between the parties arising out of or connected with the contrac t or the servic e by the contractor shall be referred to an arbitrator to be appointed by both parties. b) Th e arbitrator shall be entitled t o make such decisions or rewards as he thinks just and equitable having regards to the circumstances then existing. Th e cost of such arbitration to follow the event or in the event of neither part y succeeding to be apportioned between the parties by the Arbitrator i n such proportions a s he in his absolute discretion thinks fit. c) An y reward or decision of such Arbitrators shal l be final and binding on the parties hereto. 14. REPORTS The Contractor shall provide to the Authority weekly, monthly, quarterl y and yearly reports. Th e reports must be authenticated b y the contractor and Mtaa leader on their correctness. The monthly and quarterly report s shall be delivered to the Authority b y the 2 nd da y of the following month. Th e yearly reports shall be delivered to the Authority within one month following th e end of the year PROCEDURE FOR HANDLING DISPUTES BETWEEN THE CONTRACTORS AND GENERATO R OF WASTES Where an y dispute arises between the contractor and any generator of wastes on such matters as unpaid bill," use of unauthorized waste collecting agencies etc. the dispute shall be reported to the Mtaa Leader who if fails to settle the matter, shall forward i t to the Ward Executive Officer. Upo n exhausting the preliminar y steps enumerated above, where n o settlement i s found, the dispute shall be dealt with in such a manner as provided for under the Kinondoni Municipal Council (Waste Managemen t and Refuse Collection Fee) By-laws,
