1 Visa Commercial B2B 2012 Payment Lucky Draw Promotion ( Promotion ) Terms and Conditions 1. Promotion 1.1. The Promotion is organized by Visa Hong Kong Limited ( Visa ) The Promotion is offered to holders (the Cardholders ) of Visa Commercial Cards (defined below) issued in the Hong Kong Special Administrative Region of the People's Republic of China ( Hong Kong ). Only the Cardholders who are 18 years of age or above are eligible to participate in the Promotion Visa Commercial Cards include Visa Purchasing cards, Visa Corporate cards and Visa Business cards Participating Cardholders ("Participants" and individually a "Participant") must charge their transactions to their Visa Commercial Cards in Hong Kong or other countries/territories or online between 00:00 on 1 st August 2012 (GMT+8) and 23:59 on 30 th October 2012 (GMT+8) (the Promotion Period ) in order to be eligible for participation in the Promotion Participants who hold a Visa Commercial Card as an employee/officer/director or agent must seek the consent of his/her employer or principal, as the case may be, prior to participation in the Promotion and winning any prize in the Promotion Cardholders of dual currency Visa Commercial Cards must select to use the Visa Network for the transactions in order to be eligible for the Promotion. 2. Visa Commercial B2B 2012 Payment Lucky Draw ( Lucky Draw ) 2.1. In order to qualify for and enter the Lucky Draw, Participants must charge their transactions in Hong Kong or other countries/territories or online to their Visa Commercial Cards and retain a printed copy of the credit card statement showing the transactions To be eligible for the Lucky Draw, a Visa transaction must be completed during the Promotion Period The following transactions are expressly excluded from the Promotion: Cash advances ATM withdrawals Any bill payment made on the Internet Monthly payments toward installment payment plans Regular payments automatically deducted from Visa card accounts Balance transfers Late charges Annual fees Financial charge or service charge in relation to credit card service Any types of Interest charges Tax payments, insurance premium payments, penalty payments Octopus automatic add value service Transactions cancelled or refunded Any online transactions that cannot be substantiated by a relevant credit card statement

2 Any transaction without an original credit card transaction receipt or approval code, except for online transactions or mail or telephone order transactions which are not excluded above and which can be substantiated by a relevant credit card statement Participants shall register each eligible transaction through the Visa website at (the "Visa Website") between 00:00 on 1 st August 2012 (GMT+8) and 23:59 on 31 st October 2012 (GMT+8) (the Registration Period ). The registration of each transaction is referred to as a "Registration" Registrations by each Participant during the Promotion Period will be considered in aggregate at the end of the Registration Period. Participants will be assigned into three different prize pools in accordance with the following: Based on the Registrations, each Visa Commercial Card with an accumulated spending from eligible transactions in Hong Kong or other countries/territories or online equivalent to a total amount equal to or more than HK$6,000 and less than or equal to HK$100,000 qualifies for 1 Lucky Draw entry for Prize Pool A Based on the Registrations, each Visa Commercial Card with an accumulated spending from eligible transactions in Hong Kong or other countries/territories or online equivalent to a total amount more than HK$100,000 and less than or equal to HK$300,000 qualifies for 1 Lucky Draw entry for Prize Pool B Based on the Registrations, each Visa Commercial Card with an accumulated spending from eligible transactions in Hong Kong or other countries/territories or online equivalent to a total amount more than HK$300,000 qualifies for 1 Lucky Draw entry for Prize Pool C For any conversion of foreign currency into Hong Kong dollars, the table of foreign currency exchange rates as at 31 st July 2012 set out in the Visa Website shall be adopted Each Participant, irrespective of the number of Visa Commercial Cards he/she may use for Registrations, can win no more than one Lucky Draw Prize Each original credit card transaction receipt provided by a merchant may constitute one eligible transaction only. A transaction paid for by installment may be counted as one eligible transaction only, with the transaction amount being the total amount paid for the relevant merchandise or service. Monthly or other periodic installment payments billed for the relevant merchandise or service do not count as separate transactions and do not qualify for additional Registrations Each Participant is required to input the following particulars when he/she conducts each Registration (i.e. for each transaction): cardholder s name; cardholder s first 4 digits of Hong Kong Identity Card number (including numbers and alphabet); cardholder s address; cardholder s contact telephone number; the first 6 and last 4 digits of the Visa Commercial Card used for the relevant transaction; the currency used for the relevant transaction; the relevant transaction amount in the billed currency (Participants do not need to convert a foreign currency into Hong Kong dollars, as the Lucky Draw computer

3 program will do the conversion based on the foreign currency exchange rate described in clause 2.5.4); approval code on the credit card transaction receipt for such relevant transaction (if the relevant transaction is made online or from mail order or telephone order and does not have an approval code, please input 6 digits of nine i.e for the Registration) Participants must ensure that all the required information is supplied and the criteria laid out in the Promotion have been met when registering a transaction. Failure to satisfactorily provide the required information in a complete and timely manner as required or any provision of false or misleading information will result in disqualification of the Registration and/or the Participant Each eligible transaction can be registered once and via the Visa Website only. Registering the same transaction repeatedly will NOT count towards the determination of eligibility for the Lucky Draw or a different prize pool, and such duplicate Registration(s) will be disqualified and canceled By participating in the Lucky Draw, a Participant agrees to be, and is bound by all the terms and conditions herein together with all the terms and conditions for the redemption of the Lucky Draw Prizes, as well as agrees to participate in any prize presentation activities related to the Promotion as may be reasonably requested by Visa. 3. Lucky Draw Method and Announcement 3.1. For each of the three prize pools, the Lucky Draw entries will be randomly drawn on 9 th November 2012 and the relevant Participants will be declared winners (the Winners ) of the Lucky Draw Prizes as described in clause 4 below. Each Participant with the same Hong Kong identity card number (irrespective of the number of Visa Commercial Cards that he/she may use for Registrations) can win no more than one Lucky Draw Prize ESD Services Limited ( ESD ) has been appointed to design and operate the Lucky Draw computer program. All Winners will be randomly drawn by such computer program and in the presence of an employee from Visa The Lucky Draw is only applicable to eligible Participants whose Visa cards accounts are valid, non-delinquent and in good financial standing, and remain valid, non-delinquent and in good financial standing during the Promotion Period and at the time of the Lucky Draw Prize claim and redemption referred to in clause 5 below. If the account status of a Participant has changed, Visa reserves the right not to offer any Lucky Draw Prize to such Participant All decisions of Visa are final and binding on all Participants and Winners. Visa is not liable to any Participant or Winner and bears no responsibility for any dispute regarding the mechanism and operation of the Lucky Draw The results of the Lucky Draw will be published in The Standard and Sing Tao Daily on 19 th November 2012 and on the Visa Website. 4. Prizes Details 4.1. The Lucky Draw prizes are as follows (collectively, the "Lucky Draw Prizes" and individually, the "Lucky Draw Prize"):

4 4.1.1 For Prize Pool A, 50 Winners will each win HK$500 worth of ParkNShop coupons For Prize Pool B, 6 Winners will each win a Visa prepaid card with a spending credit of HK$5, For Prize Pool C, 2 Winners will each win a Visa prepaid card with a spending credit of HK$20, Use of the ParkNShop coupons or prepaid cards is subject to terms and conditions Unless otherwise specified in the terms and conditions herein, no substitution or replacement of, or modification to the Lucky Draw Prizes requested by any Participant will be permitted The Lucky Draw Prizes cannot be resold, transferred to any other person, in exchange for cash, other products or discounts or other considerations. No refund will be given for any unclaimed or unused service or entitlement To the fullest extent permitted by law, Visa and its associated companies and agents exclude responsibility and all liabilities arising from any postponement, cancellation, delay or changes to the prize details or any other unforeseen circumstances beyond Visa s reasonable control and for any act or default of any third party supplier or vendor. 5. Prize Claim and Redemption 5.1. ESD has been appointed by Visa to contact the Winners and conduct prize fulfillment. After the Lucky Draw results have been published, ESD will contact the Winners based on the information provided during the Registrations. Each Winner will be notified by starting from 20 th November The Winners must complete the verification process at the designated ESD redemption centre set out below by providing the required documents in person from 3 rd December 2012 to 31 st December A Lucky Draw Prize will be forfeited if the Winner is unable to complete the verification process successfully by 17:00 on 31 st December 2012 (GMT+8), or if the verification documents provided are in any way different from the information provided in the Registration(s). In the event of a Winner not being able to take up a Lucky Draw Prize before the designated time as required by Visa, Visa reserves the right to disqualify such Winner and declare an alternative Winner Details of the designated ESD redemption centre are as follow: Redemption Centre Address: Unit 1209, 12/F, Two Harbourfront, 22 Tak Fung Street, Hung Hom, Kowloon Redemption Centre telephone no.: Redemption Centre opening hours: 09:00 to 18:00, Monday to Friday (except public holidays) The required documents for verification are as follows: original or photocopy of the Winner s valid Hong Kong identity card; original or photocopy of the Visa Commercial Card used for the transaction(s); and original or photocopy of the credit card transaction receipt(s) used for the Registration(s) for the winning Lucky Draw entry, or, if a transaction is made online or via mail or telephone order and without a credit card transaction receipt and/or approval code, the Winner must provide the relevant credit card statement

5 showing such transaction for the purpose of the Lucky Draw Prize claim and redemption Visa reserves the right to require a Winner to present the original credit card transaction receipt(s) as provided by the relevant merchant(s) for the Registration(s) for the winning Lucky Draw entry; or, the relevant credit card statement showing such transaction, if a registered transaction is made online or via mail or telephone order and without a receipt and/or approval code. Where the documents provided for verification are insufficient or unclear for whatever reason, Visa reserves the right to require the Winner to submit any additional document that is reasonable for such verification After ESD has verified and confirmed acknowledgement of a Winner s identification and winning qualification, ESD will notify the Winner via to collect the Lucky Draw Prize at a later date The Winners may be required to complete and sign appropriate prize taking agreements as requested by Visa and/or ESD In the event that the required documents for verification and redemption under the provisions in this clause 5 above are incomplete or not provided in a timely manner, Visa reserves the right to disqualify the Winner and the relevant Lucky Draw Prize declared will be forfeited. 6. General Terms and Conditions 6.1. All information provided by Participants and the Winners in the Promotion and the Lucky Draw Prize claim and redemption must be true and accurate. If a Participant does not truthfully provide all requested personal information, Visa may in its sole discretion determine that such Participant shall not be eligible to take part in any way in the Promotion or win any Lucky Draw Prize Information (including, but without limitation, personal data) provided by Participants and the Winners in the Promotion (including, but without limitation, the Lucky Draw, the Lucky Draw Prize claim and redemption and other activities in the Promotion) will be used by Visa and its affiliates and agencies for administering the Promotion. Visa and its affiliates and agencies may pass such information to their respective retained service providers for management of the Promotion, data processing, prize redemption arrangements, analysis of Lucky Draw Prizes and other purposes directly related to the Promotion. By consenting to participate and participating in the Promotion, and completing a Registration via the Visa Website, a Participant consents to such uses of his/her personal information With a Participant's consent, the name, address and telephone number of the Participant will be retained and used by Visa or its service providers to send to the Participant promotional materials for campaigns similar to the Promotion as well as promotions, announcements and offers relating to Visa products and services. Participants may at any time indicate their wish not to receive such information by ing to aphkmarketing@visa.com Visa, its affiliates and agencies, and their respective retained service providers will only keep such personal data for so long as they are required for the purposes stated in the terms and conditions herein. Unless otherwise required for the purposes stated in the terms and conditions herein, all personal data collected pursuant to the Promotion will be automatically destroyed within three months after the end of the Promotion Visa and its agencies and their respective retained service providers will treat all personal data collected from Participants in confidence. The entire rights of each Participant under the Personal Data (Privacy) Ordinance (Chapter 486 of the Laws of Hong Kong) shall be

6 recognized by Visa, its affiliates and agencies and their respective retained service providers at all times Registration data and other information about Participants are subject to Visa s privacy policy. For more information, please see Visa s full privacy policy at Visa shall not be liable to any person for any personal injury, death, loss, damage (including property damage) or liability (whether direct, indirect or otherwise) arising from or in connection with the Promotion, the Lucky Draw or the Lucky Draw Prizes including, but not limited to, loss of income, profits or goodwill, any loss, damage or liability arising from any failure to receive or process any entry or record any Registration; any error in computing any chance; any computer, telecommunications or equipment failure or malfunction; any deficiency or inadequacy of service rendered by any third party; or any notice which is misdirected or lost in the Internet or postal system even if Visa has been advised of the possibility of such loss, damage or liability To the fullest extent permitted by law, Visa reserves the right to amend, delete or add to any of the terms and conditions herein with the prior consent of the Office of the Licensing Authority, Home Affairs Department. Participants may obtain updated versions of these terms and conditions, if any, by accessing the Visa Website. For the avoidance of doubt, the exercise by Visa of any of its foregoing rights shall not entitle an eligible Participant or a Winner to claim for compensation against Visa or any of its affiliates or agencies or their respective retained service providers Participants who violate the terms and conditions herein, tamper with the operation of the Promotion, perpetrate fraud or abuse, or engage in any conduct that is detrimental or unfair to Visa, the Promotion or any other Participant (in each case as determined in Visa s sole discretion) are subject to disqualification from entry into the Lucky Draw or participation in the Promotion. Visa reserves the right to disqualify Participants whose eligibility is in question or who are otherwise ineligible to participate in the Promotion or enter into the Lucky Draw, and to have any declared Lucky Draw Prize for such Participants forfeited forthwith Directors, officers and employees of Visa or its affiliates or agencies and their respective service providers for the Promotion, as well as their parents, spouse and children, are not eligible for participation in the Promotion Participants shall be solely responsible for any taxes or duties payable in connection with his/her participation in the Promotion or winning, redeeming, receiving or using any Lucky Draw Prize To the fullest extent permitted by applicable laws, Visa offers no warranty or representation whatsoever, express, implied or statutory, in relation to the Promotion, the Lucky Draw Prizes and services provided by the service providers including, but without limitation, the merchantable quality and fitness for purposes in respect of the Lucky Draw Prizes and level of care and skill in respect of the relevant services Unless otherwise provided in the terms and conditions herein, the Winners shall not be entitled to any cash compensation, benefits or substitution in any form whatsoever in lieu of the declared Lucky Draw Prizes in the Promotion All questions and disputes regarding the Promotion, the Lucky Draw and the Lucky Draw Prizes will be determined at the sole discretion of Visa. Visa s decisions on all matters relating to the Promotion are final and binding on all Participants. No objection or correspondence will be entertained.

Visa may assign all rights granted by a Participant hereunder to any party at Visa s sole discretion In the event of discrepancies between the English and the Chinese versions of the terms and conditions herein, the English version shall prevail The terms and conditions herein shall be construed in accordance with and governed by the laws of Hong Kong.
