1 Visa Shopping Indulgence Lucky Draw (the Promotion ) Terms and Conditions 1. Promotion 1.1. The Promotion is organized by Visa Hong Kong Limited ( Visa ) The Promotion is offered to holders (the Cardholders ) of Visa cards (limited to personal credit cards only, excluding corporate or commercial credit card etc.) issued in the Hong Kong Special Administrative Region of the People's Republic of China ( Hong Kong ) and other countries or regions ("Non-local")(including the People's Republic of China which excludes Hong Kong for the purpose of the terms and conditions herein)). Only the Cardholders who are 18 years of age or above are eligible to participate in the Promotion Participating Cardholders ("Participants" and individually a "Participant") must charge their retail purchase transactions to their Visa cards in Hong Kong from 00:00 on 22 June (GMT+8) to 23:59 on 31 August 2012 (GMT+8) (the "Promotion Period") in order to be eligible to participate in the Promotion Cardholders of dual currency cards must select to use the Visa Network in order to be eligible for the Promotion. 2. Lucky Draw ( Lucky Draw ) 2.1. Participants must charge their retail purchase transactions to their Visa cards with a designated spending amount in Hong Kong dollars in Hong Kong during the Promotion Period, and must retain the original printed copies of electronic sales receipts for the purpose of prize claim and redemption in order to qualify for the Lucky Draw. If a transaction is made online or via Visa paywave without a receipt and/or approval code, Participants must provide the relevant bank credit card statement showing such transaction for the purpose of prize claim and redemption. A transaction must be completed as a Visa transaction and processed through the Visa Network to be eligible for the Promotion In order to qualify for and enter the Lucky Draw, a transaction must be completed between 00:00 on 22 June 2012 (GMT+8) and 23:59 on 31 August 2012 (GMT+8); and must be registered successfully between 00:00 on 22 June 2012 (GMT+8) and 23:59 on 1 September 2012 (GMT+8) (the "Registration Period") During the Registration Period, Participants should register to enter the Promotion through the Visa website at (the "Visa Website"). Each completed registration shall be a Registration and collectively, the "Registrations". Once a Participant successfully makes a Registration, such Registration will qualify for the Lucky Draw For each eligible retail purchase transaction which is billed by the merchant in Hong Kong dollars, a transaction amount of HK$300 or more qualifies for 1 Lucky Draw entry, and each subsequent HK$300 transaction amount qualifies for 1 additional Lucky Draw entry, subject to a maximum of 10 Lucky Draw entries for each single transaction. For example, an eligible transaction that is billed by the merchant in

2 Hong Kong dollars with a transaction amount of HK$3,300 will qualify for 10 Lucky Draw entries only A transaction paid for by installment will be counted as one single transaction with the total transaction amount paid for the relevant merchandise or service. Monthly (or other periodic) installment payments billed for the relevant merchandise or service do not count as separate transactions and do not qualify for Lucky Draw entries The following transactions are expressly excluded from and do not qualify for the Promotion: (a) Cash advances (b) ATM withdrawals (c) Any types of bill payment (d) Monthly payments toward installment payment plans (e) Regular payments automatically deducted from Visa card accounts (f) Balance transfers (g) Late charges (h) Annual fees (i) Financial charges or service charges in relation to credit card service (j) Any types of interest charges (k) Tax payments, insurance premium payments, penalty payments (l) Octopus automatic value-adding service (m) Transactions cancelled or refunded (n) Any other transaction which is not a retail purchase transaction (as reasonably determined by Visa in its sole discretion) (o) Any online transactions or Visa paywave transactions that cannot be substantiated by a relevant bank credit card statement (p) Any transaction without a true printed copy of electronic sales receipt, except for online transactions or Visa paywave transactions that are not excluded above and that can be substantiated by a relevant bank credit card statement 2.7. Hong Kong Cardholders with a Visa card issued in Hong Kong must register with their Hong Kong Identification ("HKID") Card number during the Registration; while Non-local Cardholders with a Visa card issued in other countries or regions must register with their travel document number during the Registration. During the Promotion Period, each unique Participant can register with one identity only for all Registrations, and each Participant registered with multiple identification documents will be disqualified to win any Prize Each Participant is required to input the following particulars when he/she registers a retail purchase transaction for the Promotion via the Visa Website: (a) Cardholder s name (b) Cardholder s first 4 digits of travel document number (including numbers and alphabet) (applicable to Non-local Cardholders only) (c) Cardholder s first 4 digits of HKID card number (including numbers and alphabet) (applicable to Hong Kong Cardholders only) (d) Cardholder s address

3 (e) Cardholder s contact telephone number (f) The first 6 and last 4 digits of the Visa card used for the relevant transaction (g) The relevant transaction amount (h) The relevant transaction date (i) Approval code on the receipt of the transaction (if the transaction is made online or via Visa paywave and without an approval code, please input the approval code for the Registration) 2.9. Participants must ensure that all the required information is supplied and the criteria laid out in the Promotion have been met in order to register and qualify for the Lucky Draw. Failure to satisfactorily provide the required information in a complete and timely manner as required or any provision of false or misleading information will result in disqualification of the Registration Each eligible transaction can be registered once and via the Visa Website only. Registering the same transaction repeatedly will NOT qualify for additional entry(ies) for the Lucky Draw, and such duplicate Registration(s) will be disqualified and canceled By participating in the Lucky Draw, a Participant agrees to be, and is bound by all the terms and conditions herein together with all the terms and conditions for the redemption of the Lucky Draw Prizes, as well as agrees to participate in any prize presentation activities related to the Promotion as may be reasonably requested by Visa. 3. Lucky Draw Method and Announcement 3.1. ESD Services Limited ( ESD ) has been appointed by Visa to conduct the Lucky Draw. The winners and prizes of the Lucky Draw will be randomly drawn by a computer program and in the presence of an employee from Visa. The prizes of the Lucky Draw are as set out in clause 4 below (collectively, the "Lucky Draw Prizes" and individually, the "Lucky Draw Prize") All Participants will be randomly drawn on 10 September 2012 to become winners of the Lucky Draw Prizes (collectively, the Winners and individually, the Winner ). Each Participant can win one Lucky Draw Prize only, irrespective of the number of valid Visa cards that he/she may use for Registrations The Lucky Draw is only applicable to eligible Participants whose Visa card accounts are valid, non-delinquent and in good financial standing, and remain valid, nondelinquent and in good financial standing during the Promotion (including, for the avoidance of doubt, at the time of the Lucky Draw Prize claim and redemption referred to in clause 5 below). If the account status of a Participant has changed, Visa reserves the right not to offer any Lucky Draw Prizes to such Participant All decisions of Visa are final and binding on all Participants and Winners. Visa is not liable to any Participant or Winner and bears no responsibility for any dispute regarding the mechanism and operation of the Lucky Draw At the end of the Promotion, the results of the Lucky Draw will be published in The Standard and Sing Pao Daily, on 20 September 2012 and on the Visa Website.

4 Should there be any substitute Winners, the final list will be published on the Visa Website. 4. Lucky Draw Prizes Details 4.1. One (1) Winner will win the Visa prepaid card with HK$200,000 spending credit (the Grand Prize ) Ten (10) Winners will each win a Visa prepaid card with HK$10,000 spending credit (the Prepaid Card Prize ) Forty (40) Winners will each win a Visa London 2012 Olympic Games Themed travel bag (the Travel Bag Prize ) Unless otherwise specified in the terms and conditions herein, no substitution or replacement of, or modification to the Lucky Draw Prizes requested by Participants will be permitted The Lucky Draw Prizes cannot be resold, transferred to any other person, in exchange for cash, other products or discounts or other considerations. No refund will be given for any unclaimed or unused service or entitlement To the fullest extent permitted by law, Visa, its associated companies and agents exclude responsibility and all liabilities arising from any postponement, cancellation, delay or changes to the prize details or any other unforeseen circumstances beyond Visa s reasonable control and for any act or default of any third party supplier or vendor By participating in the Promotion, each Winner authorizes Visa to use his or her name, photograph, voice, likeness and biographical data for any marketing and public relations activities related to the Promotion in any and all manner, media and formats now known or hereinafter invented or developed, throughout the world, in perpetuity and in all languages without limitation and without any additional compensation Each Winner agrees that he/she will take part in public relations activities related to the Promotion, without any need for payment by Visa. 5. Lucky Draw Prize Claim and Redemption 5.1. ESD has been appointed by Visa to contact Winners, verify winning qualifications and distribute Lucky Draw Prizes. After the Lucky Draw result has been published, ESD will contact Winners based on the information provided during the Registration. All Winners will be notified via phone and ("Prize Notification") starting from 20 September The Winners must complete the verification process at the designated ESD redemption venue (details will be listed in Prize Notification) by providing required documents by or fax from 20 September to 19 October 2012 (both dates inclusive). Lucky Draw Prize will be forfeited if a Winner is unable to complete the verification process successfully by 17:00 on 19 October 2012 (GMT+8); or if the verification documents provided are in any way different from the information provided in the Registration via the Visa Website. In the event of a Winner not being able to take up a Lucky Draw Prize before a designated time as set out in Prize

5 Notification, Visa reserves the right to disqualify such Winner and declare an alternative Winner The required documents for verification are as follows: (a) Original or photocopy of the Hong Kong Winner s valid HKID card, or Nonlocal Winner s travel document (b) Original or photocopy of the Visa card used for the transaction; and (c) Original or photocopy of printed copy of electronic sales receipt used for the Registration for the winning Lucky Draw entry, or, if the transaction is made online or via Visa paywave without a receipt and/or approval code, the Winner must provide the relevant bank credit card statement showing such transaction for the purpose of the Lucky Draw Prize claim and redemption. (d) Non-local Winner's address proof (Non-local Winners will receive the Lucky Draw Prizes by mail. Visa shall not be liable to any person for any loss or liability, whether direct, indirect or otherwise, arising from or in connection with the Promotion, the Lucky Draw or the Lucky Draw Prizes, including, but not limited to, any deficiency or inadequacy of service rendered by any third party; or any notice which is misdirected or lost in the postal system even if Visa has been advised of the possibility of such loss, damage or liability.) 5.4. The relevant details of the Lucky Draw Prize claim and redemption, and Redemption Center are subject to the Prize Notification. Winners shall note and refer to the Prize Notification sent via by ESD For security reasons and to ensure Winner s benefit, the Grand Prize and Prepaid Card Prize will not be activated until a designated date set out in the Prize Notification. Winners shall note and refer to the Prize Notification. Visa shall not be liable to any person for any loss or liability arising from any third party including but not limited to postal failure even if Visa has been advised of the possibility of such loss, damage or liability Visa reserves the right to require a Winner to present the original electronic sales receipt as provided by the relevant merchant for the Registration for the winning Lucky Draw entry, or, if the registered transaction is made online or via Visa paywave and without a receipt and/or approval code, the original of the relevant bank credit card statement showing such transaction. Where the documents provided for verification under clause 5.3 above are insufficient or unclear for whatever reason, Visa reserves the right to require the Winner to submit any additional document that is reasonable for such verification Winners may be required to complete and sign appropriate prize taking agreements as requested by Visa In the event that the required documents for verification and redemption under the provisions in this clause 5 are incomplete or not provided in a timely manner, Visa reserves the right to disqualify the Winner and the relevant Lucky Draw Prize declared will be forfeited. 6. General Terms and Conditions

6 6.1. Participants may enquire about Promotion related information or details by ing to at any time Information (including, but without limitation, personal data) provided by the Participants and Winners in the Promotion (including, but without limitation, the Lucky Draw, the Lucky Draw Prize claim and redemption and other activities in the Promotion) will be used by Visa and its affiliates and agencies for administering the Promotion. Visa and its affiliates and agencies may pass such information to their respective retained service providers for management of the Promotion, data processing, redemption arrangements, analysis of Lucky Draw Prizes and other purposes directly related to the Promotion. By consenting to participate and participating in the Promotion, and completing the Registration via the Visa Website, a Participant consents to such uses of his/her personal information With the Participants' consent, the name, address and telephone number of the Participants may also be used to send Visa promotional materials for campaigns similar to the Promotion as well as promotions, announcements and offers relating to Visa products and services. Participants may at any time indicate their wish not to receive such promotional materials not relating directly to the Promotion by ing to aphkmarketing@visa.com All information provided by the Participants and Winners in the Promotion and the Lucky Draw Prize claim and redemption must be true and accurate. If a Participant does not truthfully provide all requested personal information, Visa may in its sole discretion determine that such Participant shall not be eligible to take part in any way in the Promotion or win any Lucky Draw Prize Unless otherwise required for the purposes stated in the terms and conditions herein, all personal data collected pursuant to the Promotion will be automatically destroyed within three months after the end of the Promotion Visa, its affiliates and agencies, and their respective retained service providers will only keep such personal data for so long as they are required for the purposes stated in the terms and conditions herein. Visa, its affiliates and agencies and their respective retained service providers will treat all personal data collected from the Participants in confidence. The entire Participants' rights under the Personal Data (Privacy) Ordinance (Chapter 486 of the Laws of Hong Kong) shall be recognized by Visa, its affiliates and agencies and their respective retained service providers at all times Registration data and other information about Participants are subject to Visa s privacy policy. For more information, please see Visa s full privacy policy at Visa shall not be liable to any person for any personal injury, death, loss, damage (including property damage) or liability (whether direct, indirect or otherwise) arising from or in connection with the Promotion, the Lucky Draw or the Lucky Draw Prizes (including the Grand Prize, Prepaid Card Prize and Travel Bag Prize) including, but not limited to, loss of income, profits or goodwill, any loss, damage or liability arising from any failure to receive or process any entry or record any Registration; any error in computing any chance; any computer, telecommunications or equipment

7 failure or malfunction; any deficiency or inadequacy of service rendered by any third party; or any notice which is misdirected or lost in the Internet or postal system even if Visa has been advised of the possibility of such loss, damage or liability To the fullest extent permitted by law, Visa reserves the right: to amend, delete or add to any of the terms and conditions herein with the prior agreement from the Office of the Licensing Authority, Home Affairs Department. Participants may obtain updated versions of the terms and conditions herein, if any, by logging on to the Visa Website. For the avoidance of doubt, the exercise by Visa of any of its foregoing rights shall not entitle any eligible Participant or Winner to any Lucky Draw Prize or claim for compensation against Visa or any of its affiliates or agencies or their respective retained service providers Participants who violate the terms and conditions herein, tamper with the operation of the Promotion, perpetrate fraud or abuse, or engage in any conduct that is detrimental or unfair to Visa, the Promotion or any other Participant (in each case as determined in Visa s sole discretion) are subject to disqualification from entry or participation in the Promotion. Visa reserves the right to disqualify Participants whose eligibility is in question or who are otherwise ineligible to participate in the Promotion or enter into the Lucky Draw, and to have any declared Lucky Draw Prize for such Participants forfeited forthwith Directors, officers and employees of Visa or its affiliates or agencies and their respective service providers for the Promotion, as well as their parents, spouse and children, are not eligible for participation in the Promotion Participants shall be solely responsible for any taxes or duties payable in connection with his/her participation in this Promotion or winning, redeeming, receiving or using any Lucky Draw Prize To the fullest extent permitted by applicable laws, Visa offers no warranty or representation whatsoever, express, implied or statutory, in relation to the Promotion, the Lucky Draw Prizes and services provided by the service providers including, but without limitation, the merchantable quality and fitness for purposes in respect of the Lucky Draw Prizes and level of care and skill in respect of the relevant services Unless otherwise provided in the terms and conditions herein, Winners shall not be entitled to any cash compensation, benefits or substitution in any form whatsoever in lieu of the declared Lucky Draw Prizes in the Promotion All questions and disputes regarding the Promotion, Lucky Draw and Lucky Draw Prizes will be determined at the sole discretion of Visa. Visa s decisions on all matters relating to the Promotion are final and binding on all the Participants. No objection or correspondence will be entertained Visa may assign all rights granted by a Participant hereunder to any party at Visa s sole discretion In the event of discrepancies between the English and the Chinese versions of the terms and conditions herein, the English version shall prevail The terms and conditions herein shall be construed in accordance with and governed by the laws of Hong Kong.
