Sealed tenders in two parts are invited for AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna. The work is estimated to cost of Rs. 5,26,000/- (approx.) 2. Only OEM and authorized dealers who have minimum 5 years of experience in the field of work of similar nature (i.e AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna) and have executed three or more similar works individually costing not less than 40% of the estimated cost OR two works costing not less than 50% of the estimated cost OR one work costing not less than 80% of the estimated cost during the last 5 years (i.e Work orders issued before ) and have a minimum yearly turnover of 100% of the estimated cost during the last 3 years, and also have full-fledged service setup at Patna. 3. The tender forms will be issued only to those contractors who will invariably furnish, at the time of applying for purchase of tender-forms, the following information in writing / documents to satisfy the Bank about their eligibility for participating in the tendering process. (a) Composition of the firm Full particulars (whether contractor is an individual, or a partnership firm, or a company etc.) of the composition of the firm of contractors in detail should be submitted along with name(s) and address(es) of the partners, copy of the Articles of Association / Power of Attorney / any other relevant document. (b) Work experience & Completion of similar works of specified value during the specified period. (c) Creditworthiness of the contractor & their Turn over during the specified period. Copies of the detailed work order indicating date of award, value of awarded work, time given for completing the work, etc. and the corresponding completion certificates indicating actual date of completion and actual value of executed similar works should be enclosed in proof of the work experience. The details along with documentary evidence of previous experience, if any, of carrying out works for the Reserve Bank of India at any center should also be given. Copies of the Income Tax Clearance Certificates / Income Tax Assessment Orders along with the latest final accounts of the business of the contractor duly certified by a Chartered Accountant should be enclosed in proof of their creditworthiness and turnover for last three years. (d) Service Set-up Certificate from the manufacturers / any other valid document in support of having a full-fledged service setup at the desired place should be enclosed. (e) Name(s) & address (es) of the Bankers and their present contact executives Written information about the names and addresses of their bankers along with full details, like names postal addresses, , IDs, telephone (landline and mobile) nos. fax nos., etc., of the contact executives (i.e. the persons who can be contacted at the office of their banker by the Bank in case it is so needed) should be furnished. (f) Details of bank accounts Full particulars of their bank accounts, like account No., type, when opened, etc., should be given. 2 P age

3 (g) Name(s) & address (es) of the Clients and their present contact executives (h) Details of completed works Written information about the names and addresses of their clients along with full details, like names postal addresses, , IDs, telephone (landline and mobile) nos. fax nos., etc., of the contact executives (i.e. the persons who can be contacted at the office of their banker by the Bank in case it is so needed) should be furnished. The Client-wise names of work(s), year(s) of execution of work(s), awarded and actual cost(s) of executed work(s), completion time stipulated in the contract (s) and actual time taken to complete the work (s), name(s) and full contact-details of the officer / authorities / departments under whom the work (s) was / were executed should be furnished. 2. All participating tenderers must submit the relevant documents satisfying their Eligibility for this tender (as required above) in separate sealed envelopes super-scribing Eligibility documents for AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna addressed to The Regional Director, Reserve Bank of India, South Gandhi Maidan, Patna-01 with the name and address of the registered office of the participant. 3. It is to be duly noted that in case of any/all disputes on terms and condition of this tender, the English version of the tender document shall prevail. Part I of the tenders will be opened at 3.30 p.m. on in the presence of the authorized representative of the tenderers who choose to be present. Part II of the tender will be opened on a subsequent date which will be intimated to the tenderers in advance. The Bank shall obtain reports on past performance of the tenderer from his clients and bankers. The Bank shall evaluate the said reports before opening of the part-ii of the tenders. If any tenderer is not found to possess the required eligibility for participating in the tendering process at any point of time and / or his performance reports received from his clients and / or his bankers and found unsatisfactory, the Bank reserves the right to reject his offer even after opening of Part-I of the tender and his sealed cover containing Part-II of the tender along with EMD shall be returned back to him as it is.the Bank is not bound to assign any reason for doing so. The Bank is not bound to accept the lowest tender and reserves the right to accept either in full or in part of any tender. The Bank also reserves the right to reject all the tenders without assigning any reason thereof. The tenderers are advised to submit the Client Certificate as per enclosed Proforma (Annex-I) from at least two of their clients for whom they have carried out eligible works in terms of eligibility (Prequalification) criteria described in the notice inviting application / tenders in a sealed envelope / cover. Client Certificate shall be accepted by the applicant / tender inviting authority of Reserve Bank of India only when the same are signed by an official of the rank of Superintendent Engineer or equivalent in respect of a Government / Semi Government organization or a PSU and only when they are supported by adequate proof of payment received by the tender for the work done by them. The client certificate issued by the private organization shall also accompany Tax Deducted at source (TDS) certificate. Applications / tenders received without the specified certificates in specified format shall be rejected and the Bank shall have the right to independently verify the submitted certificates. The tenderer are advised to submit the banker's certificate from their banker / bankers as per (Annex-II). Such certificate shall be addressed to the application / Tender inviting Authority of the Reserve Bank of India and shall be submitted along with their application / tender in a sealed envelope / cover. 3 P age

4 NOTICE INVITING TENDER Reserve Bank of India invites sealed tenders for the AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna from recognised and registered companies/agencies/firms and/or who have worked with Banking sectors/ PSUs, Govt/Pvt./MNC s and also from the firms deals in this field and who have carried out similar works as per the requirements and details as enclosed. Tender document can be downloaded from the web site Tenders are to be submitted in three separate envelopes. First envelope super-scribing as Eligibility documents should contain the eligibility criteria, proforma, Basic information form, proforma of Banker s report and client certificate etc., tender documents Rs.500/-) as following (NEFT, A/c No , A/c Name- Reserve Bank of India, IFSC Code- RBIS0PTPA01, Branch Name & address- South Gandhi Maidan Patna, ) and Rs.10,522/- in the form of Demand Draft drawn in favour of Reserve Bank of India, Patna and payable at Patna. Second envelope super-scribing as Technical Commercial conditions i.e. tender Part-I, should contain all the terms and conditions of work duly signed and sealed in all pages. Third envelope super-scribing as Financial Bid should contain financial bid in the specified format with its required specifications. As per format duly filled-in, signed and sealed. All the above three envelopes are to be put in a bigger envelope super-scribing as AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna. The Tender documents, complete in all, respects must be submitted in sealed envelopes which may either be delivered by hand or sent by courier/ registered post to Shri N.P. Topno, Regional Director, Estate Department, Reserve Bank of India, South Gandhi Maidan, Patna First envelope containing the, eligibility criteria, cost of tender documents will be opened first which will be evaluated by the Reserve Bank of India. Tender Part I containing EMD will be opened after ascertaining the required eligibility criteria, past performance of the firm and the cost of tender document and EMD are submitted in proper format and in order. If the last date of receiving/opening of the tenders coincide with a holiday, then the next working day shall be the receiving/opening date. The validity of tender will be 90 days from the actual date of opening of tender Part-II. 5 Tender Forwarding Letter To, Dear Sir, AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna 1. The Reserve Bank of India, hereby, invites you to tender for the above work. One set of tender forms can be obtained from Estate Department, 2nd floor, Reserve Bank of India, Patna on payment of tender fee of Rs.500/- and your tender in two parts (Part I and Part II) duly filled in, signed and sealed, should be addressed to Shri N.P. Topno, Regional Director, Estate Department, Reserve Bank of India, South Gandhi Maidan, Patna by name so as to reach him not later than 12 pm on 29/01/2018.The Bank discourages the stipulation of any additional conditions by the tenderer. However, in case the tenderer wishes to include any condition/ clarification/ covering letter while tendering for the work, he will have to submit the same in an envelope along with part of the tender and super-scribed the Envelope as Part I. The duly filled Part II of the tender containing the Schedule of Quantities shall be put into another envelope super-scribed as Part II. Both the parts, i.e. Part I & Part II shall have to be put in to another sealed cover which will be addressed to Shri N.P. The cover containing the forwarding letters/ clarifications/ conditions and Part I of the Tender, together called as Part I will be opened in the Estate Department at 3.30 pm on 29/01/2018 the scheduled date of opening of the tenders in the presence of tenderers or their authorized representatives who shall be in a position to clarify all the conditions stipulated by the tenderers (along-with the authority letter with valid ID proof) if they choose to be present. The clarifications/ conditions etc., if any, will be examined and after discussions with all the tenderers, the conditions that are acceptable to the Bank will be intimated to the tenderers. The tenderers shall withdraw all their conditions which are not acceptable to the Bank. The quoted rates above or below the estimated amount shall have to be analysed on the basis of internal guidelines. The tenders shall have to be submitted in duplicate in a sealed cover/ envelope of Part I and Part II respective as per the prescribed date. This letter, together with the second sealed cover containing the tender called Part-II, will be opened in presence of the representatives of Contractors/ firms on the due date and venue advised, if they choose to be present. 5 P age

Should this tender be accepted, I/we hereby agree to abide by and fulfill the terms and provisions of the said Conditions of Contract annexed hereto so far as they may be applicable or in default thereof to forfeit and pay to the Reserve Bank of India the amount mentioned in the said conditions. 3. I/We shall be depositing Rs.10,522/- as earnest money with the Reserve Bank of India, which amount is not to bear any interest. Should I/We fail to execute the contract when called upon to do so, I/We do hereby agree that this sum shall be forfeited by me/us to the Reserve Bank of India. 4. 11 General Terms and Conditions of the Tender: 1. The tender has been invited under two-bid system i.e. Technical commercial Bid and Financial Bid. The recognised & registered companies/agencies/firms and/or who have worked with PSUs/Govt/Pvt./ MNC s and Banking sectors are advised to submit two separate sealed envelopes super-scribing Technical Bid and Financial Bid for AMC for Refilling, Repairing / preventive maintenance of fire extinguishers of all (Office & Residential premises) the Premises/ Buildings, Reserve Bank of India, Patna. 2. The Earnest Money Deposit (EMD) of Rs.10,522/- should be necessarily accompanied with the Bid in form of Demand Draft drawn in favour of RESERVE BANK OF INDIA, PATNA and payable at PATNA and should be kept in a sealed separate cover super-scribing as EMD. Tender received without EMD or EMD for less amount will be summarily rejected. No SMEs /MSME are exempted for EMD, if any other bidder submit the tender without EMD, tender seems to be itself rejected and technical commercial bid & financial bid i.e tender part-i & Part-II shall not be opened and will be sent back to the respective bidder/s through by post, without under advice of the bidder/s. 3. The EMD in respect of the companies/agencies/firms, who do not qualify the Technical Bid/Financial Bid shall be returned to them without any interest after finalisation of tender process. However, EMD in respect of successful tenderer will be released after depositing the Security Money. Further, during the execution of the contract, if firm fails to comply the instructions or receiving the pending complaint from any user and unsatisfactory performance, the Security Money deposit shall stand forfeited without giving any further notice/advice and work order will be cancelled the firm may be delisted from the panel. 4. The Tendering firms/agencies are required to enclose attested photocopies of following document, failing which their bids will be summarily/out rightly rejected and will not be considered any further: (a) Registration certificate as per existing norms; (b) Copy of GSTIN/ CST/VAT/TIN / service tax, Registration Certificates; (c) Copy of PAN Card; (d) Copy of Income Tax Return for last three financial years; (e) Credential for Technical Expertise, etc. or any other enclosed with the tender documents. 5. The Tender should be signed by the authorized person and his full name and status should be indicated below his signature along with the official stamping of the firm. 11 P age

12 6. All entries in the tender form should be legible and filled clearly. If the space for furnishing information is not sufficient, a separate sheet dully signed by the authorized signatory may be attached. No over-writing or cutting is permitted in the Financial Bid. In such cases, the tender shall be summarily rejected. However, the cuttings, if any, in the Technical Bid application must be initialled by the persons authorized to sign the tender bids. 7. The incomplete and conditional tenders will be rejected. 8. The tenderer will be bound by the details furnished by him/her to Reserve Bank of India, while submitting the tender or at subsequent stage. In case, any of such documents furnished by him/her is found to be false at any stage, it would be deemed to be a breach of terms of contract making him/her liable for legal action besides termination of order. 9. No bidders will be allowed to withdraw after submission of bids/opening of the tender, otherwise the EMD submitted by the firm would be forfeited. 10. The rates should be quoted in Indian Rupees only in words as well as figures. The rates shall include cost of labours & material for the works complete in all respects for SCHEDULE OF QUANTITY. The quoted rates shall include all taxes, duties, VAT/GST etc. as applicable and no extra cost shall be payable on this account. 11. Tenders received late after due date and time will be rejected/not accepted. 12. The Technical Bid/ eligibility criteria of the tender shall be opened on 15/01/2018 at 3.30 P.M., in presence of the authorized representatives of the tenderers, who wish to be present at that time. The tenderers whose eligible criteria are accepted/qualified will be informed about the date and time of opening of financial bid i.e. Part-II bid. 13. Tender rates should be valid for at least 3 months after the actual date of opening the tender Part II. 14. In case of any damage is caused to the equipment/rbi s property, the firm/agency will be directly responsible for such damages as may be determined by the RBI to the extent of actual loss. The firm/agency shall ensure payment of such assessed amount within 15 days from the date of communication or the firm should get repair/ mending good damages with matching surroundings. 15. Performance Security 10% of tender value will have to be made within 7 days on /before receipt of Work Order to ensure due performance of the work. Security Deposit shall be in the form of Demand Draft in favour of Reserve Bank of India, Patna and payable at Patna. EMD will be refunded to the successful bidder on receipt of Performance Security Deposit. 16. Payment against Bill/Invoice shall be released only after satisfactory completion of the work of refilling of the fire extinguishers. Payment will be made direct to the selected 12 P age

13 agency/firm through A/C Payee cheque /NEFT/RTGS /ECS after deducting Income Tax as per TDS procedure. No advance payment will be made in any case. 17. Performance Security Deposit as mentioned against Sl. No.15 will be released after all contractual obligations by the selected agency/firm is over. This can be withheld or forfeited in full or in part in case the Work Order is not executed satisfactorily within the stipulated period. 18. The equipment can be inspected any time during working hours/after office hours by the Bank s authority on any working days. In case of failure/non-functioning of any fire extinguisher, a penalty of Rs.500/ in each case will be deducted from the dues payable to the firm/agency. 19. If the bidder/firm leaves the work without completing it, RBI may get the work completed from another firm and the bidder will have to reimburse the expenditure incurred or the same amount bill be deducted from the 20. The firm/agency should be registered one and having qualified technicians as per the norms and guidelines given by the Fire Service Department and they also bound to obey the rules and regulations of the Fire Department. 21. The re filling by the firm/agency shall be under warranty for 12 months from the date of re filling against any fault or failure due to bad workmanship. 22. The Rate for refilling of fire extinguisher shall be valid for a period of one year from the date of issuance of Work Order which may be extended for a further period of one year subject to satisfactory service and performance and as per requirement of the Bank. The contract for refilling of fire extinguishers needs to be completed as per guidelines and requirement of the Bank. 23. Any dispute arising with regards to any aspect of this contract shall be resolved by mutual discussions and consultations between the parties. In Case the dispute remains unresolved through consultation, it shall be referred to an Arbitrator. Such arbitration shall be governed by the provisions of the Indian Arbitration and Conciliation Act, 1996 or as amended from time to time. The venue for such arbitration will be in Patna. The award of the Arbitrator shall be final, conclusive and binding on all parties to the contract. 24. Any act on the part of the bidder to influence anybody in Bank would make him liable for rejection of his tender and its enlistment will be cancelled. 25. Reserve Bank of India, Patna reserves the right to accept or reject any quotation in part or whole without assigning any reason thereof. Name & Signature of the Bidder with seal 13 P age

14 TERMS & CONDITIONS AND INSTRUCTION TO BIDDER 1. Submission of bid: All the pages of the tender documents to be signed with Company s seal by the bidders. The rates in the appropriate space in the Schedule of Quantity should be properly filled, both in figures and words. No overwriting and using of correction fluid should not to be allowed. Any correction will be done by scoring out the incorrect entry and inserting the new entry in a legible manner. Both the corrections and new entry to be signed and sealed with Company s seal. In the event of any difference between figures & words of quoted rates, the rate in words shall be considered for evaluating the tender. 2. It is to be duly noted that in case of any/all disputes on terms and condition of this tender, the English version of the tender document shall prevail. 3. Contract must ensure the compliance to any/all applicable acts i.e. Min Wages Act, Gratuity Act, Contract Labour Act, Stamp Act etc. 4. The actual quantity of firefighting equipment (fire extinguishers) may vary from the projected quantity as per requirement of the Bank. 5. The bidder must fill the Schedule of Quantity with appropriate column being duly filled in, signed and sealed. 6. Conditional tenders shall be straightway rejected and no additional clause will be entertained but internal guidelines of Reserve Bank of India may incorporated before or after opening of the tender under advice of the bidder. 7. Reserve Bank of India reserves right to accept /reject the tender any or all the tenders and split the scope of the work to more than one agency /agencies without assigning any reason whatsoever. No claim will be entertained on account of this. 8. All duties, taxes, fees and other levies payable by the firm under the contract or any other cause shall be included in the quoted price. 9. Validity of the tender will be 90 days from the actual date of opening of the tender Part-II or for a further period if mutually accepted. 10. Copy of IS Certificate and valid IS code should be submitted at the time of submitting of the tender. 11. To supply new cylinder and carryout complete refilling work of cylinders in our Office and its installation at demarcated place. 12. Prompt and efficient service on part of the agency in respect of the above is necessary. 13. The bidder/s may visit the Bank s premises before quoting the rates. 14. Those who have manufacturing license of refilling cartage /material will be given priority. 15. Refilled material will be valid for one year from the date of refilling against our order. 14 P age

If any part/s of the fire extinguisher is required to be repaired /replaced the same shall be repaired without any extra labour cost and payment shall be made only for the replaced part/s on producing the cash memo/ purchase Boucher. 17. The rate should include all taxes and duties as applicable during the tenure of the tender. 18. Refilling shall be done before day/date of expiry; the contractor should submit the bill duly certified by the Security officers within fifteen days from the date of refilling of cylinders. The bill will be paid in next 30days from the date of submission of the bill by the concerned AMC dealing staff/officer. 19. The rates quoted by the firm will be valid /remain unchanged for 12 months or contract period from the date of issue of work order for the work. No upward revision in the price will be considered on account of subsequent increase in custom duty, excise tax, sale tax, service tax & GST etc. 20. Evaluation process : i) Stage I: Tender shall be evaluated against the stipulated minimum eligibility criteria. Bidder/s not complying with the eligibility criteria will be rejected summarily. ii) Stage II: A technical evaluation of tender part-i against the acceptance of the tender conditions. The tenders received without fulfilling the following conditions:- If tender is incomplete and /or not accompanied by all stipulated documents. If any of the terms and conditions stipulated in the document is not accepted and letter as per annexure is not submitted. 16 Any delay in completion of the work over the stipulated period will be attract penalty of 0.1 % of per system cost per day subject to maximum of 10% of the per system cost. The Bank reserve its right to recover these amounts by any mode, which includes adjusting from any payment to be made by the Bank to the bidder. Order Cancellation: If the vendor fails to deliver and /or install the equipment within the stipulated time schedule or the extended date communicated by the Bank, it will be deemed as breach of contract. The Bank reserves the right to cancel the order in the event of delaying delivery /installation of equipment and may forfeit the SMD. ARBITRATION In the event of any questions arising out of the Contract or ancillary/ incidental as to the terms and conditions of it or relate to any matter for execution and/or performance of the contract, the same shall in-so-facto be referred to the appropriate Authority and the interpretation made by the said authority shall be final and binding upon the parties. Notwithstanding the above, should there be any, disputes or differences by and between the parties arising out of anything under the contract, the same shall within 30 days of its occurrence first be referred to the said authority for conciliation and/or determination by the said authority. If the findings of the said authority should be acceptable by parties to the contract as communicated in writing within the next following 30 days of making reference to it. Nevertheless, the parties at their sole option shall within the next following 30 days choose to refer or cause the matter to be referred to the Arbitrator of Person in writing, whereupon the appropriate Authority shall within two weeks hence take steps for appointment of Arbitrator of Person from amongst the officers whether or not connected in the matter and the same shall be communicated in writing to the parties making reference within the next following two weeks and the same shall be final and binding upon the parties. The Arbitrator shall enter into the reference by appropriate notice of communication to be served or cause the said notice to be served upon the parties summoning the respective parties to attend the proceedings at the date time and venue. The proceedings of Arbitration shall be at per with the Arbitration and Conciliation Act 1996 as amended up to date. Jurisdiction of the matter shall be within the appropriate Courts of Patna. Acceptance of Order of the concerned agency shall be deemed to be the Free Consent given by party under the law towards execution of these covenants of contract under the Contract of Arbitration.
