2 INVITATION 2016 South Australian Tax Intensive We extend a warm invitation to you to join us at this year s SA Tax Intensive. You will notice that we are doing it a bit differently this year. We still have the same strong technical focus and format of the Tax Intensive of previous years - but this year we re doing it at the stunning Adelaide Oval. The decision to move this event was not taken lightly with much discussion had on the benefits of holding this popular event in the city. Having the event at Adelaide Oval means: There will be less time out of the office and less travel time There will be more flexible ticketing options available including employer tickets and single session tickets (see page 6 for further details) And, there are no additional accommodation costs. But what about the networking opportunities the SA Tax Intensive usually provides Members? We have thought of that and in conjunction with this event, we are pleased to announce the inaugural Members Annual Dinner. Pre-dinner drinks will commence after Thursday evening s session to be followed by a sit-down dinner in the spectacular Cathedral Room of the Adelaide Oval. We invite you to join us for dinner and take the opportunity to network with your peers. Attendance at the dinner is included in the event full registration and you are welcome to invite partners and colleagues even if they are not attending the Tax Intensive. We have also arranged some other social activities for attendees including participating in the Adelaide Oval RoofClimb or going on a Stadium Tour which showcases the unique blend of old and new at Adelaide Oval. Whilst we have a great venue and social activities at our fingertips, the most important part of the Tax Intensive - the technical aspect - will not change. But is it as straight forward as it seems? During this session, we will consider the main requirements to be satisfied to obtain rollover relief including: What is a genuine restructure? When will there be a material change in underlying economic ownership? Can interposed entities be used and still meet the tests for roll-over relief? Conditions for the asset(s) being transferred Exploration of any issues or opportunities that arise in applying the new provisions in practice. There are a number of issues that must be considered in determining the most effective structure for a particular property including funding, access to profits and capital amounts and minimisation of tax on realisation of the asset. This session will look at the most commonly used structures including a unit trust, partnership, company and discretionary trust and consider their effectiveness taking into account: Use of external funding vs inter-group funding Ability to stream income and capital gains to different entities Use of long term leases to enable development by a related entity Managing Division 7A exposure Managing exposure to CGT event E4 Access to CGT concessions Potential involvement of SMSFs Land tax considerations. Lunch Session 3: Capital Expenditure - Avenues for Deductions The tax law continues to present a range of approaches to capital expenditure, from immediate deductions to no deductions, and everything in between. This session will focus on common types of expenditure arising from capital events such as the acquisition of assets, acquisition of businesses, restructuring of groups and the sale of assets or businesses. Drawing on recent case law developments as well as key legal distinctions, the case studies will explore situations such as: Expenditure under the black hole provisions in section Costs of enhancing or defending goodwill Intangible and intangible depreciating assets Debt vs equity classification Transaction costs resulting from an acquisition or disposal. 4 PRESENTER PROFILES An overview of our experts Diane Cooper is a Tax Consultant at Perks Chartered Accountants. She has several years experience working with clients from not-forprofit organisations, SMEs through to large company groups. She undertakes compliance work and provides advice on a range of areas including Fringe Benefits Tax, Capital Gains Tax, Income Tax and Fuel Tax Credits. Briony Hutchens, CTA, is a Director in DW Fox Tucker s specialist Tax team, acting on behalf of a wide range of clients on matters ranging from one-off, large and complex matters to those encountered on a daily basis. She advises on most areas of state and federal taxes including business structuring issues; state taxes, including stamp duty, land tax and payroll tax; taxation disputes (state and federal); trusts; self-managed superannuation funds; property and joint venture projects; estate and succession planning and all aspects of commercial transactions. Briony is a Chartered Tax Adviser and is currently completing a Master of Taxation. She is recognised in Best Lawyers Australia for her expertise in wealth management and succession planning. Alistair Hutson, CTA, is a Partner in the Corporate Tax Group of PwC in Adelaide. He provides taxation advice and support for corporate clients across areas such as mergers and acquisitions, tax due diligence, capital gains tax, cross-border transactions, international tax structuring, funding decisions and repatriation of profits. Alistair is a member of The Tax Institute s SA State Council. Michael Johns, FTI, is a Director in the Corporate Tax Group of PwC Adelaide. Michael has over 14 years experience in providing corporate tax advice across a wide range of public, private and foreign clients. He also assists ASX listed and privately owned companies in managing their tax accounting and tax compliance affairs. Jennifer Jones, CTA, is a Senior Manager in the Technical Tax Consulting Division at Perks Chartered Accountants. She has many years of experience assisting clients from a wide range of industries on tax matters, including tax compliance. She has advised small to medium-sized enterprises on issues such as corporate tax, capital gains tax including the small business CGT concessions and restructures, liquidations, tax consolidation, fringe benefits tax and GST. Sarah Luxton is a Tax Consultant at Perks Chartered Accountants. Sarah has several years experience working with a variety of different clients from SMSFs, SMEs through to large company groups. Sarah undertakes compliance work and provides advice on a range of areas including Small Business CGT Concessions, Capital Gains Tax, Division 7A, Income Tax and Fuel Tax Credits. Eddy Nehme is a Senior Associate in DW Fox Tucker Lawyers Tax, Corporate & Commercial and Property practices. He undertakes a large amount of work related to State and Federal taxes and commercial and property transactions. This often involves structuring, and restructuring, various property holdings or business structures to maximise tax efficiency and wealth creation opportunities. He also represents clients to the ATO and Revenue SA and is frequently involved in estate and business succession planning. Eddy holds degrees in Law, Accounting and Business and has a Master of Taxation. He was also a finalist in the 2016 Tax Adviser of the Year Awards within the Emerging Tax Star category. Brian Nimmo, CTA, is a Director at Perks Chartered Accountants. Brian draws on his general business advisory experience, as well as his background in specialist taxation consulting, to provide clients with commercially focused strategic taxation advice. Neil Oakes, CTA, is a Tax Director at Perks Chartered Accountants and holds a Masters Degree in Tax Law from UNSW (Atax). Neil currently heads up the Technical Tax Consulting division within Perks. He specialises in providing commercially focused tax advice to a wide range of small, medium and large businesses. Neil s areas of specialisation include Division 7A, corporate restructuring and small business CGT concessions James Puchlenko is a Partner in the Corporate Tax Team of PwC Adelaide. He has over 20 years of experience (7 years as partner) in Australia and the UK providing compliance, due diligence, international tax and tax efficient structuring and general advice to inbound and outbound clients across a wide range of industries and covering a variety of taxes and duties. John Tucker, CTA-Life is the Taxation team leader at DW Fox Tucker Lawyers. Often nominated as South Australia s leading tax specialist, he is also widely regarded as being among the top tier in Australia, as reflected by his peer recognition in Australia s Best Lawyers His experience spans over four decades. He is regularly sought out to act in the most difficult of matters. He is a life member of The Tax Institute and has served as its National President. Kit Wong is a Senior Manager in the Corporate Tax Group of PwC Adelaide. She has over 13 years of experience in providing corporate tax advice to clients in various industries. Kit has been assisting clients in M&A transactions and inbound and outbound investments across Asia in addition to helping them with their tax compliance affairs. Brett Zimmermann, CTA is a Senior Associate with DW Fox Tucker Lawyers and has practiced tax and commercial law for many years advising and assisting clients in many varied matters; the conduct and resolution of tax (& other) disputes, asset and business restructures, liquidations, trusts and equity law to mention the main. Brett lectures taxation law to both undergraduate and masters students at the University of Adelaide, and writes detailed commentary for leading legal commentary service Thomson Reuters, primarily in the area of capital gains tax and tax losses.
