1 Administration and Projects Committee STAFF REPORT Meeting Date: March 3, 2016 Subject State Route 4 (SR4) Balfour Road Interchange (Project 5005) Authorization to Execute Amendment No. 2 to Agreement No. 05E.07 with East Contra Costa Regional Fee and Financing Authority (ECCRFFA) for Project Construction Summary of Issues Recommendations Financial Implications Options In August 2012, the Authority and ECCRFFA entered into Agreement No. 05E.07 for the design and utility relocation for the SR4/Balfour Interchange project. In February 2016, the Authority approved the project plans and provided authorization to the Executive Director to advertise the project for construction. The construction phase will be funded by Measure J and ECCRFFA funds. Staff seeks authorization for the Chair to execute Amendment No. 2 to Agreement No. 05E.07 with ECCRFFA to commit an additional $18,000,000 of ECCRFFA funds for the construction of the SR4/Balfour Road Interchange project which commits the Authority to Advertise, Award and Administer (AAA) the construction contract for the project, and to allow the Executive Director to make any non substantive changes to the language. With the commitment of the additional ECCRFFA funds, the construction project is fully funded with ECCRFFA and Measure J funds. The Authority could elect not to execute the amendment at this time and defer the construction of the SR4/Balfour Road Interchange project. Attachments A. Amendment No. 2 to Agreement No. 05E.07 B. 2 D ECCRFFA Strategic Plan Administration and Projects Committee STAFF REPORT March 3, 2016 Page 2 of 2 Changes from Committee Background In August 2012, the Authority and ECCRFFA entered into Agreement No. 05E.07 for the design and utility relocation for the SR4/Balfour Road Interchange project. The Authority has also received approval from Caltrans to AAA the construction contract for the project. In February 2016, the Authority authorized the Executive Director to approve the project design and to publicly advertise the construction contract. The construction phase of the project will be funded by Measure J and ECCRFFA funds. This amendment will commit an additional $18,000,000 of ECCRFFA funds for the construction phase of the project. The additional ECCRFFA funds, together with Measure J funds, will fully fund Phase 1 of the SR4/Balfour Road Interchange project, as further defined by Attachment A, Amendment No. 2 to Agreement No. 05E.07. The amendment also commits the Authority to AAA the construction contract for the project. Staff requests authorization for the Chair to execute Amendment No. 2 to Agreement No. 05E.07 with ECCRFFA to commit an additional $18,000,000 of ECCRFFA funds for the construction of the SR4/Balfour Road Interchange project which commits the Authority to AAA the construction contract for the project, and to allow the Executive Director to make any non substantive changes to the language. 13-2
3 Agreement No. 05E.07 With East Contra Costa Regional Fee and Financing Authority For State Route 4/Balfour Road Interchange (Phase 1) March 16, 2016 AMENDMENT No. 2 WHEREAS, the Contra Costa Transportation Authority (Authority) and the East Contra Costa Regional Fee and Financing Authority (ECCRFFA) entered into Agreement No. 05E.07 on August 9, 2012 to fund up to $8 million for project design, utility coordination and relocation, and project management in accordance with Exhibit B for the SR4/Balfour Road Interchange Project; and WHEREAS, Amendment No. 1 to Agreement No. 05E.07 was approved to increase the maximum deductible for professional liability insurance from $25,000 to $50,000; and WHEREAS, the parties now wish to include project construction as part of the Agreement; WHEREAS, the ECCRFFA Strategic Plan approved on November 12, 2015 programs $26 million for the Project; now therefore be it MUTUALLY AGREED: (1) Article E. of the RECITAL is revised to read: Subject to the terms of this Agreement, ECCRFFA will reimburse AUTHORITY for actual incurred expenses for design, utility coordination and relocation (Kinder Morgan pump station), construction and associated project management services for the Project (referred to herein as the WORK ). ; and (2) SECTION II.B. is revised to read: To advance payment to consultants, utility companies, construction contractors, and other agencies in return for services rendered, with the understanding that up to $26 million of total costs incurred for the WORK will be reimbursed from ECCRFFA in accordance with the provisions of this Agreement, but not to exceed the aggregate amounts programmed by fiscal years, as shown in the ECCRFFA's Strategic Plan approved on November 12, 2015, attached as Exhibit D. Funds advanced for the WORK shall conform to the WORK plan and budget attached to this Agreement as Exhibit B (revised March 16, 2016) and incorporated herein by reference and the proposal by Quincy Engineering, Inc. entitles Balfour Road/State Route 4 Bypass Interchange Improvements 13-3
4 attached to this Agreement as Exhibit C and incorporated herein by reference. Any subsequent changes to the WORK plan and budget shall require the advance approval of ECCRFFA s Board. ; and (3) SECTION II.C. is revised to read: To include in the design, construction and related contracts for the WORK provisions requiring the consultants, subconsultants, contractors, utility companies, and others to provide indemnification and insurance naming ECCRFFA and the State Route 4 Bypass Authority, their member agencies, officers, employees, agents, and representatives to the same extent as provided to AUTHORITY. The insurance shall include: (i) workers compensation insurance, as required by state law; (ii) commercial general liability insurance with a combined, single limit coverage of at least $1 million and with contractual liability (or blanket contractual) coverage; and (iii) professional liability insurance with a maximum deductible of $50,000. ; and (4) Delete SECTION II.G.; and (5) Add SECTION II.I.: To advertise, award and administer the construction contract for the Project. ; and (6) SECTION III.A. is revised to read: If for any reason ECCRFFA s right to collect or expend RTDIM fees is terminated or suspended, in whole or in part, or the amount of fees collected fall short of the projections in ECCRFFA s November 12, 2015 Strategic Plan, ECCRFFA shall promptly notify Authority, and the Parties shall consult on a course of action that takes into considerations (i) ECCRFFA s lawful ability to collect and expend RTDIM fees for the purposes of this Agreement; and (ii) ECCRFFA s outstanding agreements, contracts, and other prior obligations. ; and (7) SECTION III.B. is revised to read: Subject to Clause A, to make payments to Authority within 30 working days of receipt of invoices prepared by Authority and submitted to ECCRFFA for payment. The payments by ECCRFFA shall be made from regional fee revenues available for that purpose. ; and (8) SECTION III.C. is revised to read: Any unexpended Measure J funds on the widening of SR4 East from Somersville Road to SR160 will first be used to address any funding shortfall for the ebart project and second will be transferred to the Project, reducing the commitment of ECCRFFA funds accordingly. ; and (9) Add SECTION III.D. as follows: All of the Measure J funds that are programmed to the Project will be expended first before the $9M of ECCRFFA funds that are programmed in FY 2017/18 of the ECCRFFA's Strategic Plan approved on November 12, 2015 becomes available to the Project. ; and (10) Exhibit B to the Agreement is deleted in its entirety and replaced with new Exhibit B (Revised March 16, 2016) attached hereto. 13-4
5 (11) All other provisions of the Agreement shall remain unchanged and if full force and effect.
