1 CIMB BANK BERHAD S TERMS AND CONDITIONS GOVERNING THE SOLE PROPRIETOR AND PARTNERSHIP CAMPAIGN ON BUSINESS CURRENT ACCOUNT The Campaign 1. The Sole Proprietor and Partnership Cash Back Campaign on Business Current Account ( this Campaign ) is organised by CIMB Bank Berhad ( CIMB Bank ) and shall run from 15 th May 2017 to 31 st December 2017, both dates inclusive ( the Campaign Period ). 2. CIMB Bank reserves the right upon giving prior notice of not less than fourteen (14) calendar days to change the duration and/or the commencement and/or expiry dates of the Campaign Period. Eligibility 3. This Campaign is opened to all Sole Proprietorships and/or Partnerships who opens any new Conventional/ Islamic Business Current Account ( Account ) with CIMB Bank Berhad or CIMB Islamic Bank Berhad ( CIMB Islamic Bank ). For the avoidance of doubt, the sole proprietorship and/or partnership will have to submit the Business Registration Information Form or an equivalent document from Companies Commission of Malaysia confirming their status as Sole Proprietorships and/or Partnerships ( the Eligible Participants ). Qualifying Criteria 4. To participate in this Campaign, all the requirements as stipulated in Clause (4) herein must be fulfilled: (a) The Eligible Participants must have successfully opened the Account with CIMB Bank Berhad or CIMB Islamic Bank Berhad within the Campaign Period; and (b) Sign up for CIMB Clicks or BizChannel@CIMB within the Campaign Period; and (c) Maintain a minimum Monthly Average Balance (hereinafter defined) of RM10, in the Account starting from the date the Account is opened with CIMB Bank. 2 Campaign Rewards (A) Cash Back 5. Subject to the terms and conditions herein, the Eligible Participants who fulfilled all the requirements in Clause 4 above shall be entitled to Cash Back of up to RM50 per month, on the Account for the first six (6) months, starting from the date the Account is opened with CIMB Bank ( Cash Back ). 6. Subject to the terms and conditions herein, the Cash Back of RM50 will be credited into the Eligible Participant s Account within 2 months, upon fulfilling all the requirements in Clause 4 above starting from the date the Account is opened with CIMB Bank., (hereinafter referred to as Fulfilment Period ). For example, if the Account is opened in June 2017 with a minimum Monthly Average Balance of RM10,000 maintained in the Account, the Cash Back of RM50 will be credited in by the month of August This would be repeated in the same manner for the next five (5) months. 7. No Cash Back shall be credited to the Eligible Participant s Account if the Monthly Average Balance falls below RM10,000 in any calendar month during the Campaign Period. 8. After six (6) consecutive months of maintaining the Monthly Average Balance from the date the Account is opened by the Eligible Participants, no Cash Back will be given thereafter. 9. The Cash Back of RM50 per month is inclusive of all other ongoing Cash Back promotions awarded to and/or enjoyed by the Eligible Participant during the Campaign Period. The maximum or total Cash Back which can be received by an Eligible Participant under the Campaign herein and all other Cash Back promotions shall be limited to RM50 per month. 10. At the time when CIMB Bank credits the Cash Back into the Eligible Participants Account, the Eligible Participant s Account MUST NOT be closed, delinquent, invalid or cancelled, otherwise the Eligible Participant will be disqualified from participating in this Campaign and will not be entitled to receive the Cash Back under this Campaign. 11. CIMB Bank will not entertain any request from any Eligible Participants or any other person to credit the Cash Back to the Eligible Participant s other accounts or third party s accounts, whether or not held at CIMB Bank or any other Banks. (B) Fee Waiver 12. Subject to the terms and conditions herein, the Eligible Participants who fulfilled the requirements in Clause 4 (a) and (b) and opted to sign up for BizChannel@CIMB shall also be entitled to fee waivers as illustrated below ( Waivers ): 2

For avoidance of doubt, the requirements for the entitlement of the Waivers reward in Clause 12 shall be read in conjunction with the Business CA$HBack Campaign Terms & Conditions. 14. By participating in this Campaign, the Eligible Participants are deemed to have read, understood and agreed to be bound by the Terms and Conditions herein. The Eligible Participant s Account (i) MUST not be in breach of the terms and conditions governing the Business Current Account terms and conditions (ii) MUST not be terminated or closed or be made subject to any attachment, adverse orders made by the Court or any authorities sanctioned by laws, delinquent, and/or be invalid or cancelled as determined by CIMB Bank, otherwise the Eligible Participants will be disqualified from participating in this Campaign and shall not be entitled to receive the Cash Back. 16. CIMB Bank s decision on all matters relating to the Campaign, including the determination of the Eligible Participant(s) and awarding of Cash Back, is final, binding and conclusive provided that the decision is fairly and reasonably made. 17. By participating in the Campaign, the Eligible Participant hereby acknowledges and irrevocably agrees that CIMB Bank shall not in any manner whatsoever be liable for any technical failures of any kind, whatsoever intervention, interruption and/or any electronic or human error arising from the Campaign unless the same is due to the gross negligence or default of CIMB Bank. 3

By participating in the Campaign, the Eligible Participant hereby agrees and irrevocably and unconditionally undertakes to fully absolve CIMB Bank of all liabilities and agree to indemnify CIMB Bank (on full indemnity basis) and hold CIMB Bank harmless against any claim by any third party and against any loss, damage, cost or expense (including solicitors fees and cost) that CIMB Bank may suffer or incur as a result of or in connection with the Campaign unless the same is due to the gross negligence or default of CIMB Bank. 19. CIMB Bank reserves the right to suspend, cancel, terminate or withdraw this Campaign in whole or part, by giving the Eligible Participants prior notice of not less than fourteen (14) calendar days. For the avoidance of doubt, a suspension, cancellation, termination or withdrawal of this Campaign shall not entitle any of the Eligible Participant(s) to any claim or compensation against CIMB Bank for any losses or damages suffered by the Eligible Participant as a direct or indirect result of the act of suspension, cancellation or termination. 20. CIMB Bank shall not be liable to any party, including the Eligible Participant(s), for any loss or damage of whatsoever nature suffered by the Eligible Participant(s) or any party (including but not limited to any injury or death, loss of income, profits or goodwill, direct or indirect, incidental, consequential, exemplary, punitive or special damages of any party) in relation to the Eligible Participant s participation or non-participation in the Campaign unless the same is due to the gross negligence and wilful default of CIMB Bank. 21. CIMB Bank reserves the rights upon giving notice of not less than twenty one (21) calendar days to vary (whether by addition, deletion, modification, amendment, or otherwise howsoever) ( Amendment ) any of the terms and conditions herein. Any Amendment to the provisions herein shall be binding on the Eligible Participant(s) and CIMB Bank is deemed to have notified the Eligible Participant(s) of the Amendment by: (i) its display at CIMB Bank s premises and website regarding the Amendment where detail provisions regarding the Amendment may be provided in the notice itself or may be provided to the Eligible Participant upon request; or (ii) by a notice being sent by CIMB Bank to the Eligible Participant last known address; or (iii) advertised in one newspaper of CIMB Bank s choice; or (iv) via electronic mail or by any other means of notification which CIMB Bank may select and the Amendment shall be deemed binding on the Eligible Participant as from the date of notification of the Amendment or from such other date as may be specified by CIMB Bank in the notification. Eligible Participants acknowledge and agree to access CIMB s website at regular intervals to view the Terms and Conditions and to ensure that they are kept up-to-date with any changes or variations to the Terms and Conditions. 22. These Terms and Conditions shall prevail over any provisions or representations contained in any other promotional materials advertising the Campaign. These Terms and Conditions are to be read in conjunction with the prevailing terms and conditions of the Business Current Account Agreement governing Business Current Account which shall apply in addition to the Terms and Conditions herein. 4

If there is any inconsistency (ies), conflict(s), ambiguity (ies) or discrepancy (ies) between the Bahasa Malaysia and English version of these Terms and Conditions herein, the English version of these Terms and Conditions shall prevail. Notwithstanding the aforementioned, where request is made by the Eligible Participant and noted and acknowledged by CIMB in its records that the Bahasa Malaysia version of these Terms and Conditions shall govern the operation of the Account, then the Bahasa Malaysia version of these Terms and Conditions shall prevail. 24.
